1 Chief Finance and Operatins Officer IfM Educatin and Cnsultancy Services (IfM ECS) Rle Summary IfM ECS disseminates the research and educatin utputs f the University f Cambridge Institute fr Manufacturing (IfM), manages ideaspace n behalf f the University and supprts the disseminatin f utputs frm the University s Department f Engineering in rder t: Enable learning frm the applicatin f research t real wrld industry and gvernment needs Demnstrate impact that benefits bth custmers and the University Generate incme t fund future research The Chief Finance and Operatins Officer s primary respnsibilities fall int three areas: Financial; Crprate and Legal; and Operatins Management. The principal aims in each area are as fllws: Financial Financial Cntrl Ensure that IfM ECS has effective financial cntrls in rder t safeguard its assets and meet its statutry and cmpliance bligatins relating t financial and taxatin issues Strategy and Planning Prvide supprt t Chief Executive Officer in preparatin and implementatin f IfM ECS Business Plans and initiatives Business and Prfessinal Advice Prvide and c-rdinate business and prfessinal advice t managers and directrs. Crprate and Legal Legal, Cntracts and Insurance Ensure that IfM ECS develps and implements apprpriate legal, cntractual and insurance appraches t prtect IfM ECS and the University f Cambridge; supprt negtiatin f client and supplier cntracts Gvernance Ensure that IfM ECS develps apprpriate gd / best practice in crprate gvernance, and verall bard effectiveness. Risk Management Identify risks t IfM ECS business; identify and implement ways t mitigate identified risks; and develp and test executable plans t respnd t business interruptins Operatins Management Operatinal Management Share the peratinal management f IfM ECS business units with the Chief Executive Officer; in particular, manage the: IfM ECS Events and Administratin business units t enable them t realise their Aims and Outputs in line with the Annual Business Plan and 5-Year Strategy; and ERDF r ther similar cmplex prjects where apprpriate, t ensure it achieves its cntracted perfrmance measures. 2 Reprting and Supprt The Chief Finance and Operatins Officer is emplyed by IfM Educatin and Cnsultancy Services and is based in the Alan Reece Building, Charles Babbage Rad, Cambridge, and: Reprts t the Chief Executive Officer Leads the Finance Team cmprising: Management Accuntant, Finance Assistant Leads Administratin Team cmprising: HR & Capability Develpment Manager, the Prject & Operatins Manager and the Prject & Operatins Administratr Leads Events Team cmprising: Events & Memberships Manager, Event Manager, Event & Marketing Administratr The Finance Team The Finance Team is respnsible fr: ensuring that IfM ECS has effective financial cntrls in rder t safeguard the assets f the cmpany and t supprt accurate and timely prcessing f transactins. ensuring that IfM ECS meets its statutry and cmpliance bligatins relating t financial and taxatin issues. prviding apprpriate management infrmatin n a timely basis and that interpretatin f this infrmatin is apprpriately supprted. supprting cntract negtiatin and managing IfM ECS cntracts in cnjunctin with the University f Cambridge Legal Services Grup, develping and managing an apprpriate risk and mitigatin plicy prviding and c-rdinating business and prfessinal advice t managers and directrs. The Administratin Team The team are respnsible fr prviding HR, capability develpment, prject and peratinal supprt t ECS emplyees and Assciates. The team are als respnsible fr managing the ECS ffice and facilities and facilitating cmmunicatin thrugh meeting crdinatin. The Administratin Team is respnsible fr: ensuring that IfM ECS has effective HR prcesses and meets its statutry and cmpliance bligatins relating t emplyment law issues. prviding administrative supprt t CEO, CFOO and Bard f Directrs f IfM ECS prviding administrative supprt fr custmer engagements, including rganisatin, attendance at wrkshps & dcumentatin f wrkshp utputs leading n the implementatin and adptin f a CRM system administering custmer cntracts and cnfidentiality agreements respnding t ffice management, facilities & IT requirements The Events Team The Events Team is respnsible fr: ensuring that IfM ECS prvides effective event management services in supprt f activities initiated by IfM, IfM ECS, ideaspace and ther Divisins f the Engineering Department enabling the disseminatin f research utputs t industry and gvernments via shrt curses, events, cnferences, sympsia generating the levels f revenue and cntributin budgeted in the annual Events business plan establishing effective relatinships with academics and assciates in IfM, IfM ECS, ideaspace and ther Divisins f the Engineering Department t encurage disseminatin f Research knwledge and generate leads fr IfM ECS cnsultancy and educatin services.

Strategy and Planning Prvide supprt t Chief Executive Officer in preparatin and implementatin f IfM ECS Business Plans and initiatives Supprt the develpment f IfM ECS annual business plan and 5-year business strategy. Update financial frecasts and prjectins as apprpriate, enabling: Cmparisns between Budget, Year-T-Date Actual and Prjectins t be made Ptential perfrmance prblems t be identified early Actin plans t be develped t manage under/ver perfrmance Finance Assistant: Sales ledger transactins Purchase ledger transactins Bank transactins Annual business plan and 5-year business strategy agreed by IfM ECS Bard Early identificatin f deviatins frm annual business plans Timely plans t recver frm material deviatins frm annual business plans

4 3. Business and Prfessinal Advice Prvide and c-rdinate business and prfessinal advice t managers and directrs. Fr example: Financial representatin and advice t IfM ECS s Bard f Directrs and the IfM s management cmmittees. Assisting the CEO and the Head f the IfM in the preparatin f grant applicatins and the cntrl f funding. Prduce special financial reprts as requested by the Bard. Practive guidance and supprt t CEO regarding the develpment f the business t: Enable mre effective and earlier definitin and implementatin f initiatives and strategies, leading t shrter time t impact Identify ptential business shrtfalls vs budget (revenues, csts); strategies t mitigate ptential shrtfall 2. Crprate and Legal Advice, and reprts and input t prpsals, prvided as required 1. Legal, Cntracts and Insurance Ensure that IfM ECS develps and implements apprpriate legal, cntractual and insurance plicies t prtect IfM ECS and the University f Cambridge; supprt negtiatin f client and supplier cntracts In cnjunctin with University f Cambridge Legal Services Grup, Finance Department and Insurance Services, supprt the: Develpment and maintenance f master cntracts, such as client cnsultancy and executive educatin services cntracts; nn-disclsure agreements (NDAs); and supplier cntracts, such as Third Party Assciate agreement Successful negtiatin f client cntracts Master agreements Signed client and supplier agreements, and NDAs Cntracts retained and administered 25% 2. Gvernance Ensure that IfM ECS discharges fully its gvernance respnsibilities; and develps apprpriate gd / best practice in crprate gvernance, and verall bard effectiveness. Ensure cmpany secretarial duties are perfrmed in full cmpliance with Cmpanies Act and ther apprpriate legislatin Develp IfM ECS crprate gvernance arrangements; undertake n an nging basis an assessment f its gvernance practices, including bard meetings, reprting and training, with a view t establishing best practice and bard effectiveness. Wrk with the remuneratin cmmittee and the Chief Executive Officer t review staff salaries and any perfrmance-related payments. IfM ECS discharges fully its gvernance respnsibilities under the Cmpanies Act and ther apprpriate legislatin. Annual review f IfM ECS gvernance arrangements with recmmendatins fr imprvement
