3 ASHA GOVERNANCE STRUCTURE AND PROCESS: A PROPOSED NEW MODEL PREAMBLE Experts n assciatin gvernance recmmend that assciatins review their gvernance peridically t determine if it meets the needs f members and if it is efficient and effective. As membership in an assciatin grws r as the assciatin faces different challenges, a system f gvernance that served well at ne time may n lnger be satisfactry. The bligatin, then, is t cnduct a review f gvernance and t recmmend changes in gvernance structure and prcess if they are warranted. The Ad Hc Cmmittee n Gvernance Structure and Prcess was assigned this bligatin and recmmends that ASHA use a gvernance mdel that includes a 16-member Bard f Directrs and an Audilgy Advisry Cuncil cmpsed f 53 members and a Speech-Language Pathlgy Advisry Cuncil cmpsed f 53 members. The Cmmittee s gal was t create a gvernance structure and prcess that is respnsive t ASHA member wants, needs, and trends; serves members and the prfessins efficiently and effectively; meets current and future gvernance challenges; and is satisfying t thse members wh are invlved in ASHA gvernance activities. BACKGROUND In 1995, ASHA initiated a review f its crprate and gvernance structure. In 1997, the Legislative Cuncil (LC) apprved a plan fr Rerientatin f ASHA s Gvernance Prcess and Structure. The plan was designed t implement a prcess f shared gvernance between the Executive Bard (EB) and the LC, prvide autnmy t the Audilgy/Hearing Science and Speech-Language Pathlgy/Speech r Language Science prfessins in apprving plicy dcuments that related t their respective prfessins, and prvide the LC with an pprtunity t discuss and identify the critical issues related t the prfessins and the Assciatin. The current gvernance structure and prcess has been in effect fr 7 years. Respnsible stewardship f an assciatin requires that the gvernance structure be reviewed peridically t determine if it is meeting the needs f members and is being carried ut in a cst-effective manner. Based n frmal evaluatins f the ASHA gvernance structure and prcess, cmments prvided by members f the LC n the effectiveness and efficiency f the current gvernance structure and prcess, and trends and changes in philsphies regarding gvernance and gverning in assciatins, in 2005 Past President Higdn and Speaker f the Cuncil Estmin submitted, and the EB apprved, a reslutin t establish an Ad Hc Cmmittee n Gvernance Structure and Prcess charged t cnduct a review and evaluatin f the ASHA gvernance structure and prcess t determine if it des, and will, meet the Assciatin s gvernance/gverning needs and the needs f members and the prfessins including a review f gvernance practices in similar natinal rganizatins. The Cmmittee cmpsitin included ne current and three frmer members f the LC, ne current and three frmer members f the EB, and the Executive Directr (see list f members n the cver page). 3

4 COMMITTEE ACTIVITIES T cmplete its charge, the Cmmittee cmpleted the fllwing activities: 1. December 19, 2005: Held a cnference call t identify issues related t ASHA gvernance structure and prcess that needed t be cnsidered by the Cmmittee. 2. January 11, 2006: Held a cnference call t review extant data and infrmatin related t gvernance in ASHA and ther natinal assciatins and t plan future Cmmittee activities. 3. March 13 15: Held a face-t-face meeting that included input/cnsultatin with Paul Meyer, Gvernance Cnsultant, t identify trends and best practices in assciatin gvernance, identify the driving and restraining frces fr change, identify varius member-based gvernance representatin and assciatin gverning bard mdels, and plan a presentatin fr the March LC meeting. 4. March 25: Made a presentatin at the LC meeting n Current Trends in Assciatin Gvernance. 5. March 30: Held a cnference call t fllw up n the LC meeting and review and cnsider LC cmments related t the presentatin and plan fr a July face-t-face Cmmittee meeting. 6. June 6: Fielded a Gvernance Structure and Prcess Survey that was sent t current and past vlunteer leaders and made available fr all ASHA members. 7. July 22 29: Held a face-t-face meeting that included input/cnsultatin with Paul Meyer t review pssible mdels fr member-based gvernance representatin and assciatin gverning bards. 8. Nvember 18-19: Presented Interim Reprt at the LC meeting and prvided an pprtunity fr Cuncilrs t prvide input. 9. December 4: Held a cnference call t discuss cmments/input prvided during the LC meeting and plan next steps. 10. December: Established a Web Frum fr the LC n which Cuncilrs culd discuss the prpsed gvernance mdel. 11. January 5 7, 2007: Held a face-t-face meeting t review all f the cmments/input prvided by members f the LC related t the Cmmittee s Interim Reprt, prepared a respnse t these cmments, and prepared a final reprt fr peer review. GOVERNANCE VISION T determine the best member-based gvernance representatin and assciatin gverning bard mdel fr ASHA as it mves frward, the Cmmittee develped the fllwing Gvernance Visin fr the Assciatin: T create a gvernance structure and prcess that is respnsive t ASHA member wants, needs, and trends; serves members and the prfessins efficiently and effectively; meets current and future gvernance challenges; and, is satisfying t thse members wh are invlved in ASHA gvernance activities. In cmpleting its charge, the Cmmittee made a decisin t start with a clean slate and t determine the best gvernance structure and prcess that wuld meet ASHA s needs nw and in the future. The Cmmittee did nt start with the premise that the current gvernance mdel is brken and we need t determine hw we can fix it. By starting with a clean slate, the Cmmittee was able t cnsider a variety f new appraches and new mdels fr ASHA gvernance. 4

5 CHANGE DRIVERS The Cmmittee identified thse factrs indicating a need t change ASHA s gvernance structure and prcess. The fllwing change drivers were paramunt: ASHA gvernance is nt up-t-date with current trends and best practices in nnprfit/assciatin gvernance. The current mdel in its basic frm has been used since Many ASHA vlunteer leaders and members have tld the Cmmittee that key aspects f ASHA gvernance are neither efficient nr effective. Member value and return n investment are key factrs when making gvernance decisins. GOVERNANCE SURVEY DATA In June 2006, the Cmmittee fielded an nline survey sent t current and frmer ASHA vlunteer leaders and was made available t ASHA members wh subscribed t the ASHA Headlines list. Members f the LC received an Executive Summary f the data, and the cmplete survey data reprt was made available fr review by all Cuncilrs. The Cmmittee reviewed the data and cmments submitted by respndents n the gvernance survey. The fllwing data infrmed the wrk f the Cmmittee: 77% f ASHA vlunteer leaders respnded that the EB was smewhat r very efficient. 83% indicated that the EB was smewhat r very effective. 49% f ASHA vlunteer leaders indicated that the LC was smewhat r very efficient. 65% indicated that the LC was smewhat r very effective. 6 DESIRED GOVERNANCE OUTCOMES The Cmmittee reviewed the data prvided by vlunteer leaders and Legislative Cuncilrs, the cmments submitted by survey respndents, and the nnprfit gvernance trends and best practices. The Cmmittee als cnsidered the need t create a gvernance structure and prcess that is respnsive t ASHA member wants, needs, and trends; serves members and the prfessins mre efficiently and effectively, meets current and future gvernance challenges, and that is satisfying t thse members wh are invlved in ASHA gvernance activities. Based n these data and cnsideratins, the Cmmittee identified the fllwing gvernance utcmes t be accmplished by any change in ASHA s gvernance structure and prcess: Increase the ability f members f the prfessins t identify and discuss issues. Increase member input int gverning actins that have an impact n them. Streamline decisin making. Reduce bureaucratic barriers. Increase autnmy fr the tw prfessins in ASHA gvernance. Maximize benefits frm time and financial investment in ASHA gvernance. Imprve accuntability, fiscal respnsibility, and fiduciary care in preparatin and apprval f the ASHA budget. Create increased accuntability by having a single gverning bard. BASIS FOR RECOMMENDATIONS In making its recmmendatins t achieve its Visin fr ASHA gvernance and its gvernance utcmes, the Cmmittee: Reviewed gvernance literature and benchmarks fr best practices in assciatin gvernance and infrmatin n the life cycles f assciatins. Reviewed data cllected frm the gvernance survey and frm LC meeting evaluatins. Reviewed the 1997 reprt n Rerientatin f ASHA s Gvernance Prcess and Structure. Reviewed the 2005 reprt n Life Cycle Stages f an Assciatin: Where Is the American Speech-Language-Hearing Assciatin? Wrked with Paul Meyer (gvernance cnsultant) t identify trends and best practices in assciatin gvernance. Started with a clean slate. Identified 23 pssible gvernance mdels. Identified 8 fr final cnsideratin and discussed the prs and cns fr each. Agreed n 1 mdel that wuld meet the Cmmittee s Gvernance Visin. Submitted the mdel fr review and cmment by the LC and the EB. Revised the mdel after cnsidering the suggestins received by members f the LC. The revised mdel is the substance f this reprt. 6

7 PROPOSED GOVERNANCE MODEL Bard f Directrs (BOD) Cmpsitin Recmmendatin: Establish a BOD with 16 members. 1. President, wh shall serve as Chair f the BOD 2. President Elect 3. Past President 4. Vice President fr Academic Affairs in Audilgy (NEW)* 5. Vice President fr Academic Affairs in Speech-Language Pathlgy (NEW)* 6. Vice President fr Audilgy Practice (NEW TITLE) 7. Vice President fr Speech-Language Pathlgy Practice (NEW TITLE) 8. Vice President fr Finance (REVISED, NEW TITLE) 9. Vice President fr Gvernment Relatins and Public Plicy (NEW TITLE) 10. Vice President fr Planning (NEW) 11. Vice President fr Standards and Ethics in Audilgy (NEW TITLE) 12. Vice President fr Standards and Ethics in Speech-Language Pathlgy (NEW TITLE) 13. Vice President fr Science and Research (NEW TITLE) 14. Chair f the Audilgy Advisry Cuncil (NEW; VOTING) 15. Chair f the Speech-Language Pathlgy Advisry Cuncil (NEW; VOTING) 16. Executive Directr f the Assciatin (EX OFFICIO) * Expands and replaces the current Vice President fr Academic Affairs Ratinale: T enhance cmmunicatin between the BOD and the Advisry Cuncils. The Chairs f the Advisry Cuncils will serve as full vting members f the BOD with all the rights, privileges, and financial supprt f ther members f the BOD. There is a need t ensure that full attentin is given t the academic issues fr bth audilgy and speech-language pathlgy because f differences in the entry degree prgrams fr audilgy and speech-language pathlgy (e.g., dctral vs. master s). Therefre, a Vice President fr Academic Affairs in Audilgy and a Vice President fr Academic Affairs in Speech-Language Pathlgy have been added t the BOD and will replace the current Vice President fr Academic Affairs. This will ensure that decisins related t the academic affairs f each prfessin are guided by Vice Presidents wh represent each prfessin and wh are aware f the differences in the respective academic/degree prgram. Histrically the Vice President fr Administratin and Planning has fcused effrts n dealing with the finances f the Assciatin, including develpment f the ASHA budget and the activities f the Financial Planning Bard. As the imprtance f strategic/future planning, envirnmental scanning, and prgram develpment have grwn within the Assciatin, the planning activities f the Vice President have increased and need greater attentin. A Vice President fr Planning has been added t the BOD whse respnsibilities include cnducting internal and external envirnmental scans t identify trends that will have an impact n the prfessins and the Assciatin; analyzing member survey data, including member satisfactin data that can infrm ASHA planning activities; cnducting ASHA prgram reviews; and, facilitating develpment and mnitring f ASHA s Strategic Plan. 7

8 T ensure that the titles f the Vice Presidents cmmunicate their area f majr respnsibility t members, the names f the current Vice Presidents fr Quality f Service, Prfessinal Practices, Research and Technlgy, and Gvernment Relatins have been changed. With the additin f the new psitins n the BOD, there are fur designated psitins related t audilgy, fur psitins designated fr speech-language pathlgy, and seven psitins that culd be filled by a member f either prfessin. New and revised jb descriptins and determinatin f specific duties and liaisn activities fr each member f the BOD will be develped by the current EB and the Cmmittee n Nminatins and Electins. Electin f BOD Members Recmmendatin: Bard members designated fr audilgy and speech-language pathlgy will be elected by members f the respective prfessins. Ratinale: Audilgy and speech-language pathlgy are autnmus prfessins. T ensure that members f the BOD designated fr each prfessin are elected by the members f the prfessin, the Vice Presidents designated fr audilgy will be elected nly by audilgists wh are ASHA members, and Vice Presidents designated fr speech-language pathlgy will be elected nly by ASHA member speech-language pathlgists. All ther vting members f the BOD, except the Chairs f the Advisry Cuncils and the Executive Directr, will be elected by the entire membership. NOTE: Details fr staggered electins f BOD members will be develped by the Cmmittee n Nminatins and Electins. It is expected that the new Vice Presidents wuld take ffice in January BOD s Rle and Respnsibilities The BOD will: Make decisins in the best interest f ASHA members, the prfessins f audilgy and speechlanguage pathlgy, and the Assciatin based n timely advisry infrmatin n critical issues and the ASHA budget btained frm the Advisry Cuncils. Carry ut its fiduciary and gverning respnsibilities with input frm the Advisry Cuncils t include the fllwing: Apprve the ASHA budget Apprve psitin statements, guidelines, and ther plicy dcument affecting the prfessins Create and disslve standing cmmittees, cuncils, bards, ad hc cmmittees, and ther entities necessary t cnduct the Assciatin s business Create and disslve special interest divisins 8

9 Obtaining, Seeking, and Using Advice fr Infrmed Decisin Making Obtaining and Seeking Data/Infrmatin T ensure that the BOD is making knwledge-based decisins related t cncerns f members and the ASHA budget, the BOD will seek and use data/infrmatin frm its mst imprtant surce, the Audilgy Advisry Cuncil and the Speech-Language Advisry Cuncil. The BOD als will btain infrmatin frm ther ASHA surces including all cmmittees, cuncils, and bards (e.g., Research and Scientific Affairs Cmmittee, Bard f Divisin Crdinatrs, Gvernment Relatins and Public Plicy Bard, Multicultural Issues Bard, Cntinuing Educatin Bard, Cuncil n Academic Accreditatin, Cuncil fr Clinical Certificatin, Bard f Ethics, and the Cuncil fr Clinical Specialty Recgnitin). In additin t btaining infrmatin frm the Advisry Cuncils, the BOD may seek infrmatin frm the Cuncils prir t making a decisin n an issue. Fr example, if the BOD is dealing with a specific issue in audilgy r speech-language pathlgy that did nt cme frm ne f the Cuncils, the BOD, via the apprpriate Chair f the Cuncil wh serves as a full member f the BOD, will seek infrmatin frm the members f the Cuncil necessary t infrm the BOD s decisin making n the issue. The BOD als will btain infrmatin frm members and representatives f members (state assciatins, related prfessinal rganizatins) t infrm BOD decisin making, including but nt limited t allied and related prfessinal rganizatins such as the fllwing: American Academy fr Private Practice in Audilgy and Speech-Language Pathlgy Cuncil f Academic Prgrams in Cmmunicatin Sciences and Disrders (CAPCSD) Cuncil f Language. Speech, and Hearing Cnsultants in State Educatin Agencies (CLSHCSEA) Cuncil f State Assciatin Presidents (CSAP) Established cmmunities f practice Multicultural caucuses Natinal Black Assciatin fr Speech-Language and Hearing (NBASLH) Natinal Student Speech Language Hearing Assciatin (NSSLHA) Other allied and related prfessinal rganizatins T btain infrmatin frm members, ASHA will establish an electrnic system that will be available n a cntinuus basis fr all ASHA members t prvide infrmatin n issues f cncern and prvide input n issues being dealt with by the BOD. The BOD, in cllabratin with the Advisry Cuncils, will cnduct a Membership Frum at the ASHA Cnventin where members may elect t present issues facet-face t the BOD and representatives f the Advisry Cuncils. While many surces f infrmatin will be used by the BOD t make knwledge-based decisins, the data/infrmatin and advice prvided by the Advisry Cuncils will be particularly imprtant. Because f the direct cntact members f the Advisry Cuncil will have with ASHA members in their state and their State Speech-Language-Hearing Assciatin, the infrmatin related t member issues f cncern will be imprtant t use as the Advisry Cuncils deliberate the issues mst critical t the Assciatin. The Advisry Cuncils are an imprtant frum fr the discussin f issues and the frmulatin f advice t the BOD. 9

10 In additin t btaining data/infrmatin related t issues f cncern t the prfessins, the BOD als will review best practices, benchmarks, measures f success, trends, and envirnmental scanning data/infrmatin (e.g., scial, technlgical, ecnmical, envirnmental, and plitical) that may affect the Assciatin as it engages in its planning activities (e.g., Balanced Screcard and Strategic Plan). Using Data/Infrmatin After receiving data/infrmatin n critical issues prvided by the Advisry Cuncils and ther entities, the BOD will determine what actins it shuld take related t the data/infrmatin prvided. After taking actin n any data/infrmatin prvided by the Advisry Cuncils, the BOD, via the President f the Assciatin will, fllwing each BOD meeting, infrm Cuncil members f the data/infrmatin cnsidered and any actins taken. When making a decisin n issues nt prvided by the Advisry Cuncils, the BOD will indicate the advice sught and used t make the decisin. Advisry Cuncils Recmmendatin: Establish an Audilgy Advisry Cuncil and a Speech-Language Pathlgy Advisry Cuncil. Ratinale: One f the mst imprtant respnsibilities that can be given any grup in an assciatin is t discuss and identify the critical and/r emergent issues f cncern t members. This is infrmatin that will be used by the BOD t determine the prgrams and services that shuld be prvided fr members and supprted by assciatin resurces. ASHA is unique in that it is the nly natinal assciatin that represents tw distinct but related prfessins. Therefre, tw separate Advisry Cuncils will be established t prvide infrmatin n issues f cncern t the members and the prfessins t the BOD. It is imprtant fr the BOD t get advice frm members f the audilgy and speech-language pathlgy prfessins t infrm their decisin making. Cmpsitin and Electin f Members Each Cuncil will have 53 members, 1 each frm the 50 states, the District f Clumbia, NSSLHA, and members wh reside utside the United States. Members f the Audilgy Advisry Cuncil will be ASHA members wh are certified audilgists r hearing scientists. Members f the Speech-Language Pathlgy Advisry Cuncil will be ASHA members wh are certified in speech-language pathlgy r speech r language scientists. Members wh hld dual certificatin may chse the Cuncil n which they wish t serve. Because the prfessins are affected by issues that pertain t individual states, it is imprtant that state representatin be included in the cmpsitin f the Advisry Cuncils alng with representatin frm the District f Clumbia, NSSLHA, and members wh reside in U.S. Territries r utside the United States. The bdies s cmpsed are sufficiently large and diverse that they can satisfy their advisry rles. NOTE: A specific psitin descriptin will be develped fr Advisry Cuncil members. Members f the Advisry Cuncils will be elected by ASHA members in each state, the District f Clumbia, and members wh reside utside the United States, using the ASHA nminatins and electins prcess. NSSLHA representatives t the Advisry Cuncils will be determined by NSSLHA electin prcedures. ASHA member audilgists will vte fr the members f the 10

11 Audilgy Advisry Cuncil, and speech-language pathlgists will vte fr members f the Speech-Language Pathlgy Advisry Cuncil. Members wh hld dual certificatin may chse the Cuncil fr which they wish t vte fr members. Advisry Cuncil members will be elected fr 3-year terms. Cuncil members will be limited t tw cnsecutive terms. A member may seek anther term after sitting ut ne electin cycle. Term limits fr Advisry Cuncil members are cnsistent with ASHA plicies related t cmmittees and bards. Having term limits will prvide fr greater invlvement by members in ASHA gvernance and ver time will help t fster r cultivate a larger number f individuals t assume ASHA leadership psitins. Leadership NOTE: Details fr staggered electins f Advisry Cuncil members will be develped by the Cmmittee n Nminatins and Electins. Each Advisry Cuncil will have a Chair and a Vice Chair f the Cuncil elected in separate electins by members f the Advisry Cuncil. The Chair f the Advisry Cuncil will serve as the Advisry Cuncil member f the BOD. NOTE: A specific psitin descriptin will be develped fr the Chair and Vice Chair f each Cuncil. The Advisry Cuncil Chair, with apprval f the Advisry Cuncil, may establish subcmmittees t assist in the rganizatin and infrmatin gathering activities f the Cuncil and review f issues n which the BOD is seeking advice. Rle and Respnsibilities Each Advisry Cuncil will: Cllect, identify, discuss, and rank issues f cncern t members. Each Advisry Cuncil will review and analyze infrmatin related t issues f cncern btained frm members f its prfessin in a variety f ways (all-member surveys, data mining f extant data, ASHA fcused surveys, direct cntact with members, and cntact with their state speech-language-hearing assciatin). Advise the BOD n issues that need t be cnsidered as the Assciatin engages in strategic r frward planning. Prvide advice t the BOD n issues the BOD brings t the Advisry Cuncils. Review ASHA s apprved budget and frecasts and prvide input and recmmendatins n budget items t cnsider in the develpment f the next year s budget, including the need fr any dues increase. Having the Advisry Cuncils, Financial Planning Bard, and the BOD wrking tgether t prepare the ASHA budget will enhance the steps the Assciatin has already taken t ensure fiscal respnsibility (i.e., establishing an audit cmmittee as recmmended in the Sarbanes-Oxley Act f 2002) and will ensure that the budget will be develped, apprved, and carried ut with a high level f accuntability and transparency by the BOD and the Financial Planning Bard. 11

12 Participate in the frmal peer review f all ASHA plicy dcuments related t its prfessin initiated by ASHA cmmittees. Prir t the BOD apprving a plicy dcument, it will be submitted t the Advisry Cuncils fr review and cmment. Elect representatin frm the Advisry Cuncils t the fllwing: Hnrs Cmmittee (9 members) Each Cuncil will elect 3 members frm the prfessin it represents. Elected members d nt have t be members f the Advisry Cuncil. Currently there are n designated psitins fr audilgy r speech-language pathlgy n the Hnrs Cmmittee. This change will ensure that there are representatives frm each prfessin. Cmmittee n Nminatins and Electins (CNE) (7 members) Each Advisry Cuncil will elect 3 members frm the prfessin it represents. Elected members d nt have t be members f the Advisry Cuncil. This is the same as the current electin prcedures. Financial Planning Bard (FPB) (10 members) Each Advisry Cuncil will elect 2 members with financial expertise frm the prfessin it represents. Advisry Cuncils culd meet independently f each ther and d nt have t meet at the same time. An additinal half-day meeting f the Advisry Cuncils culd be held during the ASHA Cnventin if there are critical issues that need t be discussed by the Cuncil. ASHA will nt prvide financial travel r stipend supprt fr Advisry Cuncil members wh attend this meeting. In additin t face-t-face meetings, the Advisry Cuncils will engage in a variety f activities thrughut the year t btain input frm members and discuss issues. There are a variety f established cmmunicatin vehicles and technlgies (e.g., The ASHA Leader, blasts, Web-based Frums, and electrnic meetings) that are available fr use by the Cuncils t interact with ASHA members and t cnduct Cuncil business. Trained facilitatrs will be available t assist the Chair f the Cuncil in cnducting its business by prviding infrmatin n varius prcedures that culd be used t facilitate large and small grups and/r facilitating parts f the meeting t ensure that the meeting is run efficiently and effectively. 12

13 COSTS The fllwing table indicates the budget fr the 2007 LC and EB and the prjected csts fr the Advisry Cuncils and the BOD. The new gvernance mdel results in a prjected cst savings f $177,960. It must be nted that althugh there will be a prjected cst savings with the new gvernance mdel, the intent f the gvernance restructure is t increase effectiveness and efficiency. Cst-savings were an added benefit. EVALUATION PLAN FOR THE NEW GOVERNANCE MODEL Inherent in the prpsal t establish a new ASHA gvernance mdel is evaluatin f any changes in gvernance structure and prcess t determine whether the changes prduced the intended results (i.e., did gvernance f the Assciatin imprve?). An evaluatin prcess will be develped by the BOD, the Advisry Cuncils, and the ASHA Surveys and Infrmatin Team that will mnitr the implementatin f the new gvernance mdel and measure the effectiveness f the changes annually ver a 3-year perid. T ensure effective implementatin and evaluatin f the new gvernance mdel t which the LC has cmmitted the Assciatin, n changes will be made in the apprved gvernance structure and prcess including the rles and respnsibilities f the BOD r Advisry Cuncils after apprval f the plan and during the first 3 years fllwing full implementatin f the new gvernance mdel in The evaluatin will be based n the eight gvernance utcmes t be accmplished by any change in ASHA s gvernance structure and prcess: 1. Increase the ability f members f the prfessins t identify and discuss issues. 2. Increase member input int gverning actins that have an impact n them. 3. Streamline decisin making. 4. Reduce bureaucratic barriers. 5. Increase autnmy fr the tw prfessins in ASHA gvernance. 6. Maximize benefits frm time and financial investment in ASHA gvernance. 13

In additin t cllecting data and infrmatin related t each f the gvernance utcmes, special emphasis will be placed n the fllwing: Obtaining member satisfactin data and infrmatin related t ASHA gvernance. Obtaining data and infrmatin n the satisfactin f members wh participate in ASHA gvernance (e.g., Advisry Cuncil, cmmittee, bard, and cuncil members). Determining the number f new vlunteer leaders wh participate in ASHA gvernance. Identifying the number f cntacts with members and ther entities related t btaining issue infrmatin. Identifying the number f instances the BOD and Advisry Cuncils share issue infrmatin and actins between each ther and with members. Cnducting a wrk analysis fr the BOD/Advisry Cuncil members and assciated meetings. TRANSITION TO A NEW GOVERNANCE MODEL If apprved during the March 2007 meeting f the LC, the fllwing necessary actins will take place t implement the new gvernance mdel: Summer 2007 Establish a Gvernance Transitin Cmmittee charged t wrk with the ASHA Assciatin Gvernance Operatins Team (AGOT) and ther ASHA Cmmittees as apprpriate (e.g. CNE), t cmplete the necessary wrk t ensure a smth transitin t the new gvernance structure and prcess. The Gvernance Transitin Cmmittee als will wrk with the ASHA Natinal Office research unit t develp a cmprehensive gvernance evaluatin plan. Cnsideratin will be given t the cmments related t transitin and evaluatin indicated in the peer review prcess. The Gvernance Transitin Cmmittee will review the ASHA Articles f Incrpratin and ASHA Bylaws. The Articles f Incrpratin will be updated, and new ASHA Bylaws will be develped and submitted t the LC fr cnsideratin using the electrnic meeting prcedures. The new Bylaws will g int effect n January 1, Nvember 2007 The LC will hld electins t determine the interim Chairs and Vice Chairs f the Advisry Cuncils. December 31, 2007 The current LC and assciated LC wrking grups will cease t exist except the Hnrs Cmmittee, FPB, GRPPB, and CNE. January 2008 The interim Advisry Cuncils will begin t cnduct their business. All members f the LC and the respective Assemblies n January 1, 2008, will serve as members f the respective interim Advisry Cuncil in 2008 fr a 1-year term. The BOD will begin t cnduct its business. The interim Chairs f the Advisry Cuncils will serve as full vting members f the BOD until new Advisry Cuncil Chairs are elected by the new members f the Advisry Cuncils in

January December 2008 The Advisry Cuncils seek data/infrmatin n critical issues frm ASHA members t share with the BOD. The BOD seeks data/infrmatin frm the interim Advisry Cuncils, members, ther ASHA entities, and allied and related prfessinal rganizatins t infrm their decisin making n issues f cncern t ASHA members, the prfessins, and the Assciatin. April 2008 The CNE develps the slate f nminees fr the Advisry Cuncil and BOD electins fr September 2008 The new Advisry Cuncil and BOD members fr 2009 are elected. WHY CHANGE FROM A BICAMERAL TO A UNICAMERAL GOVERNANCE MODEL? As indicated in the ASHA gvernance survey, vlunteer leaders and members indicated that the bicameral/shared gvernance mdel used by ASHA has nt achieved high levels f efficiency and effectiveness. The bicameral gvernance mdel is currently nt a cmmnly used mdel fr nnprfit rganizatins. In a bicameral gvernance mdel, the members f bth gverning bdies are essentially elected by the same cnstituencies. In the ASHA bicameral gvernance mdel, the EB is the nly bdy elected by all members f the Assciatin. Because the unicameral gvernance structure and prcess is simple, straightfrward, and pen, a single gverning bdy culd be mre respnsive t the preferences f the 125,000 ASHA members. What cunts in respnding t diverse interests f the membership is nt the number f gverning bdies, but having a nminatins and electins system t ensure that qualified individuals are nminated and elected t the gverning bdy and using gverning practices t ensure that all interests are heard and all viewpints carefully cnsidered. Because it s decisin-making prcess is relatively simple and efficient, a unicameral gverning bdy has the time t prvide a fuller and fairer hearing t all interests and pints f view in a timely manner. Extended cnsideratin f an issue by members f a single gverning bdy is mre likely t deepen understanding f the issue and lead t mre effective decisins. A single gverning 15

16 bdy is mre likely t give vice t disparate pints f view and prtect the rights and interests f varius minrity psitins. Als, in an era f heightened scrutiny, a unified gverning bdy mdel will prmte nt nly greater effectiveness and efficiency, but als greater accuntability. By having a single gverning bdy elected by the membership (with the exceptin f the tw Advisry Cuncil chairs, wh are elected by their respective Cuncils), it will be clear t the members wh is respnsible fr making decisins that have an impact n their prfessinal practices and the Assciatin. It will be the respnsibility f the gverning bdy t prvide numerus pprtunities fr members, cnstituencies, and ther entities t prvide infrmatin t the gverning bdy n issues f cncern s they can make infrmed, knwledge-based decisins based n member input. SUMMARY The Ad Hc Cmmittee n Gvernance Structure and Prcess was charged t cnduct a review and evaluatin f the ASHA gvernance structure and prcess t determine if it des, and will, meet the Assciatin s gvernance/gverning needs and the needs f members and the prfessins. In cmpleting its charge, the Cmmittee made a decisin t start with a clean slate and t determine the best gvernance structure and prcess that will meet ASHA s needs nw and in the future. The Cmmittee did nt start with the premise that the current gvernance mdel is brken and we need t determine hw we can fix it. By starting with a clean slate, the Cmmittee was able t cnsider a variety f new appraches and new mdels fr ASHA gvernance. Fllwing a review f current trends in assciatin gvernance, data and infrmatin included in the ASHA Gvernance Structure and Prcess Survey and LC meeting evaluatins, and discussins with a cnsultant n gvernance, the Ad Hc Cmmittee n Gvernance Structure and Prcess identified 23 pssible mdels fr ASHA gvernance, discussed in depth the prs and cns f 8 f these mdels, and decided that 1 mdel wuld meet the Cmmittee s Gvernance Visin fr the Assciatin. The Cmmittee recmmends that ASHA mve frm a bicameral t unicameral frm f gvernance that: Gives the respnsibility fr plicy making and budget apprval t the BOD. Has tw Advisry Cuncils that represent the prfessins. Enables the BOD t wrk with Advisry Cuncils and ther entities t identify issues f cncern t the prfessins. Prvides fr the BOD, Advisry Cuncils, and the FPB t wrk tgether t develp the ASHA budget. Is in line with current trends in assciatin gvernance. Will enhance member value as ASHA mves frward. Will yield a greater return n investment fr the mnies spent n ASHA gvernance. By recmmending this gvernance mdel, the Cmmittee believes that it has prpsed a gvernance structure and prcess that is respnsive t ASHA member wants, needs, and trends; will serve members and the prfessins mre efficiently and effectively; meets current and future gvernance challenges; and, will be persnally satisfying t thse members wh give their time t participate in ASHA gvernance activities. 16
