3 HTCIA Professional Development Day 2014 Sponsorship Agreement This Sponsorship Agreement ( Agreement ) is entered into as of this day of, 20 (the Effective Date ), by and between HTCIA Atlantic Canada Chapter. ( HTCIA ), a non-profit organization and ( Sponsor ), a, having an office located at. WHEREAS, HTCIA annually hosts the HTCIA Professional Day ( Conference ), which is a gathering of IT professionals to participate in lectures on the field of information technology; and, WHEREAS, Sponsor desires to accept the HTCIA offer to be a sponsor of the Conference, which is scheduled to be held September 18-19, 2014 at the Marriott Harbourfront Halifax; and, NOW, THEREFORE, in consideration of the mutual promises and undertakings set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound, the Parties hereto hereby agree as follows: TERMS OF ENGAGEMENT 1.1 Co-Sponsorship. Exhibit A defines the Sponsorship Level and benefits that Sponsor is purchasing under this Agreement. 1.2 Pricing. Exhibit A states the non-refundable sponsorship fee ( Sponsorship Fee ) that Sponsor shall pay HTCIA in the following manner (a) Agreement, and Fifty Percent (50%) of Sponsorship Fees within thirty (30) days after the Effective Date of this (b) Fifty Percent (50%) of Sponsorship Fees thirty days (30) prior to the Conference. 1.3 In-kind sponsorship. In-kind sponsors are exempt from all or a portion of the financial requirements of sponsorship. In-kind sponsors must provide a minimum of 300 units of agreed upon product one month prior to the event date. If software is provided, this must be a fully functioning, non-trial license that becomes the property of the attendee. 1.4 Conference Ownership. HTCIA shall be considered the owner and inventor of the Conference and, other than for those components provided by SPONSOR, shall maintain one hundred percent (100%) ownership of the intellectual property related to the Conference. Other than for SPONSOR intellectual property, SPONSOR hereby transfers and assigns any and all ownership interest that it may have in Conference. 1.5 Conference Control. At all times HTCIA shall have exclusive control and sole authority over the Conference, including but not limited to, planning, content, marketing and promotion of the Conference. 1.6 Limitation of Liability. Except as otherwise prohibited by law in no event shall either party be liable to the other party or any third party for liability resulting from any damages, direct or indirect, under this agreement, including lost profits or for special, indirect, incidental, consequential or punitive damages arising out of or in connection with this agreement or the subject matter hereof, regardless of the form of action. 1.7 Term. The term of this Agreement ( Term ) shall begin on the Effective Date and shall terminate thirty (30) days after the conclusion of the Conference. 1.8 Effect of Expiration or Termination. Any expiration or termination of this Agreement shall not relieve either Party from any obligations (including the payment of fees related to Conference). HTCIA shall not have an obligation to provide any refund or credit of the Sponsorship Fee, or other consideration, to SPONSOR in the event that Sponsor unilaterally terminates this Agreement.

4 1.9 Expenses. Each Party shall bear its own expenses for all related expense related to this Agreement and the Conference Entire Agreement. THIS AGREEMENT CONSTITUTES THE ENTIRE AGREEMENT BETWEEN THE PARTIES CONCERNING THE SUBJECT MATTER HEREOF AND SUPERSEDES ALL PRIOR UNDERSTANDINGS AND AGREEMENTS, WHETHER WRITTEN OR ORAL.
