The offer valued each share at 5.29 and the entire company at 375,198,540. On its closure Grimaldi controlled 84.72% of Minoan Lines, up from the 33.36% held on October 3, when the offer was launched. The shareholding rose to 84.96% by the end of December 2008 as the Group purchased more shares on the market. Minoan Lines is based in Heraklion (Crete), it operates a fleet of six modern Cruise Ferry vessels on the routes linking the Greek mainland and Crete, as well as between Italy and Greece. In 2007, Minoan Lines transported 1.57 million passengers, 283,000 cars and 153,000 trailers. In the first nine months of 2008, the company transported 1.41 million passengers, 260,000 cars and 130,000 trucks. On completion of the public offer, Mr. Emanuele Grimaldi, the joint Manag- Heraklion ing Director of the Grimaldi Group and President of Minoan Lines commented: We are particularly pleased and proud of having gained control of Minoan Lines, one of the most important Greek ferry operators. This move is part of our industrial strategy to build a solid Pan-European alliance of major brands in the transport by sea of passengers and freight. At the end of 2008 shareholding stood at 84.96% lines, the leading operator in the Baltic, which is listed on the Helsinki Bourse. At the end of 2008, the Group held a 64.90% shareholding in Finnlines. Minoan Lines continued Mr. Grimaldi - is now an important part of the Group but it will indeed remain a truly great Greek company, managed by Greek people, with solid roots and headquarters in Heraklion. We are pleased with the Minoan management which will remain at the helm of the company. In our plans, Minoan Lines will remain listed on the Athens stock exchange. We want to make Minoan a bigger and stronger company while improving the level of services to our clients stressed Mr Grimaldi -. None of these lines is up for sale, there is no doubt on this. Since the presence of the Grimaldi Group in the shared capital of Minoan Lines, the cooperation has been very fruitful for both companies. Synergies are being generated in various fields from both a revenue and cost saving point of view as well as in the commercial field. 4 Developments The bold, unprecedented move is set to boost the Ro/Ro and passenger Mediterranean network Nine new Motorways of the Sea launched The take over of Minoan Lines (see previous page) and the launch, in the first week of February 2009, of an unprecedented set of new passenger and Ro/Ro lines has substantially boosted the Group s network of motorways of the sea. In particular, Grimaldi Lines is to start nine new low cost connections for passenger and freight (Ro/Ro). Some of these were previously performed for freight only and now have passenger capacity too. The move is to bring to over 30 the number of the Group s motorways of the sea between Italy, Spain, France, Malta, Tunisia and Libya. The new low cost passenger connections include those between Civitavecchia and Porto Torres, between Barcelona and Porto Torres, between Genova, Civitavecchia, Catania and Malta, between Civitavecchia, Trapani and Tunis. A tonnage upgrade is also applied to a number of existing lines, such as the Salerno/Palermo/Tunis route where a larger, faster and more modern Cruise Ferry, the Eurostar Barcelona, will be deployed. Porto Torres - Civitavecchia. It is the only existing link between North Western Sardinia and Central Italy and represents a formidable support to both Sardinia s tourist industry and to the local exporters and importers. Performed in 7 hours by the largest and most modern Cruise Ferries in the whole Mediterranean, this Ro/Ro-passenger service is run three times a week from October to March; six times a week from April to July and in September; daily in August. Porto Torres - Barcelona. It is the only existing link between Sardinia and Spain and opens new markets to Sardinia s tourist industry and a cheaper and faster tool for the local exporters and importers. Performed in 12 hours, by the largest and most modern Cruise Ferries in the whole Mediterranean, this Ro/Ro-passenger service is run threetimes-a-week from October to March; six times a week from April to July and in September; daily in August. Genoa - Catania. It is so far a 3-timesa-week freight-only line but as from the end of January it will also offer once-aweek the only direct passenger service between Genoa and Catania. Genoa - Malta. This service, which is vital for the Maltese economy, has a biweekly frequency. One of these two calls is for passengers too. Catania - Malta. 6 Developments From USA Bristol Southampton Flushing Antwerp Hamburg Livorno Civitavecchia Salerno Valencia Setubal Palermo EuroAegean brings the US to Lebanon via Hamburg As from the beginning of January the successful EuroAegean Service has been substantially upgraded both in terms of transport capacity and number of ports of call and therefore markets it serves. Following the introduction of the Pure Car Truck Carrier (PCTC) Napoli, the service now has as many as nine vessels deployed on it, with the latest vessel added being about 20% bigger and more capable than the other eight ships serving the trade, which are all in the Italia class. At the same time, the network of ports served by the EuroAegean has been widened by adding five new destinations: Hamburg (Germany), Limassol (Cyprus), Beirut (Lebanon), Tartous and Lattakia (Syria), Mersin (Turkey) and Alexandria (Egypt). Such an enlargement creates additional export opportunities not only for the German and North European sourcing market but also for exporters in the United States. Hamburg s Unikai terminal has in fact being designated as the Group s transhipment hub for cargo from the US and Canada sailing on ACL ships and bound not only to Lebanon but to the entire North African and East Mediterranean range served by Grimaldi, from Lybia to Turkey. Under the new profile of the service, five of the nine EuroAegean ships are scheduled to have additional calls at Hamburg, 6 GNEWS

Under the trade name of Grimaldi Agencies Maroc, the company is dedicated to providing a high quality service to all of the Group s customers in Morocco. As from the end of January 2009, the agency will operate from its own new offices in Casablanca, adjacent to the port. Casablanca is called every 12 days by the Eurocargo Express Service en route to West Africa. In addition to the imports from North Europe a growing number of Moroccan exporters can benefit from sailings directly to Grimaldi s dedicated transhipment hub in Dakar and thereafter cargo connects with the extensive Grimaldi West African service network. It is important to underline that Grimaldi s staff in Casablanca have gained particular expertise in the export of all cargo types to West African destinations. 8 Fleet development EIB in 200m Grimaldi Ro/Ro credit line The European institution decided to co-finance seven new multipurpose Ro/Ro ships. The deal brings to 450m the EIB commitment with Grimaldi The Luxemburg-based European Investment Bank (EIB) has decided to support a development project named Grimaldi Ro/Ro focusing on the construction of seven large Multipurpose Ro/Ro ships between 2008 and The EIB has therefore made available 200m to co-finance these ships that are being built by the Uljanik Shipyards of Croatia at a total cost of about 400m. The first stage of the EIB financing worth about 30m was made available through UniCredit Corporate Banking to co-finance the purchase of the vessel Angola, the first of these new ships, delivered at the end of The Group is extremely pleased and satisfied with the solid relationship developed in recent times with the European Investment Bank. A relationship that has so far resulted in an aggregate financial allowance of 450m for the Grimaldi Group to co-finance two different industrial projects worth one billion euro in new ships. These projects have a relevant role in supporting the European economy in such difficult times. In fact, they foresee the construction at European shipyards of as many as 11 ships slated for delivery between 2008 and Additionally, when these ships enter the Grimaldi Network of services, they will have an active role in supporting the European trades, both amongst EU countries and between EU countries and the rest of the world. This Grimaldi Ro/Ro is in fact the second Grimaldi industrial project to have gained EIB support in the last few months. In September 2008, the EIB made available a 250m credit line to co-finance four Cruise Ferry vessels, part of the Group s Motorways of the Sea development plan and ordered at the Fincantieri yard in Italy. These four ferries have an approximate total value of 600m. The first couple of twins, named Cruise Roma and Cruise Barcelona, were delivered in April and September 2008 respectively with the hand over of the third sister due in September 2009 and the last one following in The ferries in the Cruise Roma class are the largest freight/passenger ships ever used in the Mediterranean: they are able to carry up to 2,140 passengers and up to 3,600 lane metres of vehicles (187 trailers and 215 cars). They also generate a considerable environmental advantage as they cut by 40% the amount of CO2 necessary to transport a comparable amount of cargo via road or air (for the passengers). 8 GNEWS

The vessel can also load 1,318 containers on the weatherdeck which is served by a pair of 40-ton cranes having a 38 metres outreach. These ships are also fitted with a ramp allowing the loading of special project cargo of up to 250 tons a piece. The first ship in the class, named Angola, was delivered at the end of 2008, while her younger sister, the Ghana is due to be commissioned at the end of January. Following her maiden call in Lisbon, that saw a special reception held onboard attended by clients and local authorities, the ship was deployed on the Southern Express Service, part of the Grimaldi West African Network. Active in the Portuguese shipping market since the 50 s; Grimaldi, in November 1986 started a regular service linking Lisbon which has become one of the most regular operators in the market. Deployment of the Angola and her sisters will represent a big step forward on a market where Grimaldi already set the standard of service offering the most adequate and efficient vessels on the trade. To celebrate the introduction of this new vessel, Grimaldi Portugal organised a dinner/show attended by about 200 guests, a vast majority of whom were clients. A visit to the vessel was also organised, during which most of the clients had the opportunity to see in loco the unique capabilities and versatility of this new generation of vessels. 11 West Af r i c a New terminal area and logistics services in Senegal Investments carried out to widen further both Dakar hub role and services for the local market In accordance with the strategic relevance of Dakar as regional hub for the Group network, Grimaldi Senegal is consolidating its position in the Country investing in a 6,000 sqm area of land located in the Dakar port-city area. The Group s local subsidiary is planning to build new offices on the premises, and to create a logistics centre for the trucking activity, as well as offering an off-dock container depot. In order to guarantee the high standards required to serve all Grimaldi lines on the antic routes with 200 ship calls per annum, Grimaldi Senegal is also managing the only licensed car park area in the port. The area has a surface of 7,500 sqm, completely fenced and secured, in order to ensure damage-free handling solutions for both cargo transhipped for other west African destinations, and the import of vehicles bound for the Senegalese market. Furthermore, in order to guarantee highquality standards of services to the customers, Grimaldi Senegal is operating its own haulage to door with a fleet which also includes a side-lifter trailer equipped with 40 tons lifting capacity to allow deliveries at any premises. Central Express Service improvements The introduction of a sixth vessel increases hold capacity and improves the frequency to every six days. Network extended to Abidjan With the aim to meet shippers requests for more frequent sailings from Europe to key West African destinations, Grimaldi has taken the decision to upgrade its Central Express Service which, until the end of 2008, was served by five large Ro/Ro multipurpose vessels. From early 2009, this service is being strengthened and improved through the introduction of a sixth Ro/Ro multipurpose vessel which is replacing a dedicated car carrier. This development will mark an increase in cargo intake capacity to all the destinations covered by the service while frequency is being increased from 8 to 6 days. Meanwhile, the service has recently resumed calling at Abidjan, in Ivory Coast marking a return to this important destination, offering a regular, fast and direct access to European markets for Ivorian exporters. Once all the new developments are introduced in early 2009, the result will be a market leading combined Multipurpose Ro/Ro service well suited also for project cargo and containers, offering a direct sailing every six days from Northern Europe to Lomé, Cotonou, Lagos, Tema and Abidjan, thus allowing shippers to plan more effectively their shipments. 12 So u t h Am e r i ca Focus on Argentina A new agency and a forwarding and logistics, both owned, will boast lever of service and overall business In line with its strategy of ensuring top quality, turn-key services, the Group is continuing to widen the network of owned agencies. The latest to have been created is Grimaldi Agencies Argentina S.A. which, since 1 January 2009, has taken charge of the Group s interests in the South American country. Additionally, a second wholly owned company has been created: Plate Logistics S.A. whose task is to develop all matters related to forwarding and logistics. At Grimaldi Agencies Argentina the majority of the staff is made up of former employees of Turner, Grimaldi s previous agent. This will make for a smooth start-up while providing a considerable amount of experience, which added to great motivation will indeed ensure a superior service and success. Argentina is an important market for Grimaldi Lines which calls both Zarate and Buenos Aires every 9 days with six large Multipurpose Ro/Ro ships deployed on the North Europe/South America line that also serve intra-mercosur trades. Cargo to and from Argentina is mostly containerised, project cargo, cars, trucks and trailers. Grimaldi Agencies Argentina offices are strategically located in the centre of the commercial and financial district of Buenos Aires, and is a short distance from the port Terminal, where Grimaldi vessels operate. Tel: , grimaldi@grimaldi-bue.com.ar South America Line in Dakar 2009 debut Once again Grimaldi Lines has supplied the shipping services for the cars, motorbikes and trucks taking part in the Dakar rally. This year on its 20th anniversary the famous rally crossed the antic to reach Argentina and Chile. The 580 plus vehicles taking part in the Dakar 2009 left Argentina s Capital of Buenos Aires on 3 January to complete the race in the same city on 18 January. The round trip to Buenos Aires via Valparaiso (Chile) has seen the participants racing for more than 6,000 kilometres and having to cope with many varied difficulties on route. All of the vehicles that left Europe to race in the Dakar 2009 sailed from the French port of Le Havre in early December onboard the PCTC Grand Benelux. In particular, this very special cargo totaled 3,070 linear metres comprising of about 234 trucks and 318 cars. Additionally, some 185 motorbikes and 24 quads were loaded onboard inside as many as 44 containers while the various equipment of the teams was loaded in 13 additional containers. All this cargo was safely discharged at the port of Zarate on time for the race to start. After the race, the vehicles that have completed the Dakar 2009 will make the return journey to Europe, once again on one of the vessels deployed on Grimaldi Lines North Europe/South America Service.

13 Fi n n l i n e s Helsinki new port is fully operational Finnlines services relocated while subsidiary Finnsteve is the main port operator Since 24 November 2008, Helsinki Sompasaari has been virtually closed to commercial traffic and the newly built port of Vuosaari, some 20 km away has become Helsinki s only commercial port and Finland s main seaport. Through Finnsteve, the port handling company it owns, Finnlines has played a major role in making Vuosaari wholly operational. Finnlines (a company controlled by the Grimaldi Group) is also one of the main users of Vuosaari for both cargo and passenger traffic. The first Finnlines ship to operate there was the Finnstar, that glided into the brand new port in a snow storm. The conditions and facilities for Finnlines operations in the Port of Vuosaari are excellent. The port area has been designed to function as efficiently as possible. The consolidation of all operations in Helsinki to one port increases efficiency. The Port of Vuosaari will therefore create new opportunities and far more effective transport solutions for all of Finland, as well as for transit traffic to and from Russia. Subsidiary Finnsteve is the operator of both Ro/Ro and Container terminals. In Vuosaari Harbour it operates a ro/ro multipurpose terminal providing berthing space for up to 10 ships simultaneously. In particular, the container terminal area can accommodate up to 5,000 TEU and is equipped with four STS container cranes and 20 straddle carriers. It has also 184 ground level reefer slots and a storage area for hazardous cargo. As for the Ro/Ro terminal, it features two twin-level ramps to speed-up loading and unloading operations on the newest Finnlines ships and 8 one-level ramps. It features over 1,000 slots for semitrailers and 30 reefer slots for trailers as well as a storage area for hazardous cargo and one container crane. The port offers improved services for lorry traffic too. It is in fact directly connected to the motorway network while the port s gate area provides parking and waiting areas for 150 lorries, as well as several filling stations. Besides transporting cargo, Finnlines ropax vessels carry up to 500 passengers daily between Germany s Travemünde and Helsinki. The new Hansa passenger traffic terminal in the Port of Vuosaari is more spacious and modern and can be reached by bus from the Vuosaari metro station. GNEWS13

14 NEWS The Little Tank Home ACL transported a vintage tank from Baltimore, Maryland, to Hamburg aboard the roll-on/roll-off/containership antic Companion. The tank s journey began when the Czech Embassy in Washington asked the U.S. Army if they would return a tank to the Czech Government that found its way to the U.S. Military Museum in Aberdeen, Maryland in The 11.6-tonne tank was 5.01 metres long x 2.03 metres wide and 2.24 metres high. It was towed directly into one of the three main RORO decks of the ship via her 420 metric tonne capacity stern ramp, parked and lashed for a safe and secure transatlantic voyage. Following the discharge in Hamburg, the tank went to its final destination a local museum in Prague and was officially introduced as a new museum piece in late November. Acl s Ship Management Swedish Crewing Management (SCM), a Philippine company partly owned by Transatlantic AB who manage and crew ACL vessels is 10 years old. The company recruits, trains and supplies Philippino officers and ratings to ACL and Finnlines vessels. The company maintains a clinic and advanced training facilities for deck and engine room officers. A celebration was held in Manila to mark this milestone. In addition a ceremony was held at Mapua College of Maritime Training at Laguna in the Philippines to mark the signing of contracts by Transatlantic with 8 cadets who are graduating from the college. SCM have a partnership with the College, one of the premier engineering colleges in the Philippines, and undertake to select some of the graduating class for the Transatlantic managed fleet of ships which includes ACL. Special tanks to Luanda The first shipment of a total of fifty railroad tanks produced in Portugal for Sonangol, the Angolan oil company, has left Lisbon on 4th January bound to Luanda onboard the Ro/Ro Multipurpose ship Thebeland deployed on the Southern Service serving West Africa. The tanks were produced some 150 km south of Lisbon and delivered by truck to the terminal where they were loaded onto mafi trailers. Grimaldi Lines has been selected as carrier for this cargo as the vessels and equipment are extremely well adapted for the safe carriage of this cargo. This award is given to those companies operating a strict environmental protection policy when calling Venice. Under the agreement, vessels have to start burning low sulphur bunker fuel from the entrance to the Venice Lagoon. The allowed level of sulphur in the fuel is under 2% when sailing and under 1.5% when the ship is moored. Also, Minoan Lines committed not to take any action that could create additional pollution to the air and the waters surrounding Venice, one of the most beautiful cities in the world.
