When you have sold 10 Video Profiles, we will develop and manage a Radio Advertising Campaign specifically for your NightOut site. Profile Sales You or the merchant can create Business Profiles on your NightOut site. Full access profiles allow the business to post specials and events on your calendar, link to their webpage, display their menu, post pictures and videos, and even more. You are able to set your own pricing but licensees commonly charge from $30 to $60 per month for each profile. There is no limit to the number of profiles you can place on your site. Phone App Our MyNightOut phone app for iphone and Android is designed to feature your local specials and events anytime, anywhere. The geo-tracking feature will identify where they are and locate the specials and events closest to them. Banner Advertisement There are 67 Banner or Sponsor ad spaces incorporated into the home and category pages of your NightOut site. You can place multiple ads in each space and have them rotate based on criteria you determine. If you limit each space to 5 ads, you will have a total of 335 advertisement spaces to fill. You determine the price to charge for each space. Prices will vary based on whether the ad is on the home page, a category page or all pages and where on each page the ad is displayed. Typical pricing ranges from as low as $50 per month for the lower visibility spaces up to $500 per month for the most desirable ad space.

7 Prestige Rewards Loyalty Program *currently only available in the US Prestige Rewards is our newest and possibly the most lucrative program we have ever offered. This unique loyalty program pays cash back to the consumer for shopping at participating merchants. The program will increase the frequency of visits by the consumer and also increase the amount they spend every time they come in. Night Out Mobile Marketing *currently only available in the US and Canada Text marketing is the fastest growing form of marketing in the US today with read rates as high a 90% and response rates averaging around 30%. Virtually everyone has their cell phone with them at all time. NightOut Mobile Marketing allows a merchant to send their specials directly to their customer at any time they choose. NightOut Ad Pints Our Ad Pints program allows you to provide free pint glasses to a local host restaurant or bar by selling advertisements on the glass. Everyone who frequents the restaurant will see the ads for up to one year. Your NightOut site is also advertised on every glass. Coupons Everyone likes to save money especially in today s challenging economy. You can sell coupon space to area businesses and post them on your site. The user can download the coupons and print them or download them directly to their phones for a totally green coupon solution. Newsletter Your NightOut website is set up to collect and create an contact list. We recommend that you develop a weekly newsletter of area specials and events or a weekly article about a local business. The newsletter is completely customizable so you can place as many or as few advertisements on the newsletter as you choose. 8 Night Out Radio Local Bands and Artists can upload their ORIGINAL INDEPENDENT MUSIC to NightOut Radio and their songs will be broadcast on more than 200 NightOut Radio hubs across the US and Canada. Imagine providing a regional or even national audience to your local bands. There are additional banner ad spaces available to sell on the radio player. If you purchase the optional NightOutRadio license, you will be able to sell and place audio ads on the stations, do live broadcast or even create a completely independent local station. (Additional fee required for local NightOut Radio) DayIn DayIn is a sister site to NightOut but it is not included in the NightOut package. Since we started NightOut there have been many copycat businesses popping up. When they did, rather than focus on a specific genre of business as NightOut does, they try to incorporate everything into one site. We believe strongly that we have a marketing advantage by focusing NightOut on the area nightlife and entertainment and did not want to compromise that by adding more categories. That is why DayIn originated and it accomplishes two things. By having a DayIn site, you now can market advertising to every business in your community giving you many more potential customers. The second and more important thing that it does is give you a vehicle you can use to compete with another competing website if there is one in your community or keep them out if you don't have one in your community. By having both sites, you can control your marketplace better. We only license DayIn to NightOut licensees and only in the cities that they operate a NightOut site. This is to prevent competition internally between NightOut owners. Setting up a DayIn site is very similar to NightOut so the support documents are the same. You can get a DayIn started at any time after licensing a NightOut site by simply requesting the sign up link. (Additional fee required) And more We are always looking for ways to innovate and create new revenue opportunities for our licensees. This is not a static business, but it will continue to develop and grow with new ideas and new technologies.

10 FAQ S Do I have to put all of the local businesses information into the website? When you initially populate the site, you will have to enter the information for the local businesses. Much of this can be done programmatically but will require some editing and usually some additional details will also need to be added. We will provide you with a spreadsheet containing local restaurant and bar listings. After the site is populated and operational, the businesses can update their own information but many will want you to update the site for them. You can charge an additional fee for this service. Can I ever get out of the agreement? Although the licensing agreement is for two years, we do not want to lock someone into a business that is not right for them. We want to build our business not on the security of an agreement, but on the success of our licensees. If you decide this business is not right for you, you can terminate the agreement with a 30-day written notice. Do I need to know anything about website design or programming? All of the programming, site maintenance and upgrades are done for you. The daily inputs and updates that you will do are done through a very user-friendly admin panel. We provide a help guide for each admin function plus an issues tab to contact us if you still have questions. Who hosts the website? We host the website for you. You don t have to worry about the hosting company, the reliability or speed of the service. We take care of it for you. How much does it cost? There is a onetime set up fee of $199 and only $310 per month for the license fee. The license fee is discounted for the first 6 months of the agreement to $210 per month with the standard $310 fee beginning in month seven and continuing for the remainder of the agreement. Fee increases are contractually limited after the initial term to annual increases of 5% or the annualized CPI rate, whichever is greater. The first monthly license fee is processed on the first of the month following signup and is automatically billed on the first of each consecutive month for the term of the agreement. How do I pay my monthly licensing fee? When you submit your license agreement, you will be required to provide a valid credit card. You will also be setting up an Automated Recurring Billing account and the credit card you provide will be charged automatically on the first of each month. You can change or update your credit card whenever you need or choose to through the admin panel on your NightOut site.

11 Besides the license fee, what other expenses can I expect? As with any business, you will incur some expenses in addition to your monthly license fee although they will be limited. You will need a laptop and/or an Ipad with mobile Internet access and also a smart phone. You will require some print material such as business cards, postcards and some Point of Sale Marketing Material. You should initially budget $300 to $500 for printing but you will likely spend less. You may also incur some software requirements like Photoshop or a similar program to create banner ads and possibly some accounting software such as QuickBooks. How much can I earn? Merchant Profiles, both Video Profiles and Full Profiles, will be your primary revenue source initially. If you average only 10 Video Profiles sales per month, slightly more than 2 sales per week, in only 3 months you will be earning $1500 per month in recurring income, $3000 after 6 months and $6000 per month after only 12 months. If you also sold 10 Full Profiles per month for a suggested monthly fee of $39, after three months you would earn around $1200 in monthly recurring income, $2400 after 6 months and an additional $4800 per month after only 12 months. Average 10 Video Profile sales plus 10 Full profile sales per month, in just 12 months you will be earning $10,800 per month in recurring income, month after month. How do I get traffic to the site? There are many ways you will generate traffic to the site from organic search to local promotions. We have optimized the site for the search engines however the content you enter is key to long term SEO improvement. Google and other search engines crawl the content on the site for matches to a search so having new and relevant content is critical. Our training will assist you in this area. Equally important is local publicity. Your goal should be that your NightOut site be as well known for specials and events as the local newspaper is known for news. We will help you with promotional ideas to get your NightOut site known in your area. If I license a city, what exclusive area do I get? When you license a city, contractually you are licensing the city specifically. We do however allow and encourage you to market to the edge cities surrounding your licensed city provided that they are not large enough to support a NightOut site of their own and that they are not currently licensed to someone else. Typically we use a population of 50,000 or greater as large enough to support a site however each area is determined independently. Do I need a business license? Whether a business license is required varies from state to state and also city to city. Check with your local authorities to determine what is specifically required to operate a business in your area. Can I work from home? The NightOut business can be operated from home however it is a sales and marketing business so you will have to be out in the community to promote your site and to make sales calls. The administration and management of the site can be done from anywhere with an Internet connection.
