Sponsorships are listed by category by organizational structure or area of focus, as defined by the amended Articles of Incorporation, provided below: Amended Articles Of Incorporation Filed June 26, 2013 with California Secretary of State Article One: The name of the corporation is The Maritime Alliance Foundation ( the Foundation ) Article Two: This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes. The specific purpose for which this corporation is organized is to promote maritime education. The Foundation supports education in science, mathematics and engineering at all levels along with technical training and employment services to produce, support, and ensure a well-trained workforce for Maritime Industry. The Foundation promotes sustainable development of ocean resources, conserving valuable assets and mitigating harm, both environmental and economic, without sacrificing safety or security. The Foundation recognizes the importance of maritime safety and security, the value of a strategic port, the significance of the large military presence in the San Diego region, and the collaborations among law enforcement and public safety agencies in the region that have fostered the development of San Diego as a Living Test Bed. Promoting safety and security education, awareness and technology innovation shall be supported by the Foundation under the name of The Security Network, a broad collaboration of the public, private and academic sectors focused on national and regional security and to facilitate a national test bed for the development and evaluation of new products, services and policies which could benefit both national and regional public safety and security. Notwithstanding anything herein to the contrary, the purposes of the corporation are limited exclusively to exempt purposes within the meaning of Section 501(C)(3) of the Internal Revenue Code. 1

3 The Maritime Alliance Foundation (TMAF or the Foundation ) is a 501(c)(3) educational nonprofit whose mission is to promote sustainable development of ocean resources. The Foundation promotes education in science, mathematics and engineering at all levels along with technical training and employment services to produce, support, and ensure a well-trained workforce for Maritime Industry. The Foundation promotes science-based decision-making in support of responsible fisheries management, biodiversity conservation, habitat protection, and stewardship of environmental resources. The Nexus of OceanSTEM and Sustainable Seafood Blue Tech covers a lot of terrain from aquaculture to telecommunications, desalination to robotics, ocean observation to very large floating platforms, with 14 disparate sectors. One of those, the Fisheries & Seafood Technology Sector Working Group (SWG) actively supports the development of a local sustainable seafood industry, which requires the following: Market demand commensurate with local capacity, which includes o Sustainable fisheries balance of managed utilization and habitat conservation o Supplemental revenue streams, such as offshore aquaculture Sufficient labor supply of fisheries researchers, managers, and fishers Provision of educational opportunities to sustain Blue Jobs creation Sound consumer choice based on information gathered and disseminated in open and transparent processes, enhanced by science It turns out that getting a fish from the ocean to your plate requires a lot of science and technology. Marine biologists and ecologists to research the species and the food web Bathymetry, hydrography, oceanography and earth sciences for geospatial awareness GIS, GPS, AIS, and all manner of location-based services for mapping and tracking We say, Consider a Fish! San Diego was once the fishing capital of the world, and although those days are long gone, it remains a leader in the innovation of fisheries, aquaculture and seafood technology. Consider a Fish sustainable seafood education experiences assume a uniquely individual approach. Focusing on one species that functions as a window into the ecology, content and context are provided by fisher, scientist, chef, and finally the consumer. Heightening the pedagogical impact with the ultimate sensory experience of tasting increases cognition; the relevance of food and eating eases the effort required. Successful community-based sustainable seafood education builds community knowledge base. STEM knowledge is fundamental to process that embraces diversity, unites across time and place. Many of us know that fish is often a heart-healthy diet choice, but it s also a planet-healthy choice. Producing a pound of protein from fish is four times as efficient as producing an equivalent amount of beef protein. Managed fisheries require environmental safeguards with external benefits and positive spillover effects. A local sustainable seafood supply increases food security and creates jobs. As vitally important as marine ecosystems are to the health of our planet, there is much we do not yet understand. However, it is becoming clear that rebuilding and restoring fisheries likely fortifies the marine ecosystem, making it more resilient, and in turn providing our strongest coastal defense in the uncertain threat of climate change and pollution. Clearly more scientific knowledge and training are needed. OceanSTEM is the perfect recipe. 3
4 Sustainable development, environmental stewardship, biodiversity conservation, fisheries management, underutilizes species, climate change adaptation, ecosystem-based management these concepts loom large in the discourse surrounding sustainability of the oceans. We believe the way forward and future success will come through fostering innovation through collaboration. Advances in technology, success in the global economy and modern job creation are driven by innovation. When we look to environmental protection, educational outcomes or ecological impact mitigation, our success will be determined by our ability to innovate. Recognizing that many organizations in the region have unique assets and capabilities, yet share similar challenges and frustrations, TMA Foundation plays a significant role as a community resource, partnering with numerous like-minded organizations, for example, under the OceanSTEM banner to promote educational opportunities more broadly across under-represented populations and throughout under-served communities, built upon the same principles and objectives of the Next Generation Science Standards. Our key collaborations include Environmental Champions Living Coast Discovery Center, Coastkeeper, and Ocean Discovery Institute. To promote sustainable seafood education we build upon the mutual cooperation and complementary objectives of the members of our Fisheries & Seafood Technology Sector Working Group. As a community resource, we would like to see a common calendar of sustainable seafood events. The Foundation will coordinate with community resource partner Slow Food Urban San Diego to host a Slow Fish San Diego in conjunction with San Diego Oceans Foundation s annual Gala Dinner and Sustainable Seafood Week. This enables the community to embrace a concept and promote its accomplishment with a common message. It also enables the community to leverage other resources of excellence, including NOAA s Southwest Fisheries Science Center, Scripps Institution of Oceanography at UCSD, Center for Marine Biodiversity and Conservation at SIO, Coastal and Marine Institute Laboratory of SDSU, and many others. Sustainable seafood education must be ongoing, community based, for all ages, and always informed through scientific inquiry. With our partners, we are creating OceanSTEM curriculum about sustainable seafood. This will be incorporated into our co-sponsored events Consider a Fish and Slow Fish and will provide opportunity to highlight existing programs such as Aquarium of the Pacific s Seafood for the Future and HSWRI s Seabass In The Classroom. Finally, we will showcase some of the highlights of these programs as well as the bounty offered up by the local ecosystem and many responsible vendors and chefs at our annual Maritime Gala Dinner & Awards Ceremony in November, usually held on the night of Day One of our annual Blue Tech & Blue Economy Summit, a celebration of the San Diego maritime community with its Sustainable Seafood Sensation and honoring outstanding achievement with the presentation of the sustainable seafood award, which has been renamed the Cathy Driscoll Memorial Sustainable Seafood Award and will be presented by her widow, in great appreciation for her enduring support of the local fishing community over the years. Tying together the themes of sustainability, education, and responsibility for environmental and economic development, OceanSTEM Fest 2013 will present a poster competition during the reception with winners announced during the awards ceremony. 4
5 Donations and Sponsorships As a 501(c)(3) nonprofit charitable corporation, a donation to TMA Foundation is tax deductible. Donations are gifts for which no service or good is expected or provided in return. Donations may be made at any time and in any amount payable to The Maritime Alliance Foundation. Your donation may be restricted to a specific purpose or program. Sponsorships and similar payments to the Foundation require the consideration of the real (and fair) market value of the good or service received as part of the sponsorship. All payments that total more than $600 during the calendar year will be reported at the end of the year, with the business expense and charitable donation identified separately. 8 The Maritime Alliance Foundation organized the inaugural meeting of the OceanSTEM Initiative in January 2013 with 17 organizations represented. In February, the San Diego County Board of Supervisors proclaimed 2013 The Year of OceanSTEM. Several grant proposals, introductions, meetings and events later, support for OceanSTEM continues to grow. The need for funding is still great. Help us bring quality STEM education opportunities to students throughout San Diego County that highlight our unique position relative to the oceans and the value and vulnerability of our coasts. Sponsor OceanSTEM Fest 2013 For 2013, the OceanSTEM Education Committee would like to sponsor an OceanSTEM Fest Poster Contest to keep alive the concept although it was not funded and to promote the value of providing youth exposure to industry professionals. The Committee has suggested soliciting entrants in four categories: Environmental science and mitigation Climate change and adaptation Ocean technology & engineering Sustainable seafood education (including fisheries and biodiversity conservation) The final round of the poster contest will take place on November 7, with entrants invited to display their works in the main hall of the Liberty Station Conference Center in the afternoon; final judging during the reception and winners announced at the Awards Ceremony at the Maritime Gala Dinner, provided that funding is available to include students and teachers (see Dinner sponsorships for additional details). Sponsorship funding will help underwrite supplies and transportation for students and teachers as well as professional development during the school year. It also helps support marketing expenses.
