CHAPTER-1 Bid Notice Gujarat Ports Infrastructure & Development Co. Ltd. (GPIDCL) invites offers from reputed wellexperienced companies/ firms for the tender Selection of an Operator for Operating 100 tonne GPIDCL Weigh Bridge at Navlakhi Port and Magdalla Port of Gujarat". Eligibility Criteria: 2.1 Only the firms having adequate technical and financial capability and experience in the field of weighbridge operations need to apply for this Bid. 2.2 Companies/ Partnership firms can form a consortium and bid for the project. A maximum of three members shall be allowed in a consortium. A company/ firm applying as a part of the consortium shall not apply individually or as a part of another consortium. There shall be no conflict of interest between the Bidders. 2.3 Bids shall be evaluated mainly for assessment of relevant experience (including past performance) and financial capacity. 2.4 Bid evaluation shall be carried out as per norms laid down by GPIDCL in this tender document. 2.5 The proposal documents shall be evaluated by the committee of GPIDCL. 3

3. Issue and Receipt of Bid Document: 3.1 The Bid Document shall be available for downloading on Gujarat Maritime Board (GMB) website www.gmbports.org and the same shall have to be submitted duly filled in along with bid document fees mentioned in the above table, by Cheque/Demand Draft. 3.2 It may be noted that the printed hard copy of the bid documents shall not be issued. The companies/ firms are required to download the same from GMB website only. 3.3 The bidders shall forward complete bid document by Registered post AD/ Speed Post so as to reach the GPIDCL Office on or before January 30, 2015 i.e. the last date of receipt of the Bid by 1800 hours. The completed Bid Document shall not be accepted in person by hand delivery or by courier. 3.4 The Price-Bid sheet dully filled shall be sealed separately in a small envelop and kept in the main envelop. 'Price-Bid' and bidder s name must be written on the top of envelop. After technical evaluation, if deemed fit, Price Bid of only technically qualified bidders shall be opened as decided by the Committee. 3.5 Bid document fee of Rs. 500/- (Rupees Five hundred only) (non-refundable) shall have to be furnished in form of Cheque /DD issued by a Nationalized/ Scheduled bank drawn in favour of Gujarat Ports Infrastructure & Development Co. Ltd. payable at Gandhinagar while submitting the completed documents. 3.6 Earnest Money Deposit (EMD) of Rs. 25,000/- (Rupees Twenty Five thousands only) in the form of FDR for a period not less than 6 (six) months issued by Nationalized/ Scheduled bank drawn in favour of Gujarat Ports Infrastructure & Development Co. Ltd. shall have to be furnished along with bid documents. EMD in form of cheque or DD shall not be accepted. 3.7 The bid document without fees of Rs 500/- by Cheque/ Demand Draft and EMD amounting to Rs 25,000/- in the form of FDR shall be rejected. 4. CHAPTER 2 2.0 INTRODUCTION 2.1 GMB is constituted by the Government of Gujarat under the provisions of the Gujarat Maritime Board Act, 1981 and has been vested with the power to develop, manage, administer and control intermediate and minor ports in the State of Gujarat. 2.2 GMB has constituted a wholly owned subsidiary Gujarat Ports Infrastructure & Development Co. Ltd. (GPIDCL) to act as an agency for coordinating development of various ports and make equity investments in ports that would be developed as private or joint sector ports. 2.3 A weigh bridge of 100 tonne was installed by GPIDCL and GMB at the ports of Navlakhi and Magdalla and the same were being operated by the staff of GMB in the past. At present, these weighbridges are not operational. 2.4 The Navlakhi Port and Magdalla Port has been operating at a high occupancy levels. A weighbridge is required to provide a better service to the port users of Navlakhi and Magdalla ports. 2.5 With a view of providing better services to the port users of Navlakhi and Magdalla ports, GPIDCL and GMB has decided to outsource the operations of the weigh bridge initially for a period of one year. 5

CHAPTER 3 3.0 SCOPE OF THE WORK 3.1 GPIDCL intends to appoint a company/firm for the refurbishment, operation and maintenance of the weigh bridge. The scope of work is given below: 3.1.1 Refurbish and renovate the weigh bridge (if needed replace the weighbridge) and make the same operational within a period of 10 days from the signing of the agreement for the project. The firm shall be responsible to carry out all the capital expenditure towards the weigh bridge and support infrastructure. 3.1.2 Operate and maintain the 100 tonne weigh bridge for a period of 1 year at the port. 3.1.3 Carry out reasonable efforts to handle the Minimum Guaranteed Cargo specified in the tender document. 3.1.4 Collect revenues from the users during the operation period. 3.1.5 Submit regular reports to the respective Port Officers on the traffic handled by the weigh bridge and revenues collected from the users. 3.1.6 Provide clarifications to the Port Officer, Navlakhi or Port Officer, Magdalla or any other representative of GMB/ GPIDCL in compilation of the traffic and revenue numbers for the weigh bridge. 3.1.7 Make regular payments to GPIDCL as per the terms of the tender documents. 3.2 Minimum Guaranteed Cargo The minimum guaranteed cargo shall be as stipulated below. For Navlakhi Port 0.7 MMTPA For Magdalla Port 1 MMTPA The bidder shall need to make all reasonable efforts to achieve the stipulated minimum guaranteed cargo. In case the bidder fails to handle the above traffic at respective port, the revenue share to be paid to GPIDCL shall be calculated based on the minimum guaranteed cargo and not based on the actual cargo handled. 6

CHAPTER 4 4.0 ELIGIBILITY CRITERIA 4.0.1 The bidder should be a company registered under the Companies Act, 1956 or a partnership firm registered under Indian Partnership Act, 1932. 4.0.2 Companies/ Partnership firms can form a consortium and bid for the project. A maximum of three members shall be allowed in a consortium. A company/ firm applying as a part of the consortium shall not apply individually or as a part of another consortium. There shall be no conflict of interest between the Bidders. 4.0.3 A consortium shall need to appoint one member as a lead member. The lead member shall be responsible to undertake the assignment. 4.0.3 The bidder/lead member should have been in operation for a period at least three years as on the date of this tender document. 4.0.4 The bidder should not have been barred from participating in a tender by any government agency. 4.1 TECHNICAL EVALUATION The bids will be evaluated mainly for assessment of relevant experience (including past performance) and financial capacity, as detailed below. 4.2 Experience Experience is of critical importance in the determination of whether an applicant has the necessary capability to undertake and complete the given work successfully. The bidders shall need to have a minimum of three years of experience in the field of weigh bridge operations or in any field related to the logistics sector and should have undertaken installation and/or operation and maintenance of at least one weigh bridge during the past five financial years. 4.3 Financial Capacity Financial capability shall be calculated on following criterion: Average annual turnover of last three years and the net worth of the bidder shall be considered for the evaluation. The average annual turnover for the last three financial years shall need to be at least Rs. 25 lakhs. The net worth of the bidder shall be at least Rs. 15 lakhs. 7

In case of a consortium, the combined financial capacity of the members shall be taken into consideration for evaluation. The above details shall need to be certified by a statutory auditor or chartered accountant on its letter head along with its seal and registration number. In case of the consortium, the members shall need to submit individual certificate for their financial capacity. 4.4 Consortiums The consortium must also comply with the following minimum qualification requirements: The lead partner should meet at least 50 percent of all the qualifying criteria for the financial capacity group of factors. 4.5 Technically Qualified Bidders The committee constituted by GPIDCL shall evaluate the technical bid of the Bidder in terms of the minimum requirements stipulated in clause 4.2, 4.3 and 4.4 of this document. The bidders fulfilling these requirements shall be eligible for further evaluation. 4.6 Selection of an agency 4.6.1 The technically qualified Bidders as per clause 4.5 above shall be called for the Price Bid opening. 4.6.2 GPIDCL/ GMB will determine whether the Price Bid is complete, unqualified and unconditional. The bidder quoting the highest Price Bid will be selected for undertaking the assignment at the respective port. However, GPIDCL/ GMB reserves the right to make a final decision in this case and to make exceptions if necessary in the best interest of the project. 4.6.3 The decision of the committee with regard to the selection of the agency shall be final and binding to all bidders. All rights are reserved with GMB with regard to Bid and Selection of the Agency. Note:- Bidders shall submit all the relevant information with attested documentary proof required for assessment as described above. 8

CHAPTER 5 5.0 INSTRUCTIONS TO BIDDERS Bidder is expected to have visited, examined and fully satisfied himself about the project site, its surroundings and potential traffic for the weighbridge at its own expenses before submission of the Bid. Further, the bidder is expected to study all the information, technical data and traffic data, as may be required for the submission of the Bid. GPIDCL shall not be responsible in any manner for any representation made regarding such information. 5.1 SUBMISSION OF THE BID Interested Agencies shall provide followings information in a sealed envelope: 1. Details of registered office along with a self-attested copy of registration. 2. Contact details of branch offices within India and Gujarat with documentary proof. 3. Brief details of Directors/ promoters of the company. 4. Number of weigh bridges installed along with the Contract details 5. Total number of years of experience with the details of the assignments undertaken 6. CA certificate certifying the turnover of the last three years and the net worth of the company/ firm. Copy of PAN card shall be enclosed. 7. Number of contracts for operation and maintenance of the weigh bridge over the past five financial years and the details of the contract with the period for which contract was in force. Company may also provide the details of the in-house/ own weigh bridge that is being operated during the past five financial years. 8. List of clients, including Government and private (last five years). 9. Details of the overall experience in the logistics sector. 10. Required power of attorneys / relevant documents in the name of person signing the bid to establish that he/she is the authorized signatory on behalf of the company/ firm to participate in the project. 11. In case of the Consortium, a joint bidding agreement would need to be executed among the members of the consortium on a stamp paper. The joint bidding agreement should provide the roles and responsibilities of each of the members in the project. The joint bidding agreement should also nominate one member as a lead member of the consortium and should authorize the member to sign on behalf of the consortium for the project. Note:- Followings points may be noted for the participation (1) Name of tender in block letters must be written on top of the envelope while posting. 9

(2) The technical proposal shall be prepared in the format provided in Annexure 1 and shall be put in a sealed coved inside the outer envelope. (3) The Price Bid shall be submitted in the format given in this tender document and shall be place inside a sealed cover that will clearly mark as Price Bid. The same shall be put inside the outer envelope and submitted along with the tender. (4) The bid document must reach GPIDCL on or before the last date of bid submission, by Registered Post AD or by Speed Post. Any proposal received by GPIDCL after the deadline for submission shall be returned unopened. GPIDCL shall not be responsible for any postal delays. (5) The costs incurred by the Bidders in making this tender, in providing clarification or attending discussions, conferences etc will not be reimbursed by the GPIDCL. (6) Bid shall be submitted in proper format and incomplete offers shall be rejected. (7) The language for submission of bid shall be English. (8) Financial data, Projects costs, value of work etc. shall be given in Indian rupees only. 10
