Office: Vijaya Bhavan, Lalapet, Hyderabad REQUEST FOR EMPANELMENT OF MEDIA AGENCIES AP Dairy Development Cooperative Federation Ltd, is a Coop. Dairy second only to Gujarat Coop. Dairy for its presence and range of product available. It manufactures milk and milk products under the popular brand name VIJAYA and sells the same not only in A.P. but across the country in various metros. Vijaya has retained the trust and faith of the common consumer for the last 4 decades. It all started in the year 1960 as integrated milk product under the auspices of the Dairy Development Department for collection of surplus milk in rural areas at the doorsteps of the farmers and to provide quality milk to the urban and semi urban consumers. Accordingly, rural surplus milk was procured in the village and transported to a network of chilling centers and further transported to Hyderabad by road and rail tankers to meet the consumer demand of the twin cites. Now, Andhra Pradesh Dairy Development Cooperative Federation Limited (APDDCF) a Government of Andhra Pradesh Undertaking wish to enlist the Advertising agencies (who provides both Media Agencies & Digital Agencies Services) located in Hyderabad to strengthen the VIJAYA brand in the existing and emerging consumer markets who are both : Professional Media Agencies To handle the conceptualizing, design, media buying, publicity, out of home and transit advertising etc. Professional Digital Agencies To handle the conceptualization, design, media buying, publicity on the Internet and other new media etc. Further, the Ad Agencies are required to work for preparation of ad material and release the same for publication in newspapers from time to time as and when required by APDDCF at short notice. The total estimate of Advertisements / tender notices of APDDCF would be to a tune of Rs.100 Lakhs approx.

3 ELIGIBILITY CRITERIA The following are the eligibility criteria for empanelment of Advertising agencies. The Advertising agency should have: 1. Full-fledged office established in Hyderabad with necessary infrastructure, manpower and proof reading facilities. 2. Minimum 5 years experience as advertising agency. The Agency should invariably furnish the proof of experience of works undertaken for Government / Public Sector Undertaking. 3. Average Financial Turnover shall not be less than Rs Lakhs per annum during last three years. List of Documents / Information to be enclosed with application: 1. Profile of the ad agency including office address, date of establishment, contact person, telephone, fax numbers, , mobile numbers, etc along with manpower details. 2. Ad Agency Structure (whether a partnership firm / sole proprietor / a limited company / a joint venture etc.) Enclose the relevant document as applicable like partnership deed, copy of memorandum / Articles of Association etc. 3. Principal place of business, details of the Head Office and their Branch Offices with addresses and contact details viz., Names, Phone Numbers, etc. 4. List of Public Sector Undertakings / Clients to whom the agency has been rendering similar services for the last three years (Documentary evidence to be enclosed). 5. Annual Turnover for the last three years. (Enclose documentary evidence i.e, Annual Financial Report or copies of Audited Accounts / Balance Sheet, etc., certified by Chartered Accountants for the last three years).

4 6. Copies of the PAN Card details, Latest Income Tax Returns submitted, Service Tax details, etc. 7. Firm Registration Certificate. GENERAL CONDITIONS: 1. The period of empanelment of the Ad agency is for a period of three years and is extendable further for one more year at the discretion of the APDDCF subject to satisfactory performance of the Ad Agency. 2. The Ad Agency shall submit in a separate sealed cover, the percentage of discount that would be offered to APDDCF on the approved published tariff of department of Public Information and Public Relation Department, Govt. of A.P of various newspapers. 3. The empanelment of the Ad Agency will be based on the eligibility criteria and the maximum single discount offered on the tariffs fixed by the newspapers. 4. The estimated annual turnover mentioned above in only indicative and APDDCF will not guarantee any minimum turnover on monthly or on yearly basis. 5. APDDCF will release the payment for the Ads published within thirty days from the date of submission of bills along with original paper clipping of the Advertisement duly published and the copy of the bill received from the newspaper for publication of the above advertisement. 6. If any Ad agency refuses to accept or fail to publish the advertisement as per the accepted date of publication without reasonable and sufficient justification, the name of such Ad agency would be deleted from the panel of Ad Agencies. 7. The Ad Agency will have to attend APDDCF Office to collect the Advertisement within short notice of intimation and no charges will be paid towards their travel.

5 8. APDDCF shall not be responsible for any dispute between the advertising agency and the newspapers / publishers in regard to the payment to be made by the advertising agency to the newspapers. Similarly, APDDCF shall not be responsible for any dispute between the advertising agency and the newspapers in whatever matter. 9. All disputes between the parties shall be referred to the sole arbitration of the Managing Director, APDDCF Ltd, or a person appointed by the Chairman & Managing Director. The award of the Arbitrator shall be final and binding subject to the provisions of the Indian Arbitration & Conciliation Act Any dispute between APDDCF and Advertising Agencies shall be within the jurisdiction of the courts at Hyderabad Secunderabad only. 11. Interested Ad Agencies are requested to submit their applications as indicated above along with confirmation of their acceptance for the Terms & Conditions and the Percentage of Discount on the published tariff of the newspapers in a sealed cover super scribing. EMPANELMENT OF ADVERTISING AGENCIES The offer in the sealed cover should reach at the following address on or before the Due Date & Time. Bids will be opened at 1500 Hours on the subsequent day in the presence of advertising agencies or their authorized representative/s. Managing Director, Andhra Pradesh Dairy Development Cooperative Federation Ltd, Vijaya Bhavan, Lalapet, Hyderabad APDDCF reserves the right to enlist any number of Ad Agencies and can release the advertisements, tender notices, etc., through any of the listed advertising agencies on rotation basis from time to time. The advertising agencies shall not have nay claim whatsoever in this regard. 13. Not withstanding with the empanelment, APDDCF reserves the right to assign the work of creative designing etc. to any other Agency at its discretion as per its requirements.

6 14. All taxes applicable, if any, shall be to the Ad Agencies account. 15. The Ad Agency, immediately after its empanelment, has to register with APDDCF by paying an amount of Rs.5,000/- (Rupees five thousand only) by Demand Draft drawn in favour of Managing Director, APDDCF LIMITED payable at Hyderabad (non refundable) towards Registration Fees. 16. APDDCF reserves the right to cancel the Ad. Agency at any time giving one month notice. 17. APDDCF reserves the right to disqualify / black list the Ad. Agency in case of Fraudulent acts. Copy of PAN Card / Service Tax Registration Certificate 7. Specimens of creative work produced earlier (Advertising, print as well as audio-visuals) 8. List of reputed organizations for which the agency worked with testimonials / Certificates. 9. Any other information which the agency like to add DECLARATION I / We hereby certify that the information as provided above is correct and are true to the best of my / our knowledge. In case the information furnished above is false or proved suppression of nay material information, the application for empanelment shall be liable for rejection with suitable action as deemed fit.
