Letter of Invitation Date: To Consultancy Firms Subject: Selection of Consultant for undertaking the work of feasibility and project management work for establishment of a Maritime University in Gujarat 1. Gujarat is in the process of setting up a Gujarat Maritime University to cater to the growing educational and training requirements of the ports, shipping and maritime sector. Gujarat Maritime Board has assigned the work of conducting the study for establishment of the University to Gujarat Ports Infrastructure Development Company Ltd. (GPIDCL), a wholly owned organization of the Gujarat Maritime Board (GMB). 2. It is required that comprehensive market study and location analysis is undertaken. To identify the courses to be offered at the University, it is necessary to identify demand-supply gap in manpower requirement of the industry and a viable location of the University. In addition, in order to successfully establish the university on time, there are multiple streams of processes that need to be smoothly coordinated. This requires critical project management support based on clear comprehension of the objectives and an understanding of the project challenges and approaches for establishing a world class institution. 3. GPIDCL invites proposals for undertaking the work of feasibility and project management work for establishment of a Maritime University in Gujarat from interested and technically qualified professional agencies. 4. The last date for receipt of the proposals is 26 March, 2015 by 16:00 PM for details please visit GMB s website ( 5. This RFP is issued by the GPIDCL with intention to select the Consulting Agency for undertaking the work. GPIDCL s decision with regard to the selection of consultant through this RFP shall be final and the GPIDCL reserves the right to reject any or all the bids without assigning any reason. Page 3 of 29

The bidders are expected to examine all instructions, forms, terms, project requirements and other details in the RFP documents. Failure to furnish complete information as mentioned in the RFP documents or submission of a proposal not substantially responsive to the RFP documents in every respect will be at the bidder's risk and may result in rejection of the proposal. 6 3.1 Background Section 3. Scope of Service The concept of maritime university revolves around creating centre of specialised maritime expertise as well as cradle of Innovation and consequently creating suitable physical infrastructure to supports its operation. Due to high growth in trade, Indian Maritime industry has grown many folds in the last few years. With 1600km long coastline, Gujarat ports (including Kandla) handle more than 41% of national sea cargo. In addition to state-of-the-art port infrastructure, Gujarat has witnessed significant development of shipbuilding, ship recycling and logistics sector in the region, while supporting vibrant industrial economy. With integrated planning of port cities and maritime clusters, there is a need to promote research and development, while at the same time meeting the needs of the industry for manpower. There are existing institutes in Gujarat which run few courses of nautical science and port management. However, to converge entire maritime economy related education, it was felt necessary to establish a maritime university in Gujarat. Therefore the work of conducting studies has been assigned to GPIDCL, a wholly owned organization of GMB. In order to establish the maritime university, there would be two phases in which the work of establishment would carried out. 1. Phase I: Feasibility study 2. Phase II: Project management The objective of the Phase-I would be to undertake the market study of demandsupply gap in various trades of maritime sector, location identification and financial feasibility. This phase would also involve defining various courses to be offered and identifying probable institutional tie-ups. The objective of Phase-II would be to assist GPIDCL in getting various approvals and clearances from the concerned authorities and providing operational assistance in establishment of the university. The Consultant shall provide assistance in Phase-II by setting up a Project Management Team supporting GPIDCL or any other subsequent agency (such as Trust or Steering Committee) in establishment of the university. 7 The work of Phase-II shall be started only after satisfactory completion of the Phase-I, with acceptance of Feasibility Report by the State Government and the issue of Notice to Proceed by GPIDCL/ GMB. 3.2 Scope of services The following scope of services should be performed by the Consultant in phasewise manner: A. Phase 1: Undertaking the detailed feasibility report (i) Demand projection of manpower requirement for maritime sector (ports & harbour structural engineers, shipping, nautical scientist/ engineers, ship design & maintenance technicians & engineers, maritime crew, maritime experts (finance, insurance, law, etc.), logistics, charterers, etc. (ii) Mapping of supply of available manpower to Indian maritime sector through Indian or global institutions (iii) Projecting Demand-Supply gap of atleast 10 years (iv) Mapping various maritime related educational and research institutes in India and South Asia, identifying their focus/ strength areas. Suggest focus areas for Gujarat Maritime University based on demand-supply manpower gap and sector focus gaps (v) Development of the concept and design of new courses which can be phase-wise introduced as per the priority decided based on immediate market demand/ acceptability (vi) Customisation of Proposed courses based on expectation of the maritime players (vii) Suitability of sites and locations, whether near coast or near city and evaluation of sites in terms of required facility for maritime training and research (viii) Identify probable existing universities/ institutions in Gujarat/ India, with whom the Maritime University can be established and what should be the institutional structure for such arrangement (ix) Requirement of land for establishing the University, with land-use pattern (x) Expected phase-wise development plan, with project cost estimates (xi) Suggest funding pattern for the proposed phase-wise plan (xii) Financial viability and any requirement of capital subsidy for the Project (grant mechanism) (xiii) University establishment institutional structure (such as role of Govt, involvement of private sector, etc.) Page 7 of 29
8 (xiv) Marketing presentation/ collaterals for various stakeholders (i) for universities for tie-up (ii) for financers (iii) for trade/ industry stakeholders (xv) Prepare Action Plan for public outreach for promoting maritime related career to (i) school students (ii) college students and (iii) college passouts (xvi) Prepare Draft Project Report comprising Need and Positioning, Academic Philosophy, Academic Plan, Governance and Executive Management, Human Resources, Infrastructure and Resources and Financial Plan (xvii) Modify Project Report if any changes are required, following presentation and discussion with GPIDCL and finalize the Project Report accordingly Workshops: 1. Stakeholder workshop to understand demand-supply gap of manpower and customization of proposed courses 2. Workshops with GPIDCL/ GMB officers & select industry leaders to present feasibility study findings Deliverables of Phase-I: 1. Demand-Supply Gap assessment of manpower for maritime sector 2. Feasibility Study Report, covering the entire scope of work B. Phase II: Project Management II.a: Legal Advisory Services (i) Prepare the Draft Gujarat Maritime University Bill (the Bill as may be called by any name for the purpose of establishment of the University under Gujarat Private Universities Act 2009) (ii) Provide assistance for clarification and amendment of the Bill as may be required based on stakeholders inputs or State Government departments (iii) Provide regular direction, guidance and assistance for formation of Trust and/ or University, as may be required from time to time (iv) Provide legal advice for any issues related to land acquisition, infrastructure development, etc. with local authorities (v) Provide legal assistance to fulfil requirements of the Central Govt regulatory/ statutory agencies (vi) Provide assistance for affiliation/ clearance under AICTE, UGC, IMU, etc. for starting the courses by the University (vii) Draft the charter documents of the University and/ or Trust, as may be required for registration of such institutions (viii) Define the organization structure of University and/ or Trust, including roles and responsibilities of Institution Management Committee (IMC)/ Governing Body (ix) Interact with, on behalf of GPIDCL or State Government, and provide necessary clarification to legal/ statutory authorities for getting necessary approvals Page 8 of 29
9 (x) Create and file necessary legal compliances of legal/ statutory/ state agencies in relation to establishment and operation of the University II.b: Project management (i) Assist in formation of IMC/ Governing Body and in its meetings (ii) Assist in preparing the Vision and Mission of the University. (iii) Document best practices of institution management and administration. (iv) Assist GPIDCL in its functioning by gathering information, and analysis of data required for informed decision making (v) Coordinate with external agencies for timely execution of all activities. The consultant shall monitor the project implementation status, preempting delays/complications that may arise and provide suitable responses. (vi) Assistance to the IMC/ Governing Body in establishment and usage of University Fund as per Statutes, Regulations, Ordinances etc. (vii) Assistance to IMC/ Governing Body in drafting and implementing funding strategy including assistance in preparation of annual budget and obtaining government grants (viii) Facilitate interaction with the industry and funding agencies for fund generation (ix) Assist IMC/ Governing Body in design/finalization of programs to be rolled out in launch year, including doctoral programs and identification of cutting edge research areas by facilitating discussions with industry and other universities. Assistance is also required in seeking industry validation on the program design. (x) Assist in the development of university website by providing content to the website developer (xi) Assist in designing performance parameters to monitor the development and performance of the University (xii) Assist IMC/ Governing Body in identifying and signing of MoUs with key Indian and International maritime/ shipping companies for development of the University in areas of academics, research, faculty sourcing etc. (xiii) Assist IMC/ Governing Body in identifying and selecting appropriate international/ Indian university partner(s) and signing of MoUs/ contracts in areas of adjunct/ visiting faculty, research, joint-programs etc. (xiv) Appraise IMC/ Governing Body of the progress/activities of the project on a monthly basis by preparing and submitting reports as under and holding project review meetings as necessary: Page 9 of 29
10 (xv) Assist IMC/ Governing Body in coordinating with marketing, PR and media agencies for executing the marketing strategy developed (xvi) Review best branding practices of other reputed and premier educational institutes including the IITs, IIMs and IISc etc. and formulate a well-defined branding strategy for the University (xvii) Assist in identifying minimum requirements to meet accreditation standards and ensuring quality educational services towards that end. The consultant should also identify and assist in communication with accreditation boards such as National Board of Accreditation (NBA) and other national and international accreditation boards for technical and management courses The requirements given in this RFP are indicative only and GPIDCL may revise it based on inputs in pre-bid conference. Workshops in Phase-II: 1. Strategy Workshop: The consultant should hold a Strategy Workshop for GPIDCL/ GMB/ IMC/ Governing Body and other stakeholders to develop a comprehensive and implementable roadmap in alignment with the identified processes and the overall mission and vision of the university. This workshop should include, though not limited to, SWOT analysis, design of action plans, scenario planning and so on. An ideal output from the proposed workshop is the development of a unified Strategic Plan Framework and a time bound action plan to monitor, maintain, and report on the strategic plan. There should also be an agreed schedule and finalized timelines to complete the strategic plan. Deliverables in this matter will comprise of a Report on the workshop deliberations incorporating the above mentioned points and the consultant s recommendations on the way forward to achieve the proposed objectives. 2. Regular interactions with Stakeholders/ Regulatory Agencies, as and when required. Deliverables of Phase-II: Various regular deliverables as per the scope defined. 3.3 Tenure of Engagement a) Phase I: 4 months b) Phase II: The initial engagement period will be for 24 months. The engagement may be terminated on a notice period of one month by either party. In the event of satisfactory completion of the assignment, the engagement can be extended by mutual consent up to another 12 months Page 10 of 29
11 and the payment would be made on pro-rata basis depending on the number of months of extension. c) The specific activities to be taken up on priority each month will be decided in consultation with GPIDCL. Priorities change based on macroeconomic developments, new regulations, availability of funds and stakeholder feedback, etc. The Consultant should react quickly to such market stimuli and re-prioritize deliverables in consultation with GPIDCL. 3.4 Timeline and Payment Schedule The timeline for various deliverables and payment of fee quoted and accepted shall be made as under- Phase I: Submission of Inception Report: Within 15 days 10% of quoted Phase-I fees Submission of Report of Demand-Supply Gap assessment of manpower for maritime sector On submission of marketing presentation/ collaterals for various stakeholders Submission of Draft Feasibility Report: Submission of Final Feasibility Within 1.5 months Within 2.5 months Within 3 months Within 4 months Report: Phase II: Quarterly payment of 1/4 th of quoted Phase-II fees 15% of quoted Phase-I fees 15% of quoted Phase-I fees 35% of quoted Phase-I fees 25% of quoted Phase-I fees Page 11 of 29
12 4.1 Introduction Section 4. Instructions to Bidders The Consultants are invited to submit a Technical Proposal and a Financial Proposal as per the formats given in Section 6 in two separate sealed covers for providing consulting services required for the assignment. The selection would be on the Quality Cum Cost Based Selection (QCBS) based on the final weighted score, subject to fulfilling the requirements of the Qualification Criteria. The Proposal will form part of the contract with the selected consultant The Consultants shall bear all costs associated with the preparation and submission of their proposals. The GPIDCL is not bound to accept any or all proposals, and reserves the right to annul the selection process at any time prior to award of contract, without any liability to GPIDCL The Consultants eligible for participating in the project can be a single entity or a consortium of consultants / firms. The Consultant as a single firm or the consortium partners together shall propose teams having experts to undertake all aspects of the assignment as described in Section 3 of this RFP document In case of Foreign Consultants/firm, the Consultant/firm shall essentially have/ open office in India or collaborate with Indian Consultant/ firms having office in India. 4.2 GPIDCL s Interest The Consultants shall provide professional, objective, and impartial advice and at all times hold interests of the GPIDCL and Gujarat Government paramount. 4.3 Proposed Validity The Technical and Financial Proposal to be submitted by the Consultants should be firm and valid for a period of 90 days from the last date of submission of the proposal. 4.4 Clarifications and Amendments to RFP Documents Consultants may seek clarifications on the RFP document, if any, before the Pre-bid Conference. Any request for clarification must be sent by letter, fax or to GPIDCL At any time before the submission of Proposals, GPIDCL may amend the RFP by issuing an addendum, which shall be binding on the Consultants. 13 Consultants shall acknowledge all amendments and submit along with their proposals duly signed. 4.5 Content of the Proposal The proposal shall comprise of three envelopes as prescribed below Outer Envelope: The Outer Envelope shall contain Demand Draft towards Tender Fees, EMD and separate envelopes of Technical and Financial proposal Envelope 1 - Technical Proposal: This envelope shall contain technical proposal in form TECH-1 to TECH-6 and this RFP document signed by the authorized signatory as an acknowledgement of terms and conditions of this RFP document Envelope 2 - Financial Proposal: This envelop shall contain financial proposal in form FIN Submission, Receipt and Opening of proposals The Proposal (Technical Proposal and Financial Proposal) shall contain no interlineations or overwriting, except as necessary to correct errors made by the Consultants themselves. The person who signs the proposal must initial such corrections. Submission letters for both Technical and Financial Proposals should respectively be in the formats specified in Section 6 of this RFP document The proposals shall be signed and submitted by the Authorized Signatory of the Consulting Firm. The authorization shall be attached in the Technical Proposal and shall be in the form of a written power of attorney/ board resolution or in any other form demonstrating that the representative has been dully authorized to sign The Technical Proposal shall be placed in a sealed envelope clearly marked Technical Proposal. Similarly, the Financial Proposal shall be placed in a sealed envelope clearly marked Financial Proposal. The envelopes containing the Technical and Financial Proposals shall be placed into an outer envelope and sealed. This outer envelope shall be addressed to the Chairman & Managing Director, superscribing on the proposal Consultancy proposal for the proposed Maritime University The Proposals must reach GPIDCL on or before the last date of bid submission specified in Section 2, by Registered Post or by Speed Post. 14 proposal received by GPIDCL after the deadline for submission shall be returned unopened. GPIDCL shall not be responsible for any postal delays GPIDCL shall evaluate Technical Proposals based on evaluation criteria and procedure as described in Section 5 of this RFP document. Financial Proposals will be opened only of those firms qualifying in the technical evaluation To facilitate evaluation of proposals, GPIDCL may, at its sole discretion, seek clarifications in writing from any Bidder regarding its proposal The financial proposals of all the qualifying firms will be opened in the presence of the Consultants representatives who choose to attend. The selected consultants will be informed of the decision made by GPIDCL through a letter after completion of the evaluation process GPIDCL will correct any arithmetical errors in Financial Proposals. While correcting arithmetical errors, in case of discrepancy between the amounts mentioned in words and figures, the amount quoted in words shall only be considered and evaluated GPIDCL will select the Consultant who has scored the highest as per the evaluation criteria. The selected firm may be invited for negotiations, if felt necessary by GPIDCL. If such negotiations do not result in fulfilment of GPIDCL s requirements, GPIDCL shall have the right to invite the next bidder (second highest scorer) for negotiations and finalization. 4.7 Earnest Money Deposit (EMD) and Tender Fee An EMD of Rs. 50,000 (Rupees Fifty Thousand only) in the form of Demand Draft (DD) drawn in favor of Gujarat Ports & Infrastructure Development Company Limited and payable at Gandhinagar, must be submitted along with the Technical Proposal In case the tender document is downloaded from the GPIDCL website, the Proposal shall be accompanied by non-refundable tender fee of Rs. 5,000/- by Demand Draft (DD) in favor of Gujarat Ports & Infrastructure Development Company Limited and payable at Gandhinagar Tender not accompanied by EMD and Tender Fee shall be rejected as nonresponsive No interest shall be payable by GPIDCL for the sum deposited as earnest money deposit. 15 4.7.5 No bank guarantee will be accepted in lieu of the earnest money deposit The EMD of the unsuccessful bidders would be returned within one month of issuance of Letter of Award to the successful bidder. The EMD of the selected consultant would be retained as Performance Security till the completion of the assignment The EMD shall be forfeited by GPIDCL in the following events: If tender is withdrawn during the validity period or any extension thereof. If the tender is varied or modified in a manner not acceptable to GPIDCL after opening of tender during the validity period or any extension thereof. If the consultant tries to influence the evaluation process. 4.8 Team Substitution Any change in the composition of the team approved by GPIDCL for this project shall be done only with the prior approval and written consent of GPIDCL. 4.9 Confidentiality The Consultant shall keep all the information pertaining to the assignment CONFIDENTIAL and shall not provide/disclose any information of the assignment to anybody except on specific instructions from GPIDCL. 16 Section 5. Qualification Criteria & Evaluation 5.1 Qualification Criteria The Consulting firm or the Lead Member of the Consortium, as the case may be, shall fulfill the following financial qualification criteria: The turnover/ income from operations shall not be less than Rs. 50 crore or equivalent in foreign currency in at least two out of previous three financial years The Consulting firm or the members of the Consortium together, as the case may be, shall fulfill the following technical qualification criteria: The bidder must have carried out minimum THREE Projects with Gujarat Government departments / PSU s in last five years. The bidder must have on its rolls or hire an experienced educational expert having prior experience in development of a university/ institution/ center of excellence and/ or undertaking tie-up of international collaboration for a university/ institution/ center of excellence. The bidder must have experience of assisting in establishment of at least one higher educational institute/ university as a feasibility consultant/ project management/ monitoring agency for a total professional fee of not less than Rs. 10 lakhs. Only Projects completed / started in the last 5 financial years will be considered for evaluation The Bidders need to submit the Chartered Accountant/Auditor s certificate certifying the turnover from advisory/ consulting services and client s completion certificate/ letter of appointment/ Engagement Letter/ Auditor s certificate for proof of assignment carried out The technical proposals of only such qualified consulting firms will be considered. 5.2 Evaluation of Technical Proposals Points assigned for each submission of the Technical Proposals for the purpose of evaluation shall be as under: Page 16 of 29

Bidder s experience in Gujarat in various sectors viz. 5 policy advocacy, Bid process management, knowledge partner, state growth & development etc. in last five years B APPROACH & METHODOLOGY & WORK PLAN 15 C TEAM COMPOSITION and Experience of Key 15 Professionals D TECHNICAL PRESENTATION 20 Total Technical Score The minimum technical score required shall be 60% and to become eligible for opening of the Financial Proposal. 5.3 Qualification and relevant experience of key staff proposed Points assigned for each submission of the Technical Proposals for the purpose of evaluation shall be as under: The bidder may propose key staff with different skill set and proficiency as per the requirement of assignment. The possible key staff profile might be the following: a. Team Leader with around 10 years of experience in similar assignments b. Education Sector Expert with more than 5 years of experience in similar assignments with education sector knowledge c. Legal expert with more than 5 years of experience in similar assignments Maximum points assigned for this criterion shall be 15 points. Page 17 of 29
18 5.4 Total Technical Score The total Technical Score of any bidder would be an arithmetic sum of scores obtained by the bidder for each of the parameter indicated above viz. project experience, approach & methodology on technical proposal and team composition. 5.5 Financial Proposal Points assigned for each submission of the Technical Proposals for the purpose of evaluation shall be as under: In the Financial proposal, the bidders are required to quote their lump sum professional fee for Phase-I and Phase-II inclusive of out-of-pocket expenses for undertaking the assignment and excluding of Service Tax The bidder, who quotes the lowest combined professional fee of Phase-I & Phase-II, will be awarded a financial score of 100 marks and other bidders will be given financial scores that are inversely proportional to their quoted professional fees The formula for this will be, F = 100 x (Amount of Professional Fee Quoted by the Lowest Bidder/Amount Professional Fee Quoted by the Bidder under evaluation). 5.6 Selection of Consultant The final evaluation of proposals shall be on the principle of Quality Cum Cost Based Selection (QCBS) based on the final weighted score. A weightage of 70% will be assigned to the marks/points scored in the Technical Proposal and a weightage of 30% will be assigned to the marks/points scored in the Financial Proposal. T is the total marks scored in Technical Proposal, and F is the marks scored for the Financial Proposal The final weighted score will be: 0.70*T+ 0.30*F The assignment shall be awarded to the bidder scoring the highest final weighted score GPIDCL, however, reserves the right to reject any or all the bids received, without assigning any reasons and any liability to GPIDCL.
