4 What is the service? and Cllabratin as a Service prvides a range f prductivity tls including , calendaring and tasks that help an rganisatin's end users t wrk securely, efficiently and effectively. It is accessible thrugh a range f ppular applicatins and mbile and desktp devices, and includes 'briefcase' functinality that prvides a secure slutin fr managing and sharing dcuments and infrmatin with clleagues. The Skyscape service reduces the cst f deplying and managing enterprise systems. It is billed n the basis f the resurces used r reserved during a perid f time (ne mnth minimum), based n metrics including number f mailbxes, mailbx size (mailbx and archive) and bandwidth. The service has previusly achieved Pan Gvernment Accredited and is PSN Accredited fr bth the Assured service and the Prtected service. This prvides the mst rbust levels f assurance that the Skyscape clud platfrm is suitable fr data classified as OFFICIAL r OFFICIAL SENSITIVE, and legacy IL0 IL3 systems (and IL4 by aggregatin). Public sectr rganisatins benefit frm a secure, purpse-built, n-demand and cllabratin platfrm that meets their stringent requirements, n a true utility (pay-fr-what-yu-use) cnsumptin mdel. Using a web brwser, an client r mbile device, users have easy access t their persnal and grup mail bxes, with little r n setup needed. Skyscape will use reasnable endeavurs t ensure that the availability f the Skyscape service purchased by the custmer in a given calendar mnth equals the applicable Availability Cmmitment. T define availability, Skyscape mnitrs a number f service elements sme generic, sme service specific which cllectively enable the custmer t use r access the service. If the availability f the service is less than the assciated Availability Cmmitment, the custmer may request Service Credits fr the service within 30 calendar days f the service being deemed unavailable. The discunt level attained is based n the ttal spend cmmitted against qualifying Skyscape prducts (Skyscape Clud Strage is excluded). T achieve the discunt, the custmer fixes a value that they cmmit t spending each mnth f the term. This must be in a single purchase rder with each mnth as a separate line item. As custmers can cnsume mre than their cmmitted amunt each mnth, they must als add an additinal line item and value t cver any ver spend. This must be part f the same purchase rder. If the custmer has an existing cntract, they must accept a Cntract Change Ntice and set the values as utlined abve. If multiple cntracts are affected any changes will be made via a Side Letter. 11 Individual prjects r departments (billing entities assciated with each mnthly spend) can be amended during the year thrugh discussin with and agreement frm Skyscape; hwever the cmmitted value cannt be reduced midterm. Custmers get a discunted rate fr each mnth up t the set mnthly figure nly, nt fr veruse. At the end f each mnth Skyscape will d ne f tw things: If the actual usage is abve the cmmitted value, Skyscape will take the value frm the mnthly cmmitment line item and the remaining balance frm the verspend line item. If the actual usage is belw the set value, Skyscape will bill the custmer the cmmitted value. At the end f the 12 mnths, Skyscape will rebate the custmer the value f the applicable discunt ver the 12-mnth perid, minus any veruse fr the last mnth; fr example, the invice fr mnth 12 is fr the cmmitted cnsumptin plus any veruse at standard prices, with the ptential fr a 12-mnth rebate. If the verspend purchase rder line item value is spent befre the end f the 12 mnths, the custmer must issue a tp-up purchase rder value fr the remainder f the 12 mnths, r increase their spend and cmmit t a further 12 mnths. The custmer will pay fr any usage abve the set amunt at the standard rates. The discunt is set based n the cmmitted purchase rder value, nt the actual usage. Clud Credits The Clud Credits ptin allws rganisatins t purchase Clud Credits upfrnt and redeem them against Skyscape clud services ver a maximum tw-year perid. This allws rganisatins t effectively cmmit their CAPEX r budget spend in advance, with mnthly usage deducted frm the balance until depleted. Every 1 spent n Clud Credits equals 1 t be spent n Skyscape clud services The purchase f Clud Credits can be made against any G7 Service Descriptin, and Clud Credits are transferable between services Clud Credits can be used fr a single service r a cmbinatin f services r rders Any unused Clud Credits at the end f the tw-year perid are nn-refundable Wrked example If yu knw yu will cnsume at least 550,000 f Skyscape clud services ver a tw-year perid based n previus r prjected usage, yu may chse t pre-pay this amunt. Yu'll receive a value f 550,000 wrth f Clud Credits t be used against any Skyscape service ver a maximum tw-year perid. Yu'll receive a mnthly invice, with payment autmatically taken frm yur Skyscape Clud Credits, if available. Yu'll need t infrm ur finance department if yu wish t make any amendments t hw yur invices are paid. 12 Is there a trial service? Skyscape ffers a 30-day free trial fr up t 500 peple in a single rganisatin n request. 13 Appendix On-barding and ff-barding On-barding Within 5 days f accepting an rder, Skyscape will create the custmer s Primary Administratr accunt and send a Welcme Pack which includes the URL fr the Skyscape Custmer Prtal, mailbx services and assciated authenticatin details. The custmer s Administratr can set plicies, create additinal user accunts and allcate rles and privileges fr users within their prject r rganisatin. Each user can then simply lg n and begin using the service. Setup f client-based sftware r mbile devices may be required, depending n the chsen access methds. Off-barding Prir t terminating the cntract, the custmer is able t transfer all their data ut f the slutin (fr example using the Skyscape API t retrieve data). When the rganisatin terminates its agreement with Skyscape, Skyscape ensures all f the rganisatin s data is deleted. Service management As a true clud service aligned t the NIST definitin f SaaS, the service is designed t be self-managed via the secure nline Skyscape API and Prtal which prvide cmmn service management functinality and address standard requirements. On rare ccasins, Skyscape may decide t assign an experienced, qualified ITIL Service Delivery Manager t sme custmers. In these cases, the SDM will prvide additinal assistance with reprting, incident escalatin and cntinual service imprvement, at all times fllwing Skyscape s ISO certified ITIL-based prcess framewrk. Fr rganisatins that require a mre managed service, Skyscape wrks with a number f Partners wh can prvide a managed service wrapper arund the Skyscape SaaS. Skyscape will be pleased t make an intrductin where apprpriate. Service cnstraints Message send limits: users can send up t 30 s in any ne-minute perid. A minimum f 25 mailbxes per rganisatin is required t initiate the service. Skyscape will adhere t the fllwing in terms f maintenance windws: Planned Maintenance means any pre-planned maintenance f any f the infrastructure relating t the service. Planned Maintenance activity may result in perids f degradatin r lss f availability depending n the nature f the activity required. In such cases, Skyscape shall prvide affected custmers with at least furteen (14) days' advance ntice f the Planned Maintenance. If during Planned Maintenance there is a lss f availability t the service, an SLA event will be triggered. Emergency Maintenance means any emergency maintenance f any f the infrastructure relating t the service. Whenever pssible, Skyscape shall: a) prvide affected custmers with at least six (6) hurs advance ntice and b) carry ut the emergency maintenance between the hurs f 00:00 and 06:00 (UK lcal time) Mnday t Sunday r between the hurs f 08:00 and 12:00 (UK lcal time) n Saturday r Sunday unless there is an identified and demnstrable immediate risk t custmer envirnment(s). Emergency Maintenance may result in perids f degradatin r lss f availability depending n the nature f the activity required. If during Emergency Maintenance there is a lss f availability t the service, an SLA event will be triggered. This time will be excluded frm the availability calculatin but will be included in mnthly service reprting related t the service. Training Skyscape has created a number f vides, help guides, manuals and FAQs t help train and instruct users s that they are up and running quickly and easily. Skyscape als has a number f Partners wh can deliver additinal services such as training, supprt and managed services. Skyscape wuld be pleased t intrduce yu t such Partners as apprpriate. 14 Service lead time Setting up a new rganisatin will typically be cmpleted within 5 days frm acceptance f rder. Shrter deplyment times are typically achieved and can be priritised upn request. Once set up, rganisatins have instant access t additinal cmpute and strage resurces with n ntice perid required as they manage this themselves. Terminatin Terms At the pint f terminatin, all custmer data, accunts and access will be permanently deleted, and will nt be able t be subsequently recvered r restred. Csts There are n terminatin csts fr this service. Custmers are respnsible fr extracting their wn data frm the platfrm if required. Skyscape may make an additinal charge fr transferring data ut f the service. Data restratin / service migratin In many circumstances, Skyscape can help facilitate a bulk migratin t the platfrm using lcal data imprt. This is priced n a time-andmaterials basis frm the Skyscape SFIA rate card. In many circumstances, Skyscape can als help facilitate a bulk migratin t the platfrm using ffline data ingest and extractin please ask Skyscape fr details. Custmer respnsibilities The cntrl and management f access and respnsibilities fr end users including apprpriate cnnectivity, security and accreditatin if required.
