3 Company Overview Tri-Continental has developed an operation spanning 35 countries in Central, East, North and West Africa, and continues to service an extensive channel of IT partners and Customers. Through its long term relationship with IBM, Lenovo and a number of other IT supplier, spanning close on 28 years, the company has a current annual turnover of over US$ 65 million. It has also consistently been IBM s strongest performing channel partner over this time. Tri-Continental's vision is to be the largest and most prominent IT distributor covering the CEWA market, with competence and ability to compete and grow in the global IT industry, whilst doing business fairly, and in accordance with our guiding principles. Tri-Continental's mission is to establish a clear and emphatic company presence in the African IT market place as an IT Products and Services distributor of choice, providing the highest levels of service to its Customers and Partners and adding value to the supply chain. The company is firmly positioned as the premier pan African distributor in CEWA of a selected range of world class technology products, backed by a comprehensive range of Distribution Agreements with major manufacturers including IBM, Lenovo, Canon and Epson. Tri-Continental's aim is to provide complete end to end IT solutions. These solutions may consist of a full range of Computer Hardware infrastructure, Systems Software and Middleware Products and Services. In addition, we engage with Business Application Software Solution providers for clients who seek our guidance on their application selection and implementations and in doing so, develop value nets through a highly motivated Reseller and Partner Channel. The company takes pride in the efficient and effective way in which it brings together relevant business partners and skills in the marketing, development and fulfilment of IT solutions in its chosen market place. Regions and Branch Offices The company has its executive management, administrative services and call centre based in the Head Quarter in London, UK. There are regional Sales Office and Solutions Support Centres in three major hubs, Lagos, Nairobi and Johannesburg. Our operations are supported by 10 branch offices in the key locations of Nigeria and Ghana, Nairobi, Ethiopia, Uganda and Tanzania, Mozambique, Namibia, Zimbabwe and South Africa. Service Delivery This infrastructure of the 3 regional Hubs and 8 branch offices enable us to provide services delivery across 33 countries in Africa, this in association with our resellers and in support of multinational companies. Furthermore, Tri-Continental, through our education Academy is able to deliver client education, in any of the CEWA countries, on our client s premises as need and significantly is 10 Academy facilities based in our branch office locations. Regulatory Compliance and Governance Through its registered offices and geographic presence Tri-Continental complies with local country company law, tax regimes, importation rules and regulations, and labour practices. International Compliance and Governance All export, relocation or re-direction of products/services are subject to the regulations e.g. of the country of installation, the United States of America and the original country of export and may be prohibited by law. It is the Buyers responsibility to comply with any such regulations and to obtain all necessary licenses. In addition, the Buyer agrees to cooperate in any related audits. The above provisions apply to the Supplier and its channel as well. 6

There may be certain pressure on capital budgets and clients are looking for a solution from operational budgets. There are various situations where there is a need to consider extension of payment terms, deferred payments of 90 days, 180 days, then to longer term leasing of up to 36 months. Tri-Continental have entered into a partnership with various international Banks to assist in providing us with mutually beneficial solutions to address this challenge. When a customer makes a promise to pay over time, a" Letter of Credit" or "Promissory Note" is the documentation that records this agreement. This structure is generally not on balance sheet borrowing and does not require additional documentation. This solution is very simple without the need for leasing agreements. We have agreement to consider and offer these financing solutions in selected countries and selected industries. A set of pre-qualified clients who have existing relationships with our Banking Partner will make the application process easier in most instances. Financial statements and 'know-yourcustomer' documentation will be required if the client does not have an existing relationship with our partners. In the finance industry, the IT staff and Managers may not be aware of this type of Bank to Bank financial arrangement which are fairly common and the finance and commercial departments in our clients in Africa will be aware of this. 9

Tri-Continental has additionally developed and provided the skills and resource capacity and competence across the African markets to support Global Outsourcing Projects which allow and enable global clients to optimize operational processes and focus on businesses. 12 There is a growing demand for MANAGED SERVICES from Global Multi-National corporations to provide them with a single agreement and service level across multiple brands and countries. Tricon, through is presence and resources, and in conjunction with our business partners, are able to respond to this need. A Managed Service agreement typically ranges from 12 months to 3 years and sometimes longer, based on specific needs in two main areas: DESK TOP MANAGED SERVICES: The end user services include the design, deployment, updating, help desk and managing of the desk top technologies including from desktops mobile devices, printers, local networking and server environment. We are able to provide you with local resources to support your branch office deployment across Africa. DATA CENTRE MANAGED SERVICES : This involves the decision to outsource various IT task within the data centre ranging from Hardware Monitoring, operating systems installations and ongoing support and management for AIX, Linux and Microsoft as examples. This may also include storage and systems management within the production and disaster recovery locations. We are able to package these and other similar options into flexible managed service agreements, with flexible monthly or quarterly payments for period of typically up to 3 years.
