1 Board of Directors Conference Call Minutes I. Call to Order Dr. Dolan called the meeting to order at 9:20 pm. Also in attendance were: Drs. Bence, Caffery, Shovlin, Zadnik, Walline, Cotter, and McMahon, and Ms. Schoenbrun and Ms. Kurtz. A. Approval of Agenda MOTION MSC (Shovlin, Caffery, Unanimous) To approve the agenda with the following changes: Delete: V.D. AAO Symposium Guidelines Add: V. D. OVS Associate Editor Selection Committee (Dolan) II. Reports A. President s Report (Dolan) Dr. Dolan told the Board that the Environmental Scan would take place in Executive Session, at the end of the call. B. Executive Director s Report (Schoenbrun) Ms. Schoenbrun stated that her report would be under the Annual Meeting report. III. Information A. Liaison Reports 1. Dr. Zadnik reported on the AOF Board of Directors meeting, held in Denver, CO on August 9. The meeting went very well. The Board members are engaged and excited. They were joined by Greg Fulginiti, the new Development Director, who asked very good questions. The AOF Board is on a path forward. Dr. Walline concurred with Dr. Zadnik s report. IV. Action Items There were none at this time. V. Discussion and Possible Action A. Academy 2013 Seattle (Schoenbrun) 1. Ms. Schoenbrun reported on registration for Academy 2013 Seattle. Registration is 15% above where we were last year with regard to people registering for all four days. Student registration is 45% higher than last year at this time. Overall, registration is 17% higher than where we were last year at this time. Early-bird registration ends on August 20, Board of Directors Conference Call Page 1

2 Ms. Schoenbrun reported that we added hotel rooms on peak nights. We are experiencing a slow but steady pick up of hotel rooms. 2. Ms. Schoenbrun reminded the Board that they will be dining with VSP on Tuesday, October 22, She reviewed the policy for taking corporations to dinner during the annual meeting, and remarked that she would be asking the Board to approve a simplified policy. It was noted that Alcon had not been invited to dinner in a number of years. They will be invited to dinner on Thursday, October 24, B. Task Force on Research (Dolan) Dr. Dolan reminded the Board of the Research Task Force that was conceived at the July Board meeting. (See Appendix A for the Task Force charge.) Dr. Dolan appointed Dr. Tim McMahon as the chair of this task force with Dr. Zadnik and Dr. Danielle Robertson as the members. C. Improving Dissemination of Clinical Knowledge Task Force (Walline) Dr. Walline drew the Board s attention to the item he sent ahead of the meeting. He developed a charge for the Task Force on Improving Dissemination of Clinical Knowledge which includes the task of creating a business plan. He also suggested people to serve on the task force. Dr. Walline was asked to serve on the Task Force because it was felt that it needed one senior person who could help guide them. The Board suggests that this task force work with the Sections and SIGs. D. OVS Associate Editor Selection Committee (Dolan) Dr. Dolan informed the Board the selection committee to search for the Associate Editor for OVS has been chosen. Dr. McMahon will chair the committee, with help from Dr. Cotter and Dr. Chris Johnson. Dr. Tony Adams has agreed to serve as an ex-officio member. II. Reports 1. Executive Session (Dolan) Due to technical difficulties, the Executive Session was postponed. The meeting was adjourned at 9:37 pm. Board of Directors Conference Call Page 2

4 Appendix A Task Force Charge: To develop a plan for the dissemination of significant research dollars to Fellows and/or faculty members (one of whom has to be a Fellow) at the North American schools and colleges of optometry to support patient-oriented research/clinical networks that will directly impact optometric practice. Task Force Work Product: Business plan, including a budget for the grant intake and review process. A draft RFP for a pilot program funded from budgetary "surplus" from the previous fiscal year, primarily investment income. $100,000 per project per year with an equal cost share. Direct costs only, the Academy will not pay overhead expenses. Define applicant eligibility, cost sharing rules, guidelines for proposals, etc. The Finance Committee of the Board of Directors will decide how much of FY2013 surplus can be designated for this purpose, by the September BOD conference call (after the FY2013 audit is completed). That decision would be made annually just after the audit is completed. Dollars would be administered through the AOF. Reviews would be administered through the AAO.
