ABOUT AS COMPANY PROFILE THE MISSION The mission of the Italtel Group is to be a key partner for telecommunication operators (fixed and mobile), Internet Service Providers, Public Administration and Large Enterprises in the creation and management of Next-Generation Networks through the supply of cutting-edge technological products and solutions, enabling operators to provide their clients with multimedia convergent services. Italtel is an acknowledged leader in NGN (Next-Generation Network) solutions, particularly in the area of the softswitch technology, which is the hardware and software platform that lies at the heart of next-generation networks. The company s core business today is the design, development and installation of new-generation integrated multi-service networks (voice/data/video), enabling management of voice traffic over the Internet (VoIP, Voice over IP). With an added value: a systems integration capability that provides infrastructures that are reliable and open to networking and future technological developments. Italtel s head-offices are in Italy, but the Group has also a large presence abroad: UK, France, Germany, Belgium, Spain, Greece, Poland, Russia and Latin America, specifically Argentina, Brazil, Colombia and Guatemala. Italtel has a total of around 2400 employees, of whom almost the half work in the Development & Innovation area of leadingedge ICT sectors: broadband networks, voice/data/video integration and advanced network management systems. Revenue for 2006 amount to million euro with international revenue up 26.8% compared to Net income totals 14.1 million euro, up 2.9% compared to 2005.

2 HYSTORY 1921 the 70s The Italtel Group is established in Italy in 1921, in the sector of telephony equipment and components. During the first sixty years of business, the company gains substantial know-how in the design and implementation of traditional telecommunications networks to support voice traffic. Throughout the years, Italtel develops a strong commercial collaboration with the national public provider (today Telecom Italia), for which it designs, develops and installs systems ranging from the first electromechanical switching systems to semielectronic ones. The 80s At the beginning of the 80s, for the national public provider the Group starts the implementation of the switching network on digital technology (Linea UT telephone exchanges), along with data network design and installation activities. During the second half of the 80s, Italtel launches technical collaborations with the leading international companies in the telecommunications sector: Siemens, Lucent, Alcatel, and Plessey. In 1986 the Group enters the Argentinean market providing Telecom Argentina, one of the national telecom operators, switching exchanges Linea UT to expand its telephone network. The 90s The early 90s sees Italtel continue in its penetration of foreign markets. The Group collaborates with foreign companies and around the end of the 90s, it enters the Spanish market... The company collaborates with foreign companies working in the former Soviet Union, the People s Republic of China, Hungary, Austria, Switzerland and other foreign markets. Its presence also grows in South East Asia (Philippines, India, Indonesia) and South America (Argentina, Guatemala, Colombia, Costa Rica). Around the end of the 90s, Italtel enters the Spanish market, developing the switching network for an alternative operator (now part of the ONO Group). In 1995, Stet (today Telecom Italia) starts a joint venture with Siemens AG Group, in order to control Italtel, to an equal extent, through Telsi Ltd. In March of 1995, Stet and Siemens AG sell all of their respective shares in Italtel SIT and Siemens Telecommunications to Telsi Ltd. In January 1996, Italtel SIT merges with Siemens Telecommunications and in March changes its corporate name to Italtel S.p.a. This marks the beginning of a European entity able to play a significant role in the global telecommunications market. Starting from 1999, the Group undertakes a repositioning policy, leaving manufacturing activities, multimedia terminals and energy systems areas, and focusing its activities on the sector of next generation network and services. To this end, in 1999 Italtel sells to Siemens Information and Communications Network S.p.A. the company units relative to radio, transport and mobile networks for telecommunications. At the same time the Siemens Group sells 50% of Telsi Ltd to Telecom Italia; which leaves the Telecom Group indirectly holding the entirety of Italtel s shares after the abovementioned sale of the mobile network activities to Siemens. This operation, along with the ceding in 1999 of Italtel Sistemi and Italtel Tecnoelettronica, leads to a reduction of the number of workers employed by the Italtel Group from approximately 15,000 to about 5,000. On June 2000, Telecom Italia sells a stake of 80.1% of the share capital of Italtel to a group of investors, keeping the remaining 19.9%. On 25 July 2000, Italtel Holding S.p.A. and Italtel Acquisition S.p.A. are established as part of this transaction. On 6 December 2000, Italtel Acquisition buys 100% of the share capital of Italtel from Telsi Ltd. A year later, on 11 December 2001, Italtel Acquisition incorporates Italtel and takes on the present name, Italtel S.p.A. Between May 2001 and December 2003, in the context of a company-wide reorganisation and rationalisation plan, the Italtel Group effectuates a series of divestitures of several corporate branches and acquisitions, outsourcing other non-core businesses and establishing new foreign offices and subsidiaries. In November 2003, Italtel acquires the Security Operation Center division, strengthening its own product offering in the areas of professional services and managed network security.

3 In May 2004, Italtel acquires the entire share capital of ONE-ANS SpA, a company specialised in the development and supply of system integration services for the control and management of integrated networks or complex infrastructures. In December 2004, Italtel and Cisco renew their strategic alliance, giving way to joint development, sales and marketing activities for their solutions in Europe, the Middle East and Africa.In the early months of 2005, Italtel is leader in Europe in the VoIP (Voice over Internet Protocol), and ranks within the leading positions globally. From 2000 and 2005 the Group creates a series of foreign subsidiaries, including companies in France, Germany, Greece, Brazil, Great Britain and Belgium, with the aim of enhancing the positioning of its own products and services abroad. At the beginning of 2006 the share capital of Italtel Holding (now Italtel Group), which owns 100% of Italtel S.p.A., is distributed thus: Clayton, Dubilier & Rice (CD&R) 48.77%, Telecom Italia 19.37%, Cisco Systems 18.40%, Advent International 8.65%, Brera Capital Partners 2.16%, administrators and employees 2.65%. Moreover, in 2006 it opened a branch in the United Arab Emirates. In February 2006, Italtel Holding changes its corporate name into Italtel Group S.p.A.

4 STRUCTURE The Italtel Group is organised around the needs of Telco operators, enterprises, and public administration, and its structure is based on the range of solutions, products and services for the three levels of telecom network architecture: transport network, core network and application systems. The Italtel Group is divided into two main production and business structures, a Marketing and Communications Unit and various Market Units for Italy and abroad. Product Unit Multimedia Products & Solutions The mission of the Product Unit Multimedia Product & Solutions is to create solutions and products from the Multimedia Products & Solutions line of offerings, and to control the activities of maintenance and expansion of telecommunications operators traditional networks. Design, development, testing, supply and implementation of multimedia Next Generation Networks (NGN). Design, development, testing, supply and integration into the network of software applications for offerings of Next- Generation Services (NGS). Control, extension and maintenance services for traditional fixed telephony networks. The solutions from the Product Unit Multimedia Products & Solutions are created using proprietary and third party products to make up the essential technological components. Moreover, this Product Unit is the technological centre of the Italtel Group, thanks to an advanced research and development division. Product Unit IP Communications & Professional Services The mission of the Product Unit IPC & PS is to develop solutions from the IP Communications line of offerings, and provide solutions and services from the Professional Services line of offerings. Moreover, it is responsible for all installation, testing and management of the Group s products. Design, testing, and implementation of IP data networks, based on third party products, for Telco operators, large enterprises and public administration.

Supply of professional network support services Network Care Design, development, supply and integration of current telecommunication management network systems (OSS Operation Support Systems) and future network management systems (NGOSS Next-Generation Operation Support Systems) for NGN and NGS solutions. Design, development and supply of professional solutions and services for network security and management - Security & Network Management. Marketing & Communication The Marketing & Communication Area is responsible for internal and external communication and advertising. It organises participation in trade shows and events in the sector, manages the preparation, revision and implementation of marketing plans for individual markets and clients, and carries out pre-sales activities to support the national marketing activities. Moreover, this area is in charge of managing the contracts and purchase orders from the Sales Areas. Market Unit Telecom Italia, Public Sector & Large Enterprises This market unit serves the Telecom Italia Group, the Italian large enterprises, and institutions in the public sector. The resources of this market unit are divided according to the type of Italtel offering (Multimedia Products and Services, IP Communications, and Professional Services) and are based on client type. Market Unit Other Italian Operators This market unit serves Italian telecommunications operators other than the Telecom Italia Group, and is composed of resources organised into groups which are dedicated and specialised according to client type. Sales Operations International Markets The sales unit serving the international market is structured according to the level of penetration of the Italtel Group in the respective geographical markets. It is organised into a central coordination unit, two local units for Spain and Russia, and three regional units: consolidated markets in Europe and Africa, emerging EMEA markets, and Latin American markets. This structure also includes a unit which carries out marketing functions for the international market.

6 WHERE WE ARE In Italy, Italtel s headquarter is located in Castelletto di Settimo Milanese (Milan). We have also commercial offices in Rome, while our R&D labs are situated in Castelletto and partially in Carini, near Palermo. In foreign markets, we operate through branch offices, subsidiaries or joint ventures with local partners, in order to be as close as possible to our customers and provide them with tailored solutions according to their local needs. Europe Russia Africa & Middle East Latin America RESERCH & DEVELOPMENT Development and innovation activities are a strategic asset for Italtel and the basis for its growth strategies. During the last years, IP technology has gained an important role in the telecom industry and Italtel s R&D activities have followed this technology evolutions. Skills and competences of human resources have therefore focused on the development of innovative products and solutions for voice, data, video convergence. Today, 46% of total Italtel employees works in the Development & Innovation area. Italtel has reached its leading position in providing telecom operators with innovative network solutions, thanks to its competences and skills and to the ability of providing customized solutions according to customers needs. From 1999 to present, Italtel has dedicated a total of over 5,000 person-years to the development of innovative technologies and over the last ten years, Italtel has invested a relevant part of sales in research and innovation. Italtel's research engagements include a variety of European projects, within the Eureka R&D program and the IST area (Information Society Technologies) concerning the 6th EU Framework Programme. PARTNERS & ALLIANCES Italtel Group has signed important national and international alliances and partnerships with major ICT player, in order to enhance the capacity to offer its customers complete and interworking solutions. Today the Group has, among others, three relevant strategic partners: Cisco Systems, worldwide leader in internet networking and Italtel shareholder, with whom Italtel has a long standing alliance that in 2004 was strengthened; Accenture, worldwide consultancy, technology services and outsourcing giant, with whom Italtel signed a strategic agreement in September 2005, and BEA Systems, a world leader in enterprise and communications infrastructure software, with whom Italtel signed an agreement in Frebruary 2007.

7 Italtel and Cisco Systems Alliance Mission Drive the development and implementation of integrated voice/data carrier class solutions for Service Providers and large companies with a strong focus on Innovative Services. Together, Italtel and Cisco work on network solutions for the convergence of voice, data and video to meet growing global demands - offering customers our extensive Internet and telecoms experience, to expand their own capabilities. In December 2004, the companies announced a strengthening of their four year technological and commercial strategic alliance. As part of the alliance, Italtel and Cisco will focus joint development, sales and marketing activities on addressing the migration of traditional voice networks to next generation Internet Protocol (IP)-based networks. At the same time, Italtel and Cisco will drive growth of IP Communications into the corporate business voice services segment across Europe, Middle East and Africa (EMEA). In September 2006, Italtel and Cisco Systems announced the signing of a new agreement to extend their strategic technology and commercial alliance to 2008, with an expanded market coverage beyond Europe, Middle East and Africa to include the Latin America region. As a first result of their renewed alliance, Italtel and Cisco presented at Broadband World Forum in Paris (October 2006) a new joint solution to help service providers address the rapid growth in the managed IP communications services market. 8 SUCCESS STORIES Thanks to its history and extended knowledge in telecom networks, when Italtel acquires a new customer, it becomes a partner with whom Italtel can work together to create new opportunities, services, new ways to communicate within the office, the company and in everyday life. Italtel s reference market principally consists of telecommunications providers (public and private), as well as large companies and the public administration. These customers can rely on Italtel as a real partner, able to provide different network solutions according to specific needs. Italtel solutions have been adopted by a wide range of operators in many countries thanks to their reliability, their advanced maintenance features, the innovative services they can offer and which can be tailored to specific customer requirements, their cost-effective application, as well as their compatibility with existing networks (thus allowing smooth transition towards fully digital networks). Besides being leader in Italy, Italtel has a large presence in Europe (UK, France, Belgium, Spain, Greece, Poland, Romania, Russia) and Latin America, (Argentina, Brazil, Colombia, Guatemala, Perù). In foreign markets, Italtel operates through branch offices, subsidiaries or joint ventures with local partners. Major customers are: Telecom Italia, Fastweb, Wind, Vodafone, BT Albacom (in Italy), Telecom Argentina (Argentina), Tim Brasil (Brazil), ONO (Spain), Belgacom (Belgium), Bulldog (Cable & Wireless UK), Neuf Cegetel (France) e TP (Poland).
