5 Official Event Merchandizing Agreement OFFICIAL SOUVENIR MERCHANDISING AGREEMENT FOR EVENTS LISTED ON PAGE 7 FINE DESIGNS AGREES TO THE FOLLOWING: 1. Commission Payment Structure: City of Bryant, Parks Department is paid according to the following formula for the exclusive merchandising and novelty sales at the agreed events listed on page 7: a. For events generating sales $10,001 and above: 25% of Gross Sales or a minimum guarantee of $7.00 on every item sold, whichever is greater. b. For events generating sales $4,001 and $10,000: 20% of Gross Sales or a minimum guarantee of $6.00 on every item sold, whichever is greater. c. For events generating sales $4,000 and below: 15% of Gross Sales or a minimum guarantee of $5.00 on every item sold, whichever is greater. b. Optional Donated Apparel: We will donate up to fifteen (25) volunteer Cotton T-shirts at no cost to City of Bryant, Parks Department. Donated apparel includes: Official tournament logo on front with either Staff or Volunteer wording on the back. Donated t-shirt colors included are white, grey, safety green, safety orange, or neon pink. City of Bryant, Parks Department must provide details (sizes, color, etc.) for the donated t-shirts two weeks prior to the event. If the information is sent later than two weeks prior, it is not guaranteed that they can be delivered prior to or onsite at the event. Additional Volunteer tees will be sold at the lowest wholesale cost of $6.00 per item for 100% cotton tees. 2. Wholesale Apparel & Products: Additional staff, volunteer or bulk merchandise is available for purchase throughout the year at our lowest wholesale cost. a. Apparel: T-shirts, hoodies, sweatshirts, sweatpants, polos, tank-tops, fashion-style shirts, etc. b. Large Format Printing: Vinyl Banners, Signage, Pop Displays, Yard Signs, etc. c. 4-color Offset Printing: Letterheads, programs, mail-outs, business cards, tickets, post cards, etc. 3. ONLINE STORE (if mutually agreed for large events): We will assist your organization with additional revenue sources by hosting an online store to sell official pre- and post-event merchandise as well as other apparel items mutually agreed upon. a. Customization: All online apparel is customizable, which will optimize sales. Go to: to see the full functionality of the site. b. Maintenance: Fine Designs will handle all aspects of the online store, including design, hosting, E-commerce capabilities, order fulfillment, and customer service functions. i. We will provide web banner advertisements as needed for blasts and website advertising. ii. iii. We ship products directly to customers or have the option for coaches to pick up orders onsite at registration. The online store will be available before and after each event so that everyone has a chance to purchase the event specific merchandise. 4. Referral Program: The following referral bonus structure is based on Fine Designs contracting new customers as a result of City of Bryant, Parks Department relationships and influence. a. $ bonus for events with gross sales between $5,000-$15,000. b. $ bonus for events with gross sales greater than $15,000. c. Check to be mailed no later than 2 weeks following each contracted event. Bonus is limited to new customers (after one year of partnership, event is no longer considered new). 5. Logo Design: We will provide all event logos, slogans and other decals at no charge. 5 of 8

6 Official Event Merchandizing Agreement 6. Design Proof: We will provide PROOF of ALL artwork to be used onsite with ample time for edits. 7. Roster/Typesetting: We will provide typesetting for a COMPLETE LIST OF TEAM AND COMPETITOR NAMES to be used on the back of shirts as a customization option for buyers. 8. Staff Manager: We will assign one team manager to coordinate onsite sales for all events in the calendar year. 9. Inventory: All garment types and novelty items are to be agreed upon by both parties. We will provide a minimum of TWENTY (20) STYLES of garments for sale. (For larger spectator championships, Fine Designs will provide a more extensive selection of graphics and artwork). a. Quantity: We will have an adequate number of products on hand throughout the entire event, so that everyone can benefit from the large selection of items and customization options. b. Quality of Production: All our products are guaranteed not to crack, peel, or bleed for up to 2 years from purchase. 10. Quality of Presentation: We will provide an attractive Sales Kiosk that will draw spectator and participant attention with colorful displays and graphics. All displays will be subject to review and approval of City of Bryant, Parks Department. 11. Professional Staff: We will provide an adequate number of professionally trained sales staff onsite at each event for the agreed upon times. 12. Venue Coverage: If multiple venues are utilized, Fine Designs commits to provide sales staff at all additional agreed locations. 13. Sales Reports: Fine Designs will provide written sales reports for all City of Bryant, Parks Department agreed events. CITY OF BRYANT, PARKS DEPARTMENT AGREES TO THE FOLLOWING: 1. Exclusive Souvenir Apparel: Allow Fine Designs to have the exclusive selling rights on souvenir apparel (i.e. Onsite screen printing). 2. Named Official Event Merchandiser: Name Fine Designs the Official Event Apparel Provider of City of Bryant, Parks Department agreed events. 3. Revenue Sharing: If revenue sharing is required, Fine Designs shall not be responsible for providing any additional percentage of sales to any third party. City of Bryant, Parks Department will handle all responsibility and negotiations if revenue sharing is required. 4. Roster Provision: City of Bryant, Parks Department will provide team and competitor names in excel format no later than four (4) days prior to the start of each event (for printing onto the back of apparel items). 5. Outside Vendors: City of Bryant, Parks Department agrees to notify Fine Designs when an outside vendor is seeking permission to sell apparel at any given event. Both parties are to agree whether the outside vendor is to be allowed permission for apparel sales (this does not refer to pro-shops). 6. Logo Property: All data produced as a result of this program shall remain the sole property of City of Bryant, Parks Department. 7. Host Provisions: City of Bryant, Parks Department is to provide prime sales location (space accommodations are to be agreed upon by both parties). Host to use its best efforts to provide 4 tables, electricity and tents (if applicable). 8. Web Store and Apparel Marketing: City of Bryant, Parks Department agrees to properly market each online store and onsite location by committing to the following: a. blasts regularly to promote Fine Designs Official Customized Merchandise and online store (for large events). b. Pre-event and post-event sales promotions on all and any official website(s). Banner advertisements, program flyer (if applicable) and link to online store will be provided by Fine Designs graphic artist. 6 of 8

7 c. An overall commitment to contribute creative ideas to promote the sales of official merchandise.
