1 Aptitude Software Limited (UK) Application Platform for Cloud Aptitude Software s Application Platform for Cloud empowers customers to rapidly design, build prototypes, develop and enhance new software applications for deployment to public, private or hybrid cloud environments or on- premise. The Aptitude Platform helps public sector leaders to rapidly address business needs with software systems that provide a high- level of transparency, integrate with existing IT systems, scale to meet processing needs and are easy to adapt and enhance as requirements change. Ultimately, the Aptitude Application Platform for Cloud enables government agency leaders to develop dynamic new services; streamline business processes; introduce new business models; and process data on scalable calculation engines in the cloud. Proven Capabilities In the UK, the Aptitude platform has been used by National Rail to account for all train movements, UK Mail to manage pricing and invoicing, and at Scottish Widows for controlling payments. Network Rail s principal income stream is derived from the companies that use the track infrastructure for which Network Rail is responsible. This accounts for nearly 3 billion of revenue per annum. Aptitude s platform was used for the delivery of a Track Access Bill System and to support the new and complex track infrastructure charging regimes, which is regulated by the Office of Rail Regulation. UK Mail is the largest independent parcels, mail and logistics services company within the UK, delivering mail, parcels and pallets. Aptitude Software was used to in an initial project to deliver UK Mail s Invoice Management Processing System using the Aptitude Platform. A second application was developed on the Aptitude Platform to deliver a Pricing Calculation Engine used to price all UK Mail s parcel and mail consignments enterprise wide. Other worldwide customers include RBC, leading UK banks, Discover Card and some of the world s largest digital media platforms. Service Overview The Aptitude Application Platform for Cloud includes all of the components required to design, proof of concept, build and deploy software applications to quickly solve business challenges.

3 Overview of the Aptitude Application Platform for Cloud The Aptitude Platform is an Enterprise Application Platform used to rapidly build, run and maintain applications. The technology has been rated as visionary by a leading technology analyst firm, and underpins a range of customer software systems and Aptitude Software- developed applications. The Aptitude Platform is often used when no commercial- off- the- shelf software is available, when traditional software development approaches don t suit business needs (such as speed to deploy and transparency of business logic), or when there is a need to quickly process a large volume of complex data. Aptitude scales to meet the most demanding processing requirements, making it ideal for developing public sector cloud applications. Full application development technology stack The Aptitude Platform uniquely brings together all of the technology components needed to quickly build new software applications. The technology stack (in one product) includes a business rules engine, web application development, data integration (ETL/EL- T), in- database processing, service bus messaging (SOA/EDA), and transaction process management. The comprehensive platform functionality and scope reduces the need to source and master a wide variety of other technologies and ensures that Aptitude applications are quicker to build, test, deploy and run, as well as being easier to change and enhance. Business- centric design The Aptitude Platform is designed to ensure applications serve business needs. The software enables the rapid prototyping of applications, allowing public sector leaders to show quick results and gain progressive funding. With the Aptitude Platform, business teams have control with intuitive interfaces for managing business rules, logic and processes. This ensures a collaborative approach to not only initial application development but also the on- going support of software systems. Integration functionality The Aptitude Platform s extensive integration support means that customers don t need to rip out and replace legacy systems, or take on multi- year software development programmes, as existing systems can be augmented by Aptitude applications. The platform s integration facilities not only reduce the cost of application development by allowing teams to take advantage of existing assets but also provide customers with options to quickly combine with and deploy and/or scale applications as needed, whether for public, private or hybrid cloud deployments, or on- premise. The platform integrates with widely used databases, libraries/dlls, messaging systems, other applications, and web services. The Aptitude Platform can

4 manage complex XML data, SAP formats, third party data feeds, and different database types, amongst others. Customers are also able to build their own devices, as to integrate Aptitude applications with any legacy infrastructure. Flexible deployment The Aptitude Platform scales and flexes to meet customers processing and data management requirements. It combines a single execution environment with the ability to distribute processing across multiple threads, processors and servers. In this sense it enables government agencies to meet any processing requirement, and to deploy applications to cloud environments. Big Data processing The Aptitude Platform is able to process millions of transactions per hour, leveraging in- memory, in- database and other Big Data technologies as required. Aptitude s thread aware processing can be parallelised across multiple threads, processors and servers, all ideal features for cloud deployment, which have a wide range of processing requirements. The event driven architecture supports low latency real time applications as well as high volume batch processing. Service Detail: Aptitude Application Platform for Cloud With the Application Platform for Cloud offering, customers can choose to consume development, production or proof of concept packages. This gives public sector business leaders the ability to take advantage of the flexibility, versatility, scalability and lower costs of new cloud or on- premise software applications. The platform is designed to empower business leaders to roll- out new services and to automate existing business processes on their own terms, choosing to either prove new concepts, pilot, develop or to run applications. Customers can choose to consume supplementary solution design, development, training, and software support services. Software licenses for the application development platform The software development license that Aptitude Software is offering is based on a Development License Fee that provides customers with a right to develop and test applications on the Aptitude Platform and access to software platform maintenance for a period of up to one year following contract order. Two non- production instances of the development software are provided under the Development License to cover both development and testing of applications.

5 The Development License Fee is based on the number of users licensed to develop an application on the platform and the duration of the proposed development: Up to 6 months Up to 12 months Up to 5 users 30,000 45,000 6 to 10 users 45,000 67,500 The prices above apply to the initial Development License and also to the extension of an existing Development License. Invoicing is on a monthly pro- rata basis in arrears e.g. 3,750 per month for the 5 user Development License for a 12- month term. Example 1: if a 5 user Development License is taken for 6 months at 30,000 then the price to extend it for another 6 months is also 30,000. Example 2: if a 5 user Development License is taken for 12 months at 45,000 then the price to extend it for another 6 months is 30,000. Example 3: If a 5 user Development License is taken for 12 months at 45,000 then the price to extend it for the last 6 months up to 10 users is 30,000. High Level Design and Proof of Concept service package Provided there is a Development License paid up for the Application Development Platform (above) plus suitable written requirements (with test data, sample screens and calculations) for the proposed application then Aptitude Software will deploy 2 resources for up to two weeks (20 man days) to document a high level design and build a proof of concept for the new application within a scope constrained to the 20 man days. This service is included within the Development License Fee and is available once in each 12 months from the inception or subsequent anniversary of the Development License. Additional service packages for high level design and proof of concept can be purchased for 20,000 and additional man- days of development are charged according to the Aptitude Software s SFIA rate table. Production run- time software licenses for the Aptitude Application Platform The software production run- time license that Aptitude Software is offering is based on an Annual Production License Fee that provides customers with a right to run applications in production on the Aptitude Application Platform and access to software platform maintenance for a period of one year following contract order, automatically renewing for a further year unless 90 days notice is given prior to an anniversary of the license. One production instance, and one standby disaster recovery instance, of the software are provided under the Annual Production License to cover both live production and business continuity. The Annual Production License Fee is based on the size and number of applications to be run on the platform and the Annual Production License Fee is

6 adjusted at renewal to reflect actual use at renewal in excess of the license purchased by charging a 30% retrospective license fee for any new applications introduced above the licensed level during the year: Small Medium Large Very Large 1 to 2 applications 45,000 95, ,000 POA 3 to 5 applications Above less 15% POA 6 to 10 applications Above less 30% POA For example, a customer might start with one Medium application at an Annual Production License Fee of 95,000 and then by the end of the first year have added another two Small applications. The next year s Annual Production License Fee will be ( 95, , ,250 = 178,250) and the retrospective license will be ( 45, ,250) * 30% = 24,975. For the purposes of this license model a Small, Medium or Large departmental application is decided by the following table of tests and the highest test result decides the application size at go- live or renewal very large applications are Price On Application (POA): Test Small Medium Large POA Number of internal (non web view) key application users <25 25 to to 100 >100 Number of transactions or calculations processed per <1m 1m to 3m 3m to 5m >5m month (millions) Training courses for the Aptitude Application Development Platform Aptitude Software can provide both public and private courses for the Aptitude Application Platform for Cloud. These courses are for employees of licensed customers to bring development and support skills in house, though internal teams can be supplemented by Aptitude Software resources. Public courses are run from our training centre in Fleet, Hampshire, at a cost of 1,000 per employee delegate per day and private courses are run on customer site for up to 5 employee delegates at a discounted cost of 17,500 per week (excluding expenses that are recharged at cost) provided the customer has purchased a Development License. There are three main courses that build on each other: 1. Aptitude Foundation for Application Developers design and implement basic and complex processing (5 day course with accreditation) 2. Aptitude Web Forms and Workflow design and build web applications (5 day course following Foundation accreditation)

Aptitude SOA, BPD and DBClarity develop business processes, web and Aptitude services plus SQL and in- database applications (5 day course following Foundation accreditation) Application support In addition to software platform maintenance on the Aptitude Application Platform (development or run- time) there is an optional service package available to provide application support for your configured business application. This service can augment (or replace) your internal team to support the solution, processes, rules and configuration built with Aptitude and even operating environment problems. This service is provided under the same SLA as Aptitude software platform maintenance and can be purchased in packages from ad- hoc support to complete application management as follows: The following applies to all support packages: Customer solution handover and set- up for application support: 5 to 10 days technical, functional, environment, process and documentation handover and set- up is required for any Aptitude application that a customer wants to be supported externally by Aptitude Software under application support or management. This is charged at 850 per man- day required to take on the application.

UK Public Holidays For Application Management, occasional out of hours cover can be arranged for system maintenance Out of Hours Options: 24x7 support packages available price available upon request Service Days: Service delivered using an agreed number of service days each quarter (no rollover) priced at 3,400 per service day each quarter and is invoiced on a monthly pro- rata basis in arrears e.g. 3 days per quarter is 10,200 per annum and this invoiced as 850 per month for the 12 month term. The support contract renews for a further year unless 90 days notice is given prior to an anniversary of the support contract Minimum 3 days/quarter ( 10,200 per annum) Up to 10 days per quarter, more than this will be on a monthly basis (e.g. 4 days per month) Service rate card for Aptitude application configuration, integration, test support, deployment and enhancement In addition to the Aptitude Application Platform for Cloud offering, Aptitude Software can provide the customer with application design, configuration, integration, test support and deployment services to develop or enhance applications using the Aptitude Platform. Apply Enable Ensure/Advise 1,150 1,150 1,150 1,150 1,150 1, Initiate/Influence 1,500 1,500 1,500 1,500 1,500 1, Set Strategy/Inspire 1,850 1,850 1,850 1,850 1,850 1,850 Technical requirements The provision of hardware is not within the scope of, but Aptitude Software will work with Aptitude Platform for Cloud customers during the solution design phase to define relevant hardware sizing needs for your preferred cloud services provider (End of Service Detail for Aptitude Platform for Cloud) Information Assurance The Aptitude Application Platform for Cloud information assurance level depends on the chosen deployment model and the application requirements, whether in private, public or hybrid cloud environment or on- premise. Data restoration/backup/restore Data restoration, back- up and restoration capabilities are dependent on each customers application designs and the technical environment on which the customer chooses to run an Aptitude- based application. Aptitude applications are used by many large private- sector enterprises, in which the requirements for data restoration and back- up are strenuous. Ordering Aptitude Software s Application Platform for Cloud Service On boarding Customer enquires and call- off contracts should be directed to Aptitude Software by ing info@aptitudesoftware.com. Upon acceptance of the call- off contract, Aptitude will provide the nominated G- Cloud customer with a simple Service Request Form to capture the required order details. Delivery of the service will commence on a date that is mutually agreed.

10 Customer Responsibilities As cloud application development engagements often require collaboration between the customer and the supplier, Aptitude Software would expect customers to provide Information about application requirements and technical environments in a timely manner Access to resources and stakeholders Off boarding and disengagement Beginning ninety days before the Call- Off Agreement is scheduled to expire, or promptly following issuance of a termination notice, the parties shall have the following responsibilities: Aptitude Software will: Handover any defined deliverables for services, including any work in progress Customer will: Pay the charges due as set out by Aptitude Software for work delivered or software provided Provide a receipt for the delivery of defined service deliverables Invoicing All invoicing is monthly in arrears based on the monthly pro- rata amount of the service e.g. (a) 3,750 per month is invoiced for 12 months for the 5 user Development License for a 12 month term ( 45,000) or (b) 850 per month is invoiced for 3 days per Application Support quarter ( 10,200 per annum). Termination Terms Development License is offered with a 6 month or 12 month minimum term and can be terminated at the end of the term with 90 days written notice. Production Run- time License and Application Support is offered for a 12 month minimum term and can be terminated at the end of the term with 90 days written notice. Training cannot be terminated once an order is placed for firm dates and course delegate places. Other rate card services can be terminated with 30 days written notice.

Prices are illustrative, exclusive of VAT and subject to due diligence.

12 Minimum Order The minimum commitment is one unit of any of the orderable Aptitude Platform for Cloud services, as described in the pricing summary. For example, an Aptitude Application Platform for Cloud Development License for 6 months for 5 Development Users, with an included design and proof of concept service (20 man days), would be 30,000 and is payable monthly in arrears at 5,000 per month. Ancillary services, including Training; Application Support; and Aptitude T&M services for application configurations, integration, test, support, deployment and enhancement all require the purchase of an Aptitude Development license. One- Time Charges Not included. Applicable one- time charges that may be required will be specified in the order form and will be mutually agreed. Cost and Expenses Aptitude Software s charges as described in the Pricing section only include the resources and services expressly described as Aptitude s responsibilities. It does not include expenses or the cost of any infrastructure and software licenses other than the Aptitude Platform licenses. The customer remains responsible for all such costs and expenses related to receipt, deployment and use of the Aptitude Platform. Termination and Termination Charges As per Aptitude Software s Terms and Conditions Lot 4. Service Management Training Training services can be procured as part of Aptitude Application Platform for Cloud.
