Since additional information may be required from the customer in order to develop the appropriate configuration for the customer s project or requirement, the term solution does not imply that those products or services as proposed are guaranteed to, or will, meet the customer s requirements. The use of the terms partner or partnership does not imply a formal, legal, or contractual partnership, but rather a mutually beneficial relationship arising from the teamwork between the parties. This proposal is subject to agreement of a Call-Off Order. Only a mutually agreed definitive agreement in the form of an agreed Call-Off Order, signed by the authorised representatives of both parties, shall be binding on HP or its affiliates. Unless otherwise agreed in writing, all prices contained herein are indicative and are provided for budgetary purposes only. All prices are exclusive of VAT. If there are any concerns, questions, or issues regarding this Confidentiality Notice, please contact your HP representative HP has rebranded its HP Enterprise Cloud Services (ECS) and (ECS-G) Services under the generic brand name Helion. All Service and Security Accreditations previously awarded in respect of the ECS-G features and functionality remain in place and have not been affected by this rebranding exercise unless otherwise stated within this document. 5 Pricing Detail Orders would be subject to the Framework arrangement and HP standard terms and conditions which support this Service. Services could be provided either on a firm/fixed basis or Time and Materials basis. HP Security Consultancy rates are given in the table below. They are exclusive of VAT at the prevailing rate. Consultant Grade Specialist Expert Master Strategist Day Rate ( ) Standards for Consultancy Day Rate cards: Consultant s Working Day 7.5 hours exclusive of travel and lunch. Working Week Monday to Friday excluding national holidays Office Hours - 09:00 17:00 Monday to Friday (Flexible) Travel and Subsistence Payable on actual costs incurred. Volume Discounts: Any purchase order of at least 50 consultancy days will attract a 10% discount on the day rates listed above. Page-5

6 Joining the HP Cloud Family Onboarding Customer enquiries and Call-Off Contracts should be directed to the HP UKPS Framework Management Centre by to Upon acceptance of the Call-Off Contract, HP will provide the nominated G-Cloud customer with a simple Service Request Form to capture the required order details. Transition prices, unless stated, are not included within the core pricing as the G-Cloud customer dependent on their business requirements can choose an number methods of implementing the G-Cloud Service either by choosing to synchronise the move with upgrades to applications or rollout of new capability. HPs consultants can then assist with the definition of G-Cloud Service architecture to make sure your transition runs smoothly and without disruption via HP s Lot 4 Offerings on CloudStore. The G-Cloud customer is on-boarded after the Service Request Form is received. The activities required to on-board are targeted at taking 7 business days following the finalisation of the networking where applicable. Service Changes HP recognises, the G-Cloud customer needs to be able to easily and flexibly change capacity within the HP Cloud Service. One of the benefits of HP Cloud Services the customer can easily make, and request changes, through the G-Cloud Portal or, customers may request operational changes through the Operations Centre Desk (such as, for example, changes to IP addresses, changes in firewall rules, or server reboots). Offboarding Beginning ninety (90) days before the Call-Off Contract is scheduled to expire, or promptly following issuance of a termination notice, the Parties shall have the following responsibilities. HP Responsibilities HP will: Give periodic notice to Customer of pending expiration or termination of the Call-Off Contract and cessation of Service. Upon request, if Customer has obtained optional backup service, HP will restore Customer Data to the Customer designated server or storage within the HP environment (at additional cost, including HP s then-current standard Charges for restores, as well as normal Charges, pro-rated on a per diem basis for additional days of operation required to restore and retrieve backups). Such requests must be submitted within thirty (30) days after expiration or termination of Call-Off Contract. Page-6

7 Over-write all storage media (including backups, if any) after (i) receiving Customer s notice that Customer data and Customer s software have been removed or, if no such notice is received (ii) expiration of thirty (30) days from expiration or the effective date of termination. Thereafter, Customer s software and Customer data will be permanently erased without further notice to Customer. Give Customer notice that all operating systems and storage media have been erased and that all access to the HP network and ECS Services has ceased. Customer Responsibilities Customer will do all of the following in a timely manner: Remove all Customer data and Customer software and notify HP Request that HP remove Customer s domain names from the ECS service domain Disconnect from the HP data centre. Details of any Trial Service available HP s G-Cloud Service is available from HP Datacentres located in UK. A demonstration of the offered Service(s) and a Proof of Concept environment are available upon request. Ordering and Invoice Details Customer agrees to pay the Charges specified below, and to pay or reimburse the other costs specified as Customer responsibilities. Minimum Order HP offers the G-Cloud customer discounts based on volume and commitment. Please contact HP for further details. All figures are quoted exclusive of VAT and assume use of customer provided licences. The final charges may consist of the following and will be discussed and finalised with the G-Cloud customer in agreeing the Order. These are: Service stand up charges, dependent on options chosen Data transfer - if required Ongoing networking charges Any additional services, such as backup or disaster recovery Consultancy support to transition and application support Depending on the network connectivity option that the G-Cloud customer selects to connect to the service, the G-Cloud customer may incur additional network charges from their network provider for data transfer. Charges Generally In consideration for the Services, Customer agrees to pay the One-Time Charges and Service Charges specified below. One-Time Charges One-time Charges specified in the agreed Order Form are incurred as and when servers and other resources are made available to Customer. Page-7

8 Where HP Consultancy Day Rates are applicable, please refer to HP s SFIA Rate Table which is available as supporting documentation within the identified Lot 4 Service. Minimum Service Charges and Term Commitment After expiration of the Ramp-Up Period, Service Charges will at least equal those payable for Customer s Base Capacity for all resources (including applicable discounts and peak premiums). Minimum Service Charges are calculated on an aggregate basis for all categories of resources under the Call-Off Contract then in effect. The minimum term commitment for Services is six (6) months. The minimum Charge for any single server is the unit charge for one month. Costs and Expenses HP Charges include the servers, storage, and other resources and services expressly described as HP responsibilities. Customer remains responsible for all of its other costs and expenses related to receipt and use of G-Cloud Service(s), including (without limitation): (i) telecommunications infrastructure and service charges (except to the extent covered by optional leveraged Internet service); and (ii) license, support and other charges for software of all kinds (excluding only software that HP expressly agrees to provide). Termination If Customer terminates the Call-Off Contract or some or all G-Cloud Services after the initial minimum term of six (6) months, Customer shall pay to HP as a Termination Charge an amount equal to any unearned discount received that is attributable to the unfulfilled portion of commitments specified on agreed Order. Termination Charges are payable within thirty (30) days of the date of HP s invoice.
