Airport, Babatpur, Varanasi NOTICE INVITING TENDER AND TENDER INSTRUCTION Estimated Cost = Rs 4,40,645/- (Rs Four lacs Forty Thousand six hundred fourty five only) QUERY: (FAX NO.)

5 P-2 1- Sealed item rate tenders are invited on behalf of the Airports Authority of India for the work as mentioned at serial no.1 in Schedule E. The estimated cost of the works mentioned at serial no. 2 in Schedule E. This estimate, however is given merely as rough guide. 2- The tender shall be in the prescribed form. 3- The works are required to be completed within the period as mentioned at serial No. 3 in Schedule E. This period shall be reckoned from the fifteenth day after the date on which the in-charge issues written orders to commence the work in accordance with the phasing, if any, indicated by AAI in the tender documents. 4- Normally contractors of concerned state in which Airport exists will be permitted to tender. Not more than one tender shall be submitted by a contractor or by a firm of contractors. No two or more concern in which an individual is interested as Proprietor and/or Partner shall tender for the execution of the same works. If, they do so, all such tenders shall be liable to be rejected. 5- The Accepting authority as mentioned at serial no 4 in Schedule E shall be Accepting Officer hereinafter referred to as such for the purpose of this contract. 6- Application for issue of tender documents shall be submitted to the accepting authority so as to reach his office not later than the date as motioned at serial no 5 in Schedule E. 7- Willing tenderer must attach with their application self attested copies of permanent account number, valid service tax registration certificate, list of similar works executed during last Seven years indicating date of completion as per agreement and actual date of completion of works. In case of Non. Govt./Non PSU s organizations, TDS certificate shall be submitted in addition to referred documents. Tender documents will be sold only to those who are found suitable after scrutiny of applications. 8- Tender documents consisting of plans, specifications schedule(s) of Quantities of the various classes of work to be done, the condition of contract and other necessary documents will be open for inspection in the office of the Airport Director, AAI, L.B.S.I. Airport, Babatpur, Varanasi (U.P.) between 11:00 AM to 4:00 PM every day except Saturday, Sunday and public holidays. Tender documents will be sold on payment of the amount as mentioned at serial no 6 in Schedule E by way of Demand Draft payable at Varanasi drawn in favour of Airports Authority of India within the dates as mentioned at serial No. 7 in Schedule E during working hours only.

6 P-3 9- Tenderer are advised to inspect and examine the site and its surroundings and satisfy themselves before submitting their tenders. A tenderer shall be deemed to have full knowledge of the site whether he inspects it or not and no extra charges consequent upon any misunderstanding or otherwise shall be allowed. 10- Submission of a tender by a tenderer implies that he has read this notice and all other contract documents and has made himself aware of the scope and specification of the work to be done and of conditions and rates at which stores, tools and plant, etc. will be issued to him by AAI and local conditions, local material rates and other factors bearing on the execution of the works. 11- A tenderer should quote the rates in figures as well as in words. The amount for each item should be worked out and the requisite totals given, special care shall be taken to write rates in figures as well as in words, and the amounts in figure only in such a way that interpolation is not possible. The total amount shall be written both in figures and in words. In case of figures, the words Rs. Should be written before the figure of rupees and the word paisa after the decimal figure e.g Rs. 2.15p and in case of words, the word Rupees should precede and the word paisa should be written at the end. Unless the rate is in whole rupees and followed by the world only It should invariably be up to two places of decimal. However, if a discrepancy is found, the rates which correspond with the amount worked out by the contractor shall be taken as correct. If the amount of an item is not worked out by the contractor in words shall be taken as correct. Where the rates quoted by the contractor in figure and in words tally but the amount is not worked out correctly the rates quoted by the contractor will unless otherwise proceed and not the amount. 12- All rates shall be quoted on the tender form. 13- In the case of item rate tenders, only rates quoted shall be considered. Any tender carrying percentage below / above the rates quoted is liable to be rejected. 14- The tender for the works shall not be witnessed by a contractor or contractors who himself / themselves has / have tendered or who may and has / have tendered for the same works. Failure to observe this condition shall render the tender of the contractor tendering as well as of those witnessing the tender liable to rejection. 15- Tenders shall be received by Accepting Authority up to the date and time as mentioned at serial no 9 in Schedule E and shall be opened on the date and time as mentioned at serial no 10 in Schedule E in the presence of tenderers who may be present.

7 P The tender shall be accompanied by Earnest Money of amount as mentioned at serial no. 11 in Schedule E in the form of Demand Draft drawn on any Nationalized / Scheduled Bank of India in favour of AIRPORTS AUTHORITY OF INDIA payable at VARANASI. Tender for the present work shall be submitted in sealed cover super scribing the name of work and address at serial no. 8 of Schedule E. Two sealed cover procedure shall be followed as motioned in Para 29/page Notification of Award of contract will be made in writing to the successful bidder by the Accepting Authority or his representative. The contract will normally be awarded to the qualified and responsive bidder offering lowest evaluated bid in conformity with requirement of the specifications and contract documents and the Accepting Authority shall be the sole judge in this regard. The Accepting Authority does not bind himself to accept the lowest or any tender or to give any reason for his decision A responsive bidder is one who submits priced tender and accepts all terms and conditions of the specifications and contract document without any major modifications A major modification is one which affects in any way, the quality, quantity and period of completion of the work or which limits in any way the responsibilities or liabilities of the bidder or any right of AAI as required in the specification and contract documents. Any modification in the terms and condition of the tender which are not acceptable to AAI also shall be treated as a major modification A tenderer shall submit a responsive bid, failing which his tender will be liable to be rejected The Accepting Authority reserves to himself the right of accepting the whole or any part of the tender and tenderer shall be bound to perform the same at his quoted rates. 18- On acceptance of tender, earnest money will be treated as part of the Security deposit.

8 P The tenderer whose tender is accepted, shall permit Airports Authority of India at the time of making any payment to him for work done under the contract to deduct towards Security Deposit such sum as will along with the Amount of Earnest Money already deposited amount to 10% of the gross amount of the bill till the sums so deducted amount to the security money as mentioned at serial no. 12 in Schedule E. The Security Deposit will also be accepted in cash or in the shape of Govt. securities, fixed deposit Receipts and Guarantee Bonds of Scheduled Bank and State Bank of India will also be accepted for this purpose. 20- Airports Authority of India will return the earnest money, where applicable, to every unsuccessful tenderer except as provided in the tender documents. 21- Canvassing in connection with tenders is strictly prohibited and the tenders submitted by the tenderer who resort to canvassing will be liable to be rejected. 22- The tenderer shall not be permitted to tender for works in Airports Authority of India, CNS Department (responsible for award and execution of contract) in which his near relative is posed as an officer in accounts or in any capacity in CNS department. He shall also intimate the names of persons who are working with him in any capacity or are subsequently employed by him and who are near relatives to any officer in Airports Authority of India. Any breach of this condition by the contractor would render him liable to be debarred from tendering for next 2 years. 23- The contractor shall give a list of AAI employees related to him. 24- The tender for works shall remain open for acceptance for a period of ninety days from the date of opening of tenders. If any tenderer withdraws his tender before the said period or makes any modification in the terms and conditions of the tender which are not acceptable to the AAI, then Airports Authority of India shall without prejudice to any other right or remedy, be at liberty to forfeit the full said earnest money absolutely. 25- On acceptance of the tender, the name(s) of the accredited representative(s) of contractor who would be responsible for taking instruction from the in-charge shall be communicated to the incharge.

9 P A tenderer shall submit the tender whom satisfies each and every condition laid down in this notice, failing which, the tender will be liable to be rejected. 27- Sales tax / Purchase tax,vat, turn over tax service tax or any other on materials and labour in respect of this contract shall be payable by the contractor and Airports Authority of India will not entertain any claim whatsoever in this respect. 28- The site for the work may be made available in full or parts / phases as decided by incharge. No time extension for handing-over of site in phases will be granted. 29- MODE OF SUBMISSION OF TENDERS: TENDERING IN TWO SEALED COVERS Tender for the present work shall be submitted in sealed cover super scribing TENDER-DO NOT OPEN and name of work for which the tender is sold. This cover shall contain two separately sealed cover super scribed as below: 29.1 COVER NO. 1 SHALL CONTAIN THE FOLLOWING:- Earnest money deposit as per clause 16 of this NIT. Unconditional acceptance of AAI s tender condition in its entirety. This acceptance letter in the Performa as per Annexure-I at page P-28 shall be submitted in this sealed cover along with other documents as mentioned above. Proof of TIN No. Registration Certificate. The tenderer who download a tender documents should give UNDERTAKING FOR DOWNLOADED TENDER DOCUMENT given in Annexure II page p-29 Self attested copy of PAN No. Tender Documents issue by AAI, duly signed and stamped on each page by tenderer. All proformas forming part of the tender documents shall be filled in, signed and stamped by the tenderer Tender will be issue to only those who produce certificate from client of having satisfactorily completed at least three works, each of 40% or two works, each of 50% or one work of 80% of the estimated cost of similar nature of work, during last seven years ending on 30/09/ COVER NO. 2 SHALL CONTAIN THE FOLLOWING:- Balance Tender Documents issued by AAI, duly signed and stamped on each page by the tenderer. All proformas forming part of the tender documents shall be filled in, signed and stamped by the tenderer. Schedule of Work (at page No. P-22 to P-27) with rates duly filled in figures and words and amount worked out in figure on each page signed and stamped by the tenderer.

10 P-7 Note:- Cover No. 2 shall contain only the above documents, and no other conditions. Cutting or overwriting if any must be signed and stamped by the person signing the ender At the stipulated time of opening Cover No. 1 shall be opened first. The offers from those tenderer who are unable to unconditionally accept AAI s tender conditions or who fail to deposit required earnest money will be rejected and Cover No. 2 containing the tender quotations of such tenderer shall not be opened Tenderer who unconditionally accept AAI s tender conditions and deposit the required earnest money shall be considered for the present work and Cover No.2 containing the tender quotation for the present work from such tenderer only shall be opened Once the tenderer has given unconditional acceptance to AAI s tender conditions in its entirety, he is not permitted to put any remark(s) / condition(s) (except unconditional rebate on quoted rates, if any) in / along with tender enclosed in Cover No. 2. All rates shall be quoted at the proper form of tender alone In case the condition 29.5 mentioned above is found violated after opening Cover No. 2 the tender shall be summarily rejected and AAI shall, without prejudice to any other remedy, be at liberty to forfeit the full said earnest money absolutely. 30- This Notice of tender shall form a part of the contract document. The successful tenderer / contractor on acceptance of his tender by accepting authority, shall within 15 days from the stipulated date of start of the work sign the contract consisting of Notice Inviting tender, General condition of contract special / additional condition, general/particular specifications tender conditions as issued at the time of invitation of tender and acceptance thereof with any correspondence leading thereto. 31- Tenderer shall have to follow the guidelines issued by BCAS from time to time and apply for the daily entry permit for the laborer the pervious working day together with all the required details in the prescribed Performa while entry into operational area / terminal building.

13 P-10 TENDER To, The Airport Director The Airports Authority of India Babatpur Airport Varanasi I/We have read and examined the following documents relating to the work of comprehensive AMC (25-16) of computers and peripherals installed in different sections at AAI, Babatpur Airport, Varanasi:- a- Notice inviting tender b- Schedule E c- General conditions of contract d- Special conditions In consideration of I/We being invited to tender and promise by AAI to consider the award of work if I/We are found to be lowest responsive bidder as stipulated in the conditions of contract. I/We agree to keep the tender open for acceptance for ninety days from the due date of opening thereof and not to make any modifications in its terms and conditions which are not acceptable to AAI. A sum of Rs. 8813/- is hereby forwarded in the form of demand draft in favour of AAI, payable at Varanasi as earnest money. If I/We fail to keep the tender open as aforesaid or make any modifications in the terms and conditions of the tender which are not acceptable to AAI, I/We agree that AAI shall, without prejudice to any other right or remedy be at liberty to forfeit the fully said earnest money absolutely and I/We shall, not be considered an unsuccessful tenderer for the purpose of return of earnest money as provided in the Notice Inviting Tender. Should this tender be accepted, I/We hereby agree to abide by and fulfill all the terms, conditions and provisions of the aforesaid documents. If, after the tender is accepted, I/We fail to commence the execution of the works as provided in the conditions, I/We agree that AAI shall without prejudice to any other right or remedy, be at liberty to forfeit the said earnest money absolutely and take suitable actions against me/us as deemed fit under the terms and conditions of the contract.

14 P-11 I/We agree that AAI should decide to forfeit earnest money as aforesaid, unless a sum equal to the earnest money mentioned above is paid by me/us forthwith, AAI may at its option recover it out of the deposit and in the event of deficiency out of any other moneys due to me/us otherwise. 17 P-14 AIRPORTS AUTHORITY OF INDIA GENERAL CONDITIONS OF CONTRACT INTERPRETATION AND DEFINITION Singular and Plural: 1- Where the context so requires, words importing the singular only also include the plural and vice versa Headings and Marginal Notes to Conditions: 2- Headings and marginal notes to these General Conditions shall not be deemed to form part thereof or be taken to consideration in the interpretation or construction thereof or of the contract. DEFINITIONS: 3. (a) Authority or AAI shall mean Airports Authority of India having its headquarters at New Delhi and includes a duly authorized representative of AAI or any other person, empowered in this behalf by AAI to discharge all or any of its functions. (b) The Accepting Authority shall mean the Officer mentioned at Sr. No. 4 in Schedule-E (c)- The Contract shall mean the notice inviting the tender, the tender and acceptance thereof and the formal agreement, if any, executed between AAI and the Contractor together with the documents referred to therein including these conditions with appendices and any special Conditions, the specification, designs drawings, schedule of quantities with rates and amounts and schedule of rates. All these documents taken together shall be deemed to form one Contract and shall be complementary to one another. (d)- The Contractor shall mean the individual or firm or company whether incorporated or not, undertaking the works and shall include legal representative of such individual or persons composing such firm or incorporated company, or successor of such firm or ` company as the case may be and permitted assigns of such individual or firm or company.

18 P-15 (e)- The contract Sum shall mean: i- in the case of Lump Sum Contracts the sum for which the tender is accepted. ii- In the case of Percentage Rate Contracts the estimated value of the works as mentioned in the tender adjusted by the Contractor s percentage ii- In the case of Item Rate Contract the cost of the works arrived at after extension of the quantities shown in schedule of Quantities by the item rates quoted by the tenderer for the various items. (f) (g) (h) (i) (j) (k) (l) A Day shall mean a day of 24 hour from midnight to midnight irrespective of the number of hours worked in that day. In charge shall mean the officer appointed by the Accepting Authority or his duly authorized representative who shall direct, supervise and be in charge of the works for purposes of this contract. Excepted Risks are risk due to riots (otherwise than among Contractor s employees) and civil commotion (in so far as both these are uninsurable), war (whether declared or not, invasion, act of foreign, hostilities, civil war, rebellion, revolution, insurrection, military or usurped power, any acts of Government, damage from aircraft, acts of God, such as earth- quake, lighting and unprecedented floods and other causes over which the Contractor has no control and accepted as such by the Accepting Authority. Market Rate shall be the rate as decided by the Engineer in charge on the basis of cost of material and labour at the Site where the work is to be executed, plus the percentage mentioned at serial No. 14 in Schedule E to cover all overheads and profit. The Site shall mean the lands and/or other places, on, under, in or through which the work is to be executed under the Contract including any other lands or places which may be allotted by AAI or used for the purposes of the Contract. Temporary Works shall mean all temporary works of every kind required in or about the execution, completion or maintenance of the works. Urgent Works shall mean any urgent measures which, in the opinion of the In- Charge become necessary during the progress of the work to obviate any risk of accident or failure or which become necessary for security. (m) A Week shall mean seven days without regard to the number of hours worked in any day in that week.

19 P-16 (n) The Works shall mean the works to be executed in accordance with the Contract or part(s) thereof as the case may be and shall include all extra or additional, altered or substituted works or temporary and urgent works as required for performance of the contract. FORCE MAJEURE AAI may grant an extension of time limit set for the completion of the work. In case the timely completion of the work is delayed by force majeure beyond the successful Tenderer s control, subject to what is stated in the following subparagraphs and to the procedures detailed their in being followed. Force majeure is defined as an event of effect that cannot reasonably be anticipated such as acts of God (like earthquakes, floods, storms etc.), acts of states, the direct and indirect consequences of wars (declared or undeclared), hostilities, national emergencies, civil commotions and strikes (only those which exceed a duration of ten continuous days) The successful Tenderer s right to an extension of the time limit for completion of the work in above mentioned cases is to the following procedures:- That within 10 days after the occurrence of a case of force majeure but before the expiry of the stipulated date of completion, the successful Tenderer informs the AAI in writing about the occurrence of force Majeure Condition that the successful Tenderer considers himself entitled to an extension of the time limit. That the successful Tenderer produces evidence of the date of occurrence and the duration of the force majeure in an adequate manner by means of documents drawn up by responsible authorities. That the successful Tender should prove that, the said conditions have actually interfered with the carrying out the contract. That the successful Tenderer should prove that, the delay occurred is not due to his own action or lack of action. Apart from extension of the time limit, force majeure does not entitle the successful Tenderer to any relaxation or to any compensation of damage or loss suffered.

20 P-17 Arbitration and Laws Arbitration: 1- Except where otherwise provided for in the contract all questions and disputes relating to the meaning of the specifications, designs, drawings and instructions here in before mentioned and as to the quality of workmanship or materials used on the work or as to any other question claim, right, matter or thing whatsoever in any way arising out of relating to the contract, designs drawings, specification, estimates, instructions orders or these conditions or otherwise concerning the works, or the execution or failure to execute the same whether arising during the progress of the work or after the completion or abandonment thereof shall be referred to the sole arbitrator as may be appointed by the authority mentioned at serial no:18 in Schedule E. There will be no objection if the arbitrator so appointed is an employee of AAI and that he had to deal with the matters to which the contract relates and that in the course of his duties as such he had expressed views on all or any of the matters in disputes or difference. The arbitrator to whom the matter is originally referred being transferred or vacating his office or being unable to act for any reason, the appointing authority for arbitrator, as aforesaid at the time of such transfer, vacation of office or inability to act, shall appoint another person to act as arbitrator in accordance with the terms or the contract. Such person shall be entitled to proceed with the reference from the stage at which it was left by his predecessor. It is also a term of this contract that no person other than a person appointed by the authority mentioned in Schedule E, should act as arbitrator and if for any reason that is not possible, the matter is not to be referred to arbitration at all. Cases where the amount of claim in dispute is Rs. 75,000(Rupees Seventy Five Thousand) and above, the arbitrator shall give reasons for the award. Subject as aforesaid the provision of the Arbitration and Conciliation Act, 1996(26 of 1996) or any statutory modification or re-enactment thereof and the rules made there under and for the time being in force shall apply to the arbitration proceeding under this clause. In case of disputes arising between two Government of India Undertakings, provisions as contained in Bureau of Public Enterprises letter No. BPE/GI-0/16/MAN-2( BPE)(GM-1)Dated and as may be amended from time to time shall apply. It is a term of contract that the party invoking arbitration shall specify the dispute or disputes to be referred to arbitration under this clause together with the amount or amounts claimed in respect of each such dispute.

21 P-18 If the contractor do/does not make any demand for arbitration in respect of any claim in writing within 90 days of receiving the intimation from the AAI that the bill is ready for payment, the claim of the contractor(s) will be deemed to have been waived and absolutely barred and the AAI shall be discharged and released of liabilities under the contract in respect of these claims. The decision of In-charge regarding the quantum of reduction as well as justification thereof in respect of rates for sub-standard work which may be decided to be accepted will be final and would not be open to arbitration. The arbitrator(s) may from time to time with consent of the parties enlarge the time for making and publishing the award. The work under the contract shall, if reasonably possible, continue during the arbitration proceedings and no payment due or payable to the contractor shall be withheld on account of such proceedings. The Arbitration shall be deemed to have entered on the reference on the date he issues notices to both the parties fixing the date of the first hearing. The venue of Arbitration shall be such place as may be fixed by the Arbitrator in his sole discretion. The award of the arbitrator shall be final, conclusive and binding all parties to this contract. 2- Laws governing the Contract: This contract shall be governed by the Indian Laws for the time being force.

22 SPECIAL CONDITIONS P The tender should be valid up to 90 days from the date of opening of tender. 2- AAI reserves full rights to terminate the contract at any stage after giving one months notice to the contractor, without assigning any reason. 3- The Rates quoted should be firm and inclusive of all taxes. 4- A complaint register provided by AAI, shall be placed at the suitable location decided by i/c ACS, all the complaints shall be written in this complaint register. You shall have to make the necessary arrangements to check the complaint register daily and should attend the complaint within 24 hrs, failing which a penalty of Rs. 100/- per complaint per day or part thereof as decided by officer-in-charge shall be imposed. The contractor shall not be liable for delay in attending the complaints caused due to any force majeure. 5- If the contractor fails to rectify the faults within 48 hours, a penalty of Rs.100/- per day in each case shall be imposed. The contractor shall not be liable for delay in attending the complaints caused due to any force majeure. 6- Contractor shall provide and maintain a complaint rectification register and get it signed from the complainant after its rectification. 7- As the contract is comprehensive, all the items under AMC shall be repaired by the contractor on his own cost. However, the items which are not covered in AMC shall also be repaired, if repairable, by the contractor. If the contractor fails to repair the item and AAI gets it repaired from somewhere else penalty of Rs.500/- in each case shall be imposed. 8- The firm shall have to depute two engineer/ Service support personnel on site for supervision and speedy recovery of faults on all working days i.e. Monday to Saturday from 0930 to 1730 IST on their own cost(weekly -off on Sunday & Sat adjusted to make atleast one man presence in w-off days). In case of absence of engineer/ Service support personnel a penalty of Rs.500/- per day will be charged. The rates quoted must be inclusive of station engineer/ service personnel at airport premises.

23 P Preventive maintenance of the computers under contract shall be carried out once in three months and same shall be recorded in a preventive maintenance register provided by the contractor. Preventive maintenance shall be carried out as per the directions of officer-in-charge. The firm shall maintain its own tool kit including vacuum cleaner etc. for above preventive/ corrective maintenance. 10- The contractor shall be responsible for downloading updates for all the software viz. antivirus etc. and installing on all the computers under AMC. All the related with to hardware/ software/networking /virus etc. will be attended by contractor and it will be covered under AMC. Required software will be provided by AAI. 11- In case of replacement of a faulty item/ module, it will be replaced by same or better specification/ model of compatible type to the satisfaction of AAI. 12- In case of any dispute, decision given by AAI shall prevail. 13- The contractor shall have to sign an agreement on Rs.100/- Non-Judicial stamp paper within 15 days from date of issue of award letter. Cost of the stamp paper shall be borne by the contractor. 14- EMD & SECURITY DEPOSIT- The EMD submitted along with the tender shall be converted as a part of security deposit. The total security deposit shall be at the rate of 10% of the contract value. If the contractor fails to execute the work as per contract conditions, AAI will be at liberty to close the contract and may forfeit the security deposit in part or full. 15- DEFECT LIABILITY PERIOD- The security deposit shall remain with AAI till the completion of defect liability period. The defect liability period for this work is Three months from the date of completion of work means expiry period of AMC. 16- PAYMENTS- ` Payment of AMC will be made by AAI in quarterly equal installments at the end of each quarter on production of pre receipted bill subject to satisfactory performance. 17- AAI has right to increase or decrease the scheduled quantities by 25% at any stage of time.

24 P Contract period can be extended for three month per reference but not exceed more then one year with the mutual consent (DOP 9.41) 19- EFFECT AND JURISDICTION OF CONTRACT i- The contract shall be considered as having come into force from the date of issue of this letter. ii- The law applicable to this contract shall be the law enforced in India. The courts of Varanasi shall have exclusive jurisdiction in all matters arising under this contract.
