2 Page 2 of 8 1. GENERAL INFORMATION WAPCOS Limited intends to get its Gurgaon office complex connected via a Wired Local Area Network having leased line of 10 Mbps. All the departments in the Gurgaon Office complex are proposed to be connected via wired network to the Data Center also located in the premise. The installation of leased line would also require the Router/Firewall as well. Company should provide Multiple Last Fibre Mile Connectivity, Redundant National and international Gateways having a good and without interruptions in speed. Accordingly, sealed tenders are invited from Indian Bidders for Leased Line of 10 Mbps speed along with Router/Firewall. Foreign bidders / association are not eligible to quote. 2. GENERAL TERMS AND CONDITIONS 2.1 Instructions To Bidders The tender shall be submitted in three parts: Part I : Eligibility criteria for Bidders Part II : Compliance Matrix for Leased Line & Router/Firewall Part III : Financial Proposal for Leased line & Router/Firewall Each of the three parts mentioned above shall be sealed in separate envelopes duly super scribing Part I (Eligibility criteria for Bidders), Part II (Compliance Matrix for Leased Line & Router/Firewall) and Part III (Financial Proposal for Leased line & Router/Firewall) on the respective envelopes. The two envelopes shall be placed under one sealed cover duly super scribing the name of the work before submission The Part-I (Eligibility criteria for Bidders) must contain the documents pertaining to the eligibility criteria for bidders as given on section 2.2 duly filled with signature of the competent authority along with company stamp on each page The Part II (Compliance Matrix for Leased Line & Router/Firewall) must contain the compliance matrix as given in section 3. (Technical specification) duly filled with signatures of competent authority along with company stamp on each page. The bids with deviation which is lower than the specified criteria in section 3.0 shall be rejected The Part - III (Financial Proposal for Leased line & Router/Firewall) the bidder shall submit only cost as specified in the Section 3. However, The Part-III shall also contain cost of extra items that may be essential for carrying out the work and are not specified in section The Tender documents can be purchased from IT Division, WAPCOS, Gurgaon at a Tender Fee of Rs. 500 /- in the form of a Demand Draft in favor of WAPCOS LTD payable at New Delhi / Gurgaon. However, the tender

3 Page 3 of 8 documents shall also be available on the corporate website in the "Tenders" section from the date of release of the tender and shall remain online for download for the duration of 10 days from the release of the tender. The bidders shall pay the tender fee at the time of submission of the bid document. The bids received without tender fee or tender fee in any other form, shall be summarily rejected The bids shall be accompanied by an EMD of Rs /- (Rupees Sixteen Thousand only) in the form of a Demand Draft drawn in favour of WAPCOS Limited payable at New Delhi / Gurgaon. No other form of EMD shall be accepted. The bids received without EMD or any other form of EMD shall be summarily rejected. The EMD of unsuccessful bidder shall be returned The bidder must submit the Tender Document with signature of competent authority and company stamp on every page along with the bid The bidder shall make their own arrangement for transportation, equipment; labor etc. required for this work. WAPCOS shall not bear any expense on this account Time period for the installation of leased line for WAPCOS GURGAON shall be 15 days from the date of award of the work WAPCOS at its discretion may alter the quantum of work specified in the Technical Specifications Time is the essence of the contract. Liquidated damages shall be 0.5% of the agreed value for each week of delay subject to maximum of 5% of the total contract value of each work. Thereafter, WAPCOS shall have the option to terminate the contract in case of delay/unacceptable execution of work The successful bidder has to commence the work (including mobilization) within 3 days from the award of work. On non-compliance the EMD of the bidder would be forfeited Supervision: The bidder shall provide at all times access to and facilitate inspection and supervision of the work for the authorized personnel of WAPCOS Responsibilities of the bidder: The bidder shall be solely responsible for sound technical skills of technicians, other methods and practices of work and accuracy of the equipment. The bidder shall also be responsible for installation and configuration of router/firewall w.r.t public and private IP's Incomplete tenders or tender received after the last date shall not be considered under any circumstances The Contractor shall be solely responsible for safety of his workers and to provide them adequate necessary equipment etc. and shall ensure to have all his workers properly covered under the Standard and Registered Insurance company policies for any injuries, losses etc. to his workers. WAPCOS shall not be liable for any injury or loss of life of the Contractor s personnel. The Contractor shall ensure to provide required uniform, safety shoes and safety gadgets facilities to his workers. If the Contractor fails to supply any safety equipment etc. to his workers, he shall be solely responsible and liable at all times.

4 Page 4 of Eligibility Criterion for Bidder Bidder must submit a proof of existence for more than 5 years such as Service Tax Registration, Sales Tax Registration and TIN Number Bidder must submit at least Three (3) Successful Installation reports for similar project in P.S.U & Govt Bidder must have an ISO 9001:2008 certification The Bidder must have an office in Delhi NCR and must submit proof i.e. Telephone Bill from Govt. Telecom operator or Rent Agreements or Electricity Bills WAPCOS reserves the right to reject any or all the tenders without assigning any reason thereof to anybody. 2.3 Financial Conditions The rates quoted must be inclusive of all duties, taxes, octroi etc. as may be applicable. No extra claim shall be payable. WAPCOS shall however deduct taxes at source, demand draft charges etc. as may be applicable and shall provide a certificate to this effect The Payment schedule for the said work for the successful bidder shall be as follows: a. The billing cycle for the said work shall be on Quarterly basis. b. The payment of the raised invoice shall be released within twenty days from the invoice date. c. The contract period for the said work shall be 1 year. d. The EMD shall be retained by WAPCOS for the entire period of the contract and shall be released along with the final invoice raised at the end of the contract.

FORCE MAJEURE Force majeure is hereby defined as cause which is beyond the control of the awarded party and WAPCOS as the case may be, which they did not foresee or with a reasonable amount of diligence could not have foreseen and which substantially affects the performance of contract, such as: a) Natural phenomena including but not limited to floods, draughts, earthquakes and epidemics. b) Acts of any government, domestic or foreign, including but not limited to war, declared or undeclared priorities, quarantines, embargoes, provided either party within fifteen (15) days from the occurrence of such causes notify the other in writing of such causes. c) Should the occurrence of Force Majeure last more than 45 days, both parties have the right to cancel the contract. In such a case, the awarded party will be paid for all the work completed or which has been carried out or performed to the time. 5. ARBITRATION In the event of any question, dispute or differences arising out of or in connection with this work, the same shall be referred to for arbitration for which purpose WAPCOS and the awarded party shall nominate one Arbitrator each. The arbitration shall be conducted in accordance with the provisions of Indian Arbitration Act, The costs of reference and arbitration award shall be payable by the parties to the extent and in a manner as may be determined by the Arbitrators or the Umpire. Notwithstanding the existence of any dispute or difference and/or reference for the arbitration, you shall proceed with and continue without hindrance the performance of the work under the contract with due diligence and expedition not be withheld by WAPCOS on account of such difference or arbitration proceedings unless such payment is subject matter of the arbitration. The Arbitrators may from time to time with consent of the parties' in-charge for making and publishing the award. The venue of arbitration shall be the WAPCOS office at Gurgaon, Haryana. 6. RESPONSIBILITY OF THE AWARDED PARTY It would be the entire responsibility of the awarded party to carry out the work at their own end. WAPCOS under any circumstances whatsoever will not be responsible for any untoward incident, abduction, accident or any other event causing injuries, death, agony, health problems, etc. of the personnel deployed by the awarded party. Under these circumstances the awarded party is advised to get adequate and appropriate insurance for all the persons engaged for the work. Further, the awarded party shall stand guarantee and are deemed to have guaranteed the suitability, acceptability, adaptability, reasonability and correctness of the output both in quality as well as quantity acceptable to WAPCOS.
