Exhibitor Agreement EXHIBIT CONTRACT AND POLICIES The Windstorm Insurance Conference shall be governed by these terms and conditions as well as the terms of the exhibitor application. The policies stated here, in the exhibitor terms of agreement, constitute a bonafide part of the contract for exhibit space. Conference Management (personnel of Windstorm Insurance Network and/or Meeting Management Group (MMG) reserve the right to render all interpretations and decisions, should any questions arise, and to establish further regulations as may be deemed necessary to the general success and wellbeing of the conference and expo. All matters and questions not covered in these policies are subject to the final judgment and decision of conference management. CONSIDERATION The cost per booth rental space is $1,250 (corner and prime booths are an additional $200). There is a limit of two (2) booth spaces per company/organization. In consideration for rental of display space for the conference expo, conference management will provide the following: one 8 x10 pipe and draped area, one 6 skirted table, and two (2) chairs; basic exhibitor identification sign with company name and booth number; one complimentary conference registration, and two (2) additional company representative registrations at the reduced rate of $250 each; company name and website link on WIND website; company profile listing in exhibitor and sponsor onsite guide; free wireless Internet access in Expo Hall; WIND logo to use in marketing materials for 2011 conference; participation in the Exhibitor Vendor Bingo promotional; pre-show attendee roster and final conference attendee roster. Display space must be paid in advance prior to set-up. EXPO HOURS Monday, January 24, 2011 Expo Hours: 3-7pm Tuesday, January 25, 2011 Expo Hours: 10am -2pm and 4-7 pm Wednesday, January 26, 2011 Expo Hours: 10am - 2pm SET-UP/DISMANTLE HOURS Monday, January 24, 2011 Set-Up Hours: 7am - 3pm Wednesday, January 26, 2011 Dismantle Hours: 2-5pm EXHIBITOR BADGES AND EXHIBITOR CONFERENCE ATTENDANCE All company representatives must complete a registration form and wear their name badges during all conference events. Exhibitors will be furnished with special conference badges identifying the exhibiting company/organization name and must be worn during set-up, during expo hours, and dismantling. The complimentary and discounted registrations are intended for company personnel helping with the exhibit booth. Any other company personnel attending must be fully paid conference registrants. EXHIBITOR AND COMPANY AFFILIATIONS The two (2) reduced price conference registrations are limited to company, salaried employees, and staff only. No affiliated, contract, part-time, or freelance employees will be allowed under reduced registration rate. Registration for the complimentary, reduced rate and any other company representatives must be made online when conference registration opens in Fall 2010. Registration codes will be sent at that time in order for you to obtain your free and reduced rate registrations. CARE OF DISPLAY AREA Construction, decoration, and equipment in the display area must conform to the Hilton Americas-Houston Hotel and the City of Houston, Texas fire, health and safety codes, and ordinances. Packing containers, shipping cartons, or similar materials may not be stored in the expo area. The use of any materials that deface or mar the Hilton Americas-Houston property is prohibited. Exhibitor is liable for payment of any costs associated to damage to Hilton Americas-Houston. SPACE ALLOCATION Expo space shall be assigned on a first come basis. Exhibitor shall confine display equipment and materials to allocated 8 x10 space and should not extend into the public space or other Exhibitor s allotted space in order to meet fire code regulations. ASSIGNMENT OF SPACE Exhibitor may not assign its contract for exhibit space or allow any other person, company, or organization to use any part of the space without written permission from conference management. ADVERTISING BY OTHERS The WIND 2011 Expo is limited to those persons and their company/organizations which have contracted and paid for exhibitor space. No other person or company/organization will be permitted to demonstrate a product, solicit orders, or distribute advertising materials at the expo. CANCELLATION/REFUND POLICY A full refund, less credit card fees on exhibitor/sponsor fees will be given if cancellation is received in writing by December 3, 2010. After that date, a 50 percent refund will be made until January 7, 2011. No refunds will be made after this date. A $100 processing fee will be applied to all cancellations regardless of cancellation date. LIABILITY OF EXHIBITOR Exhibitor is responsible for obtaining any and all insurance coverage for its exhibit. Exhibitor must make provision for the safeguarding of goods it owns, rents, or leases from the time they arrive at the hotel and until they depart. Conference management shall not be responsible for, or guaranteed to exhibitor, the safety of exhibit materials against fire, accident, theft, or any loss or injury whatsoever. Any damage or destruction of others property or personal injury to others resulting from the conduct of the exhibitor, its agents, or employees shall be the exhibitors sole responsibility. The exhibitor shall indemnify conference management and the Hilton Americas-Houston, and hold them harmless form any complaints, lawsuits, or liabilities resulting from conduct of the exhibitor. FAILURE TO OCCUPY SPACE AND NO SHOWS If exhibitor does not claim or occupy its assigned space before 3pm on January 24, 2011, conference management may, at its option, terminate the contract and reassign the space to another exhibitor. The defaulting exhibitor will not be entitled to a refund of its rental fee. CANCELLATION BY CONFERENCE MANAGEMENT OR INABILITY TO HOLD EXPO If conference management cancels the expo for causes beyond the control of the conference management which prevent the planned expo, the exhibitor will be refunded the entire rental fee. Conference management will not be liable for any other expenses the exhibitor may incur. EXHIBITOR MODIFICATION Conference management reserves the right to modify at any time the location, size, and display limits of a display area where such modification is for the overall benefit of the expo. ACCEPTANCE OF APPLICATION Acceptance of application does not mean endorsement by conference management of the applicant s service or product. CONDUCT OF EXHIBITOR Conference management has the authority to prohibit an exhibit from continuing, if at any time, the purpose or the character of the expo is jeopardized by the conduct of the exhibitor. In the event of an exhibitor discontinuation order, conference management will not be liable for any refund of the booth rental fee. Conference management reserves the right to approve all promotional demonstrations and/or handouts to be used by exhibitors. ENTERTAINMENT POLICY The purpose of the WIND conference is education. The strength, reputation, and support of the conference are the result of commitment to professional development. Any entertainment contracted by exhibitors and sponsors is subject to approval by conference management. While service firms and businesses are free to make business contacts, hospitality suites either on site or off premises, are strictly prohibited in that any private party must not conflict with conference events. Failure to abide by this policy will result in a sanction of prohibition of attendance of all employees or affiliates with the violating company at the annual conference, including by not limited to, registration and attendance, exhibitor status, or sponsorship of any conference events. WIND LOGO USAGE Sponsors and/or Exhibitors of the 2011 Windstorm Insurance Conference have a license to use the phrase sponsor of the 2011 Windstorm Insurance Conference or proud sponsor of the 2011 Windstorm Insurance Conference and display the official Windstorm Insurance Network logo through the end of the 2011 conference (no later than January 27, 2011). The license allows only the following manner of display: 1. On an organization s website pages so long as the logo or phrase is linked to the Windstorm Insurance Network, Inc. website (www. windnetwork.com); 2. Electronic Promotional Materials so long as the logo or phrase is linked to the Windstorm Insurance Network, Inc. website (www.windnetwork.com); and 3. Promotional Materials sent to others promoting attendance at the 2011 Windstorm Insurance Conference. The license ends at the end of the Windstorm Insurance Conference (January 27, 2011). It can be purchased or renewed only by registering to become a Sponsor and/ or Exhibitor of the 2012 Windstorm Insurance Conference before the end of the 2011 WIND Conference. INTERPRETATION Conference management has total authority of interpretation and enforcement of these terms and conditions and reserves the right to amend them at any time for the benefit of the expo. Exhibitors and their representatives who violate these terms and conditions or who in the opinion of the conference management, conduct themselves unethically, may be dismissed from the expo without refund or other appeal and may be excluded from participation in future Windstorm Insurance Conferences.

Sponsor Agreement SPONSOR CONTRACT AND POLICIES The Windstorm Insurance Conference shall be governed by these terms and conditions as well as the terms of the sponsor application. The policies stated here, in the sponsor terms of agreement, constitute a bonafide part of the contract for sponsored event. Conference Management (personnel of Windstorm Insurance Network and/or Meeting Management Group (MMG) reserve the right to render all interpretations and decisions, should any questions arise, and to establish further regulations as may be deemed necessary to the general success and well being of the conference and expo. All matters and questions not covered in these policies are subject to the final judgment and decision of conference management. CONSIDERATION The cost of sponsorship varies according to the level of sponsorship chosen and ranges from $1,250 - $2,750. Sponsor will be provided identification sign with company name displayed during sponsored event; opportunity to display company information and materials at sponsored event; one to three complimentary conference registrations (determined by the level of sponsorship), and two (2) additional company representative registrations at the reduced rate of $250 each; company name and website link on WIND website; company profile listing in exhibitor and sponsor onsite guide; WIND logo to use in marketing materials for 2011 conference; company banner hung in general session area; company logo in slide shows in General Sessions and lunches; pre-show attendee roster and final conference attendee roster. Sponsored events must be paid in advance prior to the conference. SPONSOR BADGES AND CONFERENCE ATTENDANCE All company representatives must complete a registration form and wear their name badges during all conference events. Sponsors will be furnished with special conference badges identifying the sponsoring company/organization name and must be worn at all times. The complimentary and discounted registrations are intended for company personnel. Any other company personnel attending must be fully paid conference registrants. SPONSOR AND COMPANY AFFILIATIONS The two (2) reduced price conference registrations are limited to company, salaried employees and staff only. No affiliated, contract, part-time, or freelance employees will be allowed under the reduced registration rate. Registration for the complimentary, reduced rate and any other company representatives must be made online when conference registration opens in Fall 2010. Registration codes will be sent at that time in order to obtain your free and reduced rate registrations. CANCELLATION AND REFUND POLICY A full refund, less credit card fees on sponsor fees, will be given if cancellation is received in writing by December 3, 2010. After that date, a 50 percent refund will be made until January 7, 2011. No refunds will be made after this date.
