National Research Development Corporation is inviting proposals for Preparation of Business Plan / Corporate Plan and Long range Plan. 2. Organisations having a proven track record of at least 10 years in the preparation of Business Plan for Public Sector Undertakings and other Government Organisations / Ministries and having the requisite knowledge, expertise and capabilities to undertake such assignments are invited to submit their proposal. 3. The scope of work is described in the Terms of Reference (TOR), which forms an integral part of the tender document. 4. Proposals should be submitted in Two-Bid Pattern, i.e., Technical Bid and Price Bid in two separate sealed covers distinctly marked accordingly and sealed inside a single envelope, which should be duly superscribed and marked Tender for Preparation of Business Plan / Corporate Plan and Long Range Plan. The Technical Proposal should contain the following: Organisation s experience in the relevant field of work assignment List of Public Sector Undertakings / Ministries for whom such studies have been conducted along with the description of work and value of contract Understanding the TOR The Organisation shall describe in detail the work to be carried out for each task as set out in the TOR The Organisation shall also provide an assessment of the tasks in totality. Methodology to be adopted for the Preparation of Corporate Plan and Long range Plan Proposed work plan A time schedule of activities for carrying out the project should be included. Composition and experience of the expert team proposed for the project The schedule for the submission of the different deliverables 6. The Financial proposal shall clearly indicate the total cost for carrying out the work described in the Terms of Reference. Details should be given as per format at Annexure-I 7 A two-stage procedure will be adopted by NRDC for evaluating the proposals, with the technical evaluation of all proposals prior to any financial proposal being opened. The technical bid will be opened first and the financial bid of only those tenderers will be opened who qualify in the technical bid. The envelopes should be superscribed as Technical Bid and Financial Bid. Both the envelopes should be put in separate envelop and superscribed as Corporate Plan for NRDC 8. Time schedule for performing the specified work is four months (120 days) from the date of start of the project. 9. NRDC reserves the right to accept or to reject any bid and to annul the bidding process and reject all bids at any time prior to the award of the contract, without thereby incurring any liability to any Bidder or any obligation to inform the Bidder of the grounds for its action. 10. Price quoted shall be exclusive of all statutory taxes and taxes should be mentioned separately. TDS if applicable shall be deducted as per Government norms. PAN should be provided. Service Tax registration No., if any, have to be provided for compliance of Service Tax requirements. 11. All statutory laws of the Government have to be adhered to.

3 Eligibility Criteria for submission of Bid & Terms & Conditions Qualifying Criteria for engagement of Consultant are as under:- 1. The organization should have an at least 10 years of experience in carrying out Corporate Plan and Long Range Plan for Public Sector Undertakings and other Government Organisations / Ministries 2. The organisation should have undertaken similar activity for at least 5 Public Sector Undertakings / Ministries and other Govt organisations in the last 5 years

4 TERMS OF REFERENCE (TOR) Preparation of a Corporate Plan and Long range Plan 1. Introduction. National Research Development Corporation (NRDC) was established in 1953 by Government of India under section 25 of the companies Act to function as a link between scientific organisations and industries for harvesting the fruits of indigenous R&D through development, promotion and transfer to industry. Since its inception, the Corporation has transferred approximately 2500 technologies and approximately 4800 license agreements executed which has generated significant revenue and created employment avenues. The purpose of this assignment is to examine the activities of the Corporation, assess its strengths and weaknesses and to prepare its Corporate Plan (Business Plan) for the current Plan and Long range Plan to make the corporation grow over the next 10 years. The aim is to make the Corporation a self-sufficient, profitable, fast growing leading player in the Technology Transfer Trade (TTT). 2. Objective. The primary objective of the Corporate Plan and Long range Plan would be to position NRDC suitably and to streamline the work processes of NRDC, with emphasis on improving availability and licensing of technologies, collection of royalties and other deliverables towards its objective of maximizing the revenue of its Technology Transfer activities. The Corporate Plan and Long range Plan will aim at strengthening the on-going activities and recommend appropriate solutions with a clear work plan including appropriate structures and identify new activities to be undertaken to enhance the profits of the Corporation. 3. Scope of assignment. Scope of the assignment will cover the following tasks: (i) (ii) (iii) (iv) (v) (vi) Corporate Plan (Business Plan) for the current Plan period and Long range Plan (10 Years) with year wise implementation strategy. Restructuring plan for effectively carrying out on-going activities as well as diversify into new revenue generation activities. Analysis of external environment, competitors in India and abroad bringing out clearly the way they are carrying out the business and what can be adapted by NRDC vis-à-vis the SWOT analysis of NRDC Work flow system and financial implications for implementation Necessary organisational restructuring Road map for achieving the targets and implementation of the plan

5 4. Deliverables. The draft document must be submitted within 75 days of the start date of the project. The Final report incorporating the recommendations / suggestions on the draft as well as all the tasks indicated in the work order shall be made available with in 120 days from the date of start of the project. 1 copy of final report (hard copy) and one soft copy shall be submitted. The task has to be completed within 120 days (4 months) after acceptance of the order. Terms of Payment:. The payment shall be made as per the following schedule: i) 50% payment on the acceptance of the draft ii) Balance 50% on acceptance of the final report along with CD
