3 1. 1. BACKGROUND Terms of Reference NABARD Financial Services Limited, [NABFINS] is a subsidiary of National Bank for Agriculture and Rural Development (NABARD) with equity participation from NABARD, Government of Karnataka, Canara Bank, Union Bank of India, Bank of Baroda, Dhanalakshmi Bank and Federal Bank. It is a non-deposit taking NBFC registered with the Reserve Bank of India and shall operate throughout India. The main objectives of the Company are to provide financial services in two broad areas of agriculture and microfinance. NABFINS provides credit and other facilities for promotion, expansion, commercialization and modernization of agriculture and allied activities. NABFINS shall engage in the business of providing micro finance services (with or without thrift) and other facilities to needy and disadvantageous sections of the society for securing their prosperity in both rural and urban areas. NABARD, which is the world renowned apex development bank of our country and pioneered the world s largest microfinance movement, while promoting NABFINS has envisaged that NABFINS shall evolve into a Model Microfinance Institution to set standards of governance among the MFIs, operate with exemplary levels of transparency and operate at reasonable / moderate rates of interest. NABFINS has plans to go in for digital transformation of its operations using latest technologies, which needs to be completed within specified time frame. It requires a Technology Consultancy Services for enabling the above task. Firms willing to provide such services within the specified duration are requested to submit their Tenders as per the qualifying criteria & scope of the work given below. 2. Scope of work NABFINS invites the tender selection of consultants for providing the technology consultancy services. The scope of work is indicated below in broad terms: a) Creation of data back up from the existing system maintained by an external service provider Transfer the data and make it available in user friendly retrievable manner b) Designing IT Policy, IT Security Plan, Refining the Disaster recovery planning and Business Continuity Planning, drawing a IT Road map for the operations of the Company and drafting an RFP for the software applications indicated and accepted by the Management as a part of the IT Road Map for the company c) IT Infrastructure Resource Mapping (including Human Resources) and suggestions for improvement of IT infrastructure including staffing pattern, vetting the Job Description of IT Staff and assist in shortlisting of candidates for IT Staff as per the plan (For conduct of technical interview of shortlisted candidates)

4 Time limit The entire scope of work is expected to be completed within 40 days of the award of the contract. Any extension beyond this limit shall be solely at the discretion of the Managing Director of the Company. Detailed scope of work along with estimated time lines should be furnished by the Consultant. In case of any delay in completion of the task within the time limit agreed to, a deduction of 5% of the contract fee shall be made for each such week of delay. 3. Role and Responsibilities of the Parties a. The Bidders Responsibilities Submission of the Completed Technical and Financial Bids. The Financial Bid Sl. Departments or to any other sectors. The Applicant should have the required domain knowledge of microfinance and technologies to be capable of providing expert consultancy Copies of orders 20 Documentary Proof 30 should specify the prices for each of the scope items separately. Providing the required services as per the contract schedule

5 b. NABFINS responsibilities: 1. To extend guidance, cooperation, help and support required for completing the assignments and to generally facilitate the work. 2. To monitor the progress of work as per the agreement 3. To make payments as per the contract and the payment schedule 4. SELECTION OF TECHNOLOGY CONSULTANT Technical Eligibility Criteria for the firms submitting the Bids is set out below: Note: 1. The Applicants shall enclose with its application an undertaking providing the necessary supporting documents. Only those Applicants, who provide adequate information to establish that they meet the technical eligibility criteria and the required technical specifications will be eligible for the consideration of the financial bid submitted by them. 2. Consortium is not allowed. 3. Preference will be given to companies having their registered office in Karnataka. 4. Firm/Organization has to execute an agreement with NABFINS with regard to the project. 5.The Services/solutions required of the consultant should be tailored to the needs of the NABFINS assignment. 5. Brief Description of Selection Process TENDER is being invited with well- defined eligibility criteria and scope of work. TENDER without completeness will be rejected. Based on the TECHNICAL BIDS received from the various Applicants, NABFINS BANGALORE will shortlist Applicants who fulfill the Technical qualification criteria. The FINANCIAL BIDS of only those applicants who have qualified for the shortlist will be opened and evaluated by the NABFINS Tender Committee. Any queries can be made through e mail to the id :ho@nabfins.org or by letter to the General Manager, NABFINS, RV Road, Bangalore. No verbal enquiries shall be made. The Applicants will submit Technical and the Financial Bids on line and also in separate sealed envelopes along with documents as specified the tender invitation on or before (01:00 PM) Technical Evaluation for eligibility will be undertaken first on QCBS Marks of 100. The Financial Bids of only those Applicants who qualify in technical evaluation will be opened.

6 Financial Bids Evaluation and Final Contract Award to the Bidder will be done using the World Bank QCBS Method. Quality and Cost Based Selection (QCBS) uses a competitive process among short-listed firms that takes into account the quality of the proposal and the cost of the services in the selection of the successful firm. The relative weight to be given to the quality and cost shall be determined for each case depending on the nature of the assignment. 6. Submission, Receipt, and Opening of Proposals The original bids shall be prepared and submitted. Copy of Bids through hard copy should be submitted to The General Manager, NABFINS before the due date & Time in a closed envelop in above mentioned address. The bidder shall also submit the bid proposals electronically to the ID:ho@nabfins.org. The completed bid must be submitted electronically on or before the due date for bid submission. 7. TECHNICAL DETAILS The bidder is required to prepare and submit a technical proposal indicating the following: Proof of Incorporation of the legal entity Proof of turn over: Copies of audited balance sheets / Income-Expenditure statement or a letter of certificate issued by the auditors of the applicant indicating the annual turnover Valid proof of Income Tax Filing of returns Proof of Service Tax/VAT/PAN Registration. All the above copies to be enclosed 8. OTHER TERMS & CONDITIONS Last Date: The deadline for submission of the TENDER document is (01:00 PM) a. The Bidder shall prepare bid and submit in a sealed Cover. b. It shall contain no Interlineations or overwriting. c. All pages of the proposal must be sequentially numbered and shall be initialed by the Authorized Representative of the bidder. d. Bids should be sent to and the hard copy of the proposal has to reach the designated office on or before the last date and time of the submission. f. Any proposal received by NABFINS after the above deadline shall be rejected and returned unopened to the Bidder.

7 g. NABFINS shall not be responsible for any postal delay or non-receipt/ non-delivery of the documents. No further correspondence on the subject will be entertained. h. NABFINS reserves the right to modify and amend any of the abovestipulated condition/criterion depending upon project priorities vis-à-vis urgent commitments. i. NABFINS reserves the right to assign additional work to the selected vendor if and when required by mutual agreement. j. An applicant should submit only one proposal. If an applicant submits or participates in more than one proposal, all such proposals shall be disqualified. k. Each page, Form, Annexure and Appendices of the Technical Proposal must be signed by the Authorized signatory of the firm /legal entity. l. NABFINS reserves the right to accept or reject one or all applications without assigning any reasons. Managing Director Reserves rights to Accept or Reject,either Partially or wholly any bid without assigning reasons for the same. j. At any time but three working days prior to the last date for submission of tenders, NABFINS may modify the TENDER and such modified TENDER will be made available in e-procurement web site and such modification shall be binding on all concerned. NABFINS, at its discretion, may extend the last date for submission of tenders. l. The bid inviting authority may, at its discretion, extend the last date for submission of bid, in which case, all rights and obligations of the tendering authority and the bidders, subjected to the previous last date, will thereafter be subject to such extended last date. m. The bids with incomplete information, subjective and conditional offers as well as partial offers will be liable for rejection. n. The bids submitted without the enclosures to prove about the bidder s specific experience, capabilities, domain experience, etc., and having non-compliance of any of the clauses of this tender, will be liable for rejection. o. The company, which is pre-qualified and receives an enquiry but does not respond to the enquiry, will be blacklisted as non-responsive. However, if the company cannot supply the software as per the enquiry, it shall submit a regret letter with reasons failing which, it will be blacklisted. p.
