This overall system name also includes the former Iowa Health Physicians & Clinics (now UnityPoint Clinic) and Iowa Health Home Care (now UnityPoint at Home and UnityPoint Hospice). History The change to become UnityPoint Health follows several years of discussions and innovative pilots between the organization s regional affiliates, board of directors, physician leadership, and management teams regarding healthcare changes and how to best position the organization for the future. The strategic plan of UnityPoint Health is focused on a new care coordination model and organizational growth. UnityPoint Health began in Des Moines in 1993, when Iowa Methodist and Iowa Lutheran merged to form Iowa Health System. At the time, the merger created Iowa s largest provider of hospital and related health services. Since then, UnityPoint Health has grown to encompass nine major geographic regions in Iowa, Wisconsin, and Illinois, and includes UnityPoint Clinic and UnityPoint at Home, and a newly created insurance division. In its continued effort to expand its network of patient-focused, community-minded health systems dedicated to providing high-quality, lower-cost healthcare throughout the Midwest, UnityPoint Health and

3 UnityPoint Health Meriter Health Services (448-bed hospital, eight clinics a multispecialty medical group, and Physicians Plus Insurance Corporation) in Madison, Wisconsin, signed an affiliation agreement in October The agreement received all necessary regulatory approvals and was finalized on January 1, This strategic affiliation allows for UnityPoint and Meriter to collaborate on care delivery innovations to better serve patients and lower the cost of healthcare. UnityPoint Health Insurance Division UnityPoint Health Insurance Division consists of Physicians Plus Insurance Corporation currently serving members in South Central Wisconsin, an Accountable Care Organization (ACO) serving a population of over 222,000 in nine markets via four different strategies throughout Iowa and Illinois and an emerging Management Services Organization. Physicians Plus Insurance Corporation Physicians Plus Insurance Corporation (PPIC) is a nationally recognized managed care organization focused on providing high-quality, innovative products and services that help improve the health of its members and the community. Founded in 1986, and then owned by Meriter Health Services and local doctors, PPIC provides health insurance to over 80,000 members in south central Wisconsin and proudly supports dozens of organizations that serve its community. In 2014, UnityPoint health affiliated with Meriter Health Services, and PPIC became a wholly-controlled affiliate of UnityPoint Health. On February 3, 2014, UnityPoint Health acquired 100 percent of the stock of PPIC, making PPIC a wholly-owned subsidiary of Unity- Point Health. PPIC recently received Excellent Accreditation Status from the National Committee for Quality Assurance (NCQA) in recognition of the organization meeting the rigorous NCQA standards for consumer protection and quality improvement in the delivery of its health plan services (Commercial HMO/POS Combined). 02

4 Position Description T he... Senior Vice President, Insurance Division, UnityPoint Health/Chief Executive Officer, Physicians Plus Insurance Corporation will be responsible for overseeing the strategic direction, operational execution, profitability, and performance of the health plan, the Accountable Care Organization (ACO), and the emerging Management Services Organization (MSO). The Senior Vice President and CEO will provide leadership and direction to the executive staff, monitor and improve operational performance, drive growth and expansion, oversee development of new products and programs, drive operational excellence, and play a critical role in managing key outside relationships. Working closely with the UnityPoint Health s Executive Vice President and Chief Strategy Officer, this individual will become familiar with the established vision, mission, and strategies of the organization, and will then build on these to effectively define, articulate, and address current and future needs. The successful candidate will recognize and embrace the philosophy, mission, values, and vision of UnityPoint Health. This key executive will demonstrate these values with his/her leadership practices. This executive will also possess personal and professional integrity, strong communication skills, and an excellent professional appearance and presentation. Reporting Relationship The SVP and Chief Executive Officer reports to UnityPoint Health s Executive Vice President and Chief Strategy Officer, as well as the Boards of PPIC and UnityPoint Health Partners. Reporting relationships will meet all requirements of the respective State Insurance Commission, as well as the requirements under the Medicare Shared Savings Program. 03

5 Position Description, continued Principal Accountabilities Provide leadership and direction to ensure all key strategic and operational goals of PPIC, the ACO, and the MSO are met or exceeded. Take appropriate actions to increase revenue, leverage resources, manage and/or minimize expenses, and ensure compliance with all HMO, insurance, or accountable care business and administrative regulations. Develop and implement short- and long-term strategic plans and annual budgets required for the company s growth and success. Provide leadership necessary to ensure the organization s strategic plan is translated into clear, tactical goals and objectives that guarantee performance objectives are met or exceeded. As the executive with ultimate responsibility for all aspects of the relationship between PPIC, the ACO, and the MSO and its health system counterparts, the SVP and CEO will build, support, and maintain positive strategic relationships with the senior health executives within UnityPoint Health. UnityPoint Health is committed to maintaining PPIC s role as a part of Meriter s integrated system. In addition, establishing a rapport, ongoing communications, and a solid working relationship with other key outside entities is crucial. This executive will advise the senior management team on the perceptions of outside entities and encourage the free flow of information and ideas. Develop and implement short-term strategic plans designed to ensure customer satisfaction by identifying market needs and offering creative solutions to those opportunities; developing and implementing new and innovative approaches to provide, expand, or improve current market and product scope; and enhancing the visibility and viability of PPIC, the ACO, and the MSO in the marketplace. Experience and Qualifications The successful candidate will possess a bachelor s degree; a master s degree in business or health administration is highly preferred. This individual will have 10 to 15 years of progressive, related business management experience in a high-impact role. Five or more years of profit and loss responsibility for a company, subsidiary/division, or product line within managed care and/or a risk-bearing healthcare services organization is required. It is critical for this person to have extensive experience and working knowledge of managed healthcare as well as experience working with multiple healthcare delivery models. This experience will include key roles in operational areas as well as sales and marketing. The Senior Vice President and Chief Executive Officer must have demonstrated leadership capacity to assume oversight and accountability for the operations of a growing multi-entity company and the ability to lead and motivate people to achieve agreed-upon results. This individual must have extensive capacity to think strategically, with effective communication skills and a proven track record of building and maintaining multiple successful partnerships. 04

6 Position Description, continued Opportunity Assessment Personal and Professional Attributes The successful candidate will possess a wide range of needed personality traits, work habits, and social skills necessary to perform effectively within the organization. This individual will possess both personal and professional integrity, strong communication skills, and a professional appearance and presentation. Specifically, the following knowledge, skills, and abilities will be required to be successful in this position: Honest and a highly ethical team player. This is a newly created position within UnityPoint Health designed to provide leadership and strategic direction for system-wide insurance strategies, relationships, and practices. In addition to leading the payer asset PPIC, the selected candidate for Senior Vice President, Insurance Division and CEO of PPIC will be tasked with building and managing those relationships both internal and external to the organization. The Senior Vice President Insurance Division will work in partnership with the regional hospital leaders, the clinic leadership to develop and implement strategies and target appropriate organizations for affiliation or other alignment. PPIC currently operates in a competitive, yet limited, southern Wisconsin geography. PPIC needs a Chief Executive Officer who can drive profitable expansion. The ability to anticipate market needs and dynamics is key to success. This is a unique opportunity to bring leadership that will transform a traditional commercial managed-care organization into a market-leading health services organization. Particular emphasis will be driving innovation in products, services, and shared savings models for reimbursement. Strong people management and leadership skills. T he Senior Vice President, Insurance Division, UnityPoint Health/Chief Executive Officer, Physicians Plus Insurance Corporation position will be located in the organization s West Des Moines, Iowa, location. Des Moines, Iowa As Iowa s capital city, Des Moines is a hub of government action, business activity, and cultural affairs. With a Metro population of 569,633, Des Moines is a bustling metropolis. Though it has big city bustle, residents are extremely proud of the small town atmosphere. The community offers quality schools, superb public services, and friendly neighborhoods. In recent years, Microsoft and Hewlett Packard have established data processing and logistical facilities in the Des Moines metro.
