2 Summary St. Joseph s Hospital and Health System (SJH) is seeking a Chief Integrity and Compliance Officer Reporting directly to the Chief Executive Officer, with dual accountability to the Trinity Health System Integrity & Compliance Officer, the Chief Integrity and Compliance Officer will be responsible for the leadership and operations of the Integrity & Compliance Program within SJH and be a key member of the senior leadership team, working on both strategic and operational day-to-day components of the Integrity and Compliance Program. The Opportunity The Integrity & Compliance Officer is responsible for leadership, direction and oversight of Saint Joseph Health System s (SJH) Integrity & Compliance Program (ICP). The ICP is designed to ensure SJH has established systems, policies and procedures to effectively comply with applicable laws and regulations pertaining to its business activities, including those pertaining to federal and state health care programs and the privacy of patient health information. For more information, please visit The Position Scope of the Chief Integrity and Compliance Officer Position: 1. Knows, understands and demonstrates Trinity Health s Mission, Vision and values in leadership behaviors, practices and decisions. 2. Provides oversight and leadership to the implementation and ongoing operation of SJH s Integrity & Compliance Program (ICP) including Privacy. 3. Chair the SJH local Integrity & Compliance Committee and ensure the Integrity & Compliance Committee meets regularly (minimum quarterly) with appropriate representation and participation of key management and staff consistent with Trinity Health guidelines. 4. Oversee distribution of the Code of Conduct and appropriate orientation of associates, medical staff and key business partners at the time of initial hire, credentialing, contracting, etc. 5. Coordination with management in establishment of policies and procedures addressing areas of significant legal, regulatory or other compliance risk impacting SJH operations. 6. Coordination with management in establishment of policies for ongoing training, education programs for associates, physicians, and board members in support of the ICP. 7. Establishment of effective communication programs for colleagues, physicians, board members and other key stakeholders to promote awareness and understanding of the Code of Conduct, the ICP, and laws and regulations impacting SJH operations. 8. Oversee the establishment of routine, periodic internal auditing and monitoring activities to assess compliance with applicable laws, regulations, and SJH and Trinity Health policies in support of the ICP. Assists in ensuring the cooperation and support of SJH management in the performance of internal audits conducted by Trinity Health. 9. Establish procedures for the effective follow-up and timely investigation of compliance issues reported to the Chief Integrity & Compliance Officer or to the Trinity Health Integrity Line (i.e., hotline), including reports of alleged violations of laws, regulations and SJH and/or Trinity Health policies. 10. Coordination with SJH Human Resources in establishment of policies and procedures supporting the ICP in the areas such as associate background checks, exclusions screening, 3
4 and disciplinary actions for violations of the Code of Conduct, laws and regulations and SJH and/or Trinity Health policies. 11. Provide oversight to management s completion of corrective actions in response to compliance matters identified through audits, investigations and internal monitoring programs conducted by the ICP. 12. Where appropriate, assist SJH and Trinity Health General Counsel s Office and/or Trinity Health in response to regulatory investigations or other legal matters identified through the ICP. 13. Ensure SJH CEO and senior management is appropriately involved and communicated with concerning significant activities of the ICP, including the status of investigations, audits or other issues requiring management s corrective actions. 14. Provide regular reports to SJH Board of Directors (or delegated committee of the board) concerning the operations of the ICP, and the status of any significant legal, regulatory or other compliance matters being addressed by the organization, including external regulatory audits or investigations. 15. Serve as a member of the Trinity Health Integrity & Compliance Officers Council (ICO Council) providing input and feedback to Trinity Health management in the design and ongoing operation of the ICP. 16. Communicate timely with the Trinity Health System Integrity & Compliance Officer and SJH General Counsel s Office concerning significant legal and regulatory matters, including investigations conducted by the Department of Justice, Department of Health and Human Services Office of Inspector General, fraud or investigative units of federal health care program contractors, state attorney general, IRS, etc. The Candidate The candidate for this position will be a mission driven leader, committed to working within a values based, patient centric setting. Bringing ten years relevant experience to the role, with at least five years in a compliance leadership position, the ideal candidate will be Masters Prepared. The background of the selected candidate is fluid and may include: finance, compliance, consulting or legal experience (JD). From a skills and presentation perspective, the candidate must possess outstanding communication skills and be comfortable presenting at the Board level. Most importantly, the ideal candidate will bring strong working knowledge of working in an Integrity and Compliance leadership position. Other personal attributes include: The poise and sophistication to operate in both a community and system-wide role and promote the important mission and activities of SJH, especially in regard to all regulatory and compliance issues. Being part of a high performing, collaborative team whose shared mission is the provision of a higher level of care. The ability to support and partner with senior management, physician leadership, and peer groups to drive the continued development of an effective and robust integrity program. Possessing the personal charisma to motivate and inspire others into action and bringing a can do proactive approach to the arena of compliance. A comprehensive understanding of the changing landscape as it relates to healthcare delivery, including new payment models such as accountable care organizations and 4
5 bundled payment programs and their impact, from a compliance perspective on the organization. A high level of Emotional Intelligence. Being highly skilled at building relationships and gaining buy in through engagement, listening, and possessing a transparent communication style. The ability to foster an atmosphere of respect, trust, and aligned commitment to organizational goals consistent with the Mission and Core Values of SJH and Trinity Health. The ability to be persuasive, yet diplomatic with the skillset to work with disparate parties in reaching consensus. Being a skilled facilitator who understands the nuances of serving many masters in a system environment. Critical Success Factors The Integrity and Compliance Officer will: Demonstrate his or her abilities as a relationship person and have the ability to build sustainable relationships across the organization and at all levels. S/he will be comfortable working as part of a team and within a culture that is humble and respectful, but also possess the self-confidence to work alongside a diverse group of people and personalities to drive a successful compliance program. Demonstrate a strong working knowledge of the health care industry regulatory environment, particularly laws and regulations pertaining to participation in the Medicare and Medicaid programs, fraud and abuse laws, and regulatory compliance program operations. Demonstrate subject matter expertise related to new federal and state health care payment programs and their compliance requirements, including ACOs and bundled payment programs. Manage the day-to-day, nuts and bolts of Integrity and Compliance and ensure that all operations are running consistently, efficiently and effectively across all provider sites.
