104 terms and conditions of sae Contract Terms Uness other terms and conditions are expressy accepted by the Seer by means of a specific written amendment hereto signed by the Seer or a director of the Seer the contract wi be on the terms and conditions set out beow and overeaf ( the Contract Terms ) to the excusion of any other terms and conditions (except those impied in favour of a seer which are not inconsistent with the Contract Terms) whether or not the same are endorsed upon, deivered with or referred to in any purchase order or other document deivered or sent by the Buyer to the Seer. Any reference overeaf to the Buyer s order, specification or ike document wi not be deemed to impy that any terms or conditions endorsed upon, deivered with or referred to in such order, specification or ike document wi have effect to the excusion or amendment of the Contract Terms. 2. Quotations 2.1 Any quotation is given on the basis that no contract wi come into existence unti the Seer despatches an acknowedgement of order to the Buyer or effects deivery whichever is earier. 2.2 A quotation by the Seer does not constitute an offer and the Seer reserves the right to withdraw or revise the same at any time prior to the Seer s acknowedgement of an order. 2.3 Any quotation is vaid for a period of 30 days ony from its date provided that the Seer has not previousy withdrawn it. 3. Deivery 3.1 The Seer wi endeavour to deiver the goods to be suppied under the contract ( the Goods which expression incudes any of them or any part of them) within the time agreed and if no time is agreed within a reasonabe time, but in no circumstances wi the seer be iabe for oss or damage of any kind whatsoever caused directy or indirecty by any deay in the deivery of the Goods, nor uness such deay exceeds 30 days wi any deay entite the Buyer to terminate or rescind the contract. 3.2 The Seer may make deivery by instaments. 3.3 The deivery wi be made ex the Seer s works and the contract price is cacuated on that basis uness the parties agree otherwise. 3.4 No caim for shortages wi be considered uness the deivery paperwork is so marked at the time of deivery and the buyer confirms such compaint in writing within 7 days of deivery. Banket Orders The foowing provisions wi appy where the Seer suppies the Goods under a banket order received from the Buyer:- 4.1 if the order is a schedued order where the maximum quantity of goods required and the approximate dates (incuding the termina date) on which the requirements wi be caed off are specified, the whoe order wi be treated as a singe contract upon the Contract Terms. 4.2 if the order is a non-schedued order where the maximum quantity of Goods required or where the appropriate ca off dates are not specified, each ca of wi be deemed to concude a separate contract upon the Contract Terms. 4.3 if the order is a non-schedued order where the appropriate ca off dates are not specified, the Seer may require the Buyer to accept deivery of the maximum quantity of Goods required within tweve months of the date of the contract. Without imiting the generaity of any of the other Contract Terms the Seer wi not be under any iabiity to the Buyer if at the time of any ca off by the Buyer the Seer is unabe for whatever reason to suppy Goods in accordance with the Buyer s requirements. 5. Guarantee and Excusion Causes 5.1 Where the Seer is not the manufacturer of the Goods the Seer wi endeavour to transfer to the Buyer the benefit of any warranty or guarantee given by the manufacturer. 5.2 In respect of a goods manufactured by the Seer the Seer wi honour the printed warranties reating to those goods and a copy of the warranty reating to the Goods is attached to these Conditions and is avaiabe upon request. In respect of other goods where there are no printed warranties the Seer wi free of charge within a period of 12 months from the date of despatch repair or at its option repace any Goods which are proved to the reasonabe satisfaction of the Seer to be defective in materia or workmanship provided that this obigation wi not appy where: the Goods have been atered in any way whatsoever or have been subjected to misuse or unauthorised repair; or the Goods have been impropery instaed (uness the Seer carried out such instaation and connection); or the Buyer has faied to observe any maintenance requirements reating to the Goods; or the Buyer has faied to notify the Seer of any defect or suspected defect within 14 days of the same coming to the knowedge of the Buyer. Any Goods repaced wi beong to the Seer. Risk Notwithstanding any other Contract Term, risk in the Goods sha pass to the Buyer when the Goods are deivered to the Buyer or its agent. 7. Property in the Goods 7.1 The property (both ega and equitabe) in the Goods sha not pass to the Buyer unti the purchase price of the Goods has been paid in fu; and payment to the Seer of any sum which is at the date of the contract or may thereafter become due or owing from the Buyer to the Seer. 7.2 Unti property in the Goods has passed to the Buyer or unti deivery of the Goods to a third party pursuant to the permission given beow, the Buyer wi hod the Goods in a fiduciary capacity, wi not obiterate any identifying mark on the Goods or their packaging and wi keep the Goods separate from any other goods. 7.3 Prior to the property in the Goods passing to the Buyer the Seer permits the Buyer to deiver the Goods to a third party pursuant to a bona fide and arms-ength agreement to re-se the Goods but such iberty wi cease upon the termination of the contract. 7.4 Where the Seer is unabe to determine whether any goods are the Goods the Buyer sha be deemed to have sod a goods of the kind sod by the Seer to the Buyer in the order in which they were invoiced to the Buyer The Seer may at any time after payment for the Goods has become due take possession of the Goods (which for the avoidance of doubt wi incude the right to stop the Goods in transit) and remove them and the Buyer sha be deemed to have granted irrevocabe authority to the Seer to enter upon the Buyer s premises or other premises where the Goods may be by its empoyees or agents to take possession of the Goods and (if necessary) to dismante the Goods from anything to which they are attached If prior to the expiry of 7 days from the date when the Seer has taken possession of the Goods the Buyer pays a sums then due or owing to the Seer together with the costs of retaking possession of the Goods, the Seer wi re-deiver the Goods to the Buyer at the Buyer s expense. If within the 7 day period the Buyer fais to pay a sums then due or owing to the Seer, the Seer may re-se the Goods and sha pay to the Buyer the baance of any sums received upon the re-sae of the Goods after deducting a sums due or owing from the Buyer to the Seer and the costs of taking possession of and re-seing the Goods save that if the sums so received by the Seer do not exceed a sums due or owing from the Buyer to the Seer and the costs of taking possession of and re-seing the Goods the Buyer wi pay to the Seer any shortfa. 7.6 If the Buyer ses the Goods before the property in them passes to the Buyer, the Buyer wi hod the debt due to the Buyer resuting from the sae of the same in a fiduciary capacity and wi prompty account to the Seer for the proceeds of any such re-sae and, prior to paying such proceeds to the Seer, the Buyer wi hod the same in a fiduciary capacity keeping the same separate from its other monies. On receiving such proceeds the Seer wi return to the Buyer any sum received in excess of the tota of a sums due or owing from the Buyer to the Seer at the date of receipt by the Seer of such proceeds of sae. 7.7 The Seer wi have the right to maintain an action against the Buyer for the price of the Goods notwithstanding that property in the Goods has not passed. 7.8 Nothing in the contract wi constitute the Buyer the agent or the Seer in respect of any resae of the Goods by the Buyer so as to confer upon a third party rights against the Seer. 8. Price 8.1 The contract price is based on the costs of materias, abour, sub-contracts, transport, taxes, duties and currency exchange rates ruing at the date of the quotation. The Seer reserves the right to amend the contract price to take account of any variations in these costs or the imposition of any new taxes or duties occurring from whatever cause before deivery of the Goods. 8.2 Uness expressy stated otherwise a prices are excusive of V.A.T. which sha be charged at the rate and in the manner prescribed by aw from time to time.

Payment Where no account has been agreed by the Seer the Goods wi not be deivered unti the Seer is paid the amount shown on the pro-forma invoice reating to the Goods Where an account has been agreed the Seer may in its absoute discretion set and ater the Buyer s credit imit and the Seer reserves the right not to deiver the Goods if the price thereof increases the amount owed by the Buyer to the Seer beyond the Buyer s credit imit When an account has been agreed and the price of the Goods together with a other indebtedness of the Buyer to the Seer does not exceed the Buyer s credit imit the price wi become payabe upon deivery and payment wi be made by the Buyer within 30 days of the date of the Seer s invoice otherwise agreed in writing. 9.2 Interest at an annua rate of 5% above Nationa Westminster Bank pc Base Rate from time to time wi accrue daiy and be cacuated on a daiy basis on overdue accounts from the date of invoice unti payment. 9.3 Notwithstanding any Contract Term aowing the Buyer credit payment sha become due and payabe to the Seer immediatey upon the termination of the contract. 9.4 Where the Buyer makes defaut under the contact or any other contract with the Seer in payment on the due date of any sum to the Seer, the Seer without iabiity may postpone any deivery or may cance the contract or any other contract between the Seer and the Buyer but without prejudice to any right or remedy which the Seer may have against the Buyer in respect of such defaut. 9.5 The Seer wi be entited to payment for a instaments of Goods deivered to the Buyer whether under a banket order or otherwise. 9.6 The Seer sha at any time be entited to appropriate any payment made by the Buyer in respect of any goods in settement of such invoices or accounts in respect of such goods as the Seer may in its absoute discretion think fit notwithstanding any purported appropriation to the contrary by the Buyer. 10. Lien The Seer wi (without prejudice to any other remedy avaiabe to it) have in respect of a unpaid debts due from the Buyer a genera ien on a goods (whether or not the property of the Buyer) in the possession of the Seer for whatever purpose and whether worked upon or not and be entited upon the expiration of not ess than 14 days notice in writing to the Buyer to dispose of such property and to appy the proceeds towards the satisfaction of such debts. 11. Canceation 11.1 If the Buyer cances, extends or deays or purports to cance, extend or deay the Contract, or part thereof, or fais to take deivery of any Goods at the time agreed (if any) or if no time is agreed within a reasonabe time, then the Buyer wi be iabe (without prejudice to any other rights of the Seer to caim damages) to indemnify and keep indemnified the Seer against any resuting oss, damage or expense incurred by the Seer in connection with the suppy or nonsuppy of the Goods incuding the cost of any materia, pant or toos used or intended to be used therefor and the cost of abour and other overheads incuding a percentage in respect of profit If the Seer is unabe (whether temporariy or permanenty) to procure any services or goods necessary to enabe it to suppy the Goods or if the suppy of the Goods is prevented or hindered by reason of any cause beyond the Seer s reasonabe contro which for the avoidance of doubt and without prejudice to the generaity of the foregoing sha incude governmenta action, war, riot, commotion, fire, food, epidemic, abour disputes incuding abour disputes invoving the work force or any part thereof of the Seer, restraints or deays affecting shipping or carriers, currency restrictions and Act of God, the Seer may cance or suspend the contract by notice in writing to the Buyer so far as it reates to Goods not then suppied or work not then done or extend the time of its performance by a period equivaent to that during which performance by the Seer has been prevented by the circumstances hereinbefore referred to, in the case of any canceation, suspension or extension by the Seer this wi not give rise to any caims by the Buyer provided that the Buyer sha remain iabe to pay for Goods deivered prior to the date of such canceation. 12. Storage If the Buyer fais to take deivery of the Goods when they are ready for deivery the Seer may, at its option, either store them itsef or have them stored by third parties on such terms as the Seer may in its absoute discretion think fit. In any event the cost of storage wi be borne by the Buyer and insofar as the storage is done by the Seer then such cost wi be the Seer s storage charges current at the time of storage. The cost together with any additiona insurance or doube handing charges wi be added to and form part of the price for the Goods. 13. Specification or Design 13.1 Where the Goods are manufactured in accordance with information or drawings suppied by the Buyer or to his design or specification or where standard goods of the Seer are atered in accordance with the Buyer s instructions: no guarantee or warranty is given by the Seer as to practicabiity, efficiency, safety or otherwise of the Goods (this being without prejudice to any other of the Contract Terms) the Buyer wi indemnify and keep the Seer indemnified against a iabiity incurred by the Seer as a resut of: such goods infringing any inteectua property right incuding without prejudice to the generaity of the foregoing patents registered designs and copyright or the provision of any statute, statutory instrument or reguation any impracticabiity, inefficiency or ack of safety or other defects in the Goods where such defect is due (whether in whoe or in part) to fauts or omissions in such information, drawings, design, specification or instructions No variation in the specification or design of any Goods which in the reasonabe opinion of the Seer does not affect the suitabiity of the Goods for the purpose for which they are suppied by the Seer wi constitute a breach of contract or impose upon the Seer any iabiity whatsoever The Seer wi be under no iabiity whatsoever to the Buyer in respect of any oss damage or caim incurred by or made against the Buyer shoud any goods suppied by the Seer infringe any inteectua property right incuding without prejudice to the generaity of the foregoing patents registered designs and copyright or the provision of any statute statutory instrument or reguation Uness otherwise agreed in writing a patterns, drawings, toos or other simiar items produced or other property (whether inteectua property or not) owned or created by the Seer wi remain the property of the Seer and must not be used or copied by the Buyer Where it is agreed that ownership in any data, patterns, drawings, toos or other simiar items is to pass to the Buyer property sha ony pass when such items have been paid for by the Buyer in fu. 14. Promotiona Materia No drawings, descriptive matter, weights, dimensions or shipping specifications issued by the Seer or the manufacturer of the Goods, nor the descriptions and iustrations contained in the Seer s or manufacturer s cataogues, price ists or other promotiona materia wi form part of the contract nor be regarded as a warranty or representation reating to the Goods. 15. Right of Re-sae If the Buyer defauts in accepting deivery of or paying for the Goods, the Seer reserves the right to re-se the Goods or any of them to a third-party without giving notice to the Buyer of the Seer s intention to re-se. 16. Set-off The Buyer wi have no right of set-off, statutory or otherwise. 17. Termination 17.1 The Contract wi terminate immediatey upon the happening of any one or more of the foowing, namey, that the Buyer has had a bankruptcy order made against him or has made an arrangement of composition with his creditors or otherwise taken the benefit of any Act for the time being in force for the reief of insovent debtors or (being a body corporate) has had convened a meeting of creditors (whether forma or informa) or has entered into iquidation (whether vountary or compusory) except a sovent vountary iquidation for the purpose ony of reconstruction or amagamation or has a receiver manager administrator or administrative receiver appointed of is undertaking or any part thereof or a resoution has been passed or a petition presented to any Court for the winding-up of the Buyer or for the granting of an administration order in respect of the Buyer or any proceedings have been commenced reating to the insovency or possibe insovency of the Buyer The contract wi terminate immediatey upon service of written notice of termination by the Seer on the Buyer on the happening of any one or more of the foowing, namey, that the Buyer has suffered or aowed any execution whether ega or equitabe to be evied on his/its property or obtained against him/it or has faied to observe or perform any of its obigations or duties under the contract or any other contract between the Seer and the Buyer or is unabe to pay its debts within the meaning of Section 123 of the Insovency Act 1986 or the Buyer has ceased to trade The Seer s rights contained in the cause headed Property in the Goods (but not the Buyer s rights) sha continue beyond the discharge of the parties primary obigations under the contract consequent upon its termination The termination of the contract howsoever arising wi be without prejudice to the rights and duties of either party accrued prior to termination. 18. Export Where the goods are to be exported to the Buyer: 18.1 The Uniform Laws on Internationa Saes Act 1967 sha not appy to this contract Payment wi be made in Pounds Stering in Engand or such other currency as may be agreed The Goods wi be sod ex works uness otherwise agreed in writing. 19.
