Yu will receive yur fficial start date and an pening supprt package. Yur enrllment requires a qualifying rder, (r qualifying rders) f at least 36 eligible units purchased within a single quarter. ASSOCIATE DEALER REQUIREMENTS Yu must be apprved by Kumh Tire USA, Inc. Yu must be in gd standing with current Distributrs. Only retail stres with physical lcatins are eligible t participate. Dealers with multiple lcatins must have all lcatins enrlled in rder t be eligible t participate. Internet/nline stres and mbile tire services are nt eligible t participate. Direct Kumh Tire retail dealers are nt eligible t participate. Dealers with mre than 10% in autmbile sales are nt eligible t participate. Dealers with mre than 10% in whlesale sales are nt eligible t participate. CHANGING DISTRIBUTORS Assciate Dealers must remain enrlled with their selected Kumh Distributr fr a minimum f 12 mnths befre becming eligible t change Distributrs. Assciate Dealers may submit cmpelling explanatins fr an early Distributr change via a Distributr Change Frm. Kumh Tire will prvide final apprval/denial fr any early Distributr transfer requests. T change yur designated Distributr, fill ut and return the Distributr Change Frm t Kumh Tire. The change will becme effective tw weeks frm the date the frm is apprved by the apprpriate Kumh sales representative. Yur current designated Distributr will be ntified f the change request. ADDITIONAL GUIDELINES All Rewards are calculated/paid nly n purchases f Premium Fuel Eligible prducts thrugh the Dealer s designated Distributr. All bnuses are calculated n a per-lcatin basis. If purchases fr multi-lcatin Assciate Dealers are reprted as a cmbined ttal, Kumh will divide by the ttal number f lcatins t determine the per-lcatin quarterly and annual unit attainment. Dealers wh fail t meet the minimum annual bjective f 144 tires (an average f 36 tires per quarter), will be remved frm the prgram and will be required t reenrll in the fllwing year.

Quarterly Rewards are paid by check r via direct depsit in the 2 nd mnth after the clse f each quarter. Each quarter stands n its wn where quarterly reward rate calculatins are cncerned.

At the end f each calendar year, the ttal purchased quantity f eligible prducts will be multiplied by the per-tire Annual Vlume Bnus Reward amunt as determined by that ttal. Annual Vlume Bnus Rewards are nly paid if the minimum yearly unit bjective f 300 tires is achieved. Annual Vlume Bnus Rewards are paid by check r via direct depsit in the 2 nd mnth after the clse f the calendar year. KUMHO RESERVES THE RIGHT TO MODIFY OR CANCEL THIS PROGRAM AT ANY TIME. WE RESERVE THE RIGHT TO AUDIT ANY WHOLESALER S RECORDS RELATED TO THE SALES REPORTED ON THIS PROGRAM. 7 1. RECITALS A. Kumh distributes Kumh-brand autmbile and truck tires and related prducts ( Prducts ) thrugh a dealership netwrk established acrss the United States. Distributr is an Authrized Kumh Distributr f the Prducts. B. Kumh has a prgram in effect called the Premium FUEL Assciate Dealer Prgram, as mdified frm time t time (the Prgram ), pursuant t which Kumh s Authrized Distributr sells Prducts thrugh sub-dealers wh are named as Authrized Assciate Dealers. Under the Prgram, Kumh prvides t Authrized Assciate Dealers certain marketing, prmtin and related services. C. Distributr and Assciate Dealer desire that Kumh appint Assciate Dealer as an Authrized Assciate Dealer, and Kumh is willing t effect such appintment n the terms and subject t the cnditins f the Agreement. NOW, THEREFORE, in cnsideratin f the freging, and fr ther valuable cnsideratin, the receipt f which is hereby acknwledged, the parties agree as fllws: 2. APPOINTMENT A. Fr the term f this Agreement, Kumh hereby appints Assciate Dealer as nn-exclusive Authrized Assciate Dealer f the Prducts. B. Assciate Dealer hereby agrees fr the term f this Agreement t use its best effrts t advertise, prmte, slicit custmers fr, sell and service the Prducts, and t perfrm all ther bligatins, including sales requirements, as may be required by the Prgram frm time t time. Kumh hereby agrees fr the term f the Agreement t use its reasnable best effrts t supprt and assist Assciate Dealer in the prmtin, sale and servicing f the Prducts in accrdance with the Prgram. Kumh shall have the right t alter, amend r terminate the Prgram at any time in its sle discretin upn giving written ntice t Dealer and Assciate Dealer. C. Dealer understands, acknwledges and agrees that Kumh shall retain the abslute right t designate ther persns as Authrized Assciate Dealers withut regard t the gegraphical relatin between the sales lcatins (as hereafter defined), and the business lcatins f such persns. D. Kumh and its affiliates shall retain the sle and exclusive right t the trademark Kumh, and any and all ther trademarks, trade names and ther intellectual prperty rights appurtenant t the Prducts. Assciate Dealer will nt use r display any such mark r name fr any purpse ther than prmting r advertising the sale r use f Kumh Prducts. Upn terminatin f this Agreement fr any reasn, Assciate Dealer immediately will cease using r displaying all Kumh trademarks and trade names. 3.WARRANTIES A. Assciate Dealer understands that Prducts bearing the Kumh brand name and D.O.T. number are warranted accrding t applicable Kumh warranties (the Warranties ). Assciate Dealer agrees t display all Warranties accrding t Kumh plicy and all applicable federal and state laws. Assciate Dealer shall nt mdify the terms f any warranty. B. Warranty claims shall be prcessed and settled in accrdance with Kumh Warranty prcedures as established by Kumh. C. Distributr lcatins will perfrm warranty adjustments fr Kumh replacement tires presented by Kumh custmers.

ADVERTISING AND PROMOTION A.Assciate Dealer shall ensure that sales lcatins are identified at all times during the term f this Agreement by prminent display f prperly maintained Kumh signs and ther Kumh pint-f-sale materials supplied t Assciate Dealer by Kumh. B. Advertising and prmtinal items must be current and meet Kumh Tire standards. 5. DURATION OF AGREEMENT/TERMINATION A.This agreement shall becme effective when signed by Assciate Dealer, Dealer s duly authrized representative and an fficer f Kumh, and shall cntinue in full frce and effect fr s lng as Dealer is an authrized Kumh Dealer unless terminated as prvided herein. B.Ntwithstanding the prvisins f Sectin 6(a), this Agreement may be terminated by either party at any time withut cause upn 60 days prir written ntice. Such right f terminatin shall be abslute. C.Assciate Dealers must remain enrlled with their selected Kumh Distributr fr a minimum f a12-mnth perid prir t becming eligible fr a transfer between Kumh Distributrs. Assciate Dealers may submit cmpelling explanatins fr an early Distributr transfer via a Distributr Change Frm. Kumh Tire will prvide final apprval/denial fr any early Distributr transfer requests. D.Upn terminatin r expiratin f this Agreement, Assciate Dealer will n lnger be an Authrized Assciate Dealer and shall nt, frm that date, hld itself ut t the public as such in any way whatsever, whether expressly r by implicatin. Assciate Dealer shall cperate fully with Kumh and its authrized agents in remving any signs furnished by Kumh t Assciate Dealer. E.Kumh Tire reserves the right t require Assciate Dealers enrlled in the Premium FUEL Prgram t re-enrll at any time. F.Dealers wh did nt earn a bnus in the calendar year will be required t re-enrll after year s end. 6. GENERAL A.Kumh shall nt be liable t either Distributr r Assciate Dealer fr any breach f cntract r ther damage arising ut f their dealings with ne anther r caused by the act f missin f either Distributr r Assciate Dealer. B.The parties agree that Assciate Dealer is an independent cntractr and nt an emplyee r agent f Kumh r Distributr. Assciate Dealer has paid n fee in cnnectin with this Agreement and is nt a franchisee f Kumh r Distributr. C.This agreement shall be gverned by and cnstrued under the laws f the State f Gergia. This Assciate Dealer Agreement (the Agreement ) is made and entered int as f the..day f, 20, by and between Kumh Tire USA, Inc. a Gergia Crpratin ( Kumh ), having its principal place f business at 133 Peachtree Street NE Suite 2800, Atlanta, GA 30303, and the Distributr and Assciate Dealer identified belw.
