2 Senior Vice President/Chief Enterprise Risk, Ethics and Compliance Officer Rutgers, The State University of New Jersey, seeks an outstanding leader with exceptional strategic and operational capabilities to join the senior leadership team as Senior Vice President, Chief Enterprise Risk, Ethics and Compliance Officer (SVP). Reporting directly to the President and with direction from the Chair of the Committee on Audit of the Board of Governors, the SVP will provide leadership, advice and counsel to the Board of Governors, the President, and Rutgers senior management on matters of compliance and ethical business practices. RBHS includes academic units and their attendant faculty practices, centers, institutes, and clinics; New Jersey's largest behavioral health care network; and numerous additional centers, institutes, and clinics. RBHS also includes New Jersey's leading comprehensive cancer care center, the Cancer Institute of New Jersey. There are 1.7 million annual patient visits to faculty practices, centers, clinics, and institutes and 350 clinical trials supported at any given time. Legislation enacted in 2012 created new organizational leadership structures at the University. The integration of Rutgers and most of the academic, research, and patient care units of the former University of Medicine and Dentistry of New Jersey (UMDNJ) created Rutgers Biomedical and Health Sciences (RBHS), an entirely new academic entity at the University. In 2014, Rutgers University New Brunswick joined the Big Ten athletic conference and its academic counterpart, the Committee on Institutional Cooperation (CIC) an academic consortium of 15 top-tier universities. The University is in the midst of the most comprehensive period of capital construction in the university s history. Leadership Robert Barchi, appointed in 2012 as the 20 th president of Rutgers, is leading Rutgers at one of the most exciting moments of its nearly 250-year history. He has overseen formation of Rutgers Biomedical and Health Sciences, a major division of the university established in 2013; has led development of an ambitious university wide strategic plan, the first at Rutgers in nearly 20 years, and a corresponding physical master plan. He helped lead Rutgers into the Big Ten Athletic Conference and the Committee on Institutional Cooperation. And, after helping advocate for passage of a statewide bond referendum for higher education construction, Dr. Barchi has overseen the groundbreaking for nearly $800 million in capital projects, including the first new academic facility built on the historic College Avenue Campus since the 1960s. From 2004 to 2012, Dr. Barchi served as president of Thomas Jefferson University in Philadelphia, nationally regarded as a top university dedicated to health sciences education and research. Prior to Jefferson, he was provost and chief academic officer of the University of Pennsylvania, where he had responsibility for Penn s 12 schools, all academic programs, athletics, students, and faculty. 3

4 Senior Vice President/Chief Enterprise Risk, Ethics and Compliance Officer The Senior Vice President/Chief Enterprise Risk, Ethics and Compliance Officer will promote, supervise, and sustain an environment and culture of compliance, ethical practices, and risk management across the University. S/he will promote effective communication and coordination among existing compliance offices, functions, and individuals. S/he will oversee the Enterprise Risk Management Program and have the independence and authority necessary to objectively review and evaluate compliance issues at all levels within Rutgers and within all of its subdivisions, subsidiaries, and affiliates. S/he will pragmatically manage risks and bring astute business acumen to the position and will oversee, mentor and manage a team of professionals working toward specific, measurable goals. The SVP will bring experience with, or a working knowledge of, the programs and regulations that impact healthcare business operations. These include, but are not limited to, federal and state regulations and programs related to health plans, hospital operations, healthcare billing and compliance, and privacy and security regulations. The Senior Vice President/Chief Enterprise Risk, Ethics and Compliance Officer will report to the President of the University and to the Chair of the Committee on Audit of the Board of Governors for direction. The following are key roles and responsibilities for the SVP: Compliance & Ethics: Advises and works with the Board of Governors and senior administrators to revise/develop, disseminate, and implement codes of ethical conduct, policies, practices, compliance and audit standards, administrative systems, and educational programs in areas that include, but are not limited to: accreditation and licensure; prevention of management fraud and illegal acts: unauthorized use of Rutgers assets; improper or inadequate documentation and billing; and adherence to state and federal regulatory requirements. Oversees the day-to-day operations of the compliance program, including developing, initiating, maintaining, and revising policies and procedures for the general operation of the compliance program and its related activities to prevent illegal, unethical, or improper conduct. Monitors the performance of the Compliance Program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness. 4

5 Identifies potential areas of compliance vulnerability and risk; develops and implements corrective action plans for resolution of problematic issues; and provides general guidance on how to avoid or deal with similar situations in the future. Develops and oversees a system for uniform handling of alleged violations of rules, regulations, policies, procedures, and Standards of Conduct. Ensures proper reporting of violations or potential violations to duly authorized enforcement agencies as appropriate and/or required. Institutes and maintains an effective compliance communication program for the organization, including promoting (a) use of the Compliance Hotline; (b) heightened awareness of Standards of Conduct, and (c) understanding of new and existing compliance issues and related policies and procedures. Collaborates with other departments (e.g., Office of General Counsel, Internal Audit, Human Resources, Title IX Coordinator) to direct compliance issues to appropriate existing channels for investigation and resolution. Consults with the General Counsel as needed to resolve difficult legal compliance issues. Ensures compliance with applicable federal and state laws regarding the public s access to government records. Enterprise Risk Management Oversees the Enterprise Risk Management ( ERM ) program, including leading the strategic planning for the program and providing leadership to the ERM Council; Facilitates the university s definition of risk appetite and tolerance, coordinates risk assessments, and leads process to identify key strategic, financial, operational, and reputational risks, and to develop risk mitigation plans for those risks; Develops and implements benchmarking around key risks; Provides reports on a regular basis, and as directed or requested, to keep the Committee on Audit, the President, and senior management informed of the operations and progress of compliance efforts; Oversees the development and facilitation of educational and training programs. Qualifications The successful candidate will have the ability to identify and analyze complex compliance issues and risks, provide leadership, build consensus, and communicate effectively. This individual must be able to effectively manage shifting priorities and multiple projects and demands; and must have broad, in-depth experience in a majority of the compliance areas at the University. This individual must have experience in working with independent professionals, such as faculty and staff in higher education, and have supervisory experience. Experience with, or a working knowledge of, the programs and regulations that impact healthcare business operations is strongly preferred. Experience with regulatory governmental agencies or comparable oversight organizations preferred. The incumbent must have a thorough knowledge of and experience with federal and state regulations, laws, policies, and 5

6 procedures as well as experience in a leadership role in an academic, healthcare, researchintensive industrial enterprise or governmental agency. In addition, The SVP will have the following credentials, experiences, capabilities, and attributes: Advanced Degree (JD, MBA, MA, MD, or PhD); A minimum of 10-years of experience working in academic or healthcare administration; In-depth knowledge of legal and regulatory environment for an academic medical center or comparable experience; Demonstrated leadership skills in a large complex higher education, healthcare, or corporate environment, with the proven ability to lead through influence and persuasion; Strong creative, innovative, strategic, and visionary qualities; Outstanding verbal and written communication skills; Reputation for the highest integrity and ethical standards; Excellent qualitative and quantitative analytical skills to identify and solve a wide range of business problems; Exceptional strategic thinking skills.
