3 01 About Bhavnagar Mine of GMDC. Gujarat Mineral Development Corporation Ltd. (GMDC) is a Government of Gujarat Enterprise, registered under the Companies Act, 1956, having its Registered Office at Khanij Bhavan, 132 Ft. Ring Road, University Ground, Vastrapur, Ahmedabad During mining of Lignite, BENTONITIC clay is generated and is stacked separately at Bhavnagar mines. 02 Estimated availability of BENTONITIC offered for sale The estimated availability of BENTONITIC clay at Bhavnagar mine is approximately 1,00,000 MT Splitting of contract GMDC reserves the right to award contract to one or more bidders as it deems fit The average analysis of the BENTONITIC is Minerals Range % SiO R 2 O Fe 2 O Al 2 O TiO CaO MgO Na 2 O K 2 O Absent Loss on Ignition Preference for sale / allotment First preference will be given to the captive users of Gujarat who are doing value addition of BENTONITIC Clay. Bidders will have to satisfy GMDC that BENTONITIC Clay bought through this tender would in fact be subject to value addition. Page 3 of 8

4 03 Scope of the offer Sale of BENTONITIC Clay material available at Bhavnagar is on AS IS WHERE IS BASIS. GMDC will deploy manpower and machinery for Loading of Bentonitic Clay in to successful Bidders vehicle from Bhavnagar mines. Loading of BENTONITIC Clay and weighment of the trucks would be done on GMDC s weighbridge and permitted strictly during the office hours on all working days only. In case of any exigency, however, the bidder has to take prior permission of General Manager (Project) for the loading and weighment of BENTONITIC Clay trucks outside office hours and all relevant expenses incurred by GMDC in this regard shall be borne by the bidder. The decision taken in this regard by the General Manager (Project) shall be final. 04 Weighment Until otherwise provided tare weight and net weight shall be recorded at the weigh-bridge located at Bhavnagar mine. The quantity recorded at the weigh-bridge will be considered as final for all transactions. 05 Earnest Money Deposit A non-interest bearing Earnest Money Deposit of Rs. 25,000 (Twenty five thousand only) shall be payable by the bidders by way of Demand Draft favouring " GMDC Ltd.", drawn on any of the Nationalised Bank / Schedule bank other than Co-operative bank, payable at Ahmedabad Any tender submitted without Earnest Money shall be summarily rejected and no claim shall be entertained on such rejected tenders. The unsuccessful bidders will be refunded the EMD amount after selection of the bidder is made by GMDC. The amount of EMD of successful bidders shall be adjusted against remittance of Security Deposit. Mere bank guarantee or cheque will not be accepted. 06 Security Deposit The Successful bidder has to deposit 10 % of the total contract value [(rate offered by bidder plus royalty) x (applicable taxes)] x (offered quantity) as a non-interest bearing Security Deposit. The said amount should be deposited by way of Bank Guarantee from any Nationalized Bank or by Demand Draft in favor of GMDC Limited, payable at Ahmedabad, within 15 days from the date of issue of Work Order to lift the material. 5 of failure on the part of the bidder to do so, his EMD shall be liable for forfeiture. Security Deposit shall be refunded to the party within one month from the date of completion of contract. 07 Rate and taxes The final rate for BENTONITIC Clay for sale shall be the rate offered by the bidder or as decided by the management, plus royalty, all taxes and duties as applicable from time to time. 08 Minimum quantity Quotations should be for a minimum quantity of 5,000 (Five thousand only) MT Payment terms By way of Demand Draft in favour of GMDC Limited payable at Ahmedabad, drawn on any Nationalized Bank / scheduled bank. 09 Delivery Order Delivery Order for BENTONITIC Clay will be issued from Head office after making payment through Demand draft. The successful bidder will have to issue DO for minimum quantity of 5000 MT. Difference in the amount of taxes paid at the time of taking Delivery Order and payable at the time of taking physical delivery, if any, shall be payable by the bidder within 15 days from the date of invoice issued to him by the project In case the bidder wishes to avail any tax concessions by way of submission of requisite forms, the same can be done on completion of required formalities in consultation with Sales Department of GMDC. Unless such formalities are not complied, the taxes applicable shall be charged fully. 10 Contract period The contract period will be Nine months (depending on the quantity to be lifted by the bidder) from the date of issue of Work Order. 11 Royalty and other taxes The successful bidder has to pay to GMDC the royalty and other taxes applicable at the time of taking delivery orders from Head Office Page 5 of 8

6 12 Penalty If the bidder defaults in lifting the entire quantity of BENTONITIC Clay available at Bhavnagar during the currency of the contract, a 10% of the total value of the unlifted material shall be levied on the bidder and shall be payable by him within 15 days on receipt of such intimation by him from GMDC. If Bidder does not pay the penalty amount by DD, the same shall be deducted from the Security Deposit of the Bidder lying with GMDC. GMDC shall be free to dispose off unlifted quantity. 13 Sub-letting of contract The whole of the work included in the contract shall be executed only by the Bidder alone and the Bidder shall not directly or indirectly transfer, assign, underlet or sublet the contract or any part thereof or interest therein and doing so shall render the contract to be terminated at the risk and cost of the Bidder. 14 Disputes & Legal jurisdiction Matter relating to any dispute or difference arising out of this tender and subsequent contract award based on the bid shall be subject to the exclusive jurisdiction of Ahmedabad court only. 15 Compliance of Statutes The Bidder will strictly abide by all the laws governing employment, payment of wages, Safety and welfare of his labour and staff and provision of Minimum Wages Act, PF/ Gratuity Act, the Workmen s Compensation Act, Contract labour (Abolition and Regulation) Act, the Mines Act, the Indian Explosives Act, Mines Creche Rules (in case employing female workers), Industrial Dispute Act, Maternity Benefit Act, Bonus Act and other Statutory provisions as existing now or as may be introduced later as well as those orders of Govt. of India or State applicable to GMDC and the Rules and Regulations framed under the said Acts. If any amount becomes payable by GMDC as a result of any claim or application in terms of the provisions of the said Acts and the Rules and Regulations, By-laws or the Orders made thereunder, such amounts shall be recoverable from the successful bidder. Any consequences arising out of non-compliance of Safety Provisions will be at risk and cost of the successful bidder. The successful bidder shall maintain all the statutory registers under the above Acts and Regulations and shall submit the same on demand by the Mines Manager / General Manager (Project). 7 16 Non-fulfilment of terms and conditions of the contract If the Bidder fails to carry out the work as per the terms and conditions of the contract to the complete satisfaction of GMDC, GMDC shall be entitled to forfeit the Security Deposit paid by the Bidder. In case of any change in the directives / rules of the Central / State Government regarding sale of BENTONITIC Clay and execution of work related thereto, the same shall have to be strictly adhered to and shall be binding upon the bidder. GMDC will not be responsible for any compensation for any damages suffered by the bidder due to such changes. If required for any reason, GMDC reserves the right to terminate, amend and/or alter the contract and/or bifurcate and/or reduce the contract work, at any time, without giving any notice to the Bidder and without incurring any responsibility for such termination, modification and/or alteration and in such an event the Bidder shall have to take away his labour, tools, tackles, machinery, equipment etc. and shall leave the site at once and fully comply with the instructions of GMDC. 17 Bidding schedules The bidder shall quote the bids in enclosed schedule only. 18 Force majeure Force majeure is herein defined as natural phenomena such as floods, droughts, earthquakes and epidemics, declaration of war, change in Govt. policies relating to sale of BENTONITIC Clay, strikes, lockouts etc. In such conditions of force majeure, both the parties can claim a force majeure but they are obliged to inform the either party within 10 days in writing on the date of commencing and again ending of the force majeure. Under the circumstances of force majeure stated above, the contract in terms of period can be extended by period equivalent to the loss of time due to force majeure. The decision regarding the occurrence of force majeure to be considered shall be decided jointly. Signature of Bidder Page 7 of 8
