1 MSME Registratin MSME stands fr micr, small and medium enterprises and any enterprise that falls under any f these three categries can apply fr registratin. MSME registratin that falls under the MSMED Act facilitates prmtin and develpment f enterprises and imprves its functining. Any type f enterprise can apply fr SME registratin. These includes prprietrship enterprises, enterprises managed by Hindu undivided family, enterprises run by assciatin f individuals, c-perative scieties, partnership firms and enterprises managed by cmpanies r undertakings etc. After registratin, an enterprise becmes eligible t get the benefits under the MSMED Act. There are tw stages f registratin-prvincial and permanent (final). An enterprise is granted prvincial registratin when it is at a pre-investment stage. After getting prvincially registered, an enterprise can apply fr permanent registratin just befre launching its prductin facilities. Hwever, an enterprise that is already functining need nt have t apply fr prvincial registratin as it is eligible t apply fr permanent registratin. Enterprises falling under the three categries (micr, small and medium) are further categrized int tw types f industries- manufacturing industry and service industry. The status f an enterprise under the MSMED Act is determined accrding t the investment slab under which an enterprise falls. Benefits f MSME Registratin in India The MSME registratin prcess in India has been cnceptualized t prvide maximum benefits t all types f enterprises. After registratin, any enterprise becmes qualified t reap the benefits ffered under the MSMED Act. Fr example, after prvincial registratin an enterprise can seek financial credit and als ther facilities like land, industrial set-up, and water/electricity/telephne cnnectins.

2 After getting registered under a cmpetent authrity, an enterprise is alltted a MSMED registratin/entrepreneurs memrandum (EM) number. The cncerned enterprise shuld get the number printed n letter heads, invices, bills, supply rder sheets and ther necessary dcuments. The EM number helps in identificatin f MSE suppliers and in this case an enterprise becmes an authrized MSE supplier after registratin. These ffices functin as registries f recrds relating t the cmpanies registered with them, which are available fr inspectin by members f the public n payment f the prescribed fee.

4 The Registrars f Cmpanies in different States primarily deal with the Incrpratin f cmpanies, change f name f cmpanies, change f financial year, cnversin f cmpanies frm Private t Public and vice versa, striking ff f the names f cmpanies, and default actin against cmpanies. The steps t be fllwed fr registering a private limited r a public limited cmpany are enlisted here. Steps t be taken t get incrprated a Private Limited Cmpany: Select, in rder f preference, a few suitable names, nt less than fur, indicative f the main bjects f the cmpany. Ensure that the name des nt resemble the name f any ther cmpany already registered and als des nt vilate the prvisins f Emblems and Names (Preventin f Imprper Use) Act, Apply t the cncerned ROC t ascertain the availability f a name in the General Rules and Frms alng with a fee f Rs.500/- If the prpsed name is nt available apply fr a fresh name n the same applicatin. Arrange fr the drafting f the Memrandum and Articles f Assciatin by the slicitrs, the vetting f the same by the ROC and the printing f the same. Arrange fr the stamping f the Memrandum and Articles with the apprpriate stamp duty. Get the Memrandum and Articles signed by at least tw subscribers in his wn hand, his father's name, ccupatin, address and the number f shares subscribed fr and witnessed by atleast ne persn.

5 Ensure that the Memrandum and Articles are dated after the date f stamping. Get the fllwing frms duly filled up and signed: Declaratin f Cmpliance Ntice f the situatin f the registered ffice f the cmpany Particulars f the Directr, Manager r Secretary Present the fllwing dcuments t the ROC with the filing fee and the registratin fee: The stamped and signed cpies f the Memrandum and Articles f Assciatin (3 cpies). Frm-1, 18 & 32 in duplicate. Any agreement referred t in the M & A. Any agreement prpsed t be entered int with any individual fr appintment as Managing r whle time Directr. Name availability letter issued by the ROC. Pwer f Attrney frm the subscribers in favur f any persn fr making crrectins n their behalf in the dcuments and papers filed fr registratin. Pay the Registratin and Filing Fee by Demand Draft/Banker's Cheque if it exceeds Rs.1000/- Obtain the Certificate f Incrpratin frm ROC. Additinal Steps t be taken fr frmatin f a Public Limited Cmpany Cnsent f Directrs t act as such in Frm N.29. Arrange fr payment f applicatin and alltment mney by Directrs n shares taken r agreed t be taken.

6 File the Statement in Lieu f Prspectus with the ROC in schedule-iv f the Cmpanies Act. File a declaratin in Frm-20 duly signed by ne f the Directrs. Obtain the Certificate f Cmmencement f Business. Write / type in blck (capital) letters Leave ne blank bx after each wrd. Fill up whichever is applicable. All cdes ther than pin cde shall be filled by the ffice. Frm will be machine numbered by the district industries centre.
