General 总 则 Our Terms and Conditions of Purchase shall apply exclusively; Business terms and conditions of the Supplier conflicting with or Supplier s deviating from our Terms and Conditions of Purchase are only recognized insofar as we expressly agreed to them in writing. Acceptance or payment of goods and services from the Supplier (hereinafter referred to as Products) does not constitute agreement even if the acceptance or payment is made with knowledge of conflicting or supplementary terms and conditions of contract of the Supplier. 2 3.2 Agreed periods and dates are binding. Punctual compliance with the delivery periods and delivery dates is determined by the date of receipt of the Products by us. Our permissible use encompasses, in particular, duplication, loading and running the software. Force Majeure 不 可 抗 力 4.1 Acts of God, operational disturbances without fault, unrest, governmental measures and other unavoidable events discharge us from our obligation to take punctual delivery for the duration of such event. During such events and for a two week period thereafter we are entitled notwithstanding our other rights to withdraw from the Contract in whole or in part, provided that such events are not of inconsiderable duration and our requirements are considerably reduced as the Products have to be procured elsewhere as a result thereof. 自 然 灾 害 非 我 方 过 错 引 起 的 运 营 中 断 局 势 动 荡 政 府 措 施 以 及 其 他 不 可 避 免 的 事 件 的 发 生 将 免 除 我 方 在 该 事 件 发 生 期 间 的 按 时 接 受 交 付 义 务 如 果 该 等 事 件 持 续 时 间 并 非 微 不 足 道 且 因 产 品 不 得 不 在 其 他 地 方 生 产 而 导 致 我 方 采 购 需 求 极 大 的 减 少, 在 该 等 事 件 的 持 续 期 间 及 随 后 两 周, 在 不 影 响 我 方 其 他 权 利 的 前 提 下, 我 方 有 权 全 部 或 部 分 撤 销 合 同 4.2 The provisions of paragraph 4.1 above also apply in the case of labor disputes. 上 述 第 4.1 条 亦 适 用 劳 动 争 议 事 件 5. Advice of Dispatch and Invoice 发 货 通 知 和 发 票 The details in our orders and order releases shall apply. Pricing and Passing of Risk 定 价 和 风 险 转 移 Unless otherwise agreed, the prices are Delivered at Place (DAP Inco-terms 2010) including packaging. Value added tax (VAT) is not included. Payment Terms 支 付 条 款 Unless otherwise agreed, the invoice shall be paid either within 20 days subject to deduction of a 3 % discount or within 30 days without any deduction, with effect from the due date of payment and receipt of both the invoice and the goods or performance of the service. 4 8.1 An examination of the goods is conducted by us at incoming goods only to establish whether there is any obvious damage, in particular transport damage and discrepancies in terms of the identity or quantity of the delivery, except as otherwise agreed with you in a Agreement on Quality and Corporate Social Responsibility. 我 方 对 来 货 进 行 的 检 查 仅 为 确 认 是 否 存 在 任 何 明 显 的 损 坏, 尤 其 是 运 输 损 坏 以 及 在 交 付 的 性 质 或 数 量 方 面 的 差 异, 双 方 在 质 量 与 企 业 社 会 责 任 协 议 中 另 有 规 定 的 除 外 8.2 We will give notice of any defects found without undue delay after their discovery. 我 方 将 在 发 现 瑕 疵 或 缺 陷 之 后 立 即 通 知 贵 方 8.3 To this extent the supplier waives the objection to delayed notification of defects. 供 应 商 放 弃 对 延 迟 发 出 的 瑕 疵 或 缺 陷 通 知 提 出 异 议 的 权 利 9. Claims Based on Defects 对 瑕 疵 或 缺 陷 产 品 的 索 赔 9.1 The provisions of statute relating to defects as to quality and defects of title apply except insofar as otherwise provided hereinbelow. 除 非 下 文 另 有 规 定, 法 律 对 质 量 瑕 疵 或 缺 陷 和 权 利 瑕 疵 的 相 关 规 定 应 当 予 以 适 用 9.2 We have the right to select the type of supplementary performance. 5 9.8 The supplier is accountable for the fault of its sub-suppliers as it is for its own fault. 供 应 商 应 当 将 其 分 包 商 的 过 错 视 为 自 身 的 过 错 并 承 担 责 任 10 Product Liability and Recall 产 品 责 任 和 召 回 10.1 In the event a product liability claim is asserted against us, the Supplier is obliged to hold us harmless from such claims if and to the extent the damage or loss was caused by a defect in the Product supplied by the Supplier. 如 果 出 现 针 对 我 方 提 出 的 产 品 责 任 索 赔, 且 如 果 该 等 损 害 是 因 供 应 商 提 供 的 货 物 或 服 务 的 瑕 疵 或 缺 陷 引 起 的, 则 供 应 商 有 义 务 使 我 方 免 于 遭 受 因 该 等 索 赔 引 起 的 损 失 10.2 In the cases of paragraph 10.1 above, the Supplier assumes all costs and expenses, including the costs of any legal action. 在 前 述 10.1 条 的 情 况 下, 供 应 商 应 承 担 所 有 成 本 和 费 用, 包 括 任 何 诉 讼 费 用 10.3 In all other respects the provisions of statute shall apply. 在 其 他 方 面, 将 适 用 法 律 的 规 定 10.4 Prior to any recall action which is partially or wholly due to a defect in a Product supplied by the Supplier, we will notify the Supplier, give the Supplier the opportunity to collaborate and discuss with the Supplier the efficient conduct of the recall action, unless no notification of or collaboration by the Supplier is possible on account of the particular urgency. Rights of Termination 解 除 11.1 In addition to the statutory rights of rescission, we have the right to terminate the contract with immediate effect if 除 了 法 律 规 定 的 解 除 与 终 止 权 之 外, 我 方 有 权 在 下 列 情 形 下 立 即 解 除 或 终 止 与 供 应 商 的 任 何 合 同 : a) the supplier has stopped supplying its customers; 供 应 商 已 停 止 向 客 户 供 货 ; b) there is or threatens to be a fundamental deterioration to the financial circumstances of the supplier and as a result of this, the performance of a supply obligation to us is in jeopardy; 供 应 商 的 财 务 状 况 严 重 恶 化 或 面 临 可 能 严 重 恶 化 的 威 胁, 并 导 致 供 应 商 可 能 无 法 向 我 方 履 行 其 供 货 义 务 ; c) the supplier meets the criteria for insolvency or over-indebtedness; or 供 应 商 符 合 破 产 或 资 不 抵 债 的 标 准 ; 或 d) the supplier stops making its payments. 供 应 商 停 止 付 款 11.2 We also have the right to withdraw from or terminate the contract if the supplier files an application for insolvency or comparable debt settlement proceedings to be initiated with respect to its assets. 如 供 应 商 申 请 破 产 或 就 其 资 产 申 请 类 似 的 债 务 清 偿 程 序, 我 方 亦 有 权 解 除 或 终 止 与 供 应 商 的 任 何 合 同 11.3 If the supplier rendered part performance, we only have the right to cancel the whole contract if we have no interest in the part performance. 6 对 于 供 应 商 部 分 履 行 其 合 同 义 务 的, 如 我 方 就 该 部 分 履 行 无 法 受 益, 则 我 方 有 权 解 除 或 终 止 整 个 合 同 11.4 If the supplier s delay delivery lasts more than 2 weeks, we have the right to withdraw from or terminate the related contracts and orders. 如 供 应 商 迟 延 交 付 超 过 二 周, 我 方 有 权 解 除 或 终 止 与 该 迟 延 交 付 相 关 的 合 同 和 订 单 11.5 If the supplier s Products deviate from our Contracts and orders and the supplier fails to rectify the deviation within appropriate period as we required, we have the right to withdraw from or terminate the related contracts and orders. 如 供 应 商 提 供 的 产 品 与 我 方 合 同 和 订 单 中 的 约 定 不 符 且 未 能 在 我 方 要 求 的 适 当 期 限 内 予 以 纠 正, 我 方 有 权 解 除 或 终 止 该 相 关 的 合 同 和 订 单 11.6 If we withdraw from or terminate the contract by virtue of the foregoing contractual rescission rights or respective termination rights, then the supplier must compensate us for the loss or damage incurred as a result, unless the supplier was not responsible for the rights arising to withdraw from or terminate the contract. 如 我 方 基 于 上 述 解 除 或 终 止 权 解 除 或 终 止 合 同, 则 供 应 商 应 赔 偿 我 方 因 此 而 遭 受 的 损 失, 非 因 供 应 商 原 因 导 致 我 方 解 除 或 终 止 合 同 的 除 外 11.7 Statutory rights and claims shall not be limited by the regulations included in this Section 11. 依 据 法 律 所 享 有 的 权 利 和 索 赔 应 不 受 本 第 11 条 规 定 的 限 制 12. Conducting Work 开 展 工 作 Persons who carry out work on our factory premises in fulfillment of the Contract must observe the respective plant regulations. The liability for accidents suffered by these persons on our factory premises is excluded except to the extent caused by willful or gross negligent breach of duty by our legal representatives or persons employed in the performance of our obligations. 在 我 方 工 厂 内 为 履 行 合 同 而 开 展 工 作 的 人 员 必 须 遵 守 各 工 厂 的 规 定 我 方 不 对 该 等 人 员 在 我 方 工 厂 内 遭 受 的 意 外 事 故 承 担 责 任, 除 非 该 意 外 事 故 是 因 我 方 法 定 代 表 人 或 雇 员 在 履 行 职 务 的 过 程 中 的 故 意 或 重 大 过 失 行 为 所 致 13. Provision of Materials 供 应 Materials, parts, containers and special packaging provided by us against payment or free of charge remain our property ( Provisions ). These may only be used as designated. The Provisions are processed and assembled for us or our affiliates. It is agreed that we are co-owner of the products manufactured with our Provisions in proportion to the value of the Provisions in relation to the value of the whole product; such products shall be kept safe for us by the supplier to this extent. We reserve the right to joint ownership of the products manufactured using our Provisions pending settlement in full of the claims accruing through the Provisions. We acquire the complete ownership after payment of the purchasing price for products manufactured with our Provisions and the purchasing price for such products may deduct the pending settlement in full of the claims accruing through the Provisions. The supplier has the right to on-sell the products manufactured using our Provisions to our affiliates in the normal course of business subject to reservation of title and written consent of us. The supplier assigns to us in full now already all of the claims and ancillary rights accruing to the supplier from such sale. The assigned claims serve as security for the claims accruing to us through the Provision. The supplier has the right to collect the assigned claims. We may revoke the supplier s rights pursuant to this paragraph 13 if the supplier fails to duly perform its obligations to us, is in default of payment, stops making its payments, or if the supplier applies for the opening of insolvency proceedings or of similar debt settlement proceedings with respect to its as-sets. We may also revoke the rights of the supplier under this paragraph 13 if the financial circumstances of the supplier should deteriorate fundamentally or threaten to do so or if the supplier meets the criteria for insolvency or over-indebtedness. If the value of the security existing for us should exceed the value of our claims by more than 10 % on aggregate, we shall release security at our discretion to this extent on request by the supplier. Documentation and Confidentiality 文 件 及 保 密 14.1 The Supplier shall keep confidential with respect to third parties all business and technical information made available by us (including features which may be derived from objects, documents or software provided and any other knowledge or experience) as long and to the extent that it is not proven public knowledge, and it may only be made available to those persons in the Supplier s business facility who necessarily need to be involved in the use thereof for the purpose of delivery to us and who are also committed to confidentiality; the Information remains our exclusive property. Without our prior written consent, such Information must not be duplicated or exploited commercially - except for deliveries to us. In this respect the supplier shall set up and further develop a management system in accordance with ISO within the realms of its possibilities. If the suspicion proves to be justified, the supplier must inform us within a reasonable period of time of the measures that it has taken internally within its organization in order to prevent violations in future.
