17 Policies Deposit/Payment Arrangements The room rental retainer (non-refundable) and a signed copy of the contract are due within two (2) weeks of receipt of contract confirming requested space and/or service. Thirty (30) days prior to the event, another signed contract and 50% of the estimated catering costs is due. Fourteen days prior to the event, a final signed contract and the remaining 50% catering balance is due. All checks and credit cards (Visa & MasterCard) must be issued by the sponsoring organization and include the event ID number assign to the event, which can be found on the contract. Checks should be made payable to Celebrity Southern Soul Food Restaurant, 103 N Harvey Ave, Saint Louis, MO, (Returned check fee is $35.00.) POLICIES AND PRICES ARE SUBJECT TO CHANGE AND SERVICE FEES WILL APPLY WITHOUT NOTICE. Until the room rental retainer and the signed contract are returned, the requested space will be reserved as a tentative hold. If the retainer and contract are not received by the due date, the event will automatically be cancelled. In addition, if further payments/contracts are not returned according to schedule, the event is subject to cancellation with the sponsoring organization liable for all charges. Celebrity Southern Soul Food Restaurant will mail the client and/or sponsoring organization a final invoice once the event has concluded. The final invoice may include any additional expenses incurred on site, in which case the payment would be due 7 days after receipt of the statement. If payment is not received as indicated, a charge of 10% of the total balance will be accrued until the balance is paid in full. (A credit card number will be placed on file for incidental charges.) Cancellations Should you find it necessary to cancel your event, we require you do so in writing. An event cancellation policy has been established as follows: 90+ days prior to event: Room fee retainer is non-refundable; 50% catering payment is refundable. 30 to 0 days prior to event: Room fee retainer as well as all catering payments is non-refundable. If your event is cancelled two (2) weeks prior to the start date and you would like to re-schedule your event, the rescheduled event must fall within the same calendar year in order to satisfy the deposit/catering fees. At the time of rescheduling, 16

18 Policies (CONTINUED) the reservation process begins again with a revised contract and payments due according to the aforementioned policies. When possible, payments previously made will be applied to the new reservation but additional expenses may be incurred as a result of changes in pricing/policies. Guarantee Guest Counts Thirty (30) days prior to the event, an estimated number of attendees and menu selections are due along with 50% catering costs. Space and charges will be based on information given at this time. Reductions in number of attendees or adjustments for space and/or services can no longer be made less than two weeks prior to event start date. Increases in numbers will be accepted based on availability. The guaranteed number given at this point is the number on which all charges will be based and the client and/or sponsoring organization is liable for these charges. The remaining 50% balance of all catering costs is due two weeks prior. Indemnity/Liability Policy By signing the proforma invoice/contract, the client or representative from the sponsoring organization acknowledges that he/she has read, does understand, and is in agreement with Celebrity Southern Soul Food Restaurant s Policies (in addition to and when applicable Celebrity Southern Soul Food Restaurant s Event payment and General Policies). The signature indicates the client or sponsoring organization; its leaders, participants and service personnel will be informed of and will abide by these policies. It is understood by the client and/or sponsoring organization that they are responsible for any violation of the stated policies, which could result in additional charges to be determined by Celebrity Southern Soul Food Restaurant s management. The client and/or sponsoring organization also understands that the enclosed invoice charges are based on the initial reservation and are subject to change based on additional requests, which may result in additional incurred expenses for which the client and/or sponsoring organization is liable. Furthermore, the client and/or sponsoring organization understands they will be held liable for all charges incurred as well as attorney and/or collection agency fees in the event payment is not received according to policy. By signing the proforma invoice/contract, the client and/or sponsoring organization hereby releases and discharges Celebrity Southern Soul Food Restaurant from any liability for injuries to persons, losses or damages to property incurred by the client and/or sponsoring organization. Additionally by signing this proforma invoice/contract, the client and/ or sponsoring organization hereby releases and discharges Celebrity Southern Soul Food Restaurant from any liability as a result of claims for dissatisfied and/or unsatisfactory service and will hold Celebrity Southern Soul Food Restaurant free and clear from any restitution thereof. The client and/or sponsoring organization shall hold and save the Celebrity Southern Soul Food Restaurant officers, agents and employees free and harmless against any and all claims of dissatisfied and/ or unsatisfactory service, loss, liability or damage arising out of or in connection with services 17

19 Policies (CONTINUED) rendered and under this contract, except that the sponsoring organization will not be liable for claims for loss, liability or damage arising from wrongful negligent acts of the Celebrity Southern Soul Food Restaurant s officers, agents and employees. Celebrity Southern Soul Food Promotional Policy No right under this agreement is given to use the name of Celebrity Southern Soul Food Restaurant either by itself, in conjunction with, or as part of any other name. This includes and is not limited to advertising, publicity or promotion and any expressed or implied endorsement by Celebrity Southern Soul Food Restaurant of its services or events. All promotional and display items in accordance with this event or otherwise that refer or depict Celebrity Southern Soul Food Restaurant shall be subject to approval prior to production and distribution. Room Rentals Meeting/Banquet rooms are assigned according to the expected guest count and set up requirements at the time of booking. Please notify Celebrity Southern Soul Food Restaurant management as soon as possible if any of these requirements change. All parties/vendors associated with the client and/or sponsoring organization s event must comply with this contractual agreement and policies, as well as with all local fire safety and health code regulations. All catering events consist of a two hour time period, unless prior arrangements have been made. Vendors requiring set up time for an event may do so one hour before the start time of the event, and vendors have one hour at the conclusion of the event to clean out. ($ per hour will be billed to the client and/or sponsoring organization for overtime.) We are not responsible for materials/items associated with an event so please do not leave items unattended. We strongly encourage the client and/ or sponsoring organization to supply all vendors associated with an event a copy of our catering policies. Nothing is to be affixed on walls, woodwork, or floors with tape, nails, wire or any other material that will damage our property. Nothing may be set up or stored in the scheduled rental space outside the contracted time; and decorations and/or other items are not permitted outside of the contracted rental space. Only mechanical or votive candles are allowed, and all surfaces must be protected and free of candle wax, staining, imprinting and other debris. Furniture may not be moved. Celebrity Southern Soul Food Restaurant reserves the right to charge for any unscheduled use of space, damage, loss of property, or unusual amount of cleaning involved as a result of the sponsoring organization s use of our facility. Rental space should be returned in the same condition as found. Celebrity Southern Soul Food Restaurant will assess an additional labor charge when changes in set up are made with less than 24 hours notice. Set ups are at our discretion. For those events involving a send off, ONLY birdseed may be used and all debris associated with it must be cleaned up by the sponsoring organization. (Please, no dove/butterfly, balloon, etc. releases, for environmental concern) 18

20 Policies (CONTINUED) Alcohol, illegal drugs, firearms and explosives are strictly prohibited and may not be brought onto Celebrity southern Soul Food Restaurant s property. Any violation of this policy will result in the immediate discharge of the Client and/or sponsoring organization with full payment for all incurred charges still applicable. Smoking is not permitted inside our building. Pets, other than for assisted-use, are not allowed. The client and/or sponsoring organization and its attendees must conduct their function in an orderly and compliant manner or the event is subject to immediate cancellation; therefore Celebrity Southern Soul Food Restaurant reserves the right to inspect and control events. Because Celebrity Southern Soul Food Restaurant is not equipped to care for children. Children under the age of 16 must always be accompanied by an adult. For groups bringing in outside wireless and/or electrical equipment onto our property for videotaping, entertainment, or other purposes, Celebrity Southern Soul Food Restaurant reserves the right to monitor and, if necessary, terminate the use of the equipment due to interference with other events and/or circuits; and Celebrity Southern Soul Food Restaurant cannot be held responsible for any loss of service. If entertainment is involved, your event representatives must be notified upon booking. Celebrity Southern Soul Food Restaurant cannot exceed the use of 70 amps. Menues/ Because Celebrity Southern Soul Food Restaurant offers a full service dining facility, all food must be purchased through the banquet hall (with the exception of specialty cakes). Please contact us for information about our menus and catering facilities. All food is to be served and confined to the room rented by the sponsoring organization. Celebrity Southern Soul Food Restaurant is not responsible for the quality of food when there is a delay in the start/serving time by the sponsoring organization. 24 hour notice is required to change the serving time by more than 15 minutes. Serving time is limited to a one half hour period of time. Removal of food from a catered function is prohibited. Standard items to be offered by Celebrity Southern Soul Food Restaurant for catered events include the appropriate number of tables, chairs, and service were based on the guaranteed number of persons attending the event. Basic white linen rental is included with the buffet-style breakfast, luncheon or dinner. Linens are not included for hors d oeuvres receptions other than on the serving tables but can be purchased for rental. Other items not provided included: wait staff, cake cutters/punch servers, cake cutting utensils, toasting goblets and sparkling cider, monogrammed napkins, centerpieces, decorations and audio-visual equipment. All special requests as well as special order lines, decorations, etc... Requires a 14 day notice and are subject to the vendors. 19

21 Policies (CONTINUED) policies in which the sponsoring organization is liable, We recommend the hiring of a professional event coordinator to assist with this as well as attend the event. A cake cutting fee of $75.00 will be charged when using a wedding cake other than the Celebrity Wedding Cake. Parking Celebrity Southern Soul Food Restaurant provides a lighted, secured parking lot; parking is on a first-come, first-served basis. Space is limited and parking is not guaranteed; recreational vehicles and buses are discouraged. Street parking is subject to the codes of metro government. Valet parking is encouraged for larger events; please contact us for the name of our preferred valet parking company. 20
