2 PROPERTY LAW CONFERENCE FROM THE CHAIR 13 CPD hours This year s conference in June will contain many thought-provoking and topical subjects essential for the day-to-day practice of property lawyers throughout New Zealand. The conference committee have looked at the property landscape and identified some key matters relating to statutory changes and practice that will impact on the day to day lives of property lawyers in 2016 and beyond. This conference is going to be essential in addressing some of those issues. We have included in the conference presentations covering: the forthcoming changes to the property tax legislation matters concerning the standard agreement for sale and purchase and how that is going to be impacted on by various statutory and other changes the forthcoming changes to the health and safety legislation topical matters such as the increasing predominance of houses effected by P labs. In addition, there will be sessions on more general themes, such as first home buyer packages and Kiwisaver, OIA legislation, building and construction issues, the paperless office, plain English drafting, technology for property lawyers, an address on the economic outlook for 2016 and 2017 and a session on mindfulness at work. The conference will have two breakout sessions each day, giving you three choices on each occasion, with a variety of different topics delivered in a discrete and short timeframe. The new disclosure rules and the two-year bright-line test are already in effect, and the proposed residential land withholding tax is expected to apply from 1 July This session provides an overview of the property tax reform package (focusing on the new bright-line test) and highlights areas of concern for property lawyers. Presenter Stephen Tomlinson BREAKOUT SESSION 1: A, B OR C A KiwiSaver: First Home Withdrawals, HomeStart Grants and Welcome Home Loans Julius Maskell This session is an overview of each of the three main Government assistance schemes currently available to help New Zealanders to get onto the property ladder and into their first home: First home withdrawals (the client s money); HomeStart Grants (the Government s money); and Welcome Home loans (the lender s money). He will talk about how to simplify complicated legal language without compromising legal safeguards. He has a great sense of humour and talent to make this subject very relevant to every lawyer. B Unit Titles Act 2010 playing by the body corporate rules Liza Fry-Irvine The 2010 Act had a significant effect on Body Corporate rules which are now limited in content. Rules govern day to day activities and effect purchasers, current owners and the smooth running of Bodies Corporate with a view to ensuring harmony, or at least common expectations amongst owners. This session will cover current case law and Tenancy Tribunal orders, ultra vires issues, and practical tips for drafting, interpreting and enforcing rules. C Practical and Handy Tips for Drafting Sensitive Land Applications under the Overseas Investment Act 2005 Andrew Petersen & Glenn Shewan In this session Andrew and Glenn will briefly cover the following: What does the Overseas Investment Act 2005 cover? 5 DAY TWO WELCOME BACK Chair: Tim Jones KEYNOTE ECONOMIC OUTLOOK FOR 2016/17 This session will give an overview of the key drivers of the NZ economy for 2016 and 2017, including the ever-important global influences. Globally it has been a choppy start to the year, but NZ stands in a fairly good place with support from a weaker NZ dollar and lower interest rates. Inflation pressures remain very muted, raising the possibility that interest rates get cut even further over the course of the year. Presenter Nick Tuffley PLENARY TAX FOR PROPERTY LAWYERS: BEYOND THE BRIGHT-LINE This session will look at common tax issues (income tax and GST) that lawyers confront in commercial and residential property dealings outside the bright-line test. Presenter Denham Martin MORNING TEA PLENARY CREAKING, LEAKING & SNEAKING: TOPICAL ISSUES WITH LAND AND BUILDINGS Presenters What should property lawyers be mindful of in an environment where buildings have been (or should have been) remediated following the leaky building crisis and the Canterbury earthquakes? What other land or building related issues are out there? What potential fish hooks are there for vendors and purchasers that lawyers might be called upon to provide advice on? Doug Cowan Frana Divich PLENARY MINDFULNESS AT WORK: A ROUTE TO PEAK PERFORMANCE SIMPLE MINDFULNESS PRACTICES FOR IMPROVING MENTAL ENERGY Presenter Mindfulness has become a modern phenomenon primarily in response to the busy, often frenetic lives many of us lead. It is a useful approach for enhancing our quality of life measured not in how much we have, but in how we experience it. Karen comes at the topic of wellness and performance well beyond simply looking at people s behaviours and habits, but also from the point of view of our beliefs and perceptions about stress and wellness. She shares some of the science of stress as well as powerful, practical tools to help you be both brilliant at work and happy in life. This session will be in Karen s charming signature blend of the astute, informative and practical. Karen Ross BREAKOUT 3: A, B OR C A Recent reforms of the Building Act 2004 and the Construction Contracts Act 2002: what were they and how are they working in practice? Geoff Hardy This session will look at the new rules applying to residential building projects that came into force on 1 January 2015, and the significant changes to the Construction Contracts Act that are being introduced in three instalments. Geoff will outline those changes and discuss how they have been working, or are likely to work, in practice. B Succession Planning Mark Tavendale & Ingrid Taylor Succession planning is not a paint-by-numbers exercise, every family and buisness is in itself unique. Any successful succession plan must be specifically tailored to characters, circumstances, peculiarities, ambitions and financial reality. In this session, Mark and Ingrid will discuss the difficult conversations, question whether the structures that lawyers traditionally use should be the starting points, and canvas approaches to successful succession outomes. 5

6 LUNCH C Subdivisions: timeframes and other issues Tim Jones This session will look at the process of subdivision of land (not unit title or cross leases) and will include : Review of the end to end process Identify key parts of the process and timeframes (statutory and otherwise) NZIS/PLS/LINZ work flow diagram for subdivision Devices used in subdivisions such as Consent notices, Encumbrances and Covenants PLENARY LANDLORDS, TENANTS AND LEASES: A HEALTH AND SAFETY CHECKUP In this session we will consider the impact of the Health and Safety at Work Act 2015 on property owners and tenants, the statutory obligations that property lawyers will need to address with clients, and how these obligations might be dealt with in leases. Presenter Jacqui Parker BREAKOUT 4: A, B OR C A Tenanted House or P-Lab? Paul Parker & Lucy Smith Hobsonville Land Company, a subsidiary of Housing NZ, re-developed the former Hobsonville Air Base in Auckland for housing purposes and in this capacity acquired from NZ Defence Force from some 300 former RNZAF staff houses. Many of these have been retained and rented on the open market for some years and in 2015 it was found that one such tenanted house had been a P Lab. HLC has consequently been testing all of these houses for Methamphetamine contamination, with several of them showing positive results; and is now considering future options for such houses. B Signatures, Identity and Document Security in the Digital Environment Mike Eyal As working online becomes the new normal, customers will expect to do business with you online. Those who don t make the change will be the break in the digital chain. Transition workarounds like print, post, sign and scan to capture signatures are insecure and cost you time and money. Your clients will want to complete paperwork online and sign securely in electronic format. Using Digital Signature technology, electronic documents can be signed securely with objective validation of document integrity and signatory s identity. Digital signatures cannot be forged or copied and any change to the document will invalidate the signature. C Occupation Right Agreements - a fresh look Katherine Wilmott With the increase in the popularity of Occupation Right Agreements Katherine will have a fresh look at the ORA. This will include the advantages and disadvantages to clients, the lawyer s responsibility to the client, calculating those scary figures, dealing with the families of clients, and also what happens when a family trust is involved AFTERNOON TEA PLENARY UNIT TITLES ACT: LAME DUCK AND HOW TO FIX IT In this session on the Unit Titles Act 2010, John will canvass the shortcomings affecting body corporates, address Government inertia and consider what needs to be done. 7 CHAIR Tim Jones, Glaister Ennor, Auckland Tim practises in the area of land development and property law. He has been involved with the Unit Titles Act 2010 from about 2003 when the first steps were taken to review and revise the 1972 Act. Tim is the convener of the NZLS/PLS Land Titles Committee, a council member of the NZLS Auckland Branch council, and a former member of the ADLSinc Documents and Precedents Committee. He is currently the Auckland NZLS Branch President. KEYNOTE SPEAKERS Connal Townsend, Property Council New Zealand, Auckland Connal has been Chief Executive of Property Council New Zealand since 2005 and in this role is the industry s principal advocate on behalf of New Zealand s commercial, industrial, retail, property funds and multi-unit residential property owners. Previously, he was lead consultant to the Housing New Zealand Establishment Board (1991); the regional manager North West for Housing New Zealand; a senior consultant with Deloitte specialising in strategic organisational development. Connal has also worked for Solid Energy (CoalCorp), and as a political researcher in Parliament. He was also a Founding Member and Chair for nine years of Auckland Council s CBD Board. Nick Tuffley, ASB, Auckland Nick was appointed as ASB s Chief Economist in January 2007, having previously worked at Westpac and the Reserve Bank of New Zealand. He studied at Canterbury University, graduating with a Master of Commerce in Economics. Nick and the rest of the Economics team provide regular analysis of economic developments and the outlook through written publications and media comments. Their key objective is to help the bank s clients make better-informed business and personal finance decisions. SPEAKERS Doug Cowan, Doug Cowan Barristers & Solicitors, Auckland Doug is an advisor and an advocate over a range of litigation dispute areas. He frequently appears in the Weathertight Homes Tribunal, the Employment Relations Authority and the District and High Court. Doug has a practice that is mainly focused on construction disputes, leaky building claims, Unit Title Act and commercial/residential property disputes, insurance claims by the insured, general contract dispute and employment litigation. Frana Divich, Heany & Partners, Auckland Frana is a partner in a boutique insurance litigation practice. She works for insurers and local authorities defending all manner of professional indemnity and public liability claims. Due to the nature of her work, Frana has been involved in both leaky building claims and those arising from the Canterbury earthquakes. 7

8 SPEAKERS Debra Dorrington, AlexanderDorrington Lawyers, Auckland Debra is a partner in her firm where she specialises in property law. She has practiced in property law for more than 20 years and deals with a full range of property matters. Her clients include both property developers and property investors (both corporate and private). Debra is a regular presenter for NZLS. For many years she co-presented the annual NZLS CLE workshop for residential property transactions. Last year Debra co-presented an NZLS CLE webinar on the sale and purchase of apartments and delivered a paper on unit titles for the Unit Titles Intensive course. She is the deputy chair of the Property Law Section executive committee and a director of NZLS CLE Limited. Peter Eastgate, Cavell Leitch, Christchurch Peter has specialised in the areas of wills, estate and succession law, elder law, attorneyship, asset protection and all aspects of trust law (including charitable trusts) for over 35 years. He is a member of the Convenors Committee of the Trusts Special Interest Group (Canterbury) and a member of the Law Society (Canterbury-Westland branch) Trust Committee. Peter has presented at numerous law conferences for NZICA, LexisNexis, the NZ Law Society and Legalwise. He is also a memebr of STEP, a senior member of the NZTA and a Fellow of the Executor and Trustee Institute (Australia). Mike Eyal, Secured Signing, Auckland Mike is an expert with over 25 years experience in the development and marketing of data security products and technology to a wide range of industries worldwide. Previously, he was Sales Director for Europe at ARX, the Asia Pacific Sales Manager at SunGard Business Integration, and General Manager of the Fundtech Asia Pacific branch in Singapore. In 2008 Mike founded and managed the development of Secured Signing, a Cloud base Digital Signatures Service. He was winner of the 2010 Westpac ENS Business Excellence Award for Research and Development, and finalist for the 2011 NZ High Tech Awards. Liza Fry-Irvine, Pidgeon Law, Auckland Liza has specialist legal expertise in unit title and body corporate matters and the Unit Titles Act She provides advice to bodies corporate, committees, owners, body corporate managers, developers, and buyers and sellers on a range of unit title issues. Particularly governance, body corporate rules, repairs and maintenance, unit plans, redevelopments, survey matters, section 74 schemes, compliance, and body corporate management. Liza is regularly invited to present on unit title topics and drafted the ADLS Inc Model Operational Rules for residential, commercial/industrial and mixed use developments. John Greenwood, Greenwood Roche, Wellington John is Editor of the New Zealand Property Lawyer and moderator for the New Zealand Council of Legal Education for property law and equity and succession law University papers. He has a long involvement in property law reform and has presented at Select Committee hearings and at numerous NZLS CLE seminars. John is a strong advocate for reform of the Unit Titles Act and to the standard lease and sale agreements. Lauchie Griffin, legal planit, Wellington Lauchie is a property, commercial and trust and succession planning planning specialist with nearly 30 years legal practice experience. He is the founding principal of legal planit - a technology driven legal practice with an increasingly international focus. Its four core practice areas are property, commercial law, asset & estate planning and immigration. Lauchie regularly presents at business leadership workshops and also presents the annual entry-level Residential Property Transaction workshops for NZLS CLE. 8

9 SPEAKERS Geoff Hardy, Madison Hardy, Auckland Geoff is the senior lawyer in the boutique law firm Madison Hardy and has 40 years experience in commercial and construction law. He is the legal adviser to the Certified Builders Association and his firm acts for several hundred of their 2,500 builder members. He is an expert adviser to the Building Practitioners Board, is a prolific publisher of articles and presenter of seminar papers on construction law, and is heavily involved in law reform and continuing education initiatives. Ian Haynes, Kensington Swan, Auckland Ian is a consultant with Kensington Swan. He is a past-president and former board member of NZLS, a former president of ADLS and a former Judicial Conduct Commissioner. He chairs the College of Law New Zealand and the Spencer Mason Trust and has been a member of the Property Law Section s Executive Committee for many years. Ian has specialised in property law, prepared NZLS submissions on the Property Law Bill, Land Transfer Bill and a variety of other Bills and presented submissions to Parliamentary Select Committee. He often gives expert evidence in property law and professional standards matters. Ian is Counsel for the New Zealand Law Society. Michelle Hill, Kensington Swan, Auckland Michelle is a Senior Associate of Kensington Swan. She has extensive commercial property experience with particular expertise in commercial leasing. This includes handling many large leasing portfolios for landlords and tenants. Michelle regularly speaks at seminars on commercial leasing matters including giving lectures at The University of Auckland (Bachelor of Property). She has written numerous articles and is a regular columnist in the New Zealand Law Society s The Property Lawyer on commercial leasing topics. Nick Kearney, Schnauer and Co, Auckland Nick is a Director of Schnauer and Co Limited, a medium size firm on Auckland s North Shore. He acts for a varied range of property investors and developers and writes on a wide range of property law issues for Butterworths Conveyancing Bulletin and other journals. Along with others, Nick also presents the annual entry-level Residential Property Transactions workshop in Auckland and Hamilton and has done so for about seven years. Greg Kelly, Greg Kelly Law Limited, Wellington Greg has 35 years experience in the wills, trusts and estate area. He is a member of the NZLS Property Law and Family Law Sections, and of STEP and chaired the NZLS CLE Trust Conferences in 2009, 2011 and Greg is a contributor to Butterworth s Law of Trusts, probate and administration author for McGechan on Procedure, co-author of Garrow and Kelly s Law of Trusts and Trustees (6th and 7th editions) and of Dobbies Probate and Administration Practice (5th and 6th editions). Denham Martin, Denham Martin Lawyer, Auckland Denham is a lawyer specialising in all aspects of tax and trust law. He is an experienced and popular presenter for both CAANZ and NZLS. He has been a tax partner and consultant with law and accounting firms in New Zealand and Australia and is now principal of his own specialist tax and trust law practice. Denham has published extensively on tax and trust matters and been involved with tax and trust disputes and litigation. He is a recognised expert on many areas of tax and trust law (including cross-border and double tax treaty questions). 9

10 SPEAKERS Julius Maskell, Tripe Matthews Feist, Wellington Julius specialises in private client work including conveyancing, trusts, unit titles, building and construction, commercial property, and civil litigation. As well as private clients he also acts for several national not-for-profit community organisations. Julius is an accredited member of the Property Law Section and on the Wellington Branch Council of the New Zealand Law Society. Keith McClure, WCM Legal, Carterton Keith has been in practice for 40 years working as a general practitioner in a busy provincial firm in the Wairarapa. His areas of practice include property and commercial work, trusts and asset planning, employment law, civil litigation, and he is on the panel of Family Court lawyers available for Protection of Personal and Property Rights Act. Particular projects have included advising on formation of syndicated rural property investments. Juliet Moses, TGT Legal, Auckland Juliet is a partner at TGT Legal, a boutique trust and private client law firm based in Auckland. She specialises in trusts, personal asset planning and superannuation and is a regular presenter of seminars and author of articles on issues arising in those areas. Juliet has spoken at several NZLS conferences, ADLSi conferences, and at STEP (Society of Trust and Estate Practitioners) and NZICA events. She is the chair of the STEP education committee and also published a chapter in the CCH 2011 edition of the Master Trusts Guide on the Termination and Insolvency of Trusts. Peter Nolan, Sole Practitioner, Auckland A sole practitioner since 2005, Peter was previously a partner in Kensington Swan and Brandon Brookfield. He specialises in property work, including sales, acquisitions, developments, joint ventures, construction, subdivisions & leasing and property finance. Peter is experienced in mortgagee recovery work, acting for lending institutions. He was a principal drafter of the ADLS 8th & 9th Editions of the Agreement for Sale and Purchase of Real Estate and their subsequent revisions and ADLS agreements for the sale and purchase of real estate by auction and tender. He was a member of the NZLS working party that prepared submissions on the Property Law Bill before it was enacted as the Property Law Act Jacqui Parker, Meredith Connell, Auckland Jacqui advises a wide variety of public and private sector clients on all aspects of commercial property. Her experience includes agreements to build and lease, acquisitions and disposals of property assets, subdivision and development, sale and leaseback arrangements and management of commercial property including default. Jacqui has extensive experience in commercial development and lease transactions, and acts for a number of major retail chains. Jacqui is a member of the ADLSI Property Law and Documents and Precedents Committees. Paul Parker, Hobsonville Land Company, Auckland Paul is the Development Manager Facilities & Safety at Hobsonville Land Company and his responsibilities include the portfolio of existing houses. He has been involved in property management in Australia and NZ over a long period. 10

11 SPEAKERS Andrew Petersen, Bell Gully, Auckland Andrew s experience includes advising on real estate and business acquisitions and divestments, leasing, project developments and finance, construction, joint ventures and shareholder arrangements, and property restructuring and insolvency. his experience covers all areas of property, including office, retail, industrial, hotels, apartments, residential, golf course developments, land subdivisions, farming, forestry and vineyards. Joanna Pidgeon, Pidgeon Law, Auckland Joanna is an expert in the Unit Title Act 2010, a commercial property and business law specialist and founder of Pidgeon Law. She advises on projects including apartment buildings, terraced housing developments, hotel and resort developments, commercial, office and retail building. She handles fee simple, unit title, leasehold and cross lease subdivisions, as well as cross lease issues. Joanna is experienced in leasing matters representing landlords and tenants and was on the leasing subcommittee of the ADLSI Forms and Precedents Committee which drafted the current edition of the Commercial Lease form. Karen Ross, Start With You, Auckland Expert coach, trainer and speaker, Karen has been working with people in business to develop, perform and succeed for over 15 years, and has coached and trained hundreds of staff and leaders in over a dozen countries, from Europe to the Pacific. Her work is essentially about Using Your Brain on Purpose. She asks, are you running your brain, or is it running you?! Glenn Shewan, Bell Gully, Auckland Glenn is a specialist competition, regulatory and overseas investment lawyer. He has advised on a number of OIO applications, drawing on his competition law and economics background to assist clients in navigating the increasingly complex overseas investment regime. Lucy Smith, Hobsonville Land Company, Auckland Lucy has been Facilities Supervisor with Hobsonville Land Company and directly involved in the management of the P process across our 160 tenancies for the past eight months as well as managing her own property portfolio. Mark Tavendale, Tavendale and Partners, Christchurch Mark is the founding partner of Tavendale and Partners. Highly experienced in all aspects of commercial law, his specific expertise is in the primary and agribusiness sectors with considerable expertise in the sale and purchase of large and complex farming operations, succession planning, New Zealand s overseas investment laws and high country tenure reviews. Mark also owns, with his family, one of New Zealand s largest blackcurrant growing operations. 11

12 SPEAKERS Ingrid Taylor, Taylor Shaw, Christchurch Ingrid was admitted to the bar in She leads the commercial and trust division of Taylor Shaw, following in the footsteps of her father and grandfather. Ingrid has significant experience in property and business acquisitions, asset protection structures and succession planning for private individuals and businesses. She holds a number of independent directorships. Stephen Tomlinson, Tomlinson Law, Christchurch Stephen is a partner of Tomlinson Law. He has lectured in taxation, finance and business law at the University of Canterbury and is a well-known presenter of taxation and trust seminars. Stephen advises property developers, property investors, accounting firms and law firms on a wide range of tax issues. He is a member of the NZLS taxation committee and prepared the Law Society s submissions on the new bright-line test. Stuart Walker, Anderson Lloyd, Dunedin Stuart practises in the areas of commercial and trust law. He is co-author of the Bills of Exchange and Credit and Finance titles in LexisNexis New Zealand Forms and Precedents. Stuart lectures in banking law at the University of Otago. He has been a presenter of a number of New Zealand Law Society seminars and is a consulting editor to Butterworths Conveyancing Bulletin. Stuart is a member of the New Zealand Lawyers and Conveyancers Disciplinary Tribunal.
