2 Terms nd Conditions Qulmrk Terms nd Conditions These Terms nd Conditions nd the Qulmrk Mnuls (together whih form the Agreement ) form the sis of the liene greement ( the Liene ) etween Qulmrk New Zelnd Limited nd the Liene Holder nd set out the sis upon whih the Qulmrk Qulity Mrks nd other Intelletul Property my e used. The Qulmrk Qulity Mrks (or ny replement rnd, logo, or system) my e used only y the Business whih hs een liensed to do so y Qulmrk nd only in ordne with the Agreement. 1 Liene Holder Applint 1.1 Any person who wishes to eome Liene Holder must omplete n Applition for Qulmrk Liene, sumit the ompleted Applition for Qulmrk Liene to Qulmrk, nd py the pproprite fee to Qulmrk, s outlined in the Applition for Qulmrk Liene. 1.2 Upon reeipt of the Applition for Qulmrk Liene nd the pproprite fee, Qulmrk will provide the Liene Holder Applint with Welome Pk, one Qulmrk is in reeipt of the Liene Holder Applint s pyment. The Welome Pk provides detils on how the Liene Holder Applint is to prepre for the Assessment. 1.3 If the Liene Holder Applint does not omplete the Assessment within the time provided y Qulmrk, the Applition for Qulmrk Liene will lpse nd the Liene Holder Applint must omplete further Applition for Qulmrk Liene nd py the pproprite fee to pply for Liene. 1.4 For the voidne of ny dout, unless nd until the Liene Holder Applint is provided with Confirmed Sttus (in ordne with luse 2), the Liene Holder Applint does not hold Liene under the Agreement, nor ny right to use the Qulmrk Qulity Mrks. 2 Confirmed Sttus 2.1 Following suessful ompletion of the Assessment y the Liene Holder Applint to the stisftion of Qulmrk, Qulmrk will notify the Liene Holder Applint of its Confirmed Sttus. 2.2 This Confirmed Sttus entitles the Liene Holder to non- exlusive, non-trnsferle liene for the Term (unless withdrwn sooner), to: use the Intelletul Property rights nd Signge supplied y Qulmrk in reltion to the Business, stritly in ordne with the Agreement. sujet to lol y-lws, disply the Qulmrk Qulity Mrks in ordne with the Qulmrk Mnuls nd the Agreement; hve ess to nd use of the Qulmrk Progrmme s Liene Holder. 2.3 If, during the Term, Business is undergoing signifint upgrde of filities or equipment whih impts on its ility to meet the minimum requirements: Copyright Qulmrk New Zelnd Limited, Ferury 2012

3 Terms nd Conditions the Liene Holder n pply to Qulmrk for terms upon whih the Liene Holder my ontinue to hold its Liene in reltion to the Business while the upgrde of filities or equipment is ongoing. if Qulmrk grees, the Liene Holder my ontinue to hold its Liene in the mnner direted y Qulmrk for the Business, while the Business filities or equipment re upgrded, for up to 12 months from the dte of the request. t the end of the greed period under luse 2.3, the Business must omplete n Assessment. If this does not our, the Liene Holder must immeditely disontinue using the Intelletul Property in reltion to the Business until n Assessment is ompleted. 3 Term nd Renewl 3.1 Prior to the Renewl Dte, the Liene Holder my pply to Qulmrk to extend the Term for Further Term. The Liene Holder must prior to the Renewl Dte py Qulmrk the pproprite renewl fee (whih will e dvised y Qulmrk) for the Further Term, together with ny other mount owing to Qulmrk t the time of pyment. One this pyment is mde the Liene Holder must if requested to y Qulmrk: omplete Pre-Assessment; nd suessfully omplete ny Assessment if required y Qulmrk. 3.2 Qulmrk will onsider ny pplition to renew the Liene mde under luse 3.1 (inluding the outome of ny Pre-Assessment or Assessment) nd will dvise the Liene Holder if their pplition to extend the Term for Further Term is suessful. If not, the Liene Holder will hve no further right to ontinue the Liene, inluding to use the Intelletul Property, from the dte of notifition y Qulmrk tht their renewl pplition is unsuessful. 4 Use of the Intelletul Property 4.1 During the Term the Liene Holder will: d omply with ny requirements overing the use of the Intelletul Property nd Signge, inluding the Qulmrk Brnd Stndrds doument, nd ny other requirements provided y Qulmrk from time to time; ensure the Intelletul Property of the Qulmrk Progrmme is used s presried under the Agreement mintin the integrity of the Intelletul Property of the Qulmrk Progrmme; nd ensure the Business is urtely identified when using the Intelletul Property. 5 Qulmrk Progrmme Rtings nd Endorsements 5.1 The Qulmrk Qulity Mrks inlude Rting nd/or Endorsement of the Business. 4 Terms nd Conditions 5.2 Upon suessful ompletion of n Assessment, the Liene Holder will e dvised of the Rting nd/or Endorsement they hve hieved. 5.3 The Liene Holder my only use the Rting nd/or Endorsement they hve hieved, nd the Intelletul Property or Qulmrk Qulity Mrks ssoited with tht Rting nd/or Endorsement. 5.4 If the Liene Holder is dvised y Qulmrk tht their Rting or Endorsement hs hnged, they must use the new Rting nd/or Endorsement in ordne with the terms of the Agreement. The Liene Holder or Business wesite Signge must e mended to show the new Rting nd/or Endorsement within 1 month, nd ll other Signge must e mended within 2 months, of reeiving notifition of the new Rting nd/or Endorsement from Qulmrk. 6 Promotion of the Qulmrk Progrmme 6.1 The Liene Holder shll use their est endevours to promote the Qulmrk Progrmme for the mutul enefit of the Business nd Qulmrk. In prtiulr, Qulmrk enourges the Liene Holder to mke use of Qulmrk Qulity Mrks when referring to the Business in eletroni nd printed diretories nd pulitions, so long s suh use meets the requirements set out in the Agreement. 7 Rights nd oligtions 7.1 The Liene Holder expressly grees: d e f g h i to omply with the requirements of the Agreement, inluding the Qulmrk Brnd Stndrds for the reprodution of the Qulmrk Qulity Mrks inluding in ll Signge, printed nd eletroni mterils of the Liene Holder; to use the Qulmrk Qulity Mrks in wy nd in irumstnes whih will enhne Qulmrk New Zelnd s positive qulity imge; not to use the Qulmrk Qulity Mrks or Intelletul Property in wys whih my ring the Qulmrk Qulity Mrks or Intelletul Property into disrepute; to dvertise the Qulmrk Qulity Mrks only in onjuntion with detils of the Business; not to ssign their right to use the Intelletul Property, or llow third prty to use the Intelletul Property in ny wy; to urtely represent ownership of Qulmrk New Zelnd s Intelletul Property; to omply with the Qulmrk Code of Ethis; the Assessment riteri nd ssoited proedures re entirely within the disretion of Qulmrk; to o-operte with Qulmrk y enling ess to the Business s required for the purpose of Assessments; Qulmrk my hrge nelltion fee for nelled or postponed Assessment ppointments or where spets of the Business required to properly omplete the Assessment re not mde ville to the ssessor t the greed time; Copyright Qulmrk New Zelnd Limited, Ferury 2012

5 Terms nd Conditions j k l to promptly notify Qulmrk of ny hnges to their Business whih my hve ering on their eligiility to use the Intelletul Property, inluding if the Business moves, hnges the servies it provides (in ny signifint wy), or opens new rnhes; to mend ll Signge (inluding rohures, sttionery, internet sites nd listings) nd ll other promotionl nd listing mteril to reflet the orret Rting nd/or Endorsement of the Business y the dte speified y Qulmrk; to indemnify Qulmrk, ll gents of Qulmrk, nd ll other prties ssoited with the Intelletul Property from ny loss, ost or lims rising from reh of ny terms of the Agreement. 7.2 Qulmrk hs the right: d e f to mend the Qulmrk Mnuls from time to time, nd to hnge the Intelletul Property from time to time s it sees fit inluding the right to hnge the nme, design nd lyout of the Qulmrk Qulity Mrks, s outlined in luse 7.3; to set nd review from time to time the hrges pyle y Liene Holder under the Agreement. Any hnges will hve effet from the Liene Holder s next Renewl Dte; to pulish suh diretory informtion onerning the Liene Holder, inluding detils of ny Rting nd/or Endorsement of the Business, s it onsiders pproprite; to review nd mend the Assessment riteri t ny time; to ssign, trnsfer or otherwise onvey ll or ny of its interests, rights nd oligtions under this ontrt to ny prty; nd to mend the Agreement upon 1 month s notie to the Liene Holder. 7.3 Chnge of Intelletul Property inluding the Qulmrk Qulity Mrks If Qulmrk hnges the Intelletul Property under luse 7.2, inluding the nme, design or lyout of the Qulmrk Qulity Mrks, it will provide notifition to the Liene Holder of suh hnges to the Intelletul Property. The Liene Holder will hve 8 weeks from the dte it reeives the notifition in luse 7.3 to hnge its online Signge nd 16 weeks to hnge its physil Signge to dopt the new Intelletul Property. The Liene Holder n pply to Qulmrk for longer period under luse 7.3. Qulmrk my ept or deline suh request t its sole disretion nd on suh terms s it sees fit. 7.4 In the event the Liene Holder is in reh of its oligtions under luses 7.1, 7.2, or 7.3, Qulmrk hs the right: to instrut the Liene Holder of the terms of the reh nd presrie the terms to retify the reh; to nel the Liene immeditely t Qulmrk s disretion; nd to tke legl tion to enfore its rights. 6 Terms nd Conditions 8 Chnge of Business 8.1 Where the Business eses to operte, or is sujet to Chnge in Control, the Liene Holder must provide written notie to Qulmrk s soon s it eomes wre of the sme. 8.2 In the event tht the Business eses to operte: the Agreement with the Liene Holder, inluding ll rights to use the Intelletul Property inluding the Qulmrk Qulity Mrks, is immeditely terminted; nd the Liene Holder shll not e entitled to refund of ll or ny prt of the fees pid to Qulmrk. 8.3 In the event tht the Business is sujet to Chnge in Control: Qulmrk my request ny informtion it deems neessry regrding the Chnge in Control of the Business; Qulmrk my gree to either ontinue the Agreement with the Business following the Chnge in Control or they my terminte the Agreement with immedite effet, t their sole disretion. If Qulmrk grees to ontinue the Agreement under luse 8.3, Qulmrk my: i ii mend the terms nd onditions then pplile, t the sole disretion of Qulmrk; trnsfer ny Long Servie Rewrds pplile to tht Business, to the new Liene Holder for tht Business t the sole disretion of Qulmrk. 8.4 If within period of twelve months of providing written notie to Qulmrk in ordne with luse 8.1, Liene Holder purhses new usiness, nd otins Confirmed Sttus for the new usiness, they my retin ny Loylty Rewrds umulted during their previous Liene Agreements with Qulmrk. 9 Appel proess 9.1 If the Liene Holder is disstisfied with the outome of ny Pre-Assessment or Assessment undertken y Qulmrk, the Liene Holder hs the right to ppel y notifying Qulmrk in writing within 1 month of eing dvised of the outome of the Assessment. The full nture of the Liene Holder s onerns must e stted in the notifition. 9.2 Upon notifition of n ppel pursunt to luse 9.1, Qulmrk my, t its sole disretion: d onsider, then deline or ept the ppel; sk for pyment to over the osts of new Assessment. If the Liene Holder does not gree to meet suh osts, then the ppel my e delined; not lter the existing sttus of the Liene or the Rting nd/or Endorsement until fter resolution of the ppel; if new Assessment is pproved, visit to the property nd speifi on-site review will e onduted; nd Copyright Qulmrk New Zelnd Limited, Ferury 2012

7 Terms nd Conditions e finl deision will e mde within 1 month from the dte of ny dditionl site visit under luse 9.2d. 9.3 Upon notifition tht n ppel ws suessful or unsuessful, the Liene Holder will mend Signge in ordne with the relevnt terms of the Agreement depending on the nture of the ppel. 10 Suspension of the Agreement 10.1 Qulmrk will hve the right, t ny time, to immeditely suspend the Liene Holder s rights grnted under the Agreement t Qulmrk s sole disretion or in the event ny of the following ours: d the Qulmrk Qulity Mrks or ny other Intelletul Property is used y the Liene Holder in reh of the Agreement; the Business is operted in wy tht it hs the potentil to dmge, in ny wy, Qulmrk s imge or reputtion; the Liene Holder refuses 3 offers of ppointments for n Assessment in one yer; or the Liene Holder in the ourse of its usiness ommits ny t whih is likely to derese its Rting nd/or Endorsement or will men tht the Liene Holder no longer meets the Assessment riteri Qulmrk will immeditely dvise the Liene Holder of ny suspension of the Liene under this luse On reeipt of notie of suspension of the Liene, the Liene Holder will immeditely ese to use the Qulmrk Qulity Mrks nd ny other Intelletul Property, until the suspension is lifted t the disretion of Qulmrk, provided tht the suspension of the Agreement shll not operte to extinguish ny rights Qulmrk hs (inluding the right to dmges) whih my hve rued prior to or fter suspension of the Agreement If the notie of suspension is not lifted within period of one month, Qulmrk will then hve the option to nel the Agreement t ny time therefter. 11 Cnelltion of the Agreement 11.1 The Agreement my e nelled: t ny time y the Liene Holder upon one month s written notie to Qulmrk; t ny time y Qulmrk upon written notie with immedite effet to the Liene Holder, in the event ny of the following ours: i ii iii the Liene Holder rings the Qulmrk Qulity Mrks or Qulmrk s usiness into disrepute or disredit. the Liene Holder fils to py ny fee within one month following due dte. the Liene Holder is delred nkrupt or insolvent, or reeiver or liquidtor is ppointed to mnge their usiness. iv the Liene Holder does not omply with Qulmrk s requirements in luse 7 Copyright Qulmrk New Zelnd Limited, Ferury 2012

Upon nelltion of the Agreement under this luse, n utomti stnd down period of three months will pply, efore Liene Holder or nother representtive of the Business n re-pply or pply for Qulmrk Liene. 12 Fees 12.1 All fees pid to Qulmrk re non-refundle nd non-trnsferle Qulmrk hs sle of fees, whih is ville on the Qulmrk wesite. 9 Terms nd Conditions Qulmrk New Zelnd PO Box Vitori Street West Auklnd 1142 Attention: Generl Mnger 14 Fore Mjeure 14.1 A prty will not e lile for filure or inility to perform its oligtions under the Agreement were suh filure or inility is used y unforeseele, inevitle nd insurmountle events inluding, ut not limited to, erthqukes, wr, strikes or government ehviors, nd other unforeseele dissters or events tht re either mn mde or used y nture. 15 Vrition 15.1 Exept s outlined in the Agreement, no vrition of or mendment to the Agreement will e effetive unless it is in writing nd is signed y the Liene Holder nd duly uthorised representtive of Qulmrk. 16 Governing Lw 16.1 The Agreement is governed y the lws of New Zelnd nd the Prties herey sumit to the exlusive jurisdition of the New Zelnd Courts. 17 Severility 17.1 Should ny prt or portion of the Agreement e delred invlid or unenforele the reminder of the Agreement will remin in fore nd effet s if the Agreement hd een exeuted with the invlid or unenforele term or provision eliminted. 18 Definitions Agreement omprises these terms nd onditions nd the Qulmrk Mnuls. Applition for Qulmrk Liene is the pplition form ville on request from Qulmrk. Assessment mens the ssessment of the Business undertken y Qulmrk or y Qulmrk representtive to sertin whether it meets the Qulity Criteri set out in the Assessment Criteri douments. Business mens the usiness or prt thereof nmed in the Applition for Qulmrk Liene. Chnge in Control mens where the Control of the Liene Holder hs hnged. Confirmed Sttus mens Business tht hs omplied with luse 2.1 to the stisftion of Qulmrk. Endorsement mens the endorsement tht the Business hs hieved in ordne with luse 5 of the Agreement. Further Term mens period of one yer from the Renewl Dte. Intelletul Property mens ll Intelletul Property rights owned y Qulmrk relting to the Qulmrk Progrmme, inluding ll rights to the Qulmrk trdemrk, nd the Qulmrk Qulity Mrk, nd ll opyright words nd owner/proprietor informtion relting to the Qulmrk Progrmme, nd inludes ll rights to ny enhnements, sustitutes or replements for ny of the sme s Qulmrk my determine from time to time. Liene Holder mens the person nmed in the Applition for Qulmrk Liene s the Business owner or uthorised representtive of the Business, who hs met the requirements under luse 2 to the stisftion of Qulmrk, nd hs een grnted Confirmed Sttus y Qulmrk. Liene Holder Applint mens n pplint for n Applition for Qulmrk Liene tht hs omplied with luse 1.2 to the stisftion of Qulmrk nd is prepring for full Assessment. Long Servie Rewrds mens disount tht is pplied to ny pplile fees pyle y Liene Holder under the Agreement one Liene Holder hs een Liene Holder for ontinuous period of 3 yers. The mount of the disount is to e dvised y Qulmrk. Loylty Rewrds mens disount pplied to Liene Holder tht is prt of mrketing hin nd opertes s memer of the hin. Where every memer of tht mrketing hin holds Liene with Qulmrk, Qulmrk my provide the individul Liene Holders with the Loylty Rewrds. The mount of the disount is to e dvised y Qulmrk. Minimum Requirements mens the entry level requirements ginst whih Qulmrk onduts n Assessment. These re ville in the Assessment Criteri douments. Qulmrk mens Qulmrk New Zelnd Limited or its suessor, ssignee or trnsferee. Qulmrk Qulity Mrks mens the Intelletul Property urrently referring to ny Qulmrk trdemrks or logos, inluding the Qulmrk fern nd the Qulity Assured nd Enviro Assured logos nd ny enhnements, sustitutes or replements for ny of the sme, s Qulmrk my determine from time to time. The Qulmrk Qulity Mrks tht the Liene Holder my use shll e determined y whih Rting or Endorsement they re provided, s outlined in luse 5. Qulmrk Mnuls mens the mnuls produed y Qulmrk from time to time (whih re ville on request from Qulmrk), nd inludes: () the Qulmrk Brnd Stndrds doument () the Qulmrk Generl Informtion Booklets nd Code of Ethis () the Assessment Criteri douments Qulmrk Progrmme mens the system estlished y Qulmrk for the ssessment of tourism filities nd inludes the Qulmrk Mnuls.
