GT Nexus Membership Registration Fact Sheet Businesses interested in taking full advantage of the cost savings and process efficiencies that GT Nexus delivers must first register to become GT Nexus members. What are the minimum requirements a business must meet before using the GT Nexus system? GT Nexus members must conduct business and have bank accounts in countries supported by GT Nexus. What information is required to complete the application? Your business will need to provide company and financial information, including: Company Information Including legal name and address, country of incorporation/formation, business identification number, finance department contact and senior management contact. Bank Account Information Including bank name and identification number, account number and date established, names and contact information for each account signatory. What are the terms and conditions of GT Nexus membership? The terms and conditions of GT Nexus membership are defined in a set of agreements that all businesses are required to read and agree to as part of the application process. They include: GT Nexus Membership Agreement Describes the terms and conditions of GT Nexus membership for buyers and sellers. Platform Settlement Services Agreement Describes the terms and conditions of the relationship between GT Nexus members and Platform Settlement Services, LLC. Platform Settlement Services has entered into agreements with JP Morgan Chase and Citibank to move funds in connection with GT Nexus transactions. Coface Factoring Agreement Describes the terms and conditions of the credit protection provided to sellers. Direction and Consent Agreement Describes the terms and conditions of the rights granted to your service providers of financial services on GT Nexus s platform. What supporting materials are required for membership? GT Nexus requires all Seller applicants to complete the Bank Account Verification Form in order to have payments settled on GT Nexus system. This form, along with the agreements described above, is necessary to authenticate and authorize payments on the GT Nexus system. How long is the membership application process? It will take GT Nexus up to two weeks to compile and evaluate application information. GT Nexus provides periodic e-mail updates on the status of pending applications. GT Nexus Membership Application Guideline This section will show you how to complete the GT Nexus membership application process. Please read it carefully before you start your application. 1. Login to GT Nexus Registration Portal. Based on the information we obtained from the buyer, we created a record of your company on our online registration portal, and send out an email notification to you. By now you should have received the email from tcregistration@gtnexus.com. Please use the link on the email to access the login page of our registration portal (see below screen shot). For the first time you login to our registration portal, you will be directed to a screen where you must update your own password. 1 2 3 1. Enter the new password in the New Password field. 2. Enter the same new password again in the Verify New Password field. 3. Then click Save. Note: Please login with your existing user ID and password if you have accessed the GT Nexus Registration Portal before. Upon your successful login, you will see the below landing page. Reference documents are available for download from here 2. Start the Registration. Before you start the registration process, you should read the Registration Guideline and GT Nexus Frequently Asked Questions. Videos for instruction on how to completing the online registration process are also available for your reference. These documents can be downloaded from the help links. Your GT Nexus Membership application is a four-step process. Step 1: Complete / Update the Registration Form. Step 2: Provide Authorized Signer Contact Details (this is for electronic signature of agreements). Step 3: Electronically sign the Registration Agreements. Step 4: Submit your Registration for our processing. For every buyer that you transact with on GT Nexus, you will see a registration record under the section Registration Summary. For each of these records, you will need to go through the 4-step application process mentioned above. Click Start button to start the registration. Registration Guidelines for Seller 4
3. Complete the Registration Form. 3.1 On the home page, click the Start button to start filling in the Registration Form. 3.2 Company Verification The registration form consists of several pages. The first one is Company Verification. Note: If you select No, you will be asked to enter your correct company name and address. Next, you will be asked to confirm if your company is already a GT Nexus Member. If yes, please determine whether you would prefer to use the same GT Nexus account to transact with this new buyer. Our suggested practice is to use one GT Nexus account to transact with multiple buyers, as it will save your effort to manage multiple GT Nexus login IDs, and you can also get consolidated buyers transaction reports from our platform. If you choose this option, you will need to provide us the GT Nexus Organization ID for your existing account. If you are not sure what is your existing 1 GT Nexus Organization ID, click on the How to find your GT Nexus Organization ID? link, and we will show you the instruction to locate this number. See a sample of the Edit page below. Click the Next button to go to the Applicant page. 3.3 Applicant On this page, 3 please fill in your own personal information (see below screen shot). All fields are mandatory except the fax number. 2 A GT Nexus administration user account will be setup for you in GT Nexus system based on the information you provided. Click the Next button when completed. See a sample of the Applicant page below. In Company Verification page, complete the following steps. 1. Review the Company details and select Yes or No for the question of Is the above Company name and address correct? If select No, enter the correct company details in the blank fields. 2. Select Yes or No for the question of Is the above company already a member of GT Nexus? Registration Guidelines for Seller 5
3. Click Next. 3.3 Applicant If select Yes, then select Yes or No for the question of Are you going to use the existing GTNEXUS Organization ID to transact with new buyer? If select Yes, then enter the GT Nexus Organization ID Note: you can click on How to find your GTNEXUS Organization ID? link to find the tip on how to locate your GT Nexus Organization ID. 1 2 On the Applicant page, please provide your contact details by completing the following steps: 1. Complete each field on this page as needed 2. Click Next to move forward. Note: Applicant will be setup as Admin User on GT Nexus platform Registration Guidelines for Seller 6
3.4 Company Identification 1 1a 2 On the Company Identification page, provide details of your company by completing the following steps: 1. Enter all information as required. a. If you select Yes on any of these fields, enter additional information as appropriate. 2. Upon completion, click Next to go to the next page. Registration Guidelines for Seller 7
3.5 Senior Management Contacts 2 1 3 On the Senior Management Contacts page, complete the steps below: 1. Provide finance contact information on contact 1 You can use the button to retrieve information from the Company Verification page. 2. Enter required information for Contact 2 You can use the button to populate the address from Contact 1 3. Click Next when you have entered all the required fields Registration Guidelines for Seller 8
3.6 Bank & Account Info (Only if your buyer settles payment on GT Nexus platform) 1 1a 2 On the Bank & Account Info page, provide information of the bank account that you will be used to receive trade proceeds from your buyer by completing the following steps: 1. Provide your bank and bank account information required in each field. a. If you do not have signatory authority on the account, please provide the signatory info as appropriate. 2. 3.7 Additional Financial Programs 1 2 GTNEXUS offers different types of financing programs on the platform. 1. Select Yes if you are interested to know more details about any of these. Our Client Managers will then contact you to provide more details. Click Next to continue. 2. Click Next to go to the next page. 3.8 Pricing Details Pricing that will be charged to your company will be displayed on this page for your reference. Click Next to move forward. 3.9 Preview 2a 2 1 On the Preview Page, please review information in each section carefully to make sure all data entered are correct. 1. If you need to make a revision, click to change details in each section. 2. After all information are reviewed, click to submit the Registration Form. a. Or if you are not ready to submit the form yet, click to submit the form at a later time. 3. After you clicked Submit, click OK again on the pop-out message. Registration Guidelines for Seller 11
4. Provide authorized signer contact details. 1 2 3 To register on GT Nexus, a number of registration documents must be signed. Once the registration form is submitted, user will see the Step 2 to Provide Authorized Signer Contact Details by completing the following steps. 1. If you are the authorized person to sign the GT Nexus agreement, tick this box. The name and email address will be auto filled in. Confirm it before saving. 2. If you are not the authorized person to sign the agreement, Provide the proper information 3. Then click Save. Registration Guidelines for Seller 12
5. Sign the Agreements 5.1 Electronically sign the agreements 1. The authorized signer will receive a DocuSign email, click View Documents button to e-sign the GT Nexus agreements. 2 3 2. Check off the I agree to use Electronic Records and Signatures box. 3. Click CONTINUE Registration Guidelines for Seller 13
4 8 5 6 7 4. Tick the yellow box which indicates where you need to sign 5. Confirm your name and initials 6. Select a signature style or draw your signature 7. Click Adopt and sign 8. Enter your Title Registration Guidelines for Seller 14
9 9. Click Confirm Signing button on the after all required fields are completed 10. The Signed/Uploaded checkbox is automatically checked off after you signed the document 10 Note: You might receive multiple documents to sign, please ensure you go through all of them carefully and provide your signature wherever required, in order to ensure successful validation of the agreements. Once the signature has entered by E-sign without submitted, if you want to change the new signature, please close the browser and re-click the email View Document button again. 5.2 Sign the Agreements on paper 1 2a 2b 3 If you want to sign the agreements on paper instead of electronic signature, complete the following steps. 1. Click the Sign on Paper button on the pop out window of the DocuSign agreement you opened Registration Guidelines for Seller 15
2. Chose Print and Fax or Prefer to Upload the Document? 3. Document will be downloaded, please review and sign it on the paper. 4b 4c 5 4a If selected Print and Fax a. You ll need to write the number of pages of the document on the line b. Fax the document and cover page to the appropriate number If selected Prefer to Upload the Document? c. Scan the document as PDF and click the Choose File button to upload the signed document 5. Complete the DocuSign Registration Guidelines for Seller 16
5.3 Bank Account Verification Form (Only if your buyer settles payment on GT Nexus platform) 1 If a Bank Account Verification form is required, complete the following steps 1. Click on the Download button to download the form in PDF format and print a copy of it. 2. Fill in your company s bank account information on this form (it should be the same bank account on your GT Nexus Application Form), and have your account authorization signer to sign on section 1 of the form. 3. Send the form to your bank officer for their counter signature on section 2. 5 4 6 4. Scan the signed form and upload to our Registration Portal by clicking Choose File in the Bank Account Verification link. 5. Locate the completed Bank Account Verification Form and click Open Registration Guidelines for Seller 17
6. Click Upload in the Bank Account Verification link 7. Click Submit All to complete the Registration Process. 6. Submit your Registration for processing. The last step of the registration is to submit the registration. Once you have submitted the Registration Form and all required agreements are signed, click on the Submit All button. GT Nexus will start reviewing your Registration and setup your company on the GT Nexus platform. Your GT Nexus Client Manager will contact you when it is completed. Note: You may receive an email with your user ID and temporary password for accessing GTNexus platform. Please hold on logging onto GTNexus platform till your GTNexus Client Manager notifies you that your account is active. 7. Support.
