General Terms and Conditions of Sales for Bonne graine RDB S.A.S. 1. Implementation of General Terms and Conditions of Sales. Unless otherwise stipulated, this General Terms and Conditions ( General Terms and Conditions ) apply to all Tray-meals orders to be placed between RDB S.A.S. and the client, and prevail over any other General Terms and Conditions, in particular over previous General Terms and Conditions and over the client s General Terms and Conditions. Client acknowledges and agrees on such General Terms and Conditions and acknowledges general acceptance. All information and all pictures included in our catalogs or in any other document or under any other format are provided for information purposes only and should not have any contractual value and could be modified at any time. 2. Orders, Modification in orders or Cancelation. Any order, Modifications in order or Cancelation of order must be notified by Fax at the number indicated in this brochure, at the latest on the day proceeding the date of Delivery, before 5 PM, not including products with special delivery deadlines. Orders placed on the same Delivery date (Monday to Friday) must be confirmed by Fax before 11:30 AM, and for evening deliveries, same day until 2:00 pm. These orders cannot be cancelled. Any order canceled by the client, out of the conditions indicated above, will be charged by our company for a daily flat compensation equal to 100% of the total amount of the order. All drinks and food sold by RDB S.A.S. are available while stocks last, and RDB S.A.S. will not be liable for any stocks depletion or limitation, therefore, in case RDB S.A.S. would not be able to deliver food or drinks that had been previously ordered, RDB S.A.S. will properly inform the client and will deliver products that are similar in nature or at least that are of the same value, unless otherwise expressed by the client. 3. Delivery. Client may choose to be delivered in delivery zones covered by RDB S.A.S. Any order that requires delivery in other zones should be approved by RDB S.A.S. Delivery is effective once order is provided to client, at the address and hours indicated in the Order Form. Office meals will be delivered to clients after signing the Order Form specifying the time of delivery. Client will need to ensure compliance of the delivery with the Order. Any claim has to be made upon delivery and specified on the Delivery Slip in order to be effective. 4. Price. Unless otherwise stipulated and subject to all terms indicated in the following paragraph, all applicable prices at the time of the order are the prices to be charged at the time Order Form is being issued. Prices and wines vintage may vary due to exceptional events or reasons for which RDB S.A.S. is not liable. Prices are specified as exclusive of taxes (HT) and inclusive of taxes TTC), and such taxes will be exclusively payable by the client. All prices are indicated without delivery fees. 5. Payment conditions. All TTC prices (inclusive of taxes) are payable as follows: (i) Credit Card payment, or upon delivery or reception of the order, for the TTC price, for any first order. (ii) For any other delivery payment of the TTC price will be payable 30 net days date of invoice, unless derogating agreement with the client. Unless otherwise stipulated, all invoices issued by RDB S.A.S. Cash payment is not accepted. If payment is not made by Client at the due date, RDB S.A.S. will have the legal right to apply penalties equal to the legal interest rate multiplied by one and a half, with additional late fees. Pursuant to Decree 2012-1115, and pursuant to L.411-3, L.411-6 and D.411.5 Law invoices, a lump sum of EUR 40 will be charged for all payment made after the due date. For any order equal or higher than 1,500.00 Euros HT, client will have to pay a deposit fee equal to 50% of the total amount. 6. Force majeure. If delivery is made more than one hour after the hour specified in the Order Form, delivery fees will be paid by RDB S.A.S., unless this delay is due to any force majeure or any other reason for which RDB S.A.S. will not be liable, and in particular when Client does not provide correct information. 7. Title Retention clause. In accordance with Article L. 621-122 paragraph 2 of Commercial law, RDB S.A.S. keeps ownership of all goods until total payment is effective in principal, interests and secondary. Client shall individualize all non-perishable goods and not mix them with other goods of the same nature and providing from other suppliers, as long as TTC price of the Order is not fully paid. Unless otherwise stipulated, Client is not allowed to sell, transform, put a deposit on or pawn such goods, or use them in any other way that will not preserve property of such goods by RDB S.A.S. 8. Return. As a safety precaution, no food product will be returned or exchanged. Bonne graine tray-meals have to be stored in a cool place. RDB S.A.S disclaims all liability if such goods are not consumed within 2 hours after delivery. 9. Deposit. RDB S.A.S. will keep deposits and will not reimburse clients for any Order canceled less than 7 days before Delivery date. 10. Data protection. Clients have the right to access and modify any of their personal information in accordance with French Act 78-17 from January 6, 1978 on Computing, Files and Freedom and have the right to request such access by sending a letter to RDB S.A.S. at the address indicated in the Order Form. 11. Divisibility. If any or part of the clauses described in these General Terms and Conditions is null or non-invocable to Client, only such clause or part of such clause will be considered as null or non-invocable, with no effect on the validity and implementation of all other clauses or part of the clauses included in these General Terms and Conditions. 12. Applicable Law and Court of competent jurisdiction. These General Terms and Conditions are applicable under French law. Any claim or dispute relating to these General Terms and Conditions and/or to any failure in sales or with any services provided by RDB S.A.S. to Client are under the exclusive competence of the Paris Commercial Court (Tribunal de Commerce de Paris).
