For over 40 years, Greenpeace has been successful in our campaigns to reverse environmental degradation by bearing witness to environmental destruction and exposing and confronting environmental abuse. Greenpeace campaigns have been vital in informing government policies on the environment and effecting changes in business practices which lead to various environmental problems. Greenpeace in Southeast Asia Greenpeace opened our first office in Southeast Asia in 2000. In that time we have led successful campaigns throughout the region, securing fresher air, cleaner water and a healthier environment through changing industry practices and government policies. Greenpeace actively campaigns across the region to catalyze an energy revolution, protect ancient forests and our oceans, create a toxics-free future and create a shift to sustainable agriculture.

Greenpeace has three offices in Southeast Asia (GPSEA) in Thailand, Indonesia and the Philippines and each office is currently composed of six departments: Campaigns, Fundraising, Communications, Mass Mobilization (all under Programme), Human Resources and Organizational Support (under Operations). Currently, Greenpeace Southeast Asia employs nearly 200 staff across the region, excluding the direct dialogue fundraisers. Job Summary: THE POST: GOVERNANCE MANAGER As Governance Manager, you will work closely with the Executive Director and Chief Operating Officer, the members of GPSEA s regional and national boards, our Legal Counsels, Human Resources, GPI Development Manager and the SMT. This position will serve as the key link between the senior management of the organization and the regional and national boards. The Governance Manager will play the crucial role of fostering improved communications with the GPSEA Board (Association) and the National boards, managing the execution timely organisational reporting, managing GPSEA s legal compliance in the countries GPSEA operates within, and serving as the main custodian for governance records. In addition to assisting the ED in managing governance matters, the Governance Manager will be likewise responsible for the management of effective internal communications between employees in all Greenpeace offices in Southeast Asia. This position will also help facilitate communications from the ED s office as well as the sharing of information with international Greenpeace offices via electronic, video and print communications in a way that furthers a culture of learning and creativity. This is a full-time position based in Southeast Asia, with an initial 2 year contract. Key Duties Governance Serve as the chief contact person between both Greenpeace boards and senior management of the organization; Through the ED, advise board members on key governance issues; Manage in coordination with the COO and GPI Development Manager GPSEA s incorporation of Greenpeace s Governance Handbook. o Assist the Board in reviewing governance guidelines; o o Assist with Board member recruitment and orientation; Assist the Board Chair on relevant governance related processes within Greenpeace; Stay abreast of best practice governance and board management trends; Assist the ED and Board in drafting and preparing key board documents for meetings; Manage organizational records, such as articles, bylaws, and minutes; Manage logistical assistance for board meeting preparation and planning events. Manage in coordination with the COO GPSEA s legal counsels Assist the COO in ensuring all operational activities are in compliance with Greenpeace's policies and any relevant external laws.

Assist the COO in identifying, access and prioritize risk that may inhibit Greenpeace's ability to achieve its goals or damage its reputation and/or place staff at risk and develop risk mitigation plans to manage such risk Support Governance forums (i.e. Regional Management Forum, Finance and Audit Committee, Issues Committee etc.) Strategy and Planning Participate and support the COO in GPSEA s strategy development Assist SMT in developing and designing workshops for GPSEA s Three Year-Plan development. Assist in the tracking and monitoring GPSEA s strategic plan implementation Internal Communications Manage internal communication processes, including development of communication tools, delivery of internal communication training and management of communication content to ensure consistency and transparency; Ensure that all internal communication reflect the Greenpeace identity and has a consistent voice, look and feel, which reflects the organization s priorities and strategic direction; Working with the ICT unit, set and monitor standards of the GPSEA intranet; Coordinate in-house sharing events and invite external speakers to contribute to a culture of learning; Manage the delivery and preparation of monthly and quarterly reports, including an organization-wide newsletter and provide content for department specific newsletters; Performance, Accountability, and Learning Manage in coordination with the COO and GPSEA Units as needed in the evolution of the development of GPSEA s Monitoring, Evaluating and Reporting mechanisms in alignment to the global organization s PAL framework. Working with the Programme Planning Coordinator in ensuring Programme reporting processes and planning cycles are aligned to PAL COMPETENCY PROFILE Organizational Competencies Project Management Planning and Organisation Professionalism Goal Orientation Interpersonal Relationship Knowledge Sharing Global Mindset Functional Competencies/Qualifications Bachelor s Degree or equivalent experience preferably in the field of NGO/Business Management; Knowledge of the laws affecting the organization and non-profit organizations; Understanding of governance issues;

THINGS YOU SHOULD KNOW BEFORE APPLYING TO THIS POST WORKING HOURS Normal hours of work for full time Employee will be forty (40) per week or (5) days in a week, at 8 hours per day excluding an hour lunch break. This will be from Monday to Friday, between the hours of 8:30 am to 6: 30 pm. Ordinary hours of work may be varied as agreed between staff and the line managers. LEAVE A permanent employee will be entitled to the following leaves: Annual Leave: 20 days Sick Leave: 30 days Parental Leave: As per labor laws and Greenpeace policy Long Service Leave: 2 months paid leave after 5 years of continuous service Compassionate leave: maximum of 5 days for the death of significant others SALARY In determining salary offer for this position, Greenpeace applies its Salary Grading Process, taking into consideration the job description and applicant s previous experience, and the organization s salary grade.
