Take the quality of your Out of School Hours Care to new heights with experts and build a business that will change your life. In the same way as mountaineers use the skills and knowledge of the Sherpa people to guide them safely to their summit, you can rely on Sherpa Kids expertise and hard work to guide you with everything that goes with managing, planning and running an outstanding and affordable business. We thank you for your enquiry and look forward in partnering with you to make a difference in your community and ours and build a solid reputable business. Vicki Prout Managing Director Sherpa Kids Australia SA Franchise Woman of the Year 2006, 2007, 2008, 2010 We have the collective knowledge that comes with a larger, experienced Out of Hours School Care (OSHC) service provider. We have a solid history, underpinned by a high level of know-how, integrity, expertise and knowledge that professionalises our brand, our systems and most importantly our people since 1996. Sherpa Kids has intangible energy that is underpinned by genuine passion for delivering via collaboration, a quality structured, safe service and a solid business every time. Sherpa Kids Via collaboration Sherpa Kids provide, creative, engaging, fun, safe and a secure environment for the care of school-aged children. We do this through a structured and well-balanced program in before, after school and vacation care services.

As long as you believe you are sure to succeed! From my initial contact with Vicki and the Sherpa team, I have found them to be an outstandingly proficient and extremely professional organisation. It was from these first impressions that convinced me that I had to be a part of the Sherpa Kids operation. Since making this decision I have not had an opportunity to look back as the initial phase of my business has been fast and effective. They have done everything to set me up to succeed and are extremely supportive on guiding me to achieve success. I can now look forward to the next phase of my business. - Mick Rasmussen, Sherpa Kids Narellan 4

Learning about Sherpa Kids Sherpa Kids is a franchised Out of School Hours Care (OSHC) business. Our aim is to establish quality on-site OSHC programs throughout Australian schools. Our programs are structured, engaging, fun, safe and educational. Our services recognise and cater to the varying needs of different communities and cultural diversities. Sherpa Kids serves the needs of local communities, keeping children safe and returns an income directly back into the community it is based within - you and the school. We will support you in your efforts to do it; and together we will grow your Sherpa Kids business In return you will pay us a fair price for the Sherpa Kids brand and goodwill and support and; In return you should make a return on your investment Key links for you to consider in your research are: www.accc.gov.au www.franchise.org.au www.sherpa-kids.com.au Sherpa Kids provides opportunities for families to work together and to establish a strong business that they can participate in and be proud of; while greatly assisting the local school communities. Sherpa Kids is proud to have helped individuals who previously thought they would not be able to own and run a business. This can be attributed to the strength and support of a highly experienced and credited franchise team. What is Franchising? Franchising is not a business itself; but a way of doing business. At Sherpa Kids we believe that: If you love our Sherpa Kids business; and if you agree to do your best to follow Sherpa Kids tried and tested rules for running an OSHC business, then We will grant you the right to run a copy of Sherpa Kids business We will show you what you need to do We will give you the tools to do the job

The wait has been worthwhile Late last year I decided I wanted to retire! Well that idea didn t last long. I ve never run a business before, and apart from being a mother of one son and an aunty, I hadn t worked with children before either. I asked Vicki Prout what Sherpa Kids was about and the rest, as they say is history. I began my journey with Sherpa Kids wanting to do something worthwhile in my community. It took me some time to take the leap, but getting to that point Vicki s passion for what Sherpa Kids is about inspired me. I bought the franchise of Area Developer South Australia/Northern Territory which comes with all the training, tools, encouragement and support needed. We have an awesome team in Head Office whose experience and belief in what we re doing backs us all the way. South Australia is experiencing great change in the OSHC sector at present, and while we have a way to go yet, it s very exciting. I m not a salesperson but I love talking to Principals and Governing Council members about Sherpa Kids and its complete out-of-school-hours-care management package, what that means to a schools community, their families and children. Also, I get to talk to people who are interested in purchasing a Sherpa Kids franchise. This is not a business for everyone! However, everyone in the business is provided with the training, tools and ongoing support needed to aid them in achieving successful OSHC programs and businesses! Learning? Every day! Love it. - Michele Button (Area Developer), Sherpa Kids SA/NT 6

Take the quality of owning a business to new heights with experts Sherpa Kids is a fast growing company in a fast paced and extremely important industry and is looking for savvy business owners. Do you want to build a business that you can grow continually? Are you seeking a business that you manage work on the business not in the business? Are you looking for a business with low initial investment? primary schools that are located near each other. The primary schools are a mix of government schools, independent schools and alternative schools. Together we work with these schools to introduce Sherpa Kids with the outcome of our service and programs being delivered into the schools. Your role is then to employ a Program Manager initially and then employ and train your team to run the Sherpa Kids service at that designated school. As we work together we open more schools and your business takes shape. Sherpa Kids is seeking entrepreneurs that can challenge, manage and have the desire to drive several school sites (known as a cluster) and engage closely in these communities. Together we can create clever, customised collaborative services via an educational program and practice, using sound thought and depth of understanding whilst aligning as a minimum with regulatory authorities. You do not need to hold industry qualifications but your key staff at each site must hold the appropriate qualifications. Minimum qualification standards vary from state to state. Our model is a little different. You are allocated a cluster of schools that becomes your territory. Your cluster is determined by a key number of enrolled students at these

Frequently Asked Questions 1. Do I need to create the Programs? No. You will be provided with all the programs, modules and tool box necessary to support the programs. It is your responsibility to engage and localise the programs with the school community and organise the collateral and materials required for the programs and implement them throughout the term. 2. What are the typical hours of operation and program schedules? Opening hours for before and after school care and vacation programs are tailored to the needs of the school and the parent community. Our point of difference is our planned activities. These are generally based on a weekly structure as follows: Monday: Tuesday: Wednesday: Thursday: Friday: Arts & Crafts Music & Drama Sport & Games Cooking & Technology Fun Activities. A typical After School Care daily routine is as follows: 3:30pm 4:00pm: Roll call, recharge with afternoon tea and outdoors warm up 4:00pm - 4:30pm: Homework or quiet activity 4:30pm - 5:00pm: Planned learning activity (e.g. Art &Craft) 5:30pm - 5:45pm: Outside play (if weather/light permits) Your role is to work with the principals, in building relations, reporting to the school, administrative and managerial responsibilities and working with Head Office. 4. What is the size of my territory? You are allocated a school list of approximately 3500 enrolled children, which could list 8-12 schools depending on the number of school enrolments at each school. Refer to model diagram - page 7. 5. What level of qualifications should my staff need? This is variable per state and will be discussed during your application. You will need a qualified program manager to operate each school site if you do not hold the qualifications. As our business model allows for several schools you will need to employ qualified program managers for the site/s you are not directly operational in. This is how your territory grows and develops. We are not seeking owners to operate in one school, we are seeking multi-site owners to grow a substantial business. Other qualifications required are: Apply First Aid Certificate Anaphylaxis (allergies) and Asthma Management Induction and Behaviour Management Risk Management Health and Safety and Child Protection Staff Management Complaints Process and Issue Resolution Complete Sherpa Kids franchise training Manditory reporting 5:45pm - 6:00pm: Tidy up, quiet time, children are picked up 3. Frequently Asked Questions Administration and financial resources FAQ The Facts 1. What administrative tasks are we required to conduct for the business? Each Sherpa Kids franchise is responsible for all of the administrative operations for their sites. These being but not limited to: full planning of the program, customer liaison and support with parents and the school, invoicing parents, fee collecting, activity planning and booking external activities, supply of resources, full staff management and training, adherence to behaviour management and issue resolution at all times and reporting to the school and head office. We have specifically built online platforms to manage these tasks. 2. Why do schools want a service like Sherpa Kids? Principals govern the school and most are over worked undertaking the mammoth role in school governance and development. Their role is not as a business operator for OSHC. We will work with the school principal and community to ensure we continually embrace, collaborate and engage Sherpa Kids programs with the school and offer a variety of benefits to the school community, including but not limited to: Risk management for the principals. We hear on a regular basis that children are dropped off to school well before any supervision is in the school grounds and well after the school bell has gone at the end of the day children are often lingering in the playground. No administrative work required by the school, this leaves the school staff to actually perform their employed role without interference. Our staff are fully trained in business management and reporting. This is our main role. We manage the entire OHSC business for the school. This means all the marketing to promote the service, liaising with the authorities for approvals and further inspections. We provide reports as required and work with the local authorities as required. Our services are preferably onsite at the school 14

utilizing classroom or gym hall or suitable buildings. We use all our own staff and manage the entire roster and HR duties. Our staff ratio is aligned with State Regulatory Requirements Financial benefits for the school in the way of we can offer the school a lease fee for the use of the facilities. The school can make money. 3. What are the continuing fees? Service Fee: 11% of monthly sales paid on a monthly basis to Sherpa Kids. Marketing Fee: 2% of monthly sales paid on a monthly basis 4. What is the Initial Franchise Investment? Our initial franchise fee is as little as $35,000 plus (GST) this is your minimum investment level. This includes 4 days training in Adelaide (you will need to pay for accommodation and travel). This is for a 5 year agreement, plus an option for further 2 term renewal. For clusters with Schools P.O.A. 5. What is the maximum level of investment for a Sherpa Kids Franchise? Taking into consideration setting up of a new company, seeking independent advice, purchase of equipment for one school initially, computer and accounting packages if you do not already have one, our maximum investment is approximately $50k* (subject to cluster).
