1 Arambys Corp Capability Statement Arambys Corp is the strategic wellspring and union of proven real estate development, banking, marketing & operational experts. Founded as an answer to the prevailing inefficiencies found throughout the global real estate services industry, Arambys has all the resources, contacts, experience, and talent found in a large firm, but with the dexterity and accessibility of a small enterprise. Collectively, Arambys Directors have nearly a century and billions of dollars of fiduciary executive experience in the real estate related services industry. A quick snapshot overview of capabilities, qualifications, and a few references of the executive management team of Arambys follows: In general Arambys serves a Four Fold Mission 1) Construction, Engineering, Design & Government Negotiations: Arambys team members have collectively been directly responsible for management and oversight of well over $12 Billion of commercial, mixed use, and residential construction. This of course includes the detailed process of engineering, design, material sourcing, labor procurement, and the expected government negotiations and permitting associated with such undertakings. Some of this has been done under the auspices of a publicly traded fortune 500 company, following all the stringent rules and regulations associated therewith; 2) Resort Operations & Sales: Arambys team members have been directly responsible, while serving in senior fiduciary management and executive positions, for the operations, sales, and marketing of billions of dollars of assets and the resulting generation of hundreds of millions of revenues for the likes of Hilton, Fairmont, Jumeirah, Hyatt, Starwood, and numerous less known yet substantial entities. This of course would include the training and management of thousands of staff, including the training of future hospitality managers as well; 3) Funding Procurement: Arambys team members have negotiated, underwritten, and arranged hundreds of millions in financing for real estate related projects as US

2 licensed & regulated brokers and additional hundreds of millions in managerial & executive positions for both US & UK regulated banks. Arambys team members have also assisted in the arrangement of such funding through its numerous contacts with boutique private equity firms and large institutional equity providers alike for projects around the globe; 4) Marketing, Promotions & Media Production: Arambys team members have been directly responsible for the production of media and promotional material for the likes of Disney, 20 th Century Fox, 3Com, Warner Brothers, Major League Baseball, Universal Studios & Sony, resulting in the generation of hundreds of million in revenues globally; In no particular order, below please find more specific examples of just a few of the Arambys team member accomplishments: Wells Fargo Center, Salt Lake City, Utah: Oversaw design and constructed the meter tall business tower at a cost of over $100 Million; Jumeirah Essex House (New York City): As President of Dubai rooted Jumeirah Hospitality & Leisure USA, responsible for global sales and marketing functions in the Americas that generated revenues in excess of $180 Million annually; Porto Carras Halkidiki Greece: As Director of Hotels oversaw multi million dollar remodel of the 485 room hotel resort from a 4 to 5 star, as well as overseeing operations of the resorts 455 room 4 start hotel, 100 plus private residences, 18 hole championship golf course, 365 slip marina, casino, equestrian center and more. Puerto Bani, Dominican Republic: Conceptualized, funded, and orchestrated a multi million dollar design charrette and national TV campaign (in the U.S.) that allowed the landowner to recognize a US$50 Million profit in the sell of his position for the 16 million square meter ocean front resort. Orchestrated presentation of the project to the President of the Dominican Republic and his key cabinet officials; Moskito Island, British Virgin Islands: Lead engineer for Sir Richard Branson; American Stores Company: As Senior Vice President over construction managed an annual budget of over US$1 Billion; St. Barth project (for Roman Abramovich): Lead Engineer;

3 Social Security Program: As Director in charge, responsible for Anguilla s $110 Million plus Social Security Fund (also the co-creator of the fund); Moevenpick Hotel- Lausanne, Switzerland: As resident manager increased occupancy above area competitors by 17% through innovative marketing and achieved 15 points Gault Millau for the restaurant; Westin Rio Mar Hotel in Rio Grand Puerto Rico: Responsible for additional build out of 3 restaurants, a ball room and convention area, as well as the design of an additional 300 condo hotel rooms. Managed over 600 associates and generated over $27 Million annually in Food & Beverages revenues; Villa Bellissima Estate: Constructed the 3,716 square meter mountain side mega mansion in Sandy, Utah; Pirates of The Caribbean- On Stranger Tides: Performed the pre-visualization and post visualization (visual affects) of Disney s and Johnny Depp s international blockbuster hit; Anguilla, British West Indies (the Caribbean): Master planned a 150 room hotel and 140 unit condominium resort for Jumeirah; Plaza Hotel (New York City): As Regional Vice President of Fairmont, responsible for global sales and marketing functions of this iconic hotel and responsible revenues in excess of $170 Million annually; Watersmark Plantation: raised funding for acquisition and coordination of engineering, design, permitting, and infrastructure construction (sewer, power, water, roads, sidewalks, and landscaping) for this 120,000 square meter luxury riverfront residential community in Florida; Anguilla, British West Indies: As lead developer master planned and successfully negotiated with government the billion dollar development agreement for this 3,500,000 square meter private island resort; Les Grands Hotels, Divonne les Bains, France: As General Manager oversaw extensive hotel renovation and implemented a marketing and promotions program that increased occupancy by 30%;

4 Los Angeles, California: Sourced three separate land parcels in Beverly Hills for approvals and development as a luxury hotel; Cap Juluca, Anguilla: Conceptualized, designed, arranged funding, oversaw construction, and operated this famed Caribbean Resort that is a member of The Leading Hotels of The World and winner of countless awards; Golf Residential Community, New Jersey: Conception, Masterplanning, government approvals, infrastructure, construction, sales and marketing of 18 luxury homes on one of the country s most prestigious golf clubs Historic Government Building Restoration, Washington, DC: Oversaw restoration of historic government building to repurpose as a luxury hotel in conjunction with US government; National Geographic: As a recognized water engineer expert with over 40 years experience in hydrogeology, subsidence investigations, geotechnical evaluations, environmental site assessments, marine ecology, coastal hydrodynamics, and MASW mapping (for location groundwater), currently advising on a National Geographic production in Florida; Iron Man: Performed the pre-visualization and post visualization (visual affects) of Paramount Studios and Robert Downey Jr. s international blockbuster hit; Please find below synoptic overviews of the Arambys team members, a few of their accomplishments, and a few references as well: Brent B. Woodson- Co-CEO & Chairman: Brent has 17 years of business development and consulting experience. Recently Brent master planned and successfully negotiated with government the billion dollar development agreement for the 865 acre private island resort in Anguilla, British West Indies (the Caribbean). Brent has negotiated a multi-million dollar marketing agreement with Major League Baseball and Fox Sports; and has prepared and presented comprehensive fiscal development plans to a president, queen appointed governor, The World Bank, royalty, and government ministries alike. In his younger years he was an agent to an Olympic gold medalist and attorney in fact for Saudi royalty; and prepared communication strategies and managed a mortgage bank office for Fortune 500 companies 3Com and Conseco respectively. Most recently he was President of Dubai rooted Jumeirah Hospitality & Leisure USA, where he was responsible for global sales and marketing functions in the Americas that generated revenues in excess of $180 Million annually. In this capacity he was also General Manager of Central Park's famed Essex House, directed all new hotel development and Jumeirah brand expansion functions including sourcing of locations, opportunities, partners, and financing. During his 9 year tenure with Fairmont Hotels & Resorts Gary was Regional Vice President with fiduciary stewardship over $700 Million in assets and was also Managing Director of the historic 800 room Plaza Hotel where he had responsibility for directing activities resulting in revenues of over $170 Million annually. Gary is the recipient of numerous awards, including the International Geneva Associations Restaurateur of the Year, the Cardinal's Award by the Cardinal's Committee of the Laity, and the Humanitarian of the Year Award of the American Jewish Committee. Gary proudly serves as Vice-Chairman of The Marine Corps-Law Enforcement Foundation which has provided over $55 Million in educational scholarships for children of U.S. Marines and Federal Agents killed in the line of duty. 7 Samuel Hügli- President & COO: Sam is a dual Swiss & US citizen with 30 plus years of hospitality experience. Sam has served in senior positions for such renowned companies as Hilton, Hyatt, and Starwood, as well as for large, lesser known mega resorts operators, in exotic destinations such as Mexico, Puerto Rico, Switzerland, France, Greece, and the United Arab Emirates. Sam has been involved in every process of hotel operations, from initial conception; creation, implementation, and managerial oversight of resort strategic capital expenditure pro forma; site identification; design; and construction up through FF&E procurement; interior decorating; staff training; resort openings; and ongoing operations. Collectively, Sam has hired, trained, and managed over 30 hotel and resort managers and over 1,400 associates, all while driving and managing tens of millions in revenues at highly successful de luxe resort & convention hotels featuring casino, golf & country club, master planned community, hotel condominium, marina, time share, and/or vacation club operations. Sam received his Hotel Management degree with honors from the distinguished Ecole Hoteliere in Lausanne, Switzerland. Sam is also a trained chef, fluent in five languages,. Colin Green- Managing Director, Media Creations77: In 1995 Colin invented a visual effects technology that forever changed the movie world. Colin s creation has allowed him to work with iconic directors such as Steven Spielberg, Gore Verbinski, David Fincher, Jon Favreau, Sam Raimi, & Zack Snyder and for studios such as Warner Brothers, Sony Pictures, Universal Pictures, Disney, & 20th Century Fox. Colin will now help revolutionize the way large scale real estate projects are designed and marketed using much of the technology that he pioneered. Robin & Sue Ricketts- Directors, Resort Operations: The Ricketts founded their globally recognized hospitality consulting firm, Ricketts & Associates, in 1978 and and have been the innovators & creators of some of the world s most sought after resort destinations, such as Cap Juluca, Anguilla and Grace Bay Club, Turks & Caicos Islands. They have consulted resort developers and governments alike on product concept, design, construction, pre and post opening resort operations, and private villa management. The Ricketts are renowned for their global marketing & sales network. John Landon, P.E.- Director, Engineering: John brings 40 years experience in the water resources, environmental & land development engineering fields. John has prepared numerous comprehensive water supply and sewage disposal master plans for city, county, district & federal government agencies alike. John has also performed feasibility studies and extensive water related computer modeling for district & federal agencies. John has also master-planned and permitted large residential communities and planned unit developments (PUDs).

8 Michael Gaylor, P.E.- Director, Civil & Structural Engineering: Michael has 45 years of experience as a civil and structural engineer and also specializes in wastewater collection, treatment, and effluent discharge, which will be key as Arambys approaches projects in districts with outdated or non-existing sewer systems. On the construction side Michael has constructed nearly 200 miles of water and sewer lines and various treatment & supply facilities for both municipalities and private entities alike. Michael serves on the Board of Directors of the Florida Engineering Society. Matthew Norton- Partner, K&L Gates: Matt is Arambys Corp s outside legal counsel. Matt spearheads the global Resort, Hospitality & Leisure Group of K&L Gates and represents clients in the structuring of resort, urban, and mixed-use communities, as well as sourcing funds. Matt recently or is currently assisting clients in the sale, acquisition, development, repositioning, and/or financing of projects in the United States, Caribbean, Latin America, Europe, Africa, and the Middle East.
