Prgram Rles: Champ: A persn wh acts as liaisn between Micrsft and Netwrk Partners. Champs are respnsible fr cntacting Netwrk Partners, apprving Netwrk Partner enrllments, and managing the Netwrk Partners during their participatin in WebsiteSpark. Netwrk Partner: An active member f the lcal sftware ecsystem engaged with small Web develpment and design service cmpanies. Netwrk Partners supprt sftwarebased Web businesses, thrugh hsting r ther business services, technical and business advice, netwrking, mentring, peer cnnectins, r ther resurces and services. Web develpment and design cmpany (Web prfessinal): Any small prfessinal Web value-added services prvider whether a develper, designer, r IT generalist whse primary business is develping and/r designing Web sites fr its clients. Eligibility Requirements: An eligible Web design and develpment cmpany must have the fllwing characteristics at the time f jining: A prfessinal service firm whse primary business is prviding Web develpment and design services fr its clients, with n mre than 10 members (including wners and emplyees). 1 This includes a sle prprietr wh runs her wn cmpany and has n emplyees. In additin: T be eligible t cntinue t participate in the Prgram, the cmpany must cmplete the fllwing steps within 6 mnths after Prgram enrllment: develp a new public and Internet-accessible Web Pr Website 2 using Prgram sftware, 1 This requirement has been adjusted t add lcal variances calibrated t lcal cnditins in the Web Pr s place f business belw. If a Web Pr s place f business is nt listed belw, then the maximum limit is 10 members (including wners and emplyees). Cmpanies wh are nt already MPN members will be prmpted t jin during the WebsiteSpark enrllment prcess. 2. Term: Eligible Web develpment and design cmpanies can participate in WebsiteSpark fr up t 3 years. On the first and secnd anniversary f initial enrllment, they must update their enrllment (e.g., cnfirm they haven't gne public and their wnership hasn't changed). 3. Fee: There is n upfrnt cst fr Web Prs t jin WebsiteSpark r receive its benefits. A USD $100 Prgram Offering Fee is due when the Web develpment and design cmpany exits the Prgram. Beynd this Prgram Offering Fee, there are n ther csts required t participate in this Prgram. 4. Special Offers: A Web Pr will have n bligatin t pay the Prgram Offering Fee if it affirmatively elects t end its participatin in the Prgram within the first 6 mnths after Prgram enrllment. T terminate its enrllment, a Web Pr must ntify WebsiteSpark (WebsiteSpark@micrsft.cm) in writing at least 15 days befre its 6-mnth anniversary. Web develpment and design cmpanies in WebsiteSpark may als be eligible fr additinal prducts r services fferings (frm Micrsft r thers) frm time t time during their tenure in the Prgram. In general, cmpanies enrlled in WebsiteSpark will be ntified f special ffers when they becme available as well as the terms and enrllment prcess t take advantage f them. Special Offers are nt part f the WebsiteSpark prgram benefits, and participatin in Special Offers will be gverned by the separate terms and cnditins fr each Special Offer (including licenses, and fees if any). 5. Technlgy ffering: The WebsiteSpark technlgy ffering fr participating Web prfessinal cmpanies currently includes: Fr design, develpment, testing and demnstratin f new websites fr a ttal f up t three users per Web design and develpment cmpany: Visual Studi Prfessinal Expressin Studi 2 r 3 (1 user) and Expressin Web 2 r 3 (up t 2 users) Windws Web Server 2008 r R2 (when available) SQL Server 2008 Web Editin Fr prductin use that is, t deply and hst new websites develped using Prgram sftware using a ttal f up t fur prcessrs per Web design and develpment cmpany, f the fllwing (physical r virtual) dedicated servers: Windws Web Server 2008 R2 (when available) SQL Server 2008 Web Editin Deplyments may be n 4 servers r VMs f 1prcessr each, n 2 servers r VMs f 2 prcessrs each, r n 1 server r VM f 4-prcessrs. 6 WEBSITESPARK PROGRAM GUIDE PA GE 4 Respnsibilities Because this ffering is likely t be updated frm time t time, Prgram members shuld visit the WebsiteSpark website at ften t check fr updates t this Prgram Guide. Cmpanies participating in WebsiteSpark must: Enrll n the WebsiteSpark website and maintain an up-t-date prfile n the WebsiteSpark website. Renew their membership n an annual basis. Within 6 mnths after Prgram enrllment: develp a new public and Internet-accessible Web Pr Website 3, deply that website n Windws Server (n a Hsting Server r with a Hsting Partner), and reprt it, and ther new websites, thrugh the WebsiteSpark Prtal. A Web Pr that successfully fulfills this requirement will nt nly remain active in the Prgram but will be permitted t retain ne f its user licenses t the latest Expressin Web (r its equivalent) available under WebsiteSpark even after the 3 year term. Agree t abide by WebsiteSpark terms and cnditins, per the: Prgram Web develper and designer (Web Pr) Agreement and Prgram License Terms Micrsft Partner Netwrk (MPN) agreement Prgram website, including Terms f Use and Privacy Statement as well as this Prgram Guide if chsing t self-hst their websites, the SPLA (Service Prvider License Agreement) Essentials agreement. Pay a USD $100 Prgram Offering Fee at the end f their participatin with WebsiteSpark. (Hwever, a Web Pr will have n bligatin t pay the Prgram Offering Fee if it elects t end its participatin in the Prgram within the first 6 mnths f its Prgram enrllment and prvides WebsiteSpark timely ntice in writing.) Hw d I jin the prgram? Enrllment prcess: The Primary Cntact 4 cnnects t the WebsiteSpark website at The enrllment prcess is quick and easy. The Cmpany Primary Cntact must be signed in t Windws Live ID. If nt, the system will prmpt them t d s. Once cnnected t The Primary Cntact shuld review the eligibility requirements and check the apprpriate bx. Once they are ready, the Primary Cntact clicks Jin WebsiteSpark t cntinue the enrllment prcess. 3 Web Pr Websites(s) means new public and Internet-accessible websites(s): That are develped by Web Pr n behalf f its Web Pr Clients using Prgram Sftware; that cntain significant and primary functinality r cntent beynd the functinality f Hsting Servers; and whse primary purpse is fr the Web Pr Client t prvide infrmatin and/r services t Web Pr Client s custmers 4 A Primary Cntact is a current member (wner r emplyee) f the cmpany wh is authrized t enrll the cmpany int the WebsiteSpark prgram. The Primary Cntact will serve as the Cmpany s accunt administratr and he r she alne will have access t the cmpany s hme page and subpages via its Windws Live ID credentials.

7 WEBSITESPARK PROGRAM GUIDE PA GE 5 The Primary Cntact is prmpted t review and accept the WebsiteSpark Web develper and designer Agreement and the WebsiteSpark Prgram License Terms. The acceptance f bth agreements is required t cntinue the enrllment prcess. Next, the Primary Cntact enters infrmatin abut the cmpany and the individual cmpleting the enrllment applicatin. The final step in the enrllment prcess is t enter an apprval cde prvided by a Netwrk Partner r a Champ if a Netwrk Partner was nt available in yur area. If a valid apprval cde is entered, the enrllment is cmpleted and the cmpany is apprved in WebsiteSpark. If a valid apprval cde is nt available, the Primary Cntact can request ne frm a Netwrk Partner r Champ. We strngly recmmend lking fr lcal Netwrk Partners, because they ften prvide entrepreneurial supprt beynd access t the prgram. Cmpanies withut a Netwrk Partner can select ne using the Find a Netwrk Partner tl n the WebsiteSpark website. When requesting a cde frm a Netwrk Partner, the Primary Cntact can filter by Netwrk Partners wh nly supprt their cuntry/regin r braden their search by filtering Netwrk Partners wh supprt their cuntry/regin as well as thers. The Primary Cntact selects a cuntry/regin frm the drpdwn list bx and the system ppulates the page with Netwrk Partner listings that satisfy the filter criteria. If desired, the Primary Cntact can refine the list by filtering n state/prvince fr the selected cuntry/regin. The system will send ntificatin t the selected Netwrk Partner r Champ infrming them f the cmpany s pending apprval. Once the enrllment prcess is cmplete and the cmpany is apprved, the cmpany s primary Cntact will receive a "Welcme t the Micrsft WebsiteSpark Prgram" that includes next steps fr getting started. Hw lng can I participate in WebsiteSpark? Cmpanies may participate fr three years (renewed annually), unless they fail t abide by WebsiteSpark s terms and cnditins in the Prgram Materials. See the WebsiteSpark Web develper and designer (Web Pr) Agreement fr ther situatins where yur participatin in the Prgram culd end. What is the Annual Renewal Prcess? Each cmpany must renew their participatin in the prgram within 90 days f their first and secnd year anniversary after enrllment. The cmpany s Primary Cntact will receive a reminder frm WebsiteSpark when it is time t renew. Renewal is fast and easy the Primary Cntact simply lgs in, clicks the renewal buttn, and cnfirms that their eligibility has nt changed. If the cmpany chses nt t renew, it can cntact custmer supprt and ask t be remved frm the Prgram. Hw d I end my participatin in the prgram? Yu may end yur participatin in WebsiteSpark as a member at any time. T d s, cntact Micrsft. What happens after three years f participatin in WebsiteSpark? At the end f their prgram participatin: Prgram members will n lnger have rights t use the WebsiteSpark Prgram Sftware. Hwever, at the cnclusin f their participatin in WebsiteSpark, prgram members will have had the benefit f the WebsiteSpark experience, better equipped t determine the Micrsft technlgies that best fits their business needs. Prgram members wh have successfully deplyed a Web Pr Website n a Prgram Hsting Server within the first six mnths f prgram enrllment can retain ne f its develper licenses t the latest versin f Expressin Web (r its equivalent) available under WebsiteSpark at the end f its 3-year term.

8 WEBSITESPARK PROGRAM GUIDE PA GE 6 Prgram members can purchase licenses thrugh the Service Prvider License Agreement (SPLA) (r ther Micrsft licensing prgrams) per usual terms and rates, but are in n way bligated t d s. Micrsft will have 2 special ffers available fr WebsiteSpark graduates. The first, called the WebsiteSpark Graduatin Package, will include prducts equivalent t the WebsiteSpark ffering 5 fr $999 per year and cntinued presence in the WebsiteSpark Partner Catalg (r its successr). The secnd, called Entry Server Package, will include prducts equivalent t Prgram Hsting Servers fr $199 per year per prcessr and cntinued presence in the WebsiteSpark Partner Catalg.
