1 CALIFORNIA ASSOCIATION OF RECREATION AND PARK DISTRICTS (CARPD) MINUTES OF THE BOARD OF DIRECTORS MEETING ON January 20, 2016 A meeting of the CARPD Board of Directors was held on January 20, 2016 at the CAPRI/CARPD Office in Citrus Heights, CA at 10:00 a.m. MEMBERS PRESENT: Frank Gorman, President, Valley-Wide Rick Sloan, Past President, Cordova Maryalice Faltings, Secretary, Livermore Area Tarry Smith, Carmichael Gene Hostetler, Rancho Simi Mark Johnson, Rancho Simi Manuel Manie Meraz, Orangevale Joe Gibson, Conejo Mike Limbaugh, Hesperia MEMBERS ABSENT: OTHERS PRESENT: Al McGreehan, Chief Financial Officer, Paradise Stephen Fraher, Arcade Creek Patrick Cabulagan, Executive Director Rick Richards, Risk Manager Julie Tortorici, Administrative Assistant 1. CALL TO ORDER The January 20, 2016 Board of Directors meeting was called to order at 10:00 a.m. by Board President Frank Gorman. 2. ATTENDANCE President Frank Gorman took roll and noted that Al McGreehan and Stephen Fraher were absent. 3. AGENDA MODIFICATIONS/APPROVAL Mark Johnson made a motion to approve the agenda. This motion was seconded by Manuel Manie Meraz.
2 4. PRESIDENT S REPORT 5. BOARD OF DIRECTORS ROSTER/COMMITTEE ASSIGNMENTS 6. MINUTES Joe Gibson made a motion to approve the October 7, 2015 meeting minutes. This motion was seconded by Mark Johnson. 7. CORRESPONDENCE 8. PUBLIC COMMENTS 9. FINANCIAL REPORT Executive Director Pat Cabulagan reported that the overall budget report looks good. All membership dues have been paid and are up to date. Joe Gibson made a motion to approve the Financial Report. This motion was seconded by Mark Johnson. 10. COMMITTEE REPORTS/MEETINGS A. Nominations Committee B. Finance Committee C. Conference Committee Executive Director Pat Cabulagan reported that the Conference Committee met on January 15, 2016 via teleconference to review registration forms as well as recommend approval of such forms. The committee also discussed trying to
3 secure on of the following keynote speakers: James Lloyd (motivational speaker), Vernice Armour (female Navy fighter pilot), or Herman Boone. He also reported that Scott Lankford has been secured as our Friday lunch speaker. D. Legislative Rick Richards reported that the Legislative Committee had an in-person CARPD Legislative Committee meeting on Friday, October 23, 2015 with Ralph Heim in the Public Policy Advocates Office. Mr. Heim provided the Committee with a Legislative Status Report and a Tentative 2016 Legislative Calendar. The Committee Reviewed the 2015 Legislative Year. The Committee also discussed the ways and means to improve the functionality of the Legislative Committee. The Legislative Committee discussed several bills in great detail to include SB 17 which is currently an inactive file as of January, According to Mr. Richards the necessity for each individual District as well as each Board to be proactive in speaking with their local legislators will greatly increase the chances of SB 17 getting passed when the time comes. Joe Gibson suggested that a list of projects and descriptions be made to created and presented to a legislator in an attempt to be put on bill. Rick Richards also suggested that this proposed list be presented in an effort to gain support at the LEG Days conference. Frank Gorman also suggested that this topic be added to the agenda for the Legislative Outreach Committee discussion at the CARPD conference in May. It was decided that forward this to LEG Outreach Advocacy Committee for further discussion. E. Awards Maryalice Faltings reported that the 2016 CARPD Awards of Distinction packets have been approved and will be mailed out next week. She also suggested that the award application information be posted in the newsletter as well as be sent via General Manager E-blast. The Board agreed that a flyer containing previous winners be created and sent to all districts with the awards packets in an attempt to prompt more Districts to apply. F. CAPRI Executive Director Pat Cabulagan reported that Worker s Compensation 3 rd quarter invoices have been sent out. He also stated that Tim Barry of Livermore Area Recreation and Park District will begin his term on the CAPRI Board starting February 1, 2016 G. Legislative Outreach Nothing to Report.
4 11. OLD BUSINESS A. State Budget B. Legislative Outreach C CARPD Conference Update Executive Pat Cabulagan reported that the Conference Committee met on January 15, 2016 via teleconference and finalized the conference registration form which will be mailed out soon. We hope to have the Keynote Speaker secured prior to them being mailed. The Awards Committee Chair, Maryalice Faltings has reviewed the Awards application and the Scholarship application and finalized the applications/deadlines. The scholarship applications were mailed to all Districts last week. The Awards applications will be mailed to all Districts next week. We have already started the process of securing speakers for the conference. The following speakers have already been secured: 1) Mark Hazelwood of Allen, Glaessner, Hazelwood Worth Law will be speaking on Liability Exposures for Recreation and Park Districts; 2) Stephen Horan of Porter Scott Law will be providing a session on Employment Law Update; 3) Ralph Heim, PPA will be speaking on Legislative Matters as one of our lunch speakers; 4) Peter Tateishi will be providing on Minimum Wage Effects on Public Entities; 5) Jean Lacher will be speaking about Grant Writing. Other sessions that the Conference Committee has suggested include: 1) Water/Drought; 2) Legalities of Foundations and 501c3; 3) Armed Rangers vs. Unarmed Rangers vs. Security Patrols; 4) Partnerships and Collaborations. For the Friday lunch speaker, staff will try to secure Scott Lankford, Author of Tahoe Beneath the Surface: The Hidden Stories of America s Largest Mountain Lake or someone other local speaker. We hope to have the final list of speakers completed in the next few weeks. We are currently working to narrow down the list of possible keynote speakers and hopefully have that finalized by the end of the month. The Board reviewed various options for the Friday Sponsors reception. The Conference Committee will review the quotes regarding a room at Lake Tahoe Resort with entertainment as well as a room at Harvey s overlooking Tahoe with entertainment. Scholarship applications were mailed in early January and Awards of Distinction applications will be mailed next week. The Conference Registration forms will be
5 sent out soon. Sponsorship letters were mailed in early January for participation/sponsorship of the 2016 CARPD Conference. We are hoping to receive an even greater response for sponsorships this year. Manuel Manie Meraz made a motion to approve to increase the budget for Keynote Speaker and Sponsor s reception venue by 5 thousand dollars. This motion was seconded by Joe Gibson. 12. NEW BUSINESS A. Healthy Lifestyles Program At our last Board of Directors meeting, the Board heard a presentation from Richard Houston, Healthy Lifestyles consultant and Shane McAffee, General Manager of Vallejo Recreation and Park District (GVRD) regarding their Healthy Lifestyles program. The Board directed staff to put this item on the agenda for this meeting to give them time to review the program more in depth and to review the information on the website. The Board ultimately decided to not pursue participation in the Healthy Lifestyles program at this time. It was suggested that this would make an interesting topic for the Conference. B. CARPD Tax Status Executive Director Pat Cabulagan stated that 3 weeks after a letter was sent to the IRS we received a response stating that they have no record of CARPD in their system. After speaking with our tax attorney it was recommended that we 1) make another attempt to IRS advocate or 2) Request a new EIN to include our same name and information and continue as usual. C. Exhibiting at CSDA Conference Executive Director Pat Cabulagan reported that the 2016 CSDA Legislative Days is scheduled for May 17-18, 2016 at the Sacramento Convention Center in Sacramento, CA. CSDA is asking is we would like to continue being a partner of the 2016 CSDA Special District legislative Days as well as host a roundtable discussion regarding topics impacting recreation and park districts. Neither of which requires any type
6 of financial obligation. Hosting a roundtable will include a complimentary registration to the full conference. The Board agreed that we will be a partner at the 2016 CSDA Special District Legislative Days as well as host a roundtable discussion. D. PPA Contract After reviewing Ralph Heim Public Policy Advocates proposed contract for the 2016 year the CARPD Board proposed a slight increase in the fees from $30,000 to $32,000. They also suggested to change the cancellation notice of this contract from 30 to 60 days prior termination 13. CARPD CALENDAR OF EVENTS Nothing to Report. 14. EXECUTIVE DIRECTOR S REPORT Nothing to Report. 15. BUSINESS ITEMS FOR NEXT MEETING The Board would like to see Slate of Office with letter that will be sent out with it. 16. CLOSING COMMENTS 17. ADJOURNMENT President Frank Gorman made a motion to adjourn the meeting. This motion was seconded by Rick Sloan. The meeting adjourned at 1:45 pm.
