While we have all come from different companies Atos Origin and Siemens IT Solutions and Services we are now one company, working together to become a firm of the future. As part of our Wellbeing@work ambition, this embracing document has been created by the integration teams so that everyone in the new Atos understands the way we will all work as a group: as 78,500 business technologists dedicated to ensuring our clients progress. As you will see, we have taken the best, whether it s talented people, excellent processes, values we can all relate to, or innovative, future-facing ways of working from all our different heritages to create a significant force in the market. Our company will be one that talented individuals will want to join and one that our people are proud to work for. It is only when all of us consistently work together across over 40 countries worldwide that we can leverage our assets across the globe to benefit our employees, clients, partners, and shareholders. We are at the start of an exciting future. We must all play our part in creating a new Global IT Champion. This document is designed to introduce Atos to everyone in our business and be used as a point of reference. 3 Our History From two to one With over 30 years of history, we have mastered IT technology and have built a deep understanding of the challenges and business opportunities in each industry. The origins of Atos Origin Atos Origin was formed in 2000 when Atos and Origin merged. It grew steadily, not only through acquisition but also through outsourcing deals, employee and technology transfers. With solid base in Managed Services and Systems Integration, Atos Origin has taken the lead in Hi-Tech Transactional Services (HTTS) and in delivering an innovative roadmap around its Global Key Offerings. Atos Origin was the go-to powerhouse for IT. The acquisition of Siemens IT Solutions and Services and the Siemens partnership is the logical continuation of the Atos strategy. With a workforce of more than 48,000 employees, Atos Origin generated revenues of over EUR 5 billion during the year The portfolio at a glance: Managed Services, Systems Integration, Consulting and Technology Services, Hi-Tech Transactional Services, Cloud Services, Green IT, Smart Utilities, Smart Mobility, Social Computing and Enterprise Content Management & Collaboration. Where Siemens IT Solutions and Services comes from Siemens IT Solutions and Services was formed during a groundbreaking merger in 2007 which saw Siemens Business Services (Germany), Program and System Engineering (Austria), Siemens Information Systems Ltd (India), Business Innovation Center (Switzerland) and Development Innovations and Projects (Greece) united under the umbrella of Siemens IT Solutions and Services called SIS internally (a division of Siemens AG). Made up of two business units, IT solutions and outsourcing services, Siemens IT Solutions and Services provides strong business technology as well as an extensive range of services and solutions. With a workforce of more than 30,500 employees, Siemens IT Solutions and Services generated in-scope revenues of EUR 3.7 billion during the year Over 75% of that revenue comes from outside the Siemens network. 4 Our Executive Team Atos management team Our Ambition From vision to success Thierry Breton Chairman and CEO A former French Minister of Economy, Finance and Industry, Thierry Breton was Chairman and CEO of France Telecom, the second largest European telecom operator and Chairman and CEO of Thomson. He also served as Executive Managing Director and Vice Chairman of the IT Group Bull. Thierry Breton was Professor at Harvard Business School, teaching leadership and corporate governance. He received the prestigious awards of Officier de la Légion d Honneur and Commandeur de l Ordre National du Mérite. To be a trusted partner for companies creating their firm of the future and the best place to work for employees and new recruits. Charles Dehelly SEVP Global Operations Charles Dehelly began his career at the Thomson Group where in 1981 he was CEO of Home Appliance divisions and later CEO of the Television division. Joining the Bull Group in 1992 as Group Chief Operating Officer, he returned to Thomson in 1998 as Chief Operating Officer then as Chief Executive Officer. In 2004 he became CEO of the Equant Group, then CEO of the Arjowiggins Group. Gilles Grapinet SEVP Global Functions A graduate of the Ecole Nationale d Administration, Gilles Grapinet s previous roles include financial auditor, Head of Strategy & Information Systems of the French tax directorate, Director of the nation-wide Copernicus program for IT transformation of the tax administrations and Executive Committee member at Credit Agricole SA, in charge of Payment Systems & Services. He served as advisor for Economic and Financial Affairs to the French Prime Minister and as Chief of staff for two French Ministers of Economy and Finance. We want to be recognized as a top global IT player with a rich portfolio of services. Already the leader in Managed Services in Europe, we are developing our innovative and sectorspecific services so our clients can progress and be successful. 5 Our Global Reach From challenges to long-term strategy If we look around us it s clear our industry is entering a 2 nd era. The 1 st generation a cycle of IT adoption - is complete. Is there a company or public administration that hasn t yet equipped itself for their core support and business processes with IT? Hardly. Now, the responsibility is on all of us to increase efficiency and productivity, to lower operating costs. Never has IT innovation been so critical, the demand to develop new products and address new markets so great. Let s discover our challenges and the strategies to face them. 1 Our environment is driven by four challenges: Technology: Mobile internet, cloud, increased data volume Social evolution: Generation Y vs. an aging population, social networks, real-time, hyper-connectivity, importance of consumerization, brands Economy: The emergence of pay-as-you-go, uncertainty/ volatility of the markets, globalization Access to money: Financing more difficult, weight of debts, governments reducing/contracting spending, so leading to get quick Return On Investment (ROI) or risk sharing. 2 Clients are getting evermore demanding: Global economy: Part of a global economy, clients now have global needs (apart from local/national governments, who must submit to rules such as EU directives) One size fits all: A lot of clients ask for proven solutions. The complete custom-made is becoming the exception Speed: Fast ROI, proof of concepts, agile approaches are common requests Purchase power: With strong, smart and skilled procurement teams in charge of purchasing and budget demanding pay for use CIOs decision power is shared with business. 3 We re up against: Big global players: Having grown bigger and bigger via acquisition, they are vertically integrated (IBM, HP, Oracle, ACS Xerox, Dell Perot.) Cut-the-budget players: Coming from the low cost angle initially but now increasingly present in Europe Latecomers: Copycats, such as Google, Amazon, recently Apple, starting to leverage the cloud phenomenon Sharp local players: Regional players with strong local links and footholds. 5 Our longer term challenges are to: Expand our leadership position to Asia-China and South America Play a pivotal social role, to help public organizations transform and manage IT in a more efficient way to better serve and protect their citizens. We ve got a two-pronged approach to ensure that Atos grows well into the future: Business Enabling IT Services We can reinforce our Business Enabling services through focused partnerships in order to develop specialized businesses jointly with Siemens (secured payments transactions, e-customer services, Smart Energy, Smart Mobility, and social computing). Foundation IT Services We will invest in Cloud Computing and reinforce Foundation IT services through the combining of Atos Origin and Siemens IT Solutions and Services operations (Virtualization, PLM, Atos Sphere services like test SAP, migration of data and desktop management). 9

7 Our Integration Process From July 1 st, 2011 to full integration After a lot of hard work, the Atos Origin and Siemens IT Solutions and Services Integration Teams, along with executive management on both sides, are on schedule to create the newly-formed Atos. Our Partnership with Siemens From strong alone to stronger together As Siemens IT Solutions and Services and Atos Origin are combined, Siemens will also be part of the new Atos story. Not only as a partner but also as a major client, with an initial seven year IT services contract. Exciting achievements to date include: Antitrust clearance and social consultations in all relevant regions. Global and cluster organizations formed and the respective management positions filled and ready to be published as you read this. In Finance, a first Flash Budget was finished in May and the complete H2 Budget is being built. All workstreams have delivered concrete savings and operational models which will now be transferred to ongoing activities such as TOP 2. Concise delivery models and delivery center landscapes are ready to be deployed (within Managed Services and Systems Integration). All systems go for our completely new corporate identity and respective cultural communications. Lastly, in sales, the combined portfolio is available and today s frequent client comfort calls and meetings will evolve into a concise First 100 Days Initiative. As all nine transversal integration workstreams have shown themselves worthy of our utmost confidence, we are all excited to start a new Atos and look forward to sharing what is sure to be an exhilarating future with you. The alliance of Atos and Siemens is a strategic partnership. It s also a smart partnership that draws on the assets of both companies to form a powerful whole. Both organizations are committed to investing 100 million Euros together to ensure significant development opportunities for Atos, not only in our innovative and profitable Hi-Tech Transactional Services (HTTS) but also in potential high-growth sectors such as Healthcare, Energy, Transport and Manufacturing. Other sectors with robust demand for transaction-based services are vertical markets like health, transport, cities and industry, where Siemens is a world leader. To meet these untapped opportunities Atos and Siemens have created a joint HTTS commercial cooperation framework dedicated to addressing these growing markets. Atos will also join Siemens sales force coordination (Siemens One). Siemens created the Siemens One organization to simplify large-scale projects for their clients. The organization identifies opportunities that involve solutions from multiple Siemens companies and their partners, and then develops, manages and directs a coordinated and integrated approach for the client. Energy and Utilities Energy and utility companies can only compete if they can establish and sustain operational excellence in everything they do. Atos has over 30 years specialist experience in these sectors, and around 3,000 energy and utility industry IT experts, of which 1,500 work in our dedicated Atos WorldGrid unit. Maximum efficiency of back office processes must liberate resources focused on serving increasingly sophisticated customers. Managed Services Transforming IT infrastructure and business operations We specialize in managing and transforming the IT operations of our clients, including the management of clients entire information and data processing systems. We are one of the few companies that can provide all the design, build and operate elements of a complete outsourcing solution. Consulting & Technology Services Transforming business through innovation leveraging Information Technologies Atos Consulting & Technology Services help clients deliver innovation to their customers and improve cost and effectiveness by leveraging Information Technologies. With over 5,000 experts we provide advisory services and expertise so that our clients keep control of their processes and projects, can customize as much as required by directly managing the resources provided, and keep ownership of their assets and systems. Our three practices: Business Innovation, Operational Excellence and IT Leadership offer a range of cost effective transformation and innovative solutions tailored to each industry-sector. Systems Integration Delivering seamless business systems We have strengthened and widened our portfolio of Systems Integration offerings to provide increased added value for clients, as well as a source of better growth and profitability. Our enhanced distributed delivery model has increased quality, scalability, predictability and flexibility at a lower price point, and we have strongly expanded our nearshore and offshore presence. We continue to adapt our existing portfolio of offerings to cater for the increasing demand for Software-as-a-Service. Hi-Tech Transactional Services Advancing business strategy through innovative processing solutions Through our Atos Worldline SBU, we are a European leader in payment services. We specialize in electronic payment services (issuing, acquiring, card and non-card payment solutions and processing), e-services for Customers, Citizens and Communities, and financial markets. With the Atos WorldGrid SBU, we will focus on offering smart energy solutions around production, transport, distribution and retail, to enable energy efficiencies and increase sustainability, while improving operational performance. Atos Healthcare, our medical business process outsourcing division is the number one occupational health provider in the UK. With over 3,000 staff, of whom around two-thirds are medical professionals, it is focused on providing disability assessments and occupational healthcare services. 19

11 Some Key Combined Offerings Supporting Our Growth Ambition From client needs to perfect-fit solutions We develop a broad range of offerings that provide our clients with state-of-the-art tools to deliver valuable improvements in their efficiency, growth and sustainability. Here is an overview of these offerings. For detailed information, you can refer to Ambition the provision of software packages Identity, but other services such as security, backup, integration with other applications, user management, Service Desk, reporting and orchestration. Carbon Free and Sustainability Solutions We are the first international IT group to provide carbon neutral services. As a leading IT services company, Atos can support future developments in areas such as faster processing, lower energy consumption, greater efficiency and miniaturization of components. This may leverage scientific innovations such as Control and Command for Complex systems (Smart-Grid, energy efficient buildings, and traffic management), Alternative Delivery Models, collaboration and knowledge management, and decision support systems. 2 Atos Sphere, our Cloud Services offering To accompany our clients in this new kind of service, we first offer a Cloud Opportunity Assessment, aimed at helping our clients identify advantages from the Cloud in their business and to help build their roadmap. Other Atos Sphere services are delivered according to the three classical layers of Cloud Services: Infrastructure as a Service (IaaS) Platform as a Service (PaaS) Software as a Service (SaaS) These services not only include 3 Civil and National Security Solutions Civil and National Security is a full-scope solution and service approach designed to answer the changing needs of ministry heads, first responders, intelligence chiefs, border managers and other multiple security leaders. 4 Enterprise Content Management (ECM) Atos offers services to large enterprises or public bodies to address issues related to Compliance, Collaboration, and share of all types of multimedia content. 5 ERP Consolidation & Harmonization We deliver proven business solutions and services for the harmonization of global business processes and the consolidation and standardization of the IT landscape based on SAP. Security and Risk Management (ISRM) Our end-to-end innovative approach to information security addresses the full threat landscape. We partner with leading security technology providers (McAfee, Oracle, Novell, etc) to integrate proven technology into compliance and security solutions that ensure the appropriate level of security for each client. 7 Manufacturing Execution Systems (MES) MES assists manufacturing clients in reaching their business objectives such as Innovation Excellence, Manufacturing Excellence, and/or Supply Chain Excellence. 8 Next Generation Intelligent Networks (NGIN) Atos provides telecom operators with Next Generation Intelligent Networking platforms that allow traditional value added services to be supported in an existing GSM infrastructure as well as a new networking infrastructure while facilitating the introduction of new services. 9 Nuclear Instrumentation & Control We provide Nuclear & Utilities industry clients with proven monitoring and command control systems, simulation and predictive maintenance platforms in a design-build-operate offering, building on strong partnerships with leading players. 10 Product Lifecycle Management (PLM) Our Product Lifecycle Management expertise is built on 15+ years of implementation and operation excellence with international enterprise clients. Numerous global manufacturing players have already experienced the cumulative benefits of PLM integration from us right up to early solution delivery and increased end-customer product uptake. Our expertise fits Siemens PLM products and is enhanced by mature experience on other major PLM platforms. 11 Smart Grid and Smart Metering The Atos Smart Metering solution is an end-toend solution, involving a full information system and telecommunications infrastructure, which provides secured and remote acquisition, configuration, maintenance and operation of industrial and residential smart electricity meters and meter data management functions. 12 Smart Mobility Services As a disruptive technology we see Smart Mobility as a real opportunity for future business growth in a number of areas. Atos has the expertise and relevant experience to play any part in an emerging Smart Mobility Service Ecosystem depending on client requirements. 13 Social Business Solutions We have developed a portfolio of Social Business Solutions; addressing current client s pains and gains, looking for solutions through social networking concepts, technologies and services, and offering these as integral solutions through alternative delivery models and agreements. 14 Testing & Acceptance Management (TAM) The vision behind TAM is organizing Test, Acceptance and Move-to-Production in an integrated and standardized way to enable industrialization and further cost reduction of these processes. In this way is delivered a quality assurance solution to clients. 21
