Intergraph CADWorx & Analysis Solutions (ICAS) Marcoms Coop Policy Document Rates, Funds, Payments, Approvals, Claims and Exceptions 1. Rate: ICAS to cover 50% of approved expenditures 2. Funds: USD lowest real conversion rate between claim and activity 3. Payments: In the form of credit to the reseller s account 4. Approvals: To be sought in the quarter prior to the expenditure/event and requires completion of the online Marcoms Coop Pre-Approval Form. 5. Claims: Not before the marcoms activity takes place and no later than the quarter after the marcoms activity has taken place. Requires the completion of the online Marcoms Coop Claim Form. 6. Exceptions: None Note: Reseller s account to be in good sanding to receive marcoms coop funds Marcoms Coop Pre-Approval Form (To be completed prior to all marcoms activities) This asks the minimum information needed for marcoms coop approval. Please complete one pre-approval form for each campaign. i.e. print ad series, series of discovery tours etc. Approvals for events should include all associated activities. http://www.coade.com/marcoms/coop-pre-approval.shtml Marcoms Coop Claim Form (To be completed no later than the quarter following marcoms activities) This form can only be completed once an approved marcoms activity has been concluded. The form asks the minimum information for marcoms coop claims BUT also allows for upload of your scanned receipts and for multiple items to be listed for each event/claim. NB for the field Marcoms pre-approval form # please insert the number after the # sign in the title of the confirmation email sent to you i.e. Marcoms Coop Pre-Approval Form Results # 4486928. Eligibility for Marcoms Coop Funds 1. All ICAS resellers are eligible for marcoms coop funds in their region. In some regions exceptions may be made. 2. Because of the need to refer prospects to resellers sites to promote our products and joint activities, only those resellers that have a suitable website and online presence, with content in their local language, will be eligible for marcoms coop funds. No exceptions. Large marcoms expenditures 1. Marcoms events, actions or campaigns totaling over $5,000 (of reseller and ICAS funds combined), for which coop funds are sought, must be included in the reseller s annual marcoms plan submitted before December 31 st for the following year s activities. Printed Media Marcoms Collateral 1. These include, but are not limited to: brochures, factsheets, flyers etc. 2. English language marcoms collateral will be provided FOC in electronic format. 3. Each reseller is responsible for the accurate, faithful translation of English language marcoms collateral that is used as a basis for localized content. 1. Coop funds will be available for the bulk professional printing of approved localized marcoms collateral. Banners, Posters and other Large Format Display Media 1. Coop funds will not be made available for the purchase and production of booths, popups or pull-up banners. 2. Coop funds will be available for the printing of large format display media. 3. Final designs must be approved by ICAS marketing. Note: All large format display media must exclusively feature ICAS products. Print Ads All regions and languages 1. Coop funds are typically not available for the placement of magazine ads. Note: All ads must exclusively feature ICAS products. 2 of 5

Online Media Websites 1. Coop funds will not be made available for the development of websites or SEO activities. Online Ads 2. Coop funds will be made available for placement of approved online ads. 3. Coop funds will be made available for targeted budget-limited PPC ads. 4. Coop funds will be available for the graphical layout of localized online ads, if those capabilities do not exist locally. 5. Coop funds will be available for the graphical layout of localized online ads landing pages, if those capabilities do not exist locally. 6. All online ads must contain a campaign specific landing/offer page. 7. Final ad designs and content must be approved by ICAS marketing. Note: All ads must exclusively feature ICAS products. Shows and Events 1. Shows and events must be approved with ICAS marketing before any event is scheduled. ICAS will not be liable for any expenditure that has not been preapproved. 2. Venue, presentation equipment, staffing information and technical/presentation staff capabilities to be supplied to ICAS regional managers for review prior to event approval. 3. Each registrant or attendee must be registered through or input into an ICAS developed online registration form for each series of events. 4. Complete room plan and/or booth layout and staffing information and staff capabilities must be supplied prior to approval of an event. 5. Coop funds will be in direct proportion to the final quality and percentage of exposure that ICAS products receive at any show or event. 6. Coop funds will be available for the approved artwork for shows/events. 7. Coop funds will be available for room, floor space and booth rental. 8. Coop funds will be available for customer/prospect refreshments. 9. Coop funds will be available for approved localized event giveaways. 10. Coop funds will not be available for organization and booking services. 11. Coop funds will not be available for capital expenditures. 12. Coop funds will not be available for travel, sustenance or accommodation. Note: Coop funds will not be available for events featuring competitors products. Please note that this policy s large format display media requirements apply for event artwork. 3 of 5

Intergraph Discovery Tours (IDT) 1. IDTs must be approved by ICAS marketing before any event is scheduled. 2. ICAS will not be liable for any expenditure that has not been pre-approved. 3. Each registrant or attendee must be registered through or input into an ICAS developed online registration form for the IDT event. 4. Venue, presentation equipment, staffing information and technical/presentation staff capabilities to be supplied to ICAS regional managers for review prior to event approval. 5. Provisions for an ICAS-delivered keynote must be made. 6. Only Intergraph products can be featured during IDT 7. All ICAS product lines must be adequately represented during presentations 8. Presentations should be weighted more towards business benefits of ICAS solutions and less so on current/new release features. 9. Content should be localized when and wherever possible. 10. Expected number of attendees must be specified 11. Success measured by presentation quality and number of qualified attendees. 12. Coop funds will be available to cover costs if an IDT is cancelled by ICAS 13. Coop funds will be available for approved collateral for shows/events. 14. Coop funds will be available for the approved artwork for shows/events. 15. Coop funds will be available for room rental. 16. Coop funds will be available for customer/prospect refreshments. 17. Coop funds will be available for approved localized giveaways. 18. Coop funds will be available for approved prospecting services. 19. Coop funds may be withheld if work is not done to ensure event success. 20. Coop funds will not be available for organization and booking services. 21. Coop funds will not be available for capital expenditures. 22. Coop funds will not be available for travel, sustenance or accommodation. 4 of 5

Event Giveaways Tee-shirts, Mugs, Mouse Pads, Pens etc. 1. If ICAS has any of these items in stock they may be supplied to resellers FOC on a case by case basis but in general these will be produced and distributed at the Reseller s expense. 2. Reseller will be responsible for the shipping of such items. Ownership and Rights Rights of ownership and distribution of coop collateral 1. ICAS is to share full rights to collateral produced by the reseller for which ICAS provides any portion of coop funds, base art work or collateral. 2. Copies (electronic and/or physical) of collateral that is part funded by the ICAS marcoms coop program must be sent to ICAS before any coop credits are distributed. This may include, but is not limited to text, native working files, finished art work, etc. Product Localization Localization of ICAS Products and Product/Training manuals 1.
