On receipt of letter from this office you will have to submit the Bank Guarantee for Rs.2,50,000/- for a period of minimum two years with a claim period of six months (after validity date) to be issued by a nationalised bank on stamp paper of Rs.100/- (as per enclosed format) and a demands draft of Rs.10,000/- as annual fee. 2 No. DCS/Circular/2004 March 01, 2004 Circular No. 05 Sub : - Modification of terms and conditions for Registration/ Accreditation status. Dear Agency/ Client, It has been decided to bring in following modifications in the terms and conditions governing Registration/ Accreditation status of agencies w.e.f. April 01, The modifications coming into force w.e.f. April 01, 2004 are as follows: REGISTRATION STATUS: a) Processing fee of applications for registration status shall increase from Rs. 5,000/- to Rs. 10,000/- per application. b) Amount of Bank Guarantee to be submitted by the agencies to Doordarshan Commercial Service shall increase from Rs. 25,000/- to Rs. 2.5 lakhs. c) An amount of Rs. 10,000/- per annum shall be charged from Registered agencies as non refundable annual service fee. ACCREDITATION STATUS: a) Amount of Bank Guarantee for grant of accreditation status shall increase from Rs. 3 lakhs to Rs. 25 lakhs. This is the minimum amount of Bank Guarantee and DD reserves the right to increase this amount to a higher level depending upon the quantum of business pertaining to the particular accreditation agency. Such increase would be equivalent to one month average of the last 12 month s billing. The agency shall be bound to furnish such increased BG within the time frame stipulated by DD. b) An accredited agency shall have to do a minimum business of Rs. 15 lakhs in each financial year to keep it s accreditation status alive. If the agency is not able to do such business in a particular financial year then its accreditation status shall be liable to be automatically withdrawn and in that case, it would revert back to registration status. 3 c) A non-refundable annual service fee of Rs. 25,000/- shall be charged from accredited agencies. d) The agencies shall also pay TDS/ Income tax liability accruing due to 15% agency commission/ discount retained by them. Agency shall pay this amount to Doordarshan Commercial Service separately by means of a demand draft drawn in favour of PBBCI- Doordarshan Commercial Service-Delhi. The amount of this demand draft is to be treated separately and should not be linked with the telecast fee/ advertisement charges etc. Above terms and conditions shall be applicable to future agencies as well as to currently Registered/ Accredited agencies mutatis mutandis w.e.f. the appointed date viz. April 01, 2004 Accordingly. Formats of agreements have also been revised. All existing agencies-both registered and accredited are required to give their acceptance for the above modifications within a fort night of the modification of this circular by March 15, 2004 and sign the revised agreements afresh within this period on stamp paper Rs. 100/-. 4 B A N K G U A R A N T E E Prasar Bharati (BCI), Through Director General, Doordarshan Commercial Service Mandi House, New Delhi Stamp Paper Station Date / / Sir, In consideration of the Prasar Bharati (BCI), hereinafter called the Prasar Bharati (BCI) extending credit to M/s Address hereinafter referred to as The Company for payment (s) to be made by the said company on account of the charges for T.V. advertisement on Doordarshan we, the (Name and Address of the Bank) hereby unconditionally and irrevocably undertake to pay to the Prasar Bharati (BCI) on demand and without demar any claim upto a maximum of Rs. that may arise on account of non-payment by the said company of any of the T.V. advertisement charges within the period allowed to them, under any agreement entered into between the company and the Prasar Bharati (BCI) for such payment (s). Notwithstanding anything to the contrary contained hereinabove, our liability under this guarantee is restricted to Rs. (Rupees ). This guarantee shall remain in force upto unless an action to enforce a claim under the guarantee is filed against us within six months from the said date, all Prasar Bharati (BCI) right under this guarantee shall be forfeited and we shall be relieved and discharged from all liability thereunder. We further agree that this guarantee shall not be affected by the Prasar Bharati taking from the Company any securities or serving or giving up any securities. We further agree that the Prasar Bharati (BCI) shall have the fullest liberty without affecting in any manner our obligations hereunder to vary any terms and conditions of the said agreement or to extend time for payment form time to time or to postpone for any time or from time to time any of the powers exercisable by the Prasar Bharati (BCI) against the company and to forbear or enforce any of the terms and conditions relating to the said agreement and we shall not be relieved from the liability by reason of any such variation or extension being granted to the Company or by any such matter or thing whatsoever which under the law relating to sureties would but for this provision have effect of so relieving us. 5 AGREEMENT BETWEEN REGISTERED ADVERTISING AGENCY AND DOORDARSHAN COMMERCIAL SERVICE An Agreement made on the day of 200 (Two Thousand ) between the Prasar Bharati (BCI) through the Director (Commercial), Prasar Bharati (Broadcasting Corporation of India), Copernicus Marg, New Delhi (herein referred to as the Doordarshan Commercial Service ) of the First Part and M/s. (herein called the Agency ) of the Second Part. WHEREAS for the better regulation of the practice of advertising and to secure the best advertising service for advertisers, the Doordarshan Commercial Service has agreed to allow commission in respect of advertisements placed by any advertising agent and registered by it and whereas the Agency is desirous of being registered by the Doordarshan Commercial Service for the purpose of becoming entitled to commission in respect of advertisements placed with Doordarshan Commercial Service and has made in application in writing to Doordarshan Commercial Service for granting a Registered status. The information contained in the same application is the basis of this agreement and any inaccuracy or commission in the said information due to inadvertence accident or otherwise shall render this agreement voidable at the option only of the Doordarshan Commercial Service which has accepted the said application. Now, it is hereby mutually agreed by and between the parties hereto as follows. 1. By the Doordarshan Commercial Service: - The Doordarshan Commercial Service hereby granting Registered status to the Agency and includes its name in the list of Registered Agencies: 2. By the Agency: - In consideration of the registered status herein granted and of the commission to which the Agency will be entitled by reason of such registered: (a) (b) (c) (d) The Agency shall maintain a properly equipped office and use its best efforts to ensure that all advertisements placed by it are legal, clean, honest and truthful render the best possible advertising service to advertisers and encourage the development of new advertising accounts. The remuneration of the Agency for placing advertisements in the Doordarshan Commercial Service shall be in the form of standard agency commission of 15% (Fifteen Percent) to be paid by the Doordarshan Commercial Service. The Agency shall retain in full all commission and remuneration earned as an advertising agency and that it will at no time pay or otherwise allow directly or indirectly any part of such commission or remuneration to any person, advertiser or representative of any advertiser for whom it may be acting or has acted as an advertising agency. The Agency will not charge any advertiser for any advertising time more or less than the rates prescribed by the Doordarshan Commercial Service. Contd 2/-

6 (e) (f) (g) The Agency will advise/inform in writing the Doordarshan Commercial Service of any alteration in particulars furnished in the form of application for registration originally submitted positively within fifteen (15) days from the date of the alteration aforesaid. In the event of any important alterations, the Doordarshan Commercial Service will be entitled to remove the Agency s name from the list of registered agents, or, if necessary require the Agency to submit a fresh application for registration. In the event of the Doordarshan Commercial Service removing from the list or registered agents the name of any advertising Agency, the said Agency will not for a period of 12 (Twelve) months after the date of such removal employ Partner or Director of such De-registered Agency as a Partner or Director or make any arrangements for the purpose of taking over the business thereof wholly or in part without prior intimation in writing to the Doordarshan Commercial Service. (h) (i) The Agency shall pay to the Doordarshan Commercial Service the advertisement charges and other related bills in advance by Demand Drafts on a bank in New Delhi according to the rules framed and before the due date fixed by the Doordarshan Commercial Service in this regard. If the agency fails to make advance payment as hereinabove provided the Doordarshan Commercial Service shall be entitled to stop its all further telecast without any may becoming liable to the agency and without prejudice to all other rights and remedies hereunder. Provided for the, if the agency fails to remit the amount of advertising charges and other related bills already collected from the advertisers to the Doordarshan Commercial Service the prescribed due date of payments or withholds such amounts for unreasonably long periods, its registration will be liable to be cancelled. In the event of breach or infringement of any terms or conditions of this agreement by the Agency, it shall keep the Doordarshan Commercial Service in a indemnified against all actions, claims, demands and expenses arising as a consequence thereof. The agency will also be liable to lose its status. 3. The Doordarshan Commercial Service will have the right subject only to giving one month s notice in writing to suspend or cancel the Agency s registration and remove its name from the list of Registered Agencies without giving reasons for this decision. The Agency may appeal to the Deputy Director General (Commercial), New Delhi for reconsideration of the decision to suspend or cancel its registration and his decision shall be final and binding on the Agency. 4. All Commercial telecast will be regulated by such code of conduct, standards and rules as may be prescribed by Prasar Bharati (BCI) from time to time. 5. In the event of any question, dispute or difference arising under these presents or in connection therewith (except as to any matters the decision of which is specially provided for by these presents), the same shall be referred to the sole arbitration of an officer appointed by the Director General, Doordarshan. It will be no objection that the arbitrator

7 is a Prasar Bharati employee, that be has to deal with the matters to which these presents relate or that in the course of his duties as a Prasar Bharati employees he has expressed views on all or any or any of the matters in dispute or difference. The award of the arbitrator shall be final and binding on the parties to these presents. In the event to the arbitrator dying, neglecting or refusing to act or resigning or being unable to act for any reason ; it shall be lawful for the Director General, Doordarshan to appoint another arbitrator in place of the outgoing arbitrator in the manner aforesaid. The arbitrator may, from time to time with the consent of the parties to these presents enlarge time for making and publishing the award. Upon every and any such reference the assessments of the cost of any incidental to the reference and the award respectively shall be in the discretion of the arbitrator. Subject as aforesaid, the Arbitration Act 1940, the rules thereunder and any statutory modifications thereof for the time being in force shall be deemed to apply to the arbitration proceedings under this clause. 6. The Doordarshan Commercial Service shall have the right to amend or alter the terms and the rules governing granting of Registration status from time to time as it may deem necessary and such amendments and alterations shall be binding on the Agency. 7. The Prasar Bharati (BCI) agrees to bear the stamp duty, if any, chargeable on these presents. I also confirm having carefully read the Regulations of Advertisements on Doordarshan which come in force with effect from 1 st January, 1998 and agree to abide by these Regulations as amended by the Prasar Bharati (Broadcasting Corporation of India) / Doordarshan from time to time. 1. Note : Any change in the partners or Directors of any agency must be notified in writing to the Prasar Bharati (BCI) through Doordarshan Commercial Service alongwith a similar personal guarantee as provided by the existing partners or Director (s), as the case may be. 9. It may please be noted that your agency will not be eligible to be given any status if any relation of the Director/ Partner/ Proprietor of your firm is employed in Doordarshan Commercial Service or any section in the Directorate General/ Doordarshan Kendra dealing with commercials. The agency will, however, be eligible for consideration of the grant of appropriate status after removal of this disability by transfer of such relative to any non-commercial Section of Doordarshan. 2.
