1 These policies apply to Esri Partner Network partners in the Silver Tier. These policies are subject to change with a 30 day notice at the discretion of Esri. Please refer to the Esri Partner Portal for the most current version of this document. Eligibility To be eligible for participation in the Esri Partner Network, a company must be a commercial (for profit) organization with a valid website and a physical address where the business operates. In addition, the company must demonstrate a commitment to help further develop and support the geographic information system (GIS) community at large. Participants in the Esri Partner Network Silver Tier may apply to participate in either the Gold or Platinum Tier. Program Fees Silver Tier partners must pay an annual program fee plus applicable sales tax or other taxes, duties, or fees. A marginal difference in the annual program fees may apply in some countries for currency exchange fluctuations. The annual program fee for the Silver Tier is US$1,000. Program fees cover the cost of a diverse set of ongoing benefits as well as program management and administrative support. The annual program fee is due upon acceptance into the program and is payable to Esri or Esri distributor, as applicable. The annual program fee is due on or before the annual renewal date of the Esri Partner Network Agreement. Good Standing Partners in the Esri Partner Network must remain in good standing throughout the term of the business relationship. Partners are considered to be in good standing if they Have a valid Esri Partner Network Agreement. Meet the terms and conditions of the Esri Partner Network Agreement, Esri License Agreement, and any applicable addenda and additional policies on a consistent basis. Failure to meet these terms and conditions will affect the partner's standing and may result in termination as outlined in the Esri Partner Network Agreement. Pay all annual program fees on or before the annual renewal date. Pay applicable software license and maintenance fees and invoices for other products or services by their respective due dates. Maintain a designated primary point of contact responsible for facilitating interaction between the partner, Esri, and Esri distributor (if applicable) including sales, marketing, technical, and business related issues. Have staff members who are proficient in Esri technologies and equipped to offer frontline response to customer inquiries throughout the term of the agreement. 2 Follow the Esri Trademark and Logo Guidelines on the Esri Partner Portal for using trademarks, logos, and emblems in the company's marketing and advertising. Create a reciprocal web link from the partner company website to esri.com per the Esri Web Link and Logo License Agreement (esri.com/legal/weblink logoagreement.html) or the appropriate Esri distributor website. In the same way, Esri will include the partner company in the Esri Partner Directory on esri.com to proactively market the business relationship between the partner and Esri. Maintain current company and contact information in the Partner Profile. All partner relationships are reviewed annually to ensure that business objectives and applicable program requirements are being met on a consistent basis. Silver Tier Benefits Silver Tier partners in good standing receive the following benefits. Esri Partner Resource Center This US based resource provides phone and e mail support for questions related to the Esri Partner Network and conducting business with Esri. Staffed by knowledgeable and experienced Esri Partner Network personnel, the Partner Resource Center (PRC) provides partners with convenient access to support for ongoing business needs. Partners located outside the United States are supported by their local Esri distributor. The PRC does not provide technical support. Technical issues should be directed to Esri Technical Support. Esri Partner Portal The Esri Partner Portal is a secure website exclusively for partners and provides a wide range of marketing, sales, technology, and program resources. The secure Esri Partner Portal has information that is confidential to Esri. Giving access to, or sharing information from, the portal with anyone outside the partner company is strictly prohibited. Prerecorded webcasts and podcasts on the Esri Partner Portal are intended for internal use by the partner company and cannot be redistributed or rebroadcast. Partner Profile Accessible through the Esri Partner Portal, the Partner Profile is the gateway for partners to enter and maintain information that is posted in the Esri Partner Directory and industry solution guides as well as additional information maintained for Esri and Esri distributors' internal use. Partner Profile sections include, but are not limited to, the following: company name, location, overview, and contact information; solutions and services descriptions; links; screen captures; market reach; industry focus; and references. Partners are expected to maintain the information in their Partner Profile on an ongoing basis. At a minimum, this information should be reviewed and updated quarterly as applicable. Partner Directory Partners' solutions and services information are listed in the Esri Partner Directory at esri.com/partners. Information in the directory is submitted by partners through the Partner Profile. Partners must ensure that proper permissions, such as approval to mention any functionality that is included in product offerings or to present data in screen captures offered by another vendor, are in place. Webcasts Partners are invited to attend web presentations on products, sales, marketing, and technology as available. J9885 Page 2 of 8 Effective Date: July 22, 2011

3 Software Licenses for Internal Use Partners may license a variety of Esri software to be used for marketing, demonstration, in house training, development, and so on. Below are descriptions of the types of licenses available and their usage restrictions. All licenses are for the partner's internal use only and are subject to the Esri License Agreement. 1. Demonstration and Marketing Licenses Silver Tier partners have access to a single complimentary copy of ArcView, ArcGIS Desktop extensions, and ArcPad licenses that may be installed on up to five machines to be used for the following purposes only: Demonstrate/Market Esri software. Demonstrate/Market the partner's Esri technology based solutions and services. Conduct internal employee training. Evaluate Esri software. Annual maintenance is included for up to five callers. Nominal fees covering shipping, handling, and import duties apply for partners outside the United States. Some restrictions may apply. 2. Development Licenses Partners have access to discounted licenses for development in addition to the use purposes of demonstration and marketing licenses. Development licenses may be used for Researching and testing potential applications Developing and supporting repeatable commercial off the shelf (COTS) applications Developing custom applications Development licenses may be used on a short term basis in another country solely for developing COTS or custom applications on a project basis, but must return to their country of origin. Development licenses cannot be used for production, data conversion, processing, or GIS analysis work. Annual maintenance fees are required for continued use of the licenses after the first year, subject to the partner's renewal in the program. License fees and annual maintenance fees vary internationally. Some restrictions may apply. 3. Commercial Licenses Partners have access to discounted licenses for commercial (for fee) purposes or production activities or fee based project work such as the following: Data conversion, migration, and analysis Data or map production Data or image processing Photogrammetric services GIS analysis Database design J9885 Page 3 of 8 Effective Date: July 22, 2011

4 Development/Delivery of custom end user training outside the scope of the Esri Certified Training Program License fees and annual maintenance fees vary internationally. Commercial licenses acquired through the Esri Partner Network that are current on maintenance may qualify for Esri International User Conference (Esri UC) seats based on the standard Esri UC pass eligibility guidelines. For any of the above mentioned licenses that include registration files or keycodes with a time out date, the timeout date will coincide with the Esri Partner Network Agreement annual renewal date. Registration files and keycodes will be extended for a period of 12 months, upon continued participation in the Esri Partner Network and payment of annual renewal and applicable fees. 4. Ordering Process Partners located in the United States may order most software via the Esri Partner Online Ordering System. Partners located outside the United States should contact their Esri distributor for pricing and ordering. A nominal fee covering shipping, handling, and import duties (if applicable) may apply. Prices for licenses obtained under the Esri Partner Network Agreement are set by Esri or Esri distributor in the country where the partner is located. Training Discounts 1. Instructor Led Training Partners receive a 40 percent discount on regularly scheduled instructor led (IL) courses offered by Esri Educational Services in the United States. Discounts apply to partner employees only. Training discounts do not apply to on site training at the partner's office or other locations. Discounts cannot be combined with any other training offers from Esri, such as training credits obtained through Esri enterprise license agreements. Partners interested in Esri instructor led courses outside the United States should contact their Esri distributor for training options available locally. 2. Instructor Led Virtual Classroom Training (US only) Partners located in the United States receive a 40 percent discount on instructor led Virtual Classroom (ILV) courses. ILV courses include all the benefits of traditional classroom learning presented in a real time interactive online classroom. Discounts apply to partner employees only. Discounts cannot be combined with any other training offers from Esri, such as training credits obtained through Esri enterprise license agreements. Partners outside the United States should contact their Esri distributor for training options available locally. J9885 Page 4 of 8 Effective Date: July 22, 2011

Virtual Campus Courses A Premium Virtual Campus Annual User License Package (valued at US$2,500) for Virtual Campus courses is available at no cost to partners upon acceptance into the program and annually with payment of the annual renewal fee. Use of the Premium Virtual Campus Annual User License Package applies to employees of the partner organization only. Unused portions of benefits do not roll over to subsequent years. For a current list of courses included in the Esri Premium Virtual Campus Annual User License Package, visit training.esri.com/campus/catalog/licenses/index.cfm. Beta Program At Esri's discretion, Silver Tier partners may be invited to participate in beta programs of Esri software products. Partners that want to participate must complete the applicable beta program applications and accept the terms for participation. Participation in Esri software beta programs provides partners with the following: Access to Esri technology in advance of the final release Access to private beta communities Ability to contact technical support for questions on prerelease software Emblems for Marketing and Advertising Partners have access to the Esri Partner Network Silver Tier emblem to use for marketing purposes. Partners must adhere to the usage guidelines provided in the Esri Trademark and Logo Guidelines on the Esri Partner Portal. Advertising Discounts A 10 percent discount is offered to partners for advertising in all Esri nonconference publications, such as ArcNews and ArcUser. Advertisements are reviewed for approval by Esri to ensure compliance with current editorial standards and guidelines. Esri Partner Conference Partners are eligible to attend and exhibit at this invitation only annual event. Registration and fee information is made available prior to each year's conference. Esri International User Conference Partners receive a discount on up to three registrations for the Esri International User Conference. Discounts are announced prior to each year's conference. Exhibitor Opportunities Partners are eligible to exhibit at the Esri International User Conference, Esri Partner Conference, and Esri regional and industry user group meetings. Partners exhibiting at these events must promote Esri technology based solutions or related services. J9885 Page 5 of 8 Effective Date: July 22, 2011

6 Transitioning to a Different Tier Partners in the Silver Tier may request to transition to a different tier at the time of annual renewal or prior to the anniversary date of the agreement. (Appropriate approvals by Esri and/or Esri distributor apply.) If transitioning to either the Gold or Platinum Tier The annual term will be adjusted to one year from the time of transition. Any existing software license maintenance fees will be prorated to the new term. Prorated license maintenance fees are due at the time of transition. Gold or Platinum Tier program fees are due at the time of transition. Any Silver Tier program fees that have already been paid will not be refunded or applied to the Gold or Platinum Tier fees. Corporate wide Relationship Option Partners have the option to request a corporate wide relationship that may include additional office locations of the partner company and/or qualified affiliates in one or more countries. The purpose and benefit of entering into a corporate wide relationship depends on the nature of the partner company's corporate structure, business objectives, and business relationship with Esri or Esri distributors locally. Partner office locations are additional locations of the partner company of the same legal name and ownership. Affiliates are subsidiaries of the primary partner location. To qualify, the partner must have more than 50 percent ownership. A corporate wide relationship may be advantageous if the partner company can benefit from a centralized relationship under a single agreement and if the partner's office locations and/or affiliates will act as active participants in the partner relationship by Developing and deploying repeatable solutions built on the Esri platform Providing an established professional services practice aligned with Esri key industries and market focus Several factors should be considered before requesting a corporate wide relationship, for instance, making a decision on which office of the company will be identified as the primary location, how centralizing the relationship may impact existing business relationships with Esri or Esri distributors; and if the primary partner location is prepared to provide Tier 1 support to the partner office locations and/or affiliates. Eligibility and Requirements To be eligible to request a corporate wide relationship, the partner must Be in good standing. Agree to centralize its partner relationship with Esri or Esri distributor (if applicable), including partner relationship management, license management, and technical support. Provide Esri with detailed information on the company's corporate structure, including o o o Which company locations have the same ownership and legal company name Which locations are under a different name or ownership Affiliate company names and percentage of ownership J9885 Page 6 of 8 Effective Date: July 22, 2011

7 Understand that partner office locations and affiliates are subject to initial and annual review and approval by Esri and Esri distributor (if applicable). o Partner office locations or affiliates that have an active Esri Partner Network Agreement are not eligible to be included in the corporate wide relationship unless the existing Esri Partner Network Agreement is discontinued. Agree that approved partner office locations and affiliates must comply with the Esri Partner Network Agreement General Terms and Conditions and Esri Partner Network Policies. Submit a list of company office locations and/or affiliates that the partner is requesting to include in the corporate wide relationship, including location or legal company name, complete address, phone number, fax number, contact name, contact e mail, and Esri customer number (if known). Agree to provide approved partner office locations and affiliates with access to a copy of the Esri Partner Network Agreement General Terms and Conditions and Esri Partner Network Policies. Designate one main point of contact to be responsible for facilitating the interaction between the partner's company (including locations and/or affiliates) and Esri and/or Esri distributor. Designate one main point of contact for placing software orders and invoicing and receiving quotes for annual maintenance (if applicable). Identify a single location of the partner company for software deliveries. Indicate which partner office or locations or affiliates will use software licenses at the time of the order. Provide Tier 1 technical support to approved partner office locations and affiliates. Identify up to five authorized callers to contact Esri or Esri distributor for Tier 2 technical support. In addition to the above, the partner agrees that Affiliates may not offer GIS software or services that are deemed competitive with Esri. Each approved affiliate location will sign an Affiliate Acknowledgment Statement. Program Fees There is no additional or separate program fee for approved partner office locations or affiliates; however, applicable fees apply for fee based software licenses, maintenance, services, training, and other items not covered by the Esri Partner Network benefits. Benefits The partner company receives one set of benefits, which may be shared with approved partner office locations and/or affiliates at the partner's discretion. Access to benefits is administered by the main point of contact responsible for facilitating the relationship with Esri and/or Esri distributor. Software orders and shipments for Esri demonstration and marketing licenses and development licenses are centralized through the primary partner location for all approved partner office locations and/or affiliates. Support for these licenses is provided to the partner office locations and/or affiliates by the primary partner location. J9885 Page 7 of 8 Effective Date: July 22, 2011

8 Software orders and shipments for Esri commercial licenses are dependent on the location of the partner office location or affiliate. If the partner office locations and/or affiliates are located in the same country as the primary partner location, orders and shipments are centralized. Support for these licenses is provided to the partner office locations and/or affiliates by the primary partner location. If the partner office locations and/or affiliates are located in a different country from the primary partner location, software orders for Esri commercial licenses must be placed through the local Esri distributor. Support for these licenses is provided by the local Esri distributor. Partners that are interested in a corporate wide relationship are encouraged to contact their Esri partner manager or Esri distributor to discuss the benefits and requirements of such a relationship prior to submitting a request.
