Our program allows you to grow with us and reap rewards based on increased revenue and mutual commitments. Regardless of your expertise, your business will expand by aligning with QIPoint. We also offer a Deal Registration program to improve collaboration, reduce channel conflict and measure partner performance. 3 Online Enrolment To enroll in our program simply visit our website and create a Partner account using the steps below: 1. Go to 2. Click Login at the top right of page 3. Click Register on the left hand navigation 4. Enter your Login information and click Continue 5. Once the account is created, you need to set the type to a partner type (Value Added Reseller) Click Account on the top right of page 6. Click Edit Account

4 7. Add missing information and select the appropriate account type, such as Value Added Reseller 8. Click Continue at bottom of page 9. Your account is now set up and it may take up to 5-7 business days to have it reviewed and approved. You may be contacted for further information and require to us a signed copy of our Reseller Agreement found here: QIPoint Reseller Agreement

6 Partner of the year Award Eligibility and partner promotion via our web site Partner Success White Paper and Case Study Development Support Partner Level and Status Partner accounts are reviewed on the 1 st week of February and 1 st week of July every year to determine Partner status and benefits / commission eligibility. Partner Level & Commission Matrix Partner status & commission percentage is based on sales over a 6 month period. Commission is granted for every initial sale, and where annual licenses are involved, you will also receive equal commission (based on current partner level) for all license renewals where you have obtained the initial sale. Sales records & history will be saved in your partner online account. We encourage you to keep record of sales and may provide that to us upon 6 month review. Registered Partner Gold Partner Platinum Partner 10% commission 15% commission 20% commission Sales of $19,999 USD or less $20,000 USD to $49,999 USD $50,000 USD+ sales Calculated within 6 month period twice per annum Calculated within 6 month period twice per annum Calculated within 6 month period twice per annum Purchases You may order on behalf of the customer or they may order directly online from our online store. Purchased on behalf of customer When purchasing on behalf of customer. We will provide 1 quotation for customer with full purchase price, and optionally a 2 nd quotation which will include the full purchase price minus reseller discount/commission. You will invoice your customer directly as an Authorized Reseller and they may obtain product license key(s) directly from us or through your team. Customer Purchases Directly from our Web Site When the customer chooses to place an order directly from our website but you have fulfilled the order, to obtain commission from the order you must us at sales@qipoint.com and advise us of the customer

7 company name who made the purchase and then invoice us for the commission to be paid to you. They should also enter the VAR/Partner name in the product check out page, it will be labelled Partner. You may then submit an invoice to us (based on commission owed to you) once the order has been placed by customer. In this scenario, we pay within 30 days of payment received from customer.

8 Deal Registration Program Introduction Deal registration is an opportunity-based program where QIPoint rewards Partners who find opportunities in end user accounts. The Partner that meets the listed requirements and presents them to QIPoint first for a particular opportunity will be awarded a deal registration authorization number for the named opportunity. Deal registration authorization numbers are valid for 90 days from the date that QIPoint notifies the Partner of the deal registration authorization number ( Award Date ). Deal registration authorization numbers can be extended through the Partner s QIPoint Account Manager by request and as long as the deal registration program parameters continue to be met. Program Requirements The requestor must be an authorized QIPoint Partner. Partner must bring the opportunity to QIPoint or QIPoint has engaged the Partner at the request of the end user customer and has not previously registered the deal. Before registering a deal, the Partner must have made significant pre-sales efforts related to the deal, such as meeting with the decision-makers, qualifying the opportunity, helping the end-user to quantify the project/budget with QIPoint products or services, or helping the end-user to define the project requirements to include QIPoint products or services. The Partner must include a summary of such efforts in their submission, agreeing to the above. A defined project must be identified. Partner must be an approved vendor through which the end user customer can procure QIPoint s products. Partner must continue to communicate status of project to the QIPoint account manager on a weekly basis. Partner has committed and maintains sufficient resources to properly manage the opportunity. Deal registration is not available for public tenders, RFPs, RFQs, or other auction-like purchase unless the opportunity has been created by the defined Partner. Registered deals must include a total deal size over $9,999USD MSRP. Deals must only include products the Partner is qualified to purchase and sell. When customer has engaged QIPoint and has requested multiple bids from QIPoint prior to any deal registration authorization numbers being issued, QIPoint reserves the right to award multiple deal registration authorization numbers or no deal registration at all. Partners understand and agree that errors may be made during the deal registration process and may result in multiple deal registration authorization numbers for the same opportunity. In the event of duplicate deal registrations, QIPoint may choose to honor all, one, or none of the deal registration authorization numbers. In addition, please note: 1. In situations QIPoint cannot determine which Partner created the opportunity; QIPoint reserves the right to grant multiple deal registration authorization numbers. 2. In the event that multiple deal registration authorization numbers are granted to more than one Partner for an opportunity, then each qualified Partner will be granted their respective deal registration level discount. 3. If special pricing has been requested for an opportunity that has more than one deal registration authorization number then each eligible partner s level will determine the pricing structure. QIPoint has full discretion to award multiple deal registrations and special pricing. QIPoint reserves the right to rescind an otherwise approved deal registration authorization number if (a) information provided by the Partner is found to be inaccurate, (b) the Partner fails to maintain proper

9 communication with QIPoint regarding the opportunity, (c) the Partner fails to maintain sufficient resources to properly manage the opportunity, or (d) the opportunity changes in scope or no longer exists. For clarity, QIPoint notes that other partners may receive discounts by contract that are the same or substantially similar to deal registration pricing. QIPoint reserves the right to withdraw a deal registration authorization if the Partner is no longer a partner in good standing with QIPoint or if the Partner is subject to a contract termination notice. Exclusive Remedy Disputes In the event that a QIPoint account manager knowingly violates the terms of this Deal Registration Program (for example, by actively pursuing an approved registered deal where no exception provides for a QIPoint direct quote or bid), the QIPoint account manager may be subject to forfeiture of his or her commission for that opportunity. The preceding sentence shall be the sole remedy provided to the Partner that received approval for that deal; the Partner shall not be entitled to any other remedy. Notwithstanding the above, if the Partner did not comply with the Deal Registration Program terms and conditions, then the Partner shall not be entitled to any remedy. Partners must submit any disputes, whether with QIPoint or another QIPoint Partner, arising from this Deal Registration Program to partner@qipoint.com including a written description of all issues and alleged harm, prior to commencing any legal proceeding or formal dispute-resolution procedure. Any applicable disputeresolution provisions in the Worldwide QIPoint Partner Benefits Program Agreement, or the applicable agreement between the Partner and QIPoint, shall apply.

10 Technical Support & Training We will provide technical support directly to the customer as it will be included in the license costs. If you wish to provide further support to the customers for our products, such as product training, installation and configuration, you will receive priority (within 1-3 hrs. response) phone and support from us as needed. Authorized Reseller Logo Once approved, you will be permitted to use the authorized reseller logo on your website and marketing programs. Transparent Background White Background Reseller Agreement As a reseller, you must agree to our QIPoint Reseller Agreement available online. If you require changes to this agreement, please contact us at partner@qipoint.com. Referral Program QIPoint Sales Referral Program lets you deliver our products directly through the QIPoint sales team. You will be compensated a percentage of total license sales for your referral, and the customer will receive full support directly from QIPoint (as per customer support license agreement). The referral program addresses one-time sales, but we fulfill our commitment to the customer and partner by placing the customer first.
