3 Commercial Bid: (Note: Only after satisfaction of Technical Bid, the Commercial Bid will be issued) Sub: Procurement of laptop bags TENDER CONDITIONS 1. Interested Bidders shall submit their tender document within the deadline stated above and in compliance with all the terms stated herein. Any proposal received after the prescribed deadline will be returned unopened to the Bidder. Two Bid System of tendering shall be adopted for this work. 2. The tender document will also be available on the website during the period mentioned above. Interested Bidders should check any correction or corrigendum related to this tender on the website before submitting their Proposals. 3. Proposals other than those called for in the enclosed documents shall be summarily rejected. 4. The tender documents in respect of the above Work, shall be duly filled, checked, signed with seal on every page and be submitted. Please note that tenders will be received by the Consultant-Stores, Indian Institute of Management, Bannerghatta Road, Bangalore on the due date mentioned above. 5. The Tender shall be valid for a period of 120 days, from the last date of submission of the tender. IIMB may prescribe extension of the bid validity, if found necessary. 6. The Prescribed Tender Document (non-transferable) can be obtained during the period from 26- May-2016 to 9-June-2016, on any working days from to hours from the Stores office, Indian Institute of Management Bangalore on remittance of Tender Fees (non-refundable) as indicated in the tender notice. The cost of tender document should be deposited with the Accounts Section and the receipt shall be submitted in the Stores Office, Indian Institute of Management Bangalore. OR The Tender Document can be downloaded from Institute s website mentioned below. The bidders downloading the Tender Document from website should attach the tender fee in the form of Demand Draft for Rs.500/-, drawn in favour of Indian Institute of Management Bangalore, payable at Bangalore along with Tender Document. 7. IIMB shall not pay any costs associated with the preparation, site surveys, submittal, or presentation of any proposal. 8. If IIMB determines that a Bidder has provided, for consideration in the evaluation process or contract negotiations, incorrect information which the Bidder knew or should have known was materially incorrect, that proposal shall be determined non responsive, and the proposal shall be rejected. 9. IIMB reserves the unilateral right to amend this document in writing at any time. IIMB also reserves the right to cancel or reissue the document at its sole discretion. If an amendment is issued it shall be provided to all

4 bidders, whose intent to respond to this tender is known. Bidders shall respond to the final written document and any exhibits, attachments, and amendments. 10. IIMB reserves the right, at its sole discretion, to reject any and all proposals or to cancel this tender in its entirety. 11. IIMB reserves the right, at its sole discretion, to waive variances in technical proposals provided such action is in the best interest of IIMB. Where IIMB waives variances in proposals, such waiver does not modify the tender requirements or waive the obligations on part of the Bidder from full compliance with the terms contained herein. Notwithstanding any variance, IIMB may hold any Bidder to strict compliance with the tender. 12. The comments/amendments/corrigendum to any of the terms and conditions of this tender Documents issued & circulated to all the bidders as per the conditions set forth in this document should be construed as IIMB s final policy and shall supersede all the previous written/verbal communications including this RFP Document in that regard, other conditions remaining the same and unchanged. 13. Proposals from joint ventures, consortia or entities partnering for a specific service must be designed to minimize any administrative burden on IIMB as a result of the participation of multiple entities. 14. Compliance with tender terms: Bidder's offer must conform in all respects with the applicable specifications, terms and conditions of the tender. Any deviation from the tender specifications or terms and conditions must be clearly and explicitly stated. 15. It is presumed that the Bidders have examined all instructions, forms, terms and specifications in the bidding documents. Failure to furnish all information required by the bid documents or submission of bid not substantially responsive to the bid documents in every respect will be at the Bidder s risk and may result in the rejection of its bid without any clarifications. 16. No commercial or technical conditions or clarification of any sort shall be indicated by the Bidder in his Envelope. Any tender which proposes such alterations or clarifications to any of the conditions laid down or proposes any other conditions of any description whatsoever is liable to be rejected. 17. Bidders shall not contact IIMB on any matter relating to their Bids from the time of opening of the Technical Proposal till the contract is awarded. If a firm wishes to bring additional information to the notice of IIMB, it should do so in writing at the address indicated. Any effort by the firm to influence IIMB in its evaluation, proposal comparison or contract award decisions may result in the rejection of the Bidders proposal. 18. Canvassing in any form in connection with the tender is strictly prohibited and the tenders submitted by the Vendors who resort to canvassing will be liable to be summarily rejected.

5 PROPOSAL SUBMITTALS 1. You are requested to submit the tender document in double sealed cover with sealing wax addressed to the Consultant-Stores, Indian Institute of Management, Bannerghatta Road, Bangalore. The name of the Work and reference to the Tender Notification is to be super scribed on the cover in capital letters the following: E TENDER NOTIFICATION / ENQUIRY REFERENCE. THE NAME OF THE WORK, OPENING DATE AND ME, EMD FURNISHED DETAILS, BLANK IF IT IS BLANK TENDER AND ADDRESSED TO The Consultantres, Indian Institute of Management, Bannerghatta Road, Bangalore. Price bid will be issued only to the vendors qualified in the technical bid. 3. Earnest Money Deposit (EMD) of the amount mentioned herein above shall be furnished along with the price bid, which should be in the form of Certified Cheque / Demand Draft from a Nationalized Bank / Scheduled Bank, drawn only in favour of Indian Institute of Management payable at Bangalore. Deposit through any other form will not be accepted. Tenders without EMD are liable to be rejected. 4. The sealed top cover shall contain the following: PART B (Commercial Bid) a) PART B Commercial Bid containing Bill of Quantities (blank) (rates should not be entered), duly signed and sealed by the Bidder on each page of the document. Bill of Quantities with rates quoted shall be liable to be rejected. b) EMD No commercial or technical conditions or clarification of any sort shall be indicated by the Bidder in Envelope Otherwise, the tender shall be summarily rejected. This envelope shall be super scribed Price-Bid for fixing Procurement of laptop bags. 5. If you are not interested in Tendering for this Work, all the documents together with drawings forwarded herewith should be returned to this office for records with Blank Tender prominently written on the cover itself. 6. Bidder shall submit one copy of PART B [Price Bid] of tender consisting of Bill of Quantities (BOQ), duly stamped and signed on each page as per instructions. Rates shall not be quoted in the BOQ and submitted as Price-Bid. Rates shall be quoted only in online price bid in the website of M/s KEONICS i.e IIMB will not take cognizance of or be responsible for any postal or other delays.

6 8. Tenders received late on account of any reason whatsoever and tenders in telegraphic or facsimile transmission are liable to be rejected at the discretion of the Accepting Officer. Any delay due to network problem or system problem, in submitting the price bid online, will not be entertained. 9. IIMB shall not be bound to accept the lowest tender and reserves the right to reject any or all the Tenders without assigning any reason. 10. The tenderer should give an undertaking that He shall not associate nor has been associated in the past, directly or indirectly with consultant or any other entity that would prepare the design, specification and other documents of the project. 11. The tenderers shall enter the rates only in figures in the online BOQ and need not enter the rates in words as the sheet will be software generated and total amount and amount in words will be calculated and displayed automatically by the computer itself. 12. This being an item rate Contract, the rate quoted shall remain firm and errors, if any, in the extension or total shall be subject to corrections. The quantities shown against each item are only approximate and hence any reduction or increase thereof during the currency of the Contract shall not vitiate the Contract. The approximate estimate value of this Work is indicated above. This estimate however is not guarantee and is merely given as rough guide, and if the Work costs more or less, the tenderer will have no claim on that account. 13. In consideration of IIMB issuing the tender form to the Bidder through website and permitting him to submit his tender, the Bidder shall keep his offer open for acceptance by the Company for a period of 120 days from the date fixed for opening the tenders or such further period as may mutually be agreed to between the parties of the Contract. 14. The Bidder shall not be at liberty to withdraw or modify his tender or any terms and conditions thereof before the expiry of said period. Bidders are expected to clarify only such points as specifically called upon to do so by the Accepting Officer in writing. Any withdrawal or modification made within the said period constitutes breach of Contract and the Bidder shall be liable for damages to IIMB in consequence thereof. He shall, in addition, forfeit to IIMB the EMD. 15. In the event of any dispute arising in connection to this Contract, it is agreed that disputes shall be referred to the arbitration of Director, in whose absence the Director shall appoint a person he so deems fit to preside over the Arbitration proceedings and his decision will be final and binding on both the parties. 16. All disputes arising out of or in any way connected with the agreement shall be deemed to have arisen at Bangalore and only courts in Bangalore shall have jurisdiction to determine the same. 17. Any tender which proposes any alterations to any of the conditions laid down or proposes any other conditions of any description whatsoever shall be summarily rejected.

7 18. The following requirements shall be strictly complied with: (a) Bidder shall initial all correction, sign with stamp all pages of the tender documents and all the drawings accompanying the tender document before submission of the tender. (b) Correction made in white ink will make the tender liable for rejection. (c) Any or all items left blank in the Price Bid (online) shall be liable to be rejected. (d) The tender should be accompanied by a certified true copy of the power of attorney of the signatory of the documents. (e) The drawing should be returned along with the tender documents. (f) Tenderers shall ensure that their tender is dispatched well in advance, so that it reaches the IIMB Office before the time and date stipulated in the tender notification/documents. 19. Under no circumstances will a Father and his Son(s) or other close relations who have business dealing with one another be allowed to tender for the same Contract as separate competitors. A breach of this condition will render the tender of both parties disqualified from participating in the Tender. 20. The Bidders are advised, if required, to visit site, inspect copies of the drawings and other documents pertaining to the Work and samples of materials by making prior appointment with the Accepting Officer giving sufficient time. Tenderers shall be deemed to have full knowledge of all relevant documents, samples, site etc., whether he has inspected them or not. 21 The submission of a tender by a tenderer implies that he has read this notice and the conditions of Contract and has made himself aware of the scope and specifications of the Work to be done and local conditions and other factors that have a bearing on the execution of the Work. 22. Bidders must be very careful to deliver a bonafide tender, failing which the Accepting Officer at his absolute discretion and shall reserve the right of forfeiting a part or full amount of the EMD or Security Deposit (SD). Such tender must satisfy each and every conditions laid down in this notice. 23. This letter / Notice will also form part of the Contract Document and must be returned duly signed along with the tender document. 24. Right to Reject, Accept/Cancel the Proposal: IIMB reserves the right to accept or reject, in full or in part, any or all the proposal offered by applicants without assigning any reason whatsoever. IIMB does not bind itself to accept the lowest or any tender and reserves the right to reject all or any Proposal or cancel the Proposal without assigning any reason whatsoever. IIMB also has the right to re-issue the tender without the applicants having the right to object to such re-issue. 25. Tenders not submitted in the prescribed forms are liable to be rejected. 26. The tenderers are required to take into account while quoting their rates, all factors including any fluctuations in the Market Rates etc., No claim to that effect will be entertained after acceptance of the tender or during the currency of the Contract.

Should a Bidder find any discrepancies or omissions in the drawings or any of the tender documents or should be in doubt as to their meanings, shall alone address the authority inviting the tender for clarification. Every endeavour shall be made to avoid any error which can materially affect the basis of the tender but the successful tenderer shall take upon himself to provide for the risk of any error which may be subsequently discovered and shall make no subsequent claim on account thereof. 28. The bidders shall depute their authorized representative at the time of opening the tender if they so desire. However such representatives shall be issued with authorization letter by the tenderers with the signature of representative duly attested. 29. Sealing and Submission of Tenders 29.1 For sealing and submission of the Tender, the Bidders shall follow the procedure as indicated below: The Bidders who have downloaded the Tender Documents from IIMB Website should attach the tender fees DD along with Technical Bid The Bidders are required to submit two separate sealed envelopes, marked as Envelope-1, and Envelope -2 duly labelled viz., Envelope - 1 containing the Tender fees amount, Envelope - 2 containing the original copy of Technical Package, pre-qualification information and drawings. These two envelopes will be wrapped in an outer envelope addressed to designated officer, duly super scribing on top the name of the work, time and date of submission. The envelope should also bear the name and address of the Bidder. Envelope -1 should contain: Tender fees only Envelope- 2 should contain: Original Technical Package with Pre-qualification Information (Applicable for bidders who have Downloaded Tender Documents from IIMB website Hence, the outermost envelope will contain two sealed inner envelopes The outer envelope shall be duly super scribed as follows: i. The address of IIMB as follows: Consultant-Stores Indian Institute of Management Bangalore, Bannerghatta Road, Bangalore ii. Name and address of the bidder, and Date and time of the opening of the tender. Tenders received with defective sealing of outer envelope shall not be accepted The inner envelopes shall also indicate the name and address of the bidder and the content in brief like tender fees amount, Technical Package in original.

9 29.6 Submission of Price Bid: Two separate envelopes one for EMD and second for price bid document. 30 Eligibility Criteria: Intending Bidder who meets the following eligibility criteria may apply for the tender document. The request for tender document should accompany the required documentary evidence to prove their eligibility, failing which, the application will be rejected. i. Commercial position: Average annual Commercial turn over (during last three years) ending 31 st march of the previous Commercial years should be at least: Rs.1,80,000/- (Rupees One lakhs eighty thousand only); ii. Experience: Contractor should have experience of having successfully completed similar works as described below during last Five years in any one of the following: (copy of the satisfactory performance certificate to be enclosed). (i) Three similar completed item/works costing each not less than 2.40 lakh. (Rupees Two lakh forty thousand only); OR (ii) Two similar completed item/works costing each not less than 3.00 lakh. (Rupees Fifteen lakhs fifty thousand only); OR (iii) One similar completed item/work costing each not less than 4.80 lakh. (Rupees Four lakh eighty thousand only). 31. Evaluation: Bidders shall not contact IIMB on any matter relating to their Proposal from the time of opening of the Technical Proposal till the contract is awarded. If a Bidder wishes to bring additional information to the notice of IIMB, it should do so in writing at the address indicated. Any effort by the firm to influence IIMB in IIMB's Proposal evaluation, Proposal comparison or contract award decisions may result in the rejection of the firms Proposal. Evaluators of Technical document shall have no access to the Commercial Proposals until the technical evaluation and no objection is concluded. The technical document submitted by the applicants will be evaluated on a maximum of 100 marks. Against this marking, the Commercial bids of those securing a minimum of 70 marks out of 100 shall only be opened. The IIMB will carry out the evaluation of proposals of only the firms who satisfy the above criteria on the basis of their responsiveness to the Terms of Reference, applying the evaluation criteria and marking system specified in the Data Sheet. Each responsive proposal will be given a technical score. A proposal to be considered unsuitable shall be rejected at this stage if it does not respond to important aspects of the Terms of Reference or if it fails to achieve the minimum technical score indicated.
