3 Section I PREAMBLE & SCOPE OF WORK Preamble: BSES Rajdhani Power limited, (BRPL) Delhi is jointly owned by Reliance Infrastructure Ltd and Govt. of NCT, Delhi. BRPL is distributing about 12,000 MU electricity to almost 2.0 mn consumers in South and West Delhi. In continuation to Honbl e DERC Regulation on Net Metering for Renewable Energy, 2014, BRPL is promoting installation of Renewable Power Generation System including Solar Photovoltic System at the Roof Top/ premises of the consumer. As per the new provision of Net Metering, consumer can export his surplus energy to BRPL Grid. However, in order to ensure no impact and power quality, safety of Network and grid discipline, the consumer is suppose to follow various directives issued by MNRE, CEA, DERC etc. Lot of consumers in Delhi, are planning to install Renewable Power Generation system, as in few cases they are finding Renewable Generation cost is compatible with Electricity tariff. BSES wishes to select competent, experienced and financially sound manufacturers / suppliers to supply, install, commissioning and to maintain Solar Photovoltaic/ renewable power Grid connected Systems with net metering provisions at BRPL consumer premises in Delhi city. Above work is to be carried out on Turn Key Basis the detailed scope of work as mentioned in document. Scope of Work : Parties interested in collaborating with BRPL, need to be get Empanelled and have to carry out following work:- Identification and motivation of prospective BRPL consumers, but participating in BRPL awareness program(s). To guide interested BRPL consumers and help them to complete Net Metering applications. Design, supply, installation & commissioning of plant To prepare BOQ, Plant layout, single line diagram and delivery schedule with proposed capacity, a detail project report and finalize financial model. To ensure compliance of MNRE, CEA, DERC and BSES Net Metering guidelines. To enter into supply and comprehensive maintenance contract (CMC) agreements with customer. To Interact with various Govt. agencies on behalf of customers, Arranging inspections from BSES officials after installation. Jointly with BSES to create awareness about Renewable Energy and Net Metering. To arrange all necessary test certificate. To establish a office and sales service center in concerned area to cater the maintenance needs of consumers. To respond to any consumer query in time bound manner. The Empanelled implementing agencies has to take all permits, approvals and licenses etc., provide training and such other items and services required to complete the scope of work and customer agreement. The Empanelled implementing agencies shall also take insurance for Third Party Liability covering loss of human life, engineers and workmen and also covering the risks of damage to the third party/material/equipment/properties during execution of the Contract. Before commencement of the work, the Empanelled implementing agencies will ensure that all its employees and representatives are covered by suitable insurance against any damage, loss, injury or death arising out of the execution of the work or in carrying out the contract. liquidation, death, bankruptcy etc., shall be the responsibility of Empanelled implementing agencies. In case of electrical accident happens because of negligence of empanelment implementing agency, BSES reserves the right to withdraw empanelment immediately. 4 The Empanelled implementing agencies should be fully and completely responsible for all the deliveries and deliverables and for the proper functioning of the finally erected systems. The Empanelling implementing agencies should follow all applicable government rules, regulations & orders. The Empanelled Agency shall pay compensation to workmen working under him for any injury caused during the execution of work as per workmen s compensation act in force time to time. BSES will empanel the agencies those meet the minimum qualification requirements as given: Introductory conference: An Introductory conference is to be organized on at 4:00.PM, at 2 nd Floor, BSES Bhawan, Nehru Place, New Delhi It is recommended to preregister your participation for conference. 5 Minimum Eligibility Criteria: Section II: Eligibility & Evaluation Criteria of EOI i) The bidder should be registered as a Company and having manufacturing facilitates of solar PV module / Inverter manufacturer or a System integrator with MNRE in category SP-1A /SP-2A. ii) The Bidder must have past proven record of successful execution of similar contract work of supply, installation and commissioning of minimum 1000 KW P SPV or renewable energy generation system. Bidder with out past experience can also iii) submit EOI by exhibiting there technical capabilities. The company should exist for atleast last three year and the Net worth of the Bidder during the last three financial years must be positive. iv) Bidder can be a consortium of companies. Any member of Consortium cannot submit more than one EOI. The member(s) should meet above criteria. v) Empanelled implementing agencies LOI/Work awards should not have been cancelled/ short closed/blacklisted/delisted/debarred by any of Power Distribution Companies or State or Central Government or MNRE during past 3 years. vi) vii) A Registered office in Delhi/NCR. Empanelled implementing agencies LOI/Work awards should not have been cancelled/ short closed/blacklisted/delisted/debarred by any of Power Distribution Companies or State or Central Government or MNRE during past 3 years. viii) The Bidder must have valid Sales Tax/ VAT registration No., PAN No., EPF No., and valid 15 digits Service Tax Registration number. 1. The work should be carried out strictly as per guidelines of the MNRE/ CEA/DERC for Roof top Solar/ Renewable Power Generation. 2. The system components must be as per required technical specification of IS or IEC supported by test report issued by Accredited/ authorized agency. 3. The EOI should be submitted in three parts (i) Earnest Money (ii) Company profile (iii) Meeting Eligibility Criteria. 4. Company profile and meeting eligibility criteria: In the EOI offer, the key document is company profile and comments on eligibility criteria. It should cover Company/ bidder organization. List of companies as member of bidding consortium. Experience in the field of SPV/ Renewable specially with net metering provisions/ Grid connected type. Last three year balance sheet. A brief about technology to be used, technology partners (if any). Various financial Model planned to offer. Contact person & detail of Delhi/ NCR office. 5. BRPL reserves the right to empanel more than one Bidder. 6. BRPL reserves the right to cancel/ withdraw the Bid without assigning any reason for such decision. Such decision will not incur any liability whatsoever on the part of BRPL consequently. In case of withdrawal/ cancellation of EOI invitation, Earnest money will be refunded without Interest. 6 7. Statutory, Tax related evidences like PAN No., VAT Registration No. etc are to be mentioned clearly (evidences are to be duly attached). Moreover 15 digit Service Tax Registration Number is also to be furnished, wherever applicable. Evaluation criteria The bidders may be called and may be asked to present about their credential. The final empanelment decision will be based on following criteria: a) Technical and financial capability of Bidder to collaborate with BRPL b) Past experience in field of SPV/ Renewable. c) Company plan to create awareness and training program for various stakeholders. d) Company interest to serve all consumers or only selected group of customers. e) Company understanding about safety and quality needs. f) Various financial models offered by company. g) Capability of local support office. 7 Section III: General terms and conditions Award of Contract: BSES will empanel the technically qualified Empanelled vendors & their names will be intimated by / will also be announced in BSES website. The Empanelment companies will contact directly the consumers who are interested to install solar/ renewable power plants at their Roof Top/ premises in Delhi. Empanelled implementing agencies will collect the work orders directly from consumers at agreed price. BSES is not responsible to issue any work order / payment, price fixation etc. Empanelled implementing agencies have to collect the payment from consumers directly. BSES is not responsible for any dispute between consumer & empanelled agencies. The panel of agencies would be empanelled for an initial period of 2(Two) years w.e.f. the date of notification of the panel. The empanelled vendor shall undertake to supply spares free of cost for the maintenance of the offered items during the warranty period. The successful Empanelled implementing agencies should keep all the spares available for sale at least for a period of 2 years after the completion of the warranty period. The empanelled vendor shall undertake to provide the operational and maintenance manual of the Solar RTPV system in Kannada/ English language. If the operation or use of the system proves to be unsatisfactory during the warranty period, the vendor shall replace the faulty ones or carry out necessary repairs as per the warranty terms and conditions to the full satisfaction of Consumer. Termination of Contract: In case the empanelled implementing agency fails to install the plant as per guidelines OR in case the activities are found not in accordance with prescribed specification OR if found to have furnished misleading OR false representations in statement or In case the empanelled vendor fails to carry out the warranty regulations, BSES reserves right to delist the agency from empanelment. Liquidated Damages If the customer agreement with Empanelled vendor fails in due course of time, BSES will not be held responsible for the same and under no circumstances BSES can be ask to compensate for the damage. Payment Terms: This EOI is for Empanelment. Payment terms are not applicable. Taxes: This EOI is for Empanelment. Taxes are not applicable.
