6 CHAPTER 1 Student Company in a nutshell STARTING UP It s time to start your own company. Because that s what it s all about in Student Company. In this programme you start your own company using real money, real products and real customers. And of course a real company name. You do all this in a team, where you invent a product or service which you actually introduce on to the market. But what kind of products do people need? In order to discover this you will carry out a market research. During this research you can count on the assistance of your coaching teacher and a business advisor. These people will be closely involved in your company, especially in the beginning. DEVELOPMENT One of the first steps is choosing a product or service. However, more is needed to create a good fundament; for example a company s mission and vision, good cooperation, the marketing plan and insight in the expected profits and expenses. You include all these matters in a business plan, which you present to your coaching team. The coaching team then evaluates the plan. If they approve it, your coaching teacher will request your shares. By selling these you recruit shareholders and collect startupcapital: money to invest in your business. 6 STUDENT COMPANY

7 SALES A good product, a thoughtful plan and a clear target group: let the sales begin! An exciting moment, since from now on you will be dealing with real customers. They can get acquainted with the company through your own website or shop and of course your promoting activities. However, a good deal depends on the sales pitch. How do you start such a conversation? And how do you convince someone to buy your product? You can count on your coaching teacher to provide you with useful advice on these matters. You process the sales results in a mid-annual and a annual report. Together you see if the report is in concordance with the expectations or if adjustment are needed. Of course you will keep your shareholders updated! COMPLETING THE PROGRAMME Student Company is a programme full of challenges and unique experiences. You are, after all, responsible for the success of your company. No matter how well you will do, it will be a very educational year. At the end of the programme you will close down the company financially at Jong Ondernemen. You will also set up an annual report which the coaching team will evaluate. The financial advisor needs to approve the form for financial closure. PROFITING Being a successful entrepreneur is not only about achieving a good financial result. Making mistakes and learning from them, cooperating with others under time pressure, thinking market-oriented and financial awareness are just as important. Important for a future as an entrepreneur or as a commercial and entrepreneurial employee. Valuable experiences you will profit from for the rest of your life. 7

8 CHAPTER 2 Tools We facilitate several convenient tools and give access to a helpdesk and provide a business bank account in order to help students forward and support teachers and business advisors. 9 CHAPTER 3 Differentiation You can participate in Student Company on several levels: vocational (mbo), university of applied science (hbo) or university (university). The programme differs slightly on each level. MBO The block of shares amounts to a maximum of 2, One shareholder may purchase a maximum of 5 shares. The coaching teacher must agree and sign for transactions of more than (incl. VAT). Students receive a mandatory minimum wage of 0.15 per hour after the shareholders have approved the business plan. HBO The block of shares may amount to a maximum of 3, One shareholder may purchase a maximum of 5 shares. The coaching teacher must agree and sign for transactions of more than (incl. VAT). Students receive a mandatory minimum wage of 0.20 per hour after the shareholders have approved the business plan. UNIVERSITY The block of shares may amount to a maximum of 9, One shareholder may purchase a maximum of 5 shares. The coaching teacher must agree and sign for transactions of more than (incl. VAT). There is no mandatory minimum wage for each hour worked. 9

10 CHAPTER 4 Roles and tasks A coaching team supports the student companies and includes a coaching teacher, and a business advisor. This team is essential when it comes to inspiring and assisting the student company, together with the contact teacher and Jong Ondernemen s coordinator. In this chapter we will briefly explain all the roles and tasks involved. COORDINATOR JONG ONDERNEMEN The coordinator works regionally and is an intermediary between Jong Ondernemen, the educational institution and the coaching team. His primary tasks are: recruiting the business advisors and making them available for the educational institution. linking business advisors to student companies; assisting with the organisation of a kick-off meeting for students, teachers and business advisors. being the first point of contact for teachers and assisting with questions concerning the student company. monitoring and evaluating the progress of the programme, in cooperation with the business advisor. CONTACT TEACHER Each educational institution designates one contact teacher to be the first point of contact for the coaching teachers and the Jong Ondernemen coordinator. His tasks include: the annual registration of the new student companies in Mijn Jong Ondernemen; linking coaching teachers to student companies in Mijn Jong Ondernemen. forwarding the login codes for Mijn Jong Ondernemen to coaching teachers and student companies; organizing a kick-off meeting, possibly in cooperation with the Jong Ondernemen coordinator; organising a meet and greet with the student companies and the business advisorat the start of the programme. This can be combined with a kick-off meeting. 10 STUDENT COMPANY

11 COACHING TEACHER A coaching teacher is the point of contact for students and business advisors. His primary tasks are: scheduling Student Company; teaching students the basic knowledge of entrepreneurship, like marketing, finance, holding meetings and making a business plan; monitoring the progress of student companies and offering support in case of stagnation, conflicts and incorrect conduct (see the rules and regulations); ensuring that students keep in touch with their business advisors, even if it does not seem necessary at some moments; evaluating the business plan together with the business advisor; after approving the business plan, requesting the block of shares for student companies in Mijn Jong Ondernemen; attending the company meetings: for mbo this is mandatory and for hbo and university only when necessary; organising a kick-off and evaluation meeting for the Student Companies and the coaching teams (together with the contact teacher and the Jong Ondernemen coordinator); signing for the financial obligations above (mbo), (hbo) and (university); taking over the financial closure if the student company is unable to do this; request the certificate, after students finished the programme. 11

12 BUSINESS ADVISOR The business advisor provides students with advice on marketing (research), the business plan, sales and general management. He is concerned with: attending the kick-off and evaluation meeting with the coaching teacher, the student company and the Jong Ondernemen coordinator; periodically attending the student company s meetings; evaluating the business plan, together with the coaching teacher; providing students with advice when needed; evaluating the (mid)annual report; approving Jong Ondernemens form for financial closure. 12 STUDENT COMPANY

13 CONTACT PERSON & FINANCIAL CONTACT PERSON Every student company appoints a contact person as well as a financial contact person. These roles are taken on by two students within the team. The contact person s tasks are: registering the students in Mijn Jong Ondernemen; making sure that every member of the team signs the registration form and gives it to the coaching teacher; uploading the business plan; point of contact with Jong Ondernemen when necessary; signing the team up for Jong Ondernemen events. The financial contact person s tasks are: requesting a bank account package and entering the account number into Mijn Jong Ondernemen; responsible for the financial administration of the student company entering the financial information into Mijn Jong Ondernemen at the end of the programme. 18 5.1 THE TEAM You are starting with Student Company. You will put together your own team and make arrangements. If you have not yet put your team together, you can log in with the SC-number. When you have entered the participants in step 1, every team member receives their own log-in code. D What s my role? Team roles You must have noticed that you can work well with some fellow students and not so well with others. A team works best when everyone has different qualities and skills. You will take the Belbin test. This test will show you which role you will take on in a team. After this test you can find fellow students with other team roles to work with. The more different roles in your team, the better your will function as a team. S Meet & greet Getting to know your fellow entrepreneurs Contacting your business advisor You will be working closely together with your team members. It is therefore best if you know each other well. Get to know each other, your teacher and your business advisor! E-Scan Manager, professional, pioneer and salesman You have already discovered your qualities in a team. You also have personal qualities. 19 Distributing functions Functions Based on the Belbin role test and the E-Scan you will distribute the functions. Make sure that this distribution is based on these personal profiles. LinkedIn-profile Your own LinkedIn-profile It is important that you are visible for potential customers, investors, suppliers and later on your employer. That is why you will create a LinkedIn-profile for this phase. ACTIONS Step 1. Enter the participants Actions in 1. The team You can carry out these actions under the button mijn bedrijf in My Jong Ondernemen. The group s contact person will enter the information of all the students. Entered everything correctly? Then click on Save and finish. Take note: You cannot enter any other students at a later time. You can add a maximum of 8 students. As soon as one team member is entered, the SC-number can no longer be used as log-in code. Everyone must now log in with their own address and chosen password. Has someone forgotten their password? You can then request a new password on the log-in page. Step 2. Enter the company name In this step the contact person will enter the company name. You can change this name at a late time. Event Kick-off meeting (optional) Ask your teacher if your institution is organising a Kick-off meeting. 19

20 S 5.2 THE PRODUCT Your team has been put together and everyone knows each other s strengths. Now it s time for some real entrepreneurship. In order to become an entrepreneur you will need a product. Products can be goods or services. How will you come up with something customers want? You will start by looking at examples from last year s student companies for inspiration. You have looked at a couple of examples and ideas. Some of these companies are involved in social entrepreneurship. In what way are you contributing to society? Use this inspiration for coming up with your own product. Complete the steps. After completing these steps you will have decided on your product. E S O J Competitors Researching your competitors A summary Competition is the battle between companies to win customers. That is why it is important to get a clear image of who your competitors are. By watching your competitors, you can increase your chances of winning customers over. By using your competitors strengths you can make your product just a little bit more interesting for the customer. 20 STUDENT COMPANY

21 Product protection When do you file for a patent? You have decided on an idea. Is this idea innovative? Then you might want to protect it. In order to protect your product, you can file for a patent. A patent is an exclusive right to an innovation and protects a technical process or product. This means that no one but you may copy, sell or import your product. The Rijksdienst voor Ondernemend Nederland (Netherlands Enterprise Agency) can help you with this. ACTIONS Step 3. The financial contact person will request a business bank account for your company. He will receive the information per mail at his home address. As soon as you receive the bank account and card, the financial contact person enters the IBAN-account number. Event Start-up event October 2nd 2015 Jaarbeurs Utrecht, The Netherlands We organise the national Jong Ondernemen Start-up event. This is fun but most importantly educational! Here you will meet successful entrepreneurs and other student companies. Moreover this day will be filled with fun and educational activities. Your teacher will receive an invitation for this event per . The Start-up event will take place on October 2nd. Take note: this event will be in Dutch. 21

22 5.3 THE COMPANY The third phase of Student Company is all about the company. You will think about your vision, mission and goals, meet, choose an accounting package, develop a corporate design and fill out the Business Model Canvas. Mission, vision and goals Mission Vision Why do you what you do? Goals You have decided on your target group and the product you will offer. That is what you do. It is more important to think about why you do it. You will think about your mission, vision and goals. Later on in Student Company you will have to make more decisions which you discuss with your team members. In order to go about this effectively, you hold meetings. You will learn how to hold a meeting effectively. Soon you will start running your company for real. You will purchase and sell products. You will need to keep track of how much money comes in and goes out. This can be done with an accounting package. You can choose for a Twinfield or Excel accounting package. Taxes Payroll tax Profit tax VAT balance Purchases Sales Just like other companies student companies must pay taxes. Jong Ondernemen has made special arrangements with the Dutch tax authorities; Jong Ondernemen takes over the role of the tax authorities during Student Company. This means you will pay Jong Ondernemen your taxes instead of the tax authorities. During Student Company you will have to pay payroll tax, profit tax and VAT. 22 STUDENT COMPANY

23 Corporate design Company name Logo Slogan Business cards When you present your company to the outside world, it is important to do this the same way each time. This makes you recognizable. In order to be recognizable you develop a corporate design. In short, a corporate design is everything visible about a company. The most important aspects of your corporate design are your company name, the logo and the slogan. In the next phase you will set up your business plan. In order to be well-prepared, you will fill out the Business Model Canvas. Business Model Canvas is a model composed of nine building blocks. These blocks will show you how your company can create value, supply and retain. 23

24 5.4 THE BUSINESS PLAN Our company How do you develop all your ideas into a successful company? You will answer this question in your business plan. You will describe the steps you will complete in order to make your company successful. You will not only focus on your strengths here, but also take possible problems and into account. Who are you? What do you represent? What do you do? What risks do you see? Who are you and what do you find important as a company? What product does your company offer and how do you go about that? What do you represent and what goals do you want to achieve with your student company? These are all questions which you will answer step-by-step. Without customers no company would survive. That is why it is important to know exactly who you customers are and what they need. You will describe this in your business plan.! In this part of the business plan you will describe how you handle this and with whom you collaborate. How will you get your customer to notice your product? Where can your product be purchased? 25 Finances Start-up capital Expenses Income Budgets Finally you will create a financial plan. This is important for your company, but also for the outside world. This way you show that you know what you are doing and that you handle money responsibly.! Summary and conclusion Executive summary Conclusion Participating in the competition The executive summary is an important part of your business plan. It is the first (and sometimes the only) part others will read and the last part you need to write. Simply said it is a short summary of your total plan. You will describe the feasibility of your plans in the conclusion. The business plan is an important part of the competition. ACTION Action in 3. As soon as the business plan has been approved, the teacher acknowledge this in the system. Event Company launches In the winter the regional Company launches take place. These are meant for 2 students per student company. At an external location you will give a short pitch on the product, plans and challenges for your student company. 25

26 5.5 INVESTORS As a company you will need a startup capital in order to start your business and purchase products. You will collect this yourselves by selling shares. The starting capital for a student company amounts to a maximum of 2,250 (150 shares of 15 each) for mbo, a maximum of 3,000 (150 shares of 20 each) for hbo and a maximum of 9,000 (300 shares of 30 each) for universities. A S Investors Your fans Pitching Finding investors As an entrepreneur you must sell your idea to investors. Investors want to know how you will create value for your customer. Persuading investors starts with a good pitch. In a pitch you talk about what problem you are going to solve or how you will use your talents and why someone should invest in your company, all in roughly one minute. Investors register What information do you need? After you have sold a share You will keep track of the share sales in an investors register. It is important to keep track of and handle the investor s information very carefully. You will be needing this information to invite an investor to investors meetings, inform an investor on your company s progress and finally to return the investor s share capital, including possible dividends. Communicate! Only then can you count on the involvement of investors. Besides this you will organise a minimum of two investors meetings during Student Company. 28 5.6 PURCHASE AND PRODUCTION Purchase The sixth phase of Student company is all about purchase and production. You will choose suppliers and purchase your product. You can also produce your product or have your product produced. What will we purchase? Where will we purchase? How will we do business? You will purchase products. Will you purchase finished products or purchase raw materials and sell them? Importeren Import rights Legislation and regulations Importing goods with DHL It is possible to import foreign products. Usually there are two reasons to do this: a gap in the Dutch market or it is simply cheaper. You should set up a plan beforehand, so that you know how to go about this. Production Produce products Have products produced You can purchase finished products, but you can also produce your product or have your product produced. You will learn how to handle this easily and effectively. Stock Stock management As a company it is important to know the amount of products in stock. When you purchase or sell products, you should keep track of this. Make sure you purchase new products in time when your stock is dwindling. Administration Administration of hours Sales invoices Purchasing invoices All information recorded on paper or electronically (online) about your student company is called administration. An entrepreneur is obligated to keep a good administration and to store this. Your administration will give you a good overview of your company s situation. 28 STUDENT COMPANY

29 5.7 MARKETING AND COMMUNICATION Every form of contact with your target group leaves a certain impression. Everything is important: how you present yourself in a sales pitch, the design of your web shop, but also the stand at the Trade Fair. Furthermore you will use resources to make sure your target group notices your product; for example, a website and social media. Your network Create a network overview Communicating with your network From the start of your company you will be working on your network. The people in your own network are the first to have invested in your company. They are therefore closely connected to your company and that is to your advantage. Using your strengths Owned media Earned media Paid media In your situation you usually have little money and experience. You do have a lot of creativity, courage, dedication and a good network. You can use these advantages to get as much out of the marketing as possible. You can split up the channels you use to communicate with your target group into earned, owned and paid (or bought) media. What is your story? Storytelling Unique selling points Tell your story on your website, your blog and in newsletters. Make the market curious about your product and company: give teasers. You can never start too early with marketing. Involve your customer in your product and its development: this will help you make fans who will want to tell your story for you. Social media Facebook Instagram Twitter Youtube Social media are also called social networks. They are media in which people are interconnected. On social media you can share information, like photos, news and videos. Your target group can react to this and share this information. This enables you to build a relationship with your customers and make fans! 29

30 5.8 SALES Customers Your products have been ordered and/or produced and the sales can finally start. What are things to keep in mind regarding sales? How do you lead a sales conversation and how do you set up an invoice? This phase will provide you with answers. You want to persuade customers to buy your product, offer good service and keep customers. A web shop may come in handy! CCV Shop helps you develop an online shop. A place where people can find and buy your product. Thanks to Buckaroo your customers are able to pay quickly and safely with ideal, an online transaction or PayPal. If you choose to ship products to customers, you can best use DHL. Jong Ondernemen has made special arrangements with DHL on shipping products. When your customers decide to buy your product you will need to set up an invoice. On this invoice you state what the customer is buying and what he needs to pay. It is important that you do not state VAT on your invoice, but that you do include this in your price and administration. A trade fair is a perfect way to use your sales skills. You will present the company and your product or service to the shopping audience in a mall. The best team will go home with a prize. The contact person and the coaching teacher will receive a personal invitation for a trade fair in your neighbourhood. The student companies chosen by the judges present their company during the Semi-finals. The best candidates will continue to the Student company of the year finals. The winner of this competition, so the Student company of the year, may represent The Netherlands at the European finals. There are finals for mbo and finals for hbo/university. European Enterprise Challenge (hbo/university) Start of July Romania Company of the Year Competition (mbo) End of July Switzerland 31

32 5.9 FINISH In a short time you have had a taste of the real entrepreneurship. You have been responsible for the success and you know what it takes to run your own company. All in all a useful and hopefully fun experience! Now it is time to close down your student company. A S Annual report E-Scan Evaluation Financial results At the end of Student Company you will write an annual report. In this report you will make up the balance for yourself and your investors. You will describe all that happened the past year, what went well and the setbacks. There is also a financial part.. Investors Before the investors meeting During the investors meeting Paying the investors The final investors meeting is all about the annual report. This meeting can only take place when the annual report is finished. During this meeting you will indicate how your student company executed the business plan. Did everything go according to plan or were there deviations? If so: what and why? Another important matter is the profit per share (dividend), which every investor will receive. ACTIONS Step 7. Request the 2 nd E-Scan Step 8. Requesting certificates Actie in 9. Finish Your teacher will carry out these actions for you. Once more you will make the Junior E-Scan. This will show you your development as entrepreneur and the talents you have developed. You will describe this in your annual report. A good presentation must include a certificate. The teacher will request your certificate at the end of the project. Jong Ondernemen will send your teacher the certificate who will then give it to you. 32 STUDENT COMPANY

33 ACTION Stap 9. Financial closure Action in 9. Finish You can carry out these action under the button Mijn bedrijf in My Jong Ondernemen. This is the very final step. You will enter the financial closure information. After this you will a month s access to My Jong Ondernemen to save your uploaded documents somewhere else. 33

34 CHAPTER 6 Events Jong Ondernemen organises a couple of events for student companies each year. The contact person and the coaching teacher of each student company will receive information per containing dates, registration procedures and exact conditions for all events in time. We will also list these on our website and at Mijn Jong Ondernemen. START-UP EVENT October 2 nd Jaarbeurs, Utrecht Jong Ondernemen organises the Start-up event on October 2 nd. This event shall be held at the Jaarbeurs in Utrecht, The Netherlands. Here you will meet successful entrepreneurs, former participants and other student companies. Moreover this day is filled with educational activities and mostly inspirational activities. Your teacher can sign you up voor the Start-up event. Take note: Only 2 students per student company may participate. Take note: this event will be in Dutch. COMPANY LAUNCHES Winter 2016/2016 There are regional Company launches in the winter. These are meant for 2 students per company. At an external location you will give a short pitch about your product, the plans and challenges for your student company. A jury will be present to give you useful advice to help you on your way. The best pitches are even rewarded with a prize. The student company s contact person receives an invitation for this event. TRADE FAIRS Spring 2016 The trade fairs are the sales days where you as a student company get the chance to sell your product or service to the shopping audience. The trade fairs usually take place in the early spring in various regions. What makes it even more valuable, is that students meet other student companies and business advisors in an entrepreneurial atmosphere. This is not only a good chance to sell, but there are also prizes to be won. 34 STUDENT COMPANY

35 SEMI-FINALS May 10 th ABN AMRO, Amsterdam Student companies can register online for the Jong Ondernemen competition. A professional jury selects the teams which may participate in the semi-finals. The Semi-finals are on Tuesday May 10th at the main office of ABN AMRO in Amsterdam. After the pre-selection and the evaluation by the jury Jong Ondernemen announces the semi-finalists. During a one-day challenge the students must show why they are the best student company. At the end of the day the jury announces the finalists. STUDENT COMPANY OF THE YEAR FINALS June 6 th Beatrix Theater, Utrecht On Monday June 6th 2016 Jong Ondernemen organises the finals for the best Student company of the year competition. The finals will take place in the Beatrixtheater in Utrecht. There are finals for mbo (vocational schools) and finals for hbo/universities. The main prize is a ticket to the European finals. EUROPEAN FINALS Jong Ondernemen is a member of the European organisation JA Europe. JA Europe organises the competitions Company of the Year (mbo) and the European Enterprise Challenge (hbo/ university) on a yearly basis. European Enterprise Challenge Start of July - Romania The Dutch Student company of the year (hbo/university) will take part in the European Enterprise Challenge in Romania. Company Of the Year Competition End of July - Switzerland The Dutch mbo Student company of the year will battle against more than 30 companies for the European title. The European finals of this year will take place in Switzerland. INTERNATIONAL TRADE FAIR It is possible for a student company to represent the Netherlands during the international trade fair. The contact person and the coaching teacher will receive an stating how they can qualify. You can also register for the international trade fair. This event entails costs. 35
