2 Terms and Conditions Governing the American Express Tenaga Nasional Berhad (TNB) 100% Cash Back Campaign RM150,000 IN TOTAL TO BE WON (for all new & existing American Express Cardmembers) 1. Definition : In these terms and conditions, unless the context otherwise requires or unless expressly stated herein to the contrary, the following expressions shall have the following meanings : 1.1 Maybank means Malayan Banking Berhad, a company incorporated in Malaysia and having its registered office at 14 th Floor, Menara Maybank, 100, Jalan Tun Perak, Kuala Lumpur. 1.2 Campaign means the 100% Cash Back Campaign organized by Maybank where American Express Cardmember who pay TNB bills with American Express Cards in Retail, Online and AutoPay transaction during Campaign Period is automatically entitled to participate in the Campaign to win the Campaign Prize. 1.3 Every interval of RM50 in a single transaction will be entitled for ONE (1) entry. AutoPay transactions for TNB bills will be given 10x entries for this campaign. The 10x entries is only applicable for ONE (1) time per unique customer level who is defined as Principal Cardmember for entire campaign duration. 1.4 Campaign Period refers to the period during which the Campaign will be conducted, commencing from 1 May to 31 October 2013 (both dates inclusive) or such date(s) as may be extended, shortened or modified by Maybank. 1.5 Campaign Prizes means the total of RM150,000 cash rebate capped for entire campaign duration, or a maximum of RM1,000 per Principal Cardmember at unique customer level for entire campaign duration. 1.6 Cardmembers means the American Express Charge & Credit Cardmembers both Principal and Supplementary. 1.7 Eligible Cardmembers refer to the persons set out in these terms and conditions who are eligible to participate in the Campaign. 1.8 Retail and Online Transaction means any offline or online transactions posted made with American Express Card for payment of Tenaga Nasional Berhad (TNB) bills. 1.9 AutoPay Transaction means any AutoPay transactions posted made with American Express Card for payment of Tenaga Nasional Berhad (TNB) bills.

3 2. The Campaign is open to all new & existing American Express Credit & Charge Cardmembers including Principal & Supplementary, excluding corporate cards. 3. The following person(s) shall not be eligible to participate in the Campaign : a. Eligible Cardmember who has committed or is suspected of committing any fraudulent, wrongful or suspicious acts in relation to any of his/her credit and/or charge cards issued by Maybank or is in breach of any of the terms and conditions governing the use of the Maybank s products and/or services or is insolvent or an undischarged bankrupt or is subjected to any bankruptcy or insolvency proceedings; or b. Eligible Cardmember whose account(s) held with Maybank has become delinquent or no longer has good credit standing; or c. Eligible Cardmember whose credit and/or charge card(s) is/are involved or suspected of being involved in any fraudulent, wrongful or suspicious activity, or whose credit and/or charge cards have been blocked, suspended, cancelled or terminated for any reasons whatsoever; or d. American Express Corporate, Business, Purchasing Cardmembers (all other cards apart from American Express Consumer Cards); or e. Cardmembers who are or become insane, deceased or insolvent at the commencement or at any time during the Campaign period; or f. American Express Cardmember(s) who is (are) in default of facilities granted by Maybank at any time during the Campaign Period; or. g. American Express Charge or Credit Card(s) not issued by Maybank and Maybank Islamic in Malaysia. 4. Crediting of the Cash Back will be made within 60 days after the campaign ended. 5. The awarded cash back amount will be credited to the American Express card basic account of the highest product category (if Cardmember has used more than 1 American Express card product for the Campaign). The Cash Back is in addition to the generic TreatsPoints or Membership Rewards Points, and over & above discounts/savings offered by participating merchants. PRIZES 1. There will be a total cash rebate capped at RM150,000 for entire campaign. 2. Total amount of Campaign Prizes to be given away shall not exceed Ringgit Malaysia One Hundred Fifty Thousand (RM150,000). 3. Cardmembers are only entitled to win once throughout the Campaign Period. 4. The Cash Back payout will be made to ONE (1) of the highest amount of bill transacted during the campaign period, with a maximum capping of RM1,000 per unique customer level who is defined as Principal Cardmember. No accumulation of bills allowed. For example; (i) (ii) if the bill paid amounted to RM500, full cash back of RM500 will be credited to Principal Cardmembers card account. if the bill paid amounted to RM1,200, a maximum cash back of RM1,000 will be credited to Principal Cardmembers card account. 5. Cash back amount will be credited into Principal Cardmembers card accounts within 60 days after the campaign ended. 6. 5 PARTICIPATION AND QUALIFICATION CRITERIA 1 Entry is automatic subject to meeting the criteria herein. No SMS, pre-registration or entry forms required. 2 To be eligible and qualify for the Campaign, Cardmembers must fulfill the following criteria : a) Every interval of RM50 for TNB bill payment in a single transaction will be entitled for ONE (1) entry. b) AutoPay transactions for TNB bill payment will be given 10x entries for this campaign. The 10x entries are only applicable for ONE (1) time per unique customer level who is defined as Principal Cardmember for entire campaign duration. c) The accumulative transactions made by Principal & Supplementary which include all American Express Credit and Charge cards will be accumulated as the Principal Card spend. d) Supplementary Card spending will be aggregated with Principal Card spending but the qualified cash back amount will only be credited into the Principal s account. GENERAL TERMS & CONDITIONS 1 By participating in this promotion, Cardmember is bind to agree in accessing Maybank websites at and/or on regular basis to view the terms and conditions and to ensure that they are kept-up-to-date with any changes or variations made to the terms and conditions. 2 All qualified transactions recorded by Maybank shall be final and conclusive. 3 Maybank reserves the right to forfeit the Cash Back and disqualify the Eligible Cardmember in the event there is a reversal of spends entry, cancellation or termination of the American Express Cards during the Campaign Period. Maybank reserves the right to disqualify any suspicious transactions at any stage of the Campaign. 4 These terms and conditions shall be deemed to be a contract made under the laws of Malaysia and shall for all purposes be governed by and construed in accordance with the laws of Malaysia and the Eligible Cardmember hereby agrees to submit to the exclusive jurisdiction of the Courts of Malaysia.

6 5 Maybank shall not be liable for any default or delay in respect of the Campaign due to any act of God, war, riot, strike, terrorism, epidemic, lock-out, industrial action, fire, flood, drought, storm, computer glitch, loss of electricity or power for any length of time or any event that is beyond the reasonable control of the Bank. 6 Maybank reserves the right at its absolute and sole discretion at any time, by giving twenty one (21) days prior notice and without assigning any reason whatsoever, : a. Vary, amend, modify, change, delete or add to any of the terms and conditions herein; b. extend, shorten or modify the Campaign Period.; c. suspend, cancel or terminate the Campaign; d. effect any adjustment, forfeiture or disqualification of the Campaign entries or the Cash Back credited without being liable for any loss or damage suffered or incurred by the Eligible Cardmembers, which notification will be published or communicated via or website, its business premises or any other channels of communication it deems as suitable. 7 To the fullest extent permitted by law, in no event shall Maybank or any of its officers, directors, servants, employees, representatives (including but not limited to any third party service providers that the Bank may engage for purposes of the Campaign), be liable for any losses or damages (including but not limited to loss of income, opportunity, profits or goodwill and indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties) howsoever arising whether in contract, tort, negligence or otherwise, in connection with the Campaign, even if the Bank has been advised of the possibility of such losses or damages in advance, and all such losses and damages are expressly excluded.

7 Terma dan Syarat yang Mentadbir American Express Tenaga Nasional Berhad (TNB) Kempen Pulangan Tunai 100% SEJUMLAH RM150,000 UNTUK DIMENANGI (bagi semua Pemegang Kad American Express baru dan sedia ada) 1. Definisi: Dalam terma dan syarat ini, melainkan konteks memerlukan atau dinyatakan dengan jelas di sini, perkataan-perkataan di bawah akan membawa maksud seperti berikut:- 1.1 Bank merujuk kepada Malayan Banking Berhad (3813-K), sebuah syarikat diperbadankan di Malaysia dengan pejabat berdaftar di Tingkat 14, Menara Maybank, 100, Jalan Tun Perak, Kuala Lumpur. 1.2 Kempen merujuk kepada Kempen Pulangan Tunai 100% yang dianjurkan oleh Maybank yang melayakkan secara automatik Pemegang Kad American Express yang membayar bil TNB mereka secara bayaran di kaunter, online dan AutoBayar sepanjang Tempoh Kempen. 1.3 Setiap RM50 TNB bill yang dibayar dalam satu transaksi tunggal akan layak untuk SATU (1) penyertaan. Transaksi AutoPay bagi bil TNB akan diberikan 10x penyertaan bagi kempen ini. Penyertaan 10x tersebut hanya boleh digunakan untuk SATU (1) kali di tahap pelanggan unik yang ditakrif sebagai Pemegang Kad Utama untuk keseluruhan tempoh kempen. 1.4 Tempoh Kempen merujuk kepada tempoh sepanjang Kempen ini akan diadakan, bermula dari 1 Mei 2013 sehingga 31 Oktober 2013 (termasuk kedua-dua tarikh ini) atau tarikh tersebut boleh ditangguh, dipendekkan atau diubah Tempoh Kempen oleh Maybank. 1.5 Hadiah-hadiah Kempen merujuk kepada had maksima keseluruhan rebet wang tunai RM150,000 bagi seluruh tempoh kempen, atau satu jumlah maksima sebanyak RM1,000 bagi setiap Pemegang Kad Utama pada tahap pelanggan unik bagi keseluruhan tempoh kempen tersebut. 1.6 Pemegang Kad merujuk kepada kedua-dua Pemegang Kad Utama dan Pemegang Kad Tambanan Caj & Kredit American Express. 1.7 Pemegang Kad yang Layak merujuk kepada pihak-pihak yang dinyatakan dalam terma dan syarat ini, yang layak menyertai Kempen tersebut.

8 1.8 Transaksi Runcit dan Transaksi Secara Online merujuk kepada mana-mana transaksi yang dibuat di kaunter atau secara online dengan Kad American Express untuk pembayaran bil Tenaga Nasional Berhad (TNB). 1.9 Transaksi AutoPay merujuk kepada mana-mana transaksi AutoPay yang dibuat dengan Kad American Express untuk pembayaran bil Tenaga Nasional Berhad (TNB). 2. Kempen ini terbuka kepada semua Pemegang Kad Kredit dan Kad Caj American Express yang baru dan sedia ada, termasuk Pemegang Kad Utama dan Pemegang Kad Tambahan, tidak termasuk kad-kad korporat. 3. Individu (-individu) dan/atau jenis kad yang berikut tidak layak untuk menyertai Kempen ini: a. Pemegang Kad yang telah melakukan atau disyaki telah melakukan sebarang penipuan, kesalahan atau tindakan atau transaksi yang mencurigakan berhubung mana-mana kad kredit dan/atau kad caj miliknya yang dikeluarkan oleh Bank atau Maybank Islamic atau melanggari mana-mana terma dan syarat yang perlu dipatuhi dalam menggunakan produk dan/atau perkhidmatan Bank atau Maybank Islamic atau tidak solven atau muflis/bankrap atau menghadapi sebarang prosiding kebankrapan atau insolvensi; atau b. Pemegang Kad yang diluluskan oleh Bank atau Maybank Islamic, atau pemegang akaun di Bank atau Maybank Islamic tetapi akaunnya menjadi akaun tertunggak atau mempunyai kedudukan kredit yang buruk; atau c. Pemegang Kad di mana kad kredit dan/atau kad cajnya terbabit atau disyaki terbabit dalam sebarang penipuan, kesalahan atau aktiviti mencurigakan, atau Pemegang Kad di mana kad kredit dan/atau kad cajnya telah disekat, digantung, dibatalkan atau ditamatkan atas sebarang sebab; atau d. Pemegang Kad American Express Corporate, Business, Purchasing dan semua kad lain selain daripada Kad American Express Consumers; atau e. Pemegang Kad yang menjadi tidak waras, meninggal dunia atau tidak mampu membayar hutang pada permulaan atau bila-bila masa sepanjang Tempoh Kempen; atau f. Pemegang(-Pemegang) Kad American Express yang gagal membayar kemudahan yang diberikan oleh Maybank pada bila-bila masa sepanjang Tempoh Kempen, atau g. Kad Kredit atau Kad Caj American Express yang tidak dikeluarkan oleh Maybank dan Maybank Islamic di Malaysia. 4. Pulangan Tunai 100% akan dibuat dalam tempoh 60 hari selepas kempen tersebut tamat.

Pulangan Tunai 100% akan dikreditkan ke dalam akaun American Express Pemegang yang diberi akan dikreditkan kepada akaun asas Kad American Express Kad Utama daripada kategori produk tertinggi (jika Pemegang Kad yang layak memiliki lebih daripada satu (1) product kad American Express untuk Kempen ini). Hierarki Kad American Express disenaraikan seperti berikut: a) Kad Caj Platinum b) Kad Kredit Platinum American Express c) Kad Kredit Platinum Maybank 2 Amex d) Kad Kredit Platinum American Express Maybank Islamic Ikhwan e) Kad Caj Emas American Express f) Kad Caj Emas American Express Singapore Airlines KrisFlyer g) Kad Kredit Emas American Express Singapore Airlines KrisFlyer h) Kad Kredit Emas American Express i) Kad Kredit Emas Maybank 2 Amex j) Kad Kredit Emas American Express Maybank Islamic Ikhwan k) Kad Kredit Emas American Express Maybank l) Kad Caj Klasik American Express m)kad Kredit Klasik American Express Maybankard 6. Pulangan Tunai tersebut adalah tambahan kepada Mata Ganjaran atau Mata Ganjaran Keahlian yang lazim dan selain daripada penjimatan yang ditawarkan oleh Pedagang layak (jika ada). HADIAH-HADIAH 1. Had maksima Pulangan Tunai 100% bagi keseluruhan kempen ini ialah RM150, Jumlah keseluruhan Pulangan Tunai 100% yang akan diberikan tidak akan melebihi Seratus Lima Puluh Ribu Ringgit Malaysia (RM150,000). 3. Pemegang Kad Utama di tahap pelanggan unik hanya layak untuk memenangi satu kali bagi keseluruhantempoh Kempen tersebut. 4. Pulangan Tunai 100% akan dibayar kepada SATU (1) daripada bil transaksi dengan amaun tertinggi sepanjang tempoh kempen tersebut, dengan had maksima sebanyak RM1,000 bagi di tahap pelanggan unik yang ditakrif sebagai Pemegang Kad Utama. Pengumpulan bil tidak dibenarkan. Sebagai contoh;

10 (i) Sekiranya bil tersebut berjumlah RM500, Pulangan Tunai sepenuhnya bagi RM500 akan dikreditkan ke dalam akaun kad Pemegang Kad Utama. (ii) Sekiranya bil tersebut berjumlah RM1,200, Pulangan Tunai maksimum bagi RM1,000 akan dikreditkan ke dalam akaun kad Pemegang Kad Utama. 5. Amaun Pulangan Tunai tersebut akan dikreditkan ke dalam akaun kad Pemegang Kad Utama dalam tempoh 60 hari selepas kempen tersebut tamat. 6. Pengumuman para pemenang akan diumumkan di dan/atau KRITERIA KELAYAKAN DAN PENYERTAAN 1 Penyertaan adalah secara automatik, tertakluk kepada kriteria yang dinyatakan di sini dipenuhi. Tiada SMS, pra-pendaftaran atau borang penyertaan diperlukan. 2 Untuk layak menyertai Kempen ini, Pemegang Kad mesti memenuhi kriteria yang berikut : a) Bagi setiap RM50 untuk pembayaran bil TNB dalam satu transaksi tunggal akan layak untuk SATU (1) penyertaan. b) Transaksi AutoPay bagi bil TNB akan diberikan 10x penyertaan bagi kempen ini. Penyertaan 10x tersebut hanya boleh digunakan untuk SATU (1) kali di tahap pelanggan unik yang ditakrif sebagai Pemegang Kad Utama untuk keseluruhan tempoh kempen tersebut. c) Pengumpulan transaksi yang dibuat oleh Pemegang Kad Utama dan Pemegang Kad Tambahan yang merangkumi semua kad Kredit dan Caj akan dikumpulkan sebagai perbelanjaan oleh Pemegang Kad Utama. d) Perbelanjaan pemegang kad tambahan akan digabungkan dengan perbelanjaan Pemegang Kad Utama tetapi amaun jumlah Pulangan Tunai yang layak diterima hanya akan dikreditkan dalam akaun Pemegang Kad Utama.

11 TERMA & SYARAT UMUM 1. Dengan menyertai Kempen ini, Pemegang Kad bersetuju untuk akur dalam mengakses dan/atau secara tetap untuk melihat terma dan syarat tersebut dan untuk memastikan bahawa mereka dikemaskinikan tentang apa-apa perubahan atau pertukaran yang dibuat kepada terma dan syarat tersebut. 2. Rekod transaksi yang dikemaskini oleh Bank dan pemilihan Pemenang oleh Bank adalah muktamad. 3. Maybank berhak untuk membatalkan Pulangan Tunai dan menarik balik kelayakan Pemegang Kad dalam keadaan yang mana wujud masalah masukan bayaran TNB bill, pembatalan atau penamatan Kad American Express sepanjang Tempoh Kempen. Maybank berhak menarik kelayakan sebarang mana-mana transaksi yang mencurigakan pada mana-mana peringkat Kempen ini. 4. Terma dan syarat ini adalah dianggap sebagai kontrak yang dibuat mengikut undang-undang Malaysia dan bagi segala tujuan adalah ditadbirkan dan diertikan mengikut undang-undang Malaysia dan Pemegang Kad dengan ini bersetuju untuk akur kepada bidang kuasa eksklusif Mahkamah Malaysia. 5. Bank tidak bertanggungjawab atas sebarang kegagalan atau kelewatan yang berkaitan dengan Kempen yang disebabkan oleh mana-mana bencana alam, peperangan, rusuhan, mogok, keganasan, wabak, perintah berkurung, tindakan perindustrian, kebakaran, banjir, kemarau, ribut, gangguan komputer, ketiadaan elektrik atau kuasa bagi apa jua tempoh masa atau sebarang kejadian yang di luar kawalan Bank. 6. Bank berhak, atas budi bicara mutlaknya pada bila-bila masa, dengan memberikan notis terdahulu selama dua puluh satu (21) hari dan tanpa menyatakan sebarang alasan, untuk:- a. Mengubah, mengubah suai, menukar, memotong atau menambah mana-mana terma dan syarat yang terkandung di sini; b. Melanjutkan, memendekkan atau mengubah Tempoh Kempen; c. Menangguh, membatalkan atau menamatkan Kempen; d. Menguatkuasakan sebarang pelarasan, pelucutan atau penyingkiran penyertaan Kempen atau Hadiah Kempen yang dimenangi tanpa bertanggungjawab atas sebarang kehilangan atau kerugian yang dialami atau ditanggung oleh Pemegang Kad yang layak melalui atau atau mana-mana saluran komunikasi yang dianggap sesuai.

Setakat yang dibenarkan oleh undang-undang, Bank atau mana-mana pegawai, pengarah, penjawat, kakitangan, atau wakilnya (termasuk namun tidak terhad kepada mana-mana penyedia perkhidmatan pihak ketiga yang Bank gunakan bagi tujuan Kempen ini), tidak dalam apa jua keadaan dipertanggungjawabkan atas sebarang kehilangan atau kerugian (termasuk namun tidak terhad kepada kehilangan pendapatan, peluang, keuntungan atau nama baik, dan kerugian tidak langsung, sampingan, turutan, teladan, bebanan, atau kerugian khas mana-mana pihak termasuk pihak ketiga) yang timbul sama ada dalam kontrak, tort, akibat kecuaian atau sebaliknya, yang berkaitan dengan Kempen, meskipun Bank telah terlebih dahulu dinasihatkan kemungkinan berlakunya kehilangan atau kerugian tersebut, dan semua kehilangan dan kerugian tersebut adalah dengan secara tersurat dikecualikan.
