Statement of Work Cloudbearing proposes the following suite of services to complete a successful migration of the Gateway Unified School District to Office 365: Cloudbearing Project Team Dedicated Project Manager Single Point of Contact for All Project Related Questions and Issues Cloud Architect Responsible for design, deployment, and completion of Office 365 Infrastructure and Migration Tasks. Office 365 On Boarding Specialist Responsible for end user training sessions on Office 365. Office 365 Premium Support Team Responsible for post deployment support for Office 365 related questions and issues. Fee Summary Office 365 Readiness Assessment and Onsite Discovery $0 Cloudbearing will perform the following services: Onsite three day review of client systems to document existing environment. Identify potential challenges to migration and provide plan for resolution. Provide client with thorough understanding of Office 365 capabilities and features in comparison to existing environment. Complete Active Directory Readiness Analysis Deliverable: Completed Onsite Discovery Office 365 Tenant Provisioning and Customization $5,000 Cloudbearing will assist client with provisioning of Office 365 licensing from Microsoft at the preferred charitable nonprofit rate. Client agrees to participate in project feedback survey on Cloudbearing's performance and satisfaction with Office 365, to be completed within sixty days of project completion. Project Total $25,800 On Demand Rate Chart (per year) $0 Client may elect to use any of the following services provided by Cloudbearing at the specified hourly rates below: Service Offering SharePoint Consulting (billed in 4 hour commitments to be scheduled one week prior) IT Consulting or Projects (billed in 4 hour commitments to be scheduled one week prior) Hourly Rate $175 $175 Emergency Consulting (same day, full minimum) $250 Remote Office 365 Administration (billed in 15 minute increments) $100 Onsite IT Support (billed in one hour increments) $150 Question and Answer Forum (per question charge) $15 Services will be billed in 15 minute increments. Premier services are purchased via an annual retainer which can be used for the following tasks and services: Remote Office 365 Administration Leverage our team's deep expertise in Office 365 for routing tasks such as running Powershell Commands, creating/deleting/modifying users and objects, creating distribution groups and external contacts, troubleshooting connectivity or performance issues, administering SharePoint site collections, and much more. SharePoint Online Development and Consulting Our SharePoint Online team is dedicated to helping Cloudbearing clients achieve the maximum return on their SharePoint investment. Our SharePoint team can assist you with customizing the branding, look, and feel of your site, integrating new web parts and third party additions, customizing lists and document libraries, migrating content from existing SharePoint On Premise installation or file servers, architecting document libraries, and more. Office 365 System Requirements: http://www.microsoft.com/en-us/office365/system-requirements.aspx Payment Terms Payment Terms Client will be responsible for necessary payment information to third party vendors. By accepting this Statement of Work, Cloudbearing and Client agree to the packages/options elected, terms, and conditions defined in the Fees section and terms and conditions included in the description of services and Cloudbearing Master Services Agreement. Terms: 50% of one time fees to be invoiced upon completion of kick off and discovery meeting. 50% remaining fees to be invoiced upon completion of Office 365 Administrator Training. Retainer fees due within thirty days of receipt of invoice. Net 30 terms. Monthly fees will be billed at the beginning of calendar month and will be invoiced with Net 30 Page 9 of 10
terms. A late fee equal to the maximum amount permitted by state law will be applied to any balances owed beyond sixty days. Cloudbearing reserves the right to discontinue services for any past due balances. Additional remote support and onsite fees outside the scope of this project will be billed at defined on demand hourly rates and will be invoiced monthly with Net 30 terms. Any invoice disputes must be submitted via email to billing@cloudbearing.com within 10 business days of receipt of invoice. Client agrees to forfeit the right to dispute any services beyond 10 business days. Undisputed amounts are due within 30 days of receipt of invoice. Client will be responsible for all late fees, collection fees, and attorney s fees for any undisputed past due invoices. Client required to keep Cloudbearing as Office 365 Partner of Record for a period no less than one year from completion of Office 365 migration. Page 10 of 10
