The role of Governance Manager Girlguiding is recruiting a Governance Manager, reporting to the Chief Executive, to work within our Strategic Resources department. The Governance Manager will be responsible for ensuring sound processes and systems are in place for organisational governance, as well as ensuring Girlguiding adheres to the highest standards of good governance practice and complies with relevant statutory regulation including charity law and charity governance. The post holder must be able to demonstrate expert knowledge of corporate governance with a good understanding of charity law and regulation, organisational management and control. They are to act as the company secretary, displaying in depth understanding of corporate administration, meeting management and the requirements of effective secretariat support. Due to the nature of the work, regular weekend and evening working will be required, at sites outside of London on occasion, for which time off in lieu will be taken. Job Description Basic job details Grade: 24 Job Title: Governance Manager Reports to: Chief Executive Department: Chief Executive Overall purpose of job To ensure sound processes and systems are in place for organisational governance To ensure Girlguiding adheres to the highest standards of good governance practice and complies with relevant statutory regulation including charity law and charity governance To maintain statutory records and ensure quality secretariat support, record keeping and communications for Girlguiding s various governance forums including Board of Trustees, Audit & Risk Committee, Nominations & Governance committee, Remuneration Committee, PPP Committee and the annual Council meeting To ensure that the Chief Commissioners Meetings are co-ordinated appropriately to feed into governance meetings as necessary Main areas of responsibility To produce and manage an annual schedule of governance meetings, in accordance with the agreed schedule of delegated authority To take leadership for oversight and co-ordination of documents and ensure appropriate cross referencing of different groups To plan meeting agendas in consultation with the relevant chair, key staff and committee members and ensure that agendas are within the agreed terms of reference and delegated authority for the committees To administer meetings; this includes booking suitable rooms and facilities for all meetings and ensure the notification of meeting dates and locations are sent well in advance to ensure optimal attendance To manage the collation of reports and papers for all meetings ensuring papers are ready on time and are prepared to a high standard in a consistent style and are filed in a professional and accessible manner inducing using online sharing tools such as glasscubes and dropbox To minute meetings or ensure that another minute taker is available and that minutes meet required standards To manage the action log and report on progress of them to the next committee meeting.
To maintain accurate and up-to-date records of people holding governance roles. Provide support to Senior volunteers and staff to ensure governance succession planning, including any election processes necessary, as well as advertising, selecting and comprehensive induction arrangements To ensure that the Council meetings and AGM are run according to requirements laid out in the Royal Charter To ensure that governance information areas of the Girlguiding intranet and website are up to date Knowledge and Skills To demonstrate expert knowledge of corporate governance with a good understanding of charity law and regulation, organisational management and control To act as the company secretary, displaying in depth understanding of corporate administration, meeting management and the requirements of effective secretariat support Problem solving To find solutions to problems that occur when setting up of large meetings involving volunteers Innovation To develop effective systems and identify ways of working to ensure a smooth administration of governance meetings Planning & decision making To plan all governance meetings Interpersonal skills To build and maintain highly effective and collaborative relationships with senior governance volunteers and senior staff To handle confidential and sensitive matters with tact, diplomacy and confidentiality. People development and leading This role has no line management responsibility. Monetary responsibility To set and manage the annual budget for governance meetings, processing payments of invoices and expenses.

Terms & Conditions Contract Type This post is a full-time permanent post. Location You will be based at Girlguiding, Buckingham Palace Road, London SW1W 0PT or Trading Services, Altrincham, Manchester or home based. However, on occasions you may be required to perform your duties, on a temporary or permanent basis, from any other Girlguiding premises within a reasonable travelling distance of this location. You may be required to travel inside the UK on business of the Charity. Salary/Rate Your salary for the position is 42,281.00 per annum (including London Weighting if based in London). Working Hours Normal hours of work are Monday to Friday 9am to 5pm with one hour for lunch. However we would consider for the successful post holder to work compressed hours over 3.5 or 4 working days. You may be required to work at times other than and in addition to your normal hours of work. Probationary Period The post will be subject to a probationary period of 26 weeks. Medical and Criminal Records Check This post may involve substantial access to young people and it is a requirement under The Rehabilitation of Offenders Act 1974 (Exceptions) Order 1975 that you submit a criminal record disclosure check. Upon successful appointment, you will be required to complete a medical questionnaire and criminal records check. Employment is subject to satisfactory receipt of a medical and criminal records disclosure check. Holidays 25 days paid holiday per annum plus bank holidays. This increases after two years services as on 1 January to 26 days, and then a further one day for every two years of service, up to a maximum of 30 days for 10 years service and above. Holidays and bank holiday allowance will be pro-rata for part-time and fixed-term employees.
Terms & Conditions Notice Period During the probationary period, the period of notice required is one week by either party; and four weeks thereafter.
